Reference Banks and Agent Bank: The Issuer will procure that, so long as any Note is outstanding, there shall at all times be the number of Reference Banks provided above [(where the Rate of Interest is to be calculated by reference to them)] and an Agent Bank for the purposes of the Notes. If any such bank (acting through its relevant office) is unable or unwilling to continue to act as a Reference Bank or the Agent Bank, as the case may be, or if the Agent Bank fails duly to establish the Rate of Interest for any Interest Period or to calculate the Coupon Amount, the Issuer shall (with the prior approval of the Trustee) appoint some other leading bank engaged in the London interbank market (acting through its principal London office) to act as such in its place. The Agent Bank may not resign its duties without a successor having been so appointed.
INTERNATIONAL PLACEMENT OF SHARES.
Governmental Reports and Disclosure Obligations: Any reports, documents and information to be provided to any governmental authority regarding the Company, voluntarily or otherwise, have been provided and are materially true and accurate. The Company complies in a timely manner with all its on-going and periodical reporting obligations resulting from the Law on Public Trading in Securities of 1997 and the Ordinance of the Council of Ministers dated 16 October 2001 concerning periodical and on-going information to be provided by the issuers of securities admitted to public trading (together, the “Polish Securities Law”).

Jeżeli jakikolwiek ww. bank (działający poprzez swoje odpowiednie Biuro), w zależności od okoliczności, nie będzie w stanie działać lub odmówi dalszego działania jako Bank Referencyjny lub Agent Emisji, lub jeżeli Agent Emisji nie ustali należycie odpowiedniej Stopy Odsetkowej dla jakiegokolwiek Okresu Odsetkowego, lub nie wyliczy Kwoty Kuponu, wówczas Emitent wyznaczy (za uprzednią zgodą Powiernika) inny wiodący bank działający na Londyńskim Rynku Międzybankowym (za pośrednictwem swego głównego biura w Londynie) do działania w jego miejsce. Raporty dla Agencji Rządowych i Obowiązki Informacyjne: Wszelkie raporty, dokumenty i informacje dotyczące Spółki, które powinny zostać przekazane do urzędów państwowych, dobrowolnie lub w inny sposób, zostały im przekazane, oraz są prawdziwe i zgodne ze stanem faktycznym. Spółka terminowo wypełnia wszelkie swoje okresowe i bieżące obowiązki informacyjne wynikające z Prawa o Publicznym Obrocie Papierami Wartościowymi z 1977 r. oraz z Rozporządzenia Rady Ministrów dotyczącego przekazywania okresowych i bieżących informacji przez emitentów papierów wartościowych dopuszczonych do publicznego obrotu (dalej łącznie zwanych „Polskim Prawem Papierów Wartościowych”).

Niniejsze Warunki Emisji Obligacji określają prawa i obowiązki Emitenta oraz Obligatariuszy.
FORMA I TYTUŁ WŁASNOŚCI
Obligacje emitowane są jako niezabezpieczone obligacje na okaziciela i nie posiadają formy dokumentu.
Prawa wynikające z Obligacji powstają z chwilą dokonania po raz pierwszy zapisu Obligacji w ewidencji Obligacji („Ewidencja Obligacji”), który to zapis zostanie dokonany w Dacie Przydziału (jak zdefiniowano w punkcie xxx poniżej) prowadzonej przez YYY z siedzibą w Warszawie („Agent Emisji”) i będą przysługiwać podmiotowi wskazanemu w Ewidencji Obligacji jako posiadacz tych Obligacji. Będzie on traktowany jako wyłączny właściciel Obligacji dla celów otrzymywania świadczeń z tytułu Obligacji oraz dla wszelkich innych celów. Po dokonaniu zapisu w Ewidencji Obligacji Obligatariusz na zgłoszone żądanie otrzymuje wyciąg z Ewidencji Obligacji, zawierający dane dotyczące Obligatariusza oraz liczby posiadanych Obligacji („Wyciąg z Ewidencji Obligacji”).
STATUS OBLIGACJI
Obligacje stanowią bezwarunkowe, bezpośrednie, niepodporządkowane i niezabezpieczone zobowiązanie Emitenta wykonywane zgodnie z niniejszymi Warunkami Emisji Obligacji. Obligacje będą jednocześnie i w takim samym stopniu spłacane oraz mają równe pierwszeństwo z innymi bieżącymi i przyszłymi zobowiązaniami Emitenta wynikającymi z niepodporządkowanych zobowiązań Emitenta z wyłączeniem innych zobowiązań, które z mocy bezwzględnych przepisów prawa podlegają wcześniejszemu zaspokojeniu.
Obligacje są niezabezpieczone.
Translation - English TERMS AND CONDITIONS OF BONDS
These Terms and Conditions of Bonds establish rights and obligations of the Issuer and Obligees.
FORM AND OWNERSHIP TITLE
The Bonds are issued as not underwritten bearer’s Notes in a paperless form.
Any rights arising from the Bonds shall become effective upon first recording of the Bonds in the register of Bonds (the “Register of Bonds”), the recording of which shall be made at the Date of Allotment (as specified in item xxx below) maintained by YYY with its registered office in Warsaw (the “Agent Bank”) and shall be vested in the entity indicated in the Register of Bonds as the possessor of such Bonds. The aforesaid entity shall be regarded as the sole owner of the Bonds for purposes of benefiting from the Bonds, likewise for any other purposes. Upon recording of the Bonds in the Register of Bonds, the Obligee, upon request, shall receive an extract from the Register of Bonds including the data related to the Obligee and the number of the Bonds held (the “Extract from the Register of Bonds”).
LEGAL STATUS OF BONDS
The Bonds represent an unconditional, direct, not subordinated and not underwritten obligation of the Issuer to be fulfilled in compliance with these Terms and Conditions of the Bonds. The Bonds shall be at the same time and to the same extent repaid, likewise have equal priority with other current and future obligations of the Issuer arising from not subordinated obligations of the Issuer, with the exclusion of other obligations that under the absolutely binding regulations are subject to earlier performance.
