Source text - Polish 1.Po sprzedaży Udziałów na rzecz Nabywcy Wspólnicy zobowiązują się nie podejmować osobiście ani przez osoby pośredniczące, w jakiejkolwiek formie, działalności związanej z czyszczeniem, praniem, prasowaniem, praniem chemicznym, konserwacją, wytwarzaniem, przetwarzaniem, wypożyczaniem i sprzedażą wszelkich ubrań, produktów lub artykułów, akcesoriów i tekstyliów oraz nie interesować się wymienionymi rodzajami działalności, bezpośrednio ani pośrednio, jak również nie kierować ani nie administrować jakimkolwiek przedsiębiorstwem, spółką lub ugrupowaniem stanowiącym konkurencję lub mogącym stanowić konkurencję dla Spółki lub Nabywcy. Powyższe zobowiązanie będzie obowiązywać na całym terytorium Polski w okresie [...] lat, poczynając od dnia zawarcia umowy sprzedaży Udziałów, pod rygorem zapłaty kary umownej w kwocie [...] na rzecz Nabywcy. Obowiązek zapłaty kary umownej obciąża wszystkich Wspólników solidarnie i powstaje z chwilą doręczenia Wspólnikom wezwania do zapłaty. Nabywca będzie uprawniony do wystąpienia z żądaniem zapłaty kary umownej w przypadku pozyskania informacji o naruszeniu przez Wspólników powyższego zakazu. Zapłata kary umownej nie zwalnia zobowiązanych do zaprzestania naruszeń, a Nabywcy nie pozbawia prawa do żądania (na zasadach ogólnych) zaprzestania takich naruszeń oraz odszkodowania przewyższającego karę umowną.
Translation - English 1.Once the Shares have been sold to the Buyer, the Shareholders shall undertake not to pursue, individually or through a third party, any form of activity related to cleaning, washing, ironing, dry cleaning, maintenance, manufacturing, processing, lending or selling any clothing, goods or products, accessories and textiles as well as not to take interest in the aforementioned types of activity, directly or indirectly, and also not to manage or administer any entrepreneurship, company or grouping that could be regarded as a competitor or could be competitive to the Company or the Buyer. The above obligation shall apply in the whole territory of Poland for the period of [...] years, starting from the day of concluding the Share sale agreement; otherwise, a cotractual penalty in the amount of PLN [...] shall be paid to the benefit of the Buyer. The obligation to pay a contractual penalty shall apply jointly and severally to all of the Shareholders and shall arise as soon as the request for payment has been delivered to the Shareholders. The Buyer shall be entitled to claim a request for payment of the contractual penalty if, according to the acquired information, the Shareholders have violated the above prohibition. The payment of the contractual penalty shall not exempt the obligees from discontinuing the violations and shall not dispose the Buyer of the right to request (in line with general principles) for discontinuing such violations and for damages exceeding the contractual penalty.
