Source text - Turkish Kanımızca, her ne kadar söz konusu hükümlerde anılan kişilerin “müşterek borçlu ve müteselsil kefil” sıfatıyla sorumlu olduklarından söz edilmiş ise de bu ifadedeki “müşterek borçlu” ibaresine hak ettiğinden fazla bir anlam yüklenmemelidir. Zira kefalet sözleşmelerinde bu ifade biçimine yer verilmesi aslında İsviçre Borçlar Kanunu’ndaki bir çeviri hatasının dilimize yerleşmiş olmasından kaynaklanmaktadır. Şöyle ki; müteselsil kefalet, Borçlar Kanunumuzun 487. maddesinin 1. fıkrasında düzenlenmiştir. Anılan hüküm şu şekilde kaleme alınmıştır:
“Kefil, borçlu ile beraber müteselsil kefil ve müşterek müteselsil borçlu sıfatı ile veya bu gibi diğer bir sıfatla borcun ifasını deruhte etmiş ise alacaklı asıl borçluya müracaat ve rehinleri nakde tahvil ettirmeden evvel kefil aleyhinde takibat icra edebilir.”
Hükümdeki “… müşterek müteselsil borçlu … ” ifadesi isabetli değildir. Bunun sebebi kaynak İsviçre Borçlar Kanunu m.496’nın, 1942 yılında değişikliğe uğramadan önceki Fransızca metninde hatalı olarak “ codébiteur solidaire ” = “ müteselsil borçlu ” ifadesine yer verilmiş olmasıdır. Halbuki kaynak kanunun Almanca metninde böyle bir ifadeye yer verilmemiştir.
Hüküm, dilimize İsviçre Borçlar Kanunu’nun Fransızca metni esas alınarak tercüme edildiği için, isabetli olmayan bu ifade biçimi bizim Borçlar Kanunumuza da girmiş; üstelik sadece “müteselsil borçlu” olarak çevrilmesi gerekirken bir de yanına “müşterek” ifadesi eklenerek “müşterek müteselsil borçlu” ifadesine yer verilmiştir. İsviçre Borçlar Kanunu’nun 496. maddesinin Fransızca metnindeki bu hatalı ifade, İsviçre Borçlar Kanunu’nun kefalete dair hükümlerinde 1942 yılında yapılan toplu değişiklikle ortadan kaldırılmış ve Fransızca metinde de Almanca metne paralel olarak “caution solidaire” = “müteselsil kefil” ifadesine yer verilmiştir.
Türk Borçlar Kanunu Tasarısı kaleme alınırken de Borçlar Kanunumuzun 487. maddesinin 1. fıkrasındaki bu hatalı ifade dikkate alınmış ve Tasarı’nın 591. maddesinin 1. fıkrasında haklı olarak “müşterek müteselsil borçlu” ifadesine yer verilmemiş; “müteselsil kefalet” ifadesi benimsenmiştir. (Türk Borçlar Kanunu Tasarısı, Ankara, 2005, s: 516 veya m. 591 gerekçesi)
Bu açıklamalar ışığında taraflar arasındaki bu sözleşmelerde yer alan “müşterek borçlu ve müteselsil kefil sıfatıyla sorumluluk” ifadesindeki “müşterek borçlu” ibaresine hak ettiğinin (bir çeviri hatasının dilimize yerleşmiş olmasının) ötesinde bir anlam yüklenmemesi gerekir. Dolayısıyla XYZ Holding AŞ. ile M. E.’nin anılan sözleşmelerde asıl borçlu sıfatı ile sorumlu olduklarını kabul etmek mümkün değildir. Onların hemen yukarıda zikrettiğimiz BK.m.487/f.1 uyarınca borcun asıl borçlu tarafından ifa edilmemesi nedeniyle sadece “müteselsil kefil sıfatıyla sorumlu” olduklarını kabul etmek gerekir.
Ayrıca belirtmek gerekir ki, BK.m. 487/f.1’in hemen yukarıda zikrettiğimiz düzenlemesi karşısında, alacaklının, asıl borçlu aleyhine dava veya takip yoluna başvurmak zorunda olmaksızın dilerse doğrudan doğruya müteselsil kefil aleyhine dava veya takip yoluna müracaat edebilecek olması bu sözleşmenin kefalet niteliğini dolayısıyla da onun fer’i niteliğini değiştirmez.
Doktrinde Prof. Dr. H.T’nin de isabetle belirttiği üzere:
“Müteselsil kefil bir çeşit müteselsil borçlu değildir… Müteselsil borçluluk ile müteselsil kefalet arasında tek ortak yön alacaklının karşısındaki borçlulardan (müteselsil borçlulardan veya asıl borçlu ile müteselsil kefilden dilediğine başvurabilmesidir. Buna karşılık kefilin borcu fer’i, … müteselsil borçlu olanların borçları ise hem doğumları hem de devamları bakımından aslî nitelik taşırlar.”
II- Eğer birinci sorunun yanıtı evetse ABCD’nin XYZ Holding AŞ. ve M. E.’yi (müşterek borçlu ve müteselsil kefil) takip etmeden önce XYZ Grup Şirketlerini (asıl borçluları) takip etmek zorunda olmaması tali borcu fiili olarak sona erdirir mi ?
Translation - English In our opinion, even though it is stated that the said persons in the aforementioned provisions are responsible in the capacity of ‘’joint debtor and several guarantor’’; the phrase ‘’joint debtor” must not be assigned a meaning more than it deserves. Because using this expression in guaranty agreements is originated from a translation mistake in the Swiss Debt Law which was adopted into our language. Namely; several guaranty is stated in the Subsection 1, Article 487 of our Debt Law. The said article is written as follows:
“If the guarantor has undertaken to pay the debt together with the debtor in the capacity of several guarantor and joint and several debtor or any other such title, the creditor may bring legal action against the guarantor without first going after the debtor and wihout first cashing the liens.’’
The expression “… joint and several debtor … ” is not right.This is because of the expression “ codébiteur solidaire ” = “ several debtor” was incorrectly used in the French text of Article 496 of Swiss Debt Law before it was amended in 1942. However, there is no such expression in the German text of the source Law.
Since the provision was translated to our language based on the French text of the Swiss Debt Law, this erroneous expression has also entered into our Debt Law; moreover, whereas it was supposed to be translated as ‘’several debtor’’only, the word ‘’joint’’ was also added next to it and it was expressed as ‘’joint and several debtor.’’ This erroneous expression in the French text of the article 496 of Swiss Debt Law was removed in 1942 with the overall amendment of the guaranty provisions of Swiss Debt Law, and the expression“caution solidaire” = “several guarantor” was also used in the French text parallel to the German text.
This erroneous expression in the Subsection 1 Article 487 of our Debt Law was taken into consideration when the Turkish Debt Law Draft was written, and the expression ‘’joint and several debtor’’ was justifiedly not included in the Subsection 1 Article 591 of the Draft; and the expression ‘’several guaranty’’ was adopted. (Turkish Debt Law, Ankara, 2005, based on the grounds of page 516 or article 591)
In the light of the foregoing explanations, it should not be assigned a meaning beyond what it deserves (beyond that a translation error was adopted into our language) to the phrase ‘’joint debtor’’ in the expression ‘’obligation in the capacity of joint debtor and several guarantor’’ which was involved in the agreements between the parties. Thus, it is not possible to accept that XYZ Holding AS (XYZ Holding Incorporation) and M.E. are responsible in the capacity of principal debtor in the said agreements. In accordance with the Article 487/subsection 1 of the Debt Law we have mentioned right above, it should be accepted that they are ‘’responsible only in the capacity of several guarantor’’ when the loan is not paid by the principal debtor.
It must also be noted that, the fact that the creditor may directly file a claim or take legal action against the several guarantor without having to file a claim or take legal action against the principal debtor through the Article 487/subsection 1 of the Debt Law we have mentioned right above, does not change the guaranty nature, thus, the accessory nature of the agreement.
As Prof. Dr. H.T also stated felicitously in the doctrine:
‘’Several guarantor is not a kind of several debtor...The only common part between the several indebtedness and several guaranty is that the creditor may go after any of the obligators (any of the several debtors or principal debtor and several guarantor)it desires. On the contrary, the guarantor’s accessory obligation,...as for the several debtors’ obligations, they are principal in terms of their generation and progress.’’
II- If the answer for the first question is yes, would the fact that ABCD does not have to go after XYZ Group (the principal debtors) without first going after XYZ Holding A.S (XYZ Holding Incorporation) and M.E. literally end the ancillary debt?
