Source text - English The goodwill arising from the purchase of subsidiaries or associated companies is initially measured at cost and represents the excess of the purchase cost over the purchaser's share of the fair value of the identifiable asset, liability, and potential liability values of the company purchased. Any negative difference ("negative goodwill") is recorded in the profit and loss account at the date of purchase.
Goodwill in shareholdings in associated companies is included in the carrying value of those companies.
After the initial recognition, goodwill is decreased by any impairment. It is subject to the impairment test once a year or more often if events or changes occur which could lead to any impairment.
For the purposes of the impairment tests, from the date of purchase the goodwill purchased with business combinations is allocated to each of the units (or groups of units) that generate group financial flows and which are expected to benefit from the mutually advantageous effects of the purchase, regardless of the allocation of other assets or liabilities to these units (or groups of units).
If the goodwill is assigned to a unit (or group of units) that generates financial flows and where the asset is partially divested, the goodwill associated with the sold asset will be considered for the purposes of calculating any capital gains (or losses) arising from the operation. In these cases, the goodwill sold will be measured on the basis of the values of the sold asset with respect to the asset still held with reference to the unit itself.
Ill this adoption of the IFRS for the first time, the group decided not to apply IFRS 3 Business combinations retroactively to the purchases of businesses prior to 1 January 2004. Therefore, any goodwill generated on purchases prior to the transition to the IFRS was held at previous values calculated in accordance with Italian accounting standards and subject to verification and recognition of any impairment.

Se l'avviamento viene assegnato a un'unità (o a un gruppo di unità) generatrice di flussi finanziari, nella quale l'attività sia stata in parte ceduta, l'avviamento associato all'attività venduta sarà considerato ai fini del calcolo delle plusvalenze (o minusvalenze) derivanti dall'operazione. In questi casi, l'avviamento venduto sarà determinato sulla base dei valori dell'attività venduta rispetto all'attività ancora posseduta, relativamente all'unità stessa.
In sede di prima adozione degli IFRS, il gruppo ha deciso di non applicare in modo retroattivo l'IFRS 3 Aggregazioni aziendali alle acquisizioni di imprese antecedenti il 1° gennaio 2004.
