In the event Operator defaults in the performance of any covenant or agreement made hereunder, as to payments of amounts due hereunder or otherwise, and such defaults are not remedied to the Supplier’s satisfaction within ten (10) days after notice of such defaults, the Supplier may thereupon terminate this contract and all rights hereunder of the Operator but such termination shall not affect the obligations of the Operator to take action or abstain from taking action after termination hereof, in accordance with this contract.

No. *****, having its registered office at: *** (hereinafter called "the Company") has named, constituted and appointed ***** as the Company's Attorney with power for and on behalf of the Company to do and execute in all parts of the world all or any of the acts and things following namely:
1. To open, operate and close any current, deposit or other bank accounts, to draw, endorse and sign checks, to deposit any money either in the names of the Attorney or in the name of the Company from time to time and generally to undertake any other banking transaction on behalf of the Company.
2. To enter into any arrangements with any governments or authorities (supreme, municipal, local or otherwise) or any corporations, companies or persons, and to obtain from such governments, authorities, corporations, companies and persons, any charges, contracts, decrees, grants, licenses, leases, rights, privileges and concessions which the said Attorney may think desirable in the interests of the Company.

Title to the Documents
Any documents provided by COMPANY to CONTRACTOR shall be deemed confidential and may be used by CONTRACTOR only for the purposes related to WORK. Such documents shall remain in COMPANY’s sole ownership and shall be delivered back to COMPANY either when such documents are no longer required for WORK or forthwith any time upon COMPANY’s demand.
ASSIGNMENT
Assignment by COMPANY
Upon written notification of CONTRACTOR, COMPANY shall be entitled, at any time and without restraint, to fully or partially assign its rights and obligations under CONTRACT to:
i. AFFILIATE or
ii. Any other THIRD PARTY, acting as a SURVEY operator and possessing sufficient funds and resources required for performance of COMPANY’s financial obligations as of the date of such assignment.
Assignment of CONTRACT by COMPANY shall not discharge CONTRACTOR of any of his obligations, liabilities, or responsibility under CONTRACT, and CONTRACTOR hereby agrees to proceed to perform all of his obligations and liabilities under CONTRACT in case of such assignment.

Цедент обязуется в течение 20 (двадцати) рабочих дней с момента поступления от Цессионария денежных средств в оплату уступленных Прав требований направить каждому Заемщику уведомление о состоявшейся уступке Прав требования (далее – Уведомление). Уведомление направляется Заемщику заказным письмом по адресу регистрации Заемщика, содержащемуся в электронной Базе данных. Уведомление должно содержать следующую информацию:
– реквизиты Договора уступки требования;
– наименование Цедента;
– наименование, место нахождения и контактные данные Цессионария;
– реквизиты кредитного договора Права требования, по которому перешли к Цессионарию;
– объем Прав требования к Заемщику, перешедших к Цессионарию;
– указанные в Договоре реквизиты счета Цессионария, открытого последним на территории РФ в валюте РФ по которым Заемщик должен исполнять обязательства по кредитному договору Права требования по которому перешли к Цессионарию;
– указание на то, что дальнейшее погашение задолженности по кредитному договору необходимо осуществлять только по реквизитам Цессионария, указанным в Уведомлении.
– информацию о том, что в случае перечисления денежных средств в погашение задолженности по кредитным договорам на банковские счета Заёмщиков в период после последней даты перечисления денежных средств в соответствии с п.2.7.1 Договора, Цедент принимает поступающие на банковские счета его Заемщиков денежные средства (на основании заключенного между Заемщиком и Цедентом договора вклада до востребования/ договора текущего счета), которые могут быть перечислены Цессионарию в погашение задолженностей только на основании распоряжений Заемщиков и что в этом случае Заемщик должен незамедлительно обратиться к Цеденту с письменным распоряжением (содержащим все реквизиты, указанные в Приложении № 6 к Договору) о перечислении указанных денежных средств по реквизитам Цессионария
Стороны Договора допускают использование аналогов собственноручных подписей должностных лиц Цедента при оформлении Уведомлений, а также иных юридически значимых документов, оформляемых Цедентом в рамках Договора. Под аналогом собственноручной подписи (оттиска печати) понимается графическое воспроизведение указанной подписи (оттиска печати) средствами копирования или типографским способом.
1.2. В связи с постоянной динамикой погашения Заемщиками задолженности по кредитным договорам, на дату перехода Прав требования от Цедента к Цессионарию объем уступаемых Прав требования может уменьшиться за счет поступивших от Заемщиков денежных средств в погашение задолженности по кредитным договорам. В связи с необходимостью фиксирования окончательного объема уступаемых Прав требования, не позднее пятнадцатого рабочего дня после поступления от Цессионария денежных средств в оплату уступаемых Прав требования, Цедент и Цессионарий подписывают Дополнительное соглашение к Договору, в котором фиксируется окончательная Цена уступаемых Цессионарию Прав требования на момент их перехода к Цессионарию, установленного п. 4 Договора.
Разницу между Ценой, оплаченной Цессионарием ранее, и Ценой уступаемых Прав требования, установленной Дополнительным соглашением к Договору, Цедент обязуется вернуть на счет Цессионария в течение 15 (пятнадцати) рабочих дней с момента подписания Дополнительного соглашения к Договору.
Translation - English 1.1. The Assignor within 20 (twenty) working days of receipt of funds from the Assignee for the assigned Claims undertakes to send each Borrower a notification of the completed assignment of Claims (hereinafter - Notification). The Notification shall be sent to the Borrower by registered letter to the Borrower’s registration address which is stored in the electronic Database. The Notification shall contain the following information:
– details of the Assignment of Claims Agreement;
– name of the Assignor;
– name, location and contact details of the Assignee;
– details of the credit contract giving rise to Claims transferred to the Assignee;
– volume of Claims to the Borrower transferred to the Assignee;
– details of the Assignee’s bank account stipulated in the Agreement and opened by the Assignee in the territory of RF in the RF currency and which shall be used by the Borrower when performing his obligations under the credit contract giving rise to Claims transferred to the Assignee;
– indication of the fact that the further debt repayment under the credit contract shall be effected only in accordance with the Assignee's bank details, stated in the Notification.
– information about the fact that if funds are transferred as a repayment of debts under credit contracts to the Borrowers’ bank accounts during the time period after the last date of funds transfer under Clause 2.7.1 of the Agreement, the Assignor shall accept the funds entering his Borrowers’ bank accounts (by virtue of the demand-deposit agreement/ current account agreement concluded between the Borrower and the Assignor), these funds being able to be transferred to the Assignee as a repayment of debt only under the Borrowers' orders, and in this case the Borrower shall immediately apply to the Assignor with a written order (containing all the details stated in Appendix No. 6 to the Agreement) to transfer the said funds in accordance with the Assignee’s bank details.
Parties to the Agreement allow the use of equivalents of handwritten signatures of the Assignor’s officers when executing Notifications as well as other legally significant documents which are executed by the Assignor within the scope of the Agreement. The equivalent of handwritten signature (seal imprint) shall be understood as a graphic reproduction of the said signature (seal imprint) by means of copying or by printing means.
1.2. As there is a constant evolution of debt repayment by the Borrowers under credit contracts, the volume of Claims being assigned may decrease as of the date of the Claims assignment from the Assignor to the Assignee at the expense of funds received from the Borrowers as a repayment of debt under credit contracts. As it is necessary to fix the final volume of Claims being assigned, not later than the fifteenth working day after receipt of funds from the Assignee for the Claims being assigned, the Assignor and the Assignee shall sign an Additional Agreement to the Agreement in which the final Price for the Claims being assigned to the Assignee is fixed as of the moment of their transfer to the Assignee stipulated by Clause 4 of the Agreement.
Within 15 (fifteen) working days of signing the Additional Agreement to the Agreement the Assignor undertakes to return to the Assignee's bank account the difference in value between the Price previously paid by the Assignee and the Price for the Claims being assigned stipulated by the Additional Agreement to the Agreement.
