Source text - Greek ΣΥΜΦΩΝΗΤΙΚΟ ΠΩΛΗΣΗΣ ΘΑΛΑΣΣΙΟΥ ΣΚΑΦΟΥΣ
Η παρούσα Συμφωνία γίνεται σήμερα, την 2ην μέρα του μηνός Φεβρουαρίου του έτους 2010 στη Λάρνακα, ΜΕΤΑΞΥ: του κ. ΝΙΚΟΛΑΟΥ ΜΙΧΑΗΛ από το Μενεού, οδός Θαλασσινές Ωκεανίδες 7 - 7000 – ο οποίος για τους σκοπούς και όρους της παρούσας θα αναφέρεται κατωτέρω ως « Ο ΠΩΛΗΤΗΣ» αφενός, και της Blue Hive Company Ltd HE 231397 η οποία για τους σκοπούς και όρους της παρούσας θα αναφέρεται κατωτέρω ως «Η ΑΓΟΡΑΣΤΡΙΑ» – αφετέρου, και διαλαμβάνει τα ακόλουθα:
ΔΕΔΟΜΕΝΟΥ ότι ο Πωλητής έχει δηλώσει ότι είναι ο απόλυτος ιδιοκτήτης ενός θαλάσσιου σκάφους με την ονομασία « ΚΑΤΕ Official No 710969», το οποίο για τους σκοπούς και όρους της παρούσας θα αναφέρεται κατωτέρω ως το «Σκάφος» KAΙ
ΔΕΔΟΜΕΝΟΥ ότι ο Πωλητής έχει δηλώσει ότι διαθέτει προς πώληση το Σκάφος για την Αγοράστρια και
ΔΕΔΟΜΕΝΟΥ ότι η Αγοράστρια έχει δηλώσει ότι αποδέχεται να αγοράσει το Σκάφος από τον Πωλητή, υπό τους κατωτέρω αναφερόμενους όρους και προϋποθέσεις.
ΣΥΜΦΩΝΟΥΝΤΑΙ ΜΕΤΑΞΥ ΤΩΝ ΣΥΜΒΑΛΛΟΜΕΝΩΝ ΤΑ ΑΚΟΛΟΥΘΑ:
1. Ως τιμή πώλησης του Σκάφους συμφωνείται το ποσό των €120.000,- (Εκατόν Είκοσι χιλιάδων Ευρώ) πληρωτέο ως εξής:με την υπογραφή της συμφωνίας Ο ΑΓΟΡΑΣΤΗΣ θα καταβάλει το ποσό των €12,000,- και το υπόλοιπο ποσό των €108,000 θα εξοφληθεί σε δέκα (10) μέρες από την υπογραφή της παρούσας συμφωνίας.
2 Ο Πωλητής δια του παρόντος μεταβιβάζει όλα ανεξαιρέτως τα δικαιώματα «birth» του Σκάφους στην Αγοράστρια και δεσμεύεται απολύτως, προσωπικώς ή υπό οποιαδήποτε ιδιότητα, ότι δεν θα διεκδικήσει το υφιστάμενο «birth» του συγκεκριμένου Σκάφους.
3. Ο Πωλητής παραδέχεται και αποδέχεται ότι κάτω από οποιεσδήποτε συνθήκες το παρόν «birth” ανήκε, ανήκει και θα ανήκει στην Αγοράστρια.
4. Οποιεσδήποτε υποχρεώσεις σε σχέση με το Σκάφος μέχρι την ημέρα μεταβίβασης της κυριότητας του Σκάφους στην Αγοράστρια, βαρύνουν τον Πωλητή.
5. Συμφωνείτε μεταξύ των συμβαλλομένων ότι ο Πωλητής θα υπογράψει οποιαδήποτε έγγραφα στην Αγοράστρια τα οποία θα είναι αναγκαία για την πραγματοποίηση της μεταβίβασης.
6. Η Αγοράστρια ταυτόχρονα με την υπογραφή της παρούσας Συμφωνίας, θα λάβει κατοχή του Σκάφους, το οποίο θα κατέχει και θα καρπούται με οποιονδήποτε τρόπο και όπως η ίδια θα επιθυμεί, χωρίς καμιά επέμβαση εκ μέρους του Πωλητή και/ή οποιουδήποτε άλλου προσώπου.
7. Ο Πωλητής οφείλει όπως, μεταβιβάσει το Σκάφος επ’ ονόματι της Αγοράστριας και/ή οποιουδήποτε άλλου προσώπου ή προσώπων, οργανισμού ή εταιρείας, που αυτή θα υποδείξει.
Translation - English SALE AGREEMENT OF A SEA VESSEL
This present agreement is effected today, the 2nd day of February, of the year 2010 in Larnaca, between: Mr. NICOLAOS MICHAEL from Meneou, Thalassines Okeanides street 7 – 7000, whom for the aims and terms of the present, shall be hereinafter mentioned as “THE SELLER”, and the Blue Hive Company LTD HE 231397 which for the aims and terms of the present shall be hereinafter mentioned as “THE BUYER” and includes the following:
WHEREAS, the Seller declared that he is the true and lawful owner of the sea vessel with the name “ KATE official No. 710969” which for the aims and terms of the present shall be hereinafter mentioned as the “VESSEL” and
WHEREAS, the Seller declared that he is offering the vessel for sale to the Buyer and
WHEREAS, the Buyer declared that he/she accepts to buy the Vessel from the Seller, under the hereinafter mentioned terms and conditions:
THE FOLLOWING ARE AGREED BETWEEN THE PARTIES:
1. The selling price of the vessel is agreed to the amount of €120.000,- (one hundred twenty thousand euro) payable as following: on signing this agreement the BUYER shall give the amount of €12.000,- and the remaining amount of €108.000,- shall be settled in ten (10) days from the signing of this agreement.
2. The Buyer hereby transfers all and without exceptions the rights “birth” of the Vessel to the Buyer and is pledged absolutely, personally or under any status, that he shall not claim the subordinate “birth” of this certain Vessel.
3. The Seller agrees and accepts that under any circumstances the present “birth” belonged, belongs and shall belong to the Buyer.
4. Any obligations relating to the Vessel until the transfer of the Vessel ownership to the Buyer, weight the Seller.
5. It is agreed between the parties that the Seller shall sign any documents for the Buyer which shall be necessary for the realization of the transfer.
6. The Buyer together with the signing of the present agreement, shall receive ownership of the Vessel, which shall be owned and exploited in any way and as particularly shall desired, without any interference from the Seller and/or any other person.
7. The Seller is obliged to transfer the Vessel on the name of the Buyer and/or to any other individual or individuals, organization or company, he/she shall indicate.
