Source text - English IT IS AGREED
I. Appointment and Territory
A. Meritor hereby appoints the Distributor as an exclusive distributor in (the “Territory”) for the Products.
It is understood between the parties that Meritor will sell directly to larger customers in the Territory. Larger customers are defined in Exhibit V . Customers are dealt either entirely by Meritor or by the Distributor except within transfer period and as mentioned under point V C.
B. If larger customers result from acquisition by Distributor as properly demonstrated by means of quotations, exchanges of correspondence, meeting minutes , etc. Meritor will pay for a period of 12 months a fee equal to 2.25% of the net amounts paid by the customers during a period of 12 months following the Transfer Period, as compensation for efforts made by Distributor to win the larger customer account. Such fees to be paid 30 working days after payments from larger customer are due to Meritor. No compensation is due if an existing Distributor customer is acquired by a customer handled by Meritor.
II. Products and Packing
A. The products covered by this Agreement are all current and future products which are manufactured and/or supplied by the Arvin Meritor Trailer OE division in Europe, in particular axles and suspensions as listed in Exhibit I hereto ( the "Products").
B. Meritor reserves the rights to add products to its product range, that will automatically form an integrated part of the Products as listed in Exhibit I and Meritor is only entitled to exclude any of the Products from the scope of this Agreement on giving the Distributor at least thirty (30) days’ written notice when the distribution of these Products are to be discontinued from the entire European market. An exclusion from the Products list does not affect pending orders from the Distributor when already accepted by Meritor.
C. Packing shall normally be best Meritor packing for the destination specified. Special packing where necessary shall be in accordance with the Distributor’s specifications and will be billed as an extra charge if requested by the Distributor.
III. Terms of Sales to Distributor
The sale of the Products to the Distributor pursuant to this Agreement shall be made upon Meritor’s regular sales terms and conditions copy of which is attached as Exhibit III as same are in effect at time of such purchases (“Terms of Sale”). If there is any conflict or inconsistency between the Terms of Sale and the provisions of this Agreement, the Agreement shall prevail. Meritor shall have the right to update and/or modify the Warranty Terms at its discretion. Warranty for the existing products in the field will not be affected by such update or modification.
IV. Promotional Material
Meritor will provide the Distributor with full information as to the various items included in the Products, and will supply reasonable quantities of advertising, descriptive and sales promotional material, catalogues, bulletins, specification data, etc. regarding the Products. All advertising and publicity undertaken by the Distributor, whether it be for the Distributor’s own account, or pursuant to special agreements with Meritor, and all authorizations and instructions to the Distributor’s affiliates or representatives proposed to be used in connection with the sale of the Products shall be submitted by the Distributor to Meritor for review, suggestions, and approval. The Distributor must obtain written approval from Meritor before proceeding with any advertising regarding the sale of the Products.
V. Distributor Obligations
A. The Distributor shall actively and energetically promote the sale of the Products within the Territory and use all best efforts to develop a large extensive demand for and market for the Products in the Territory.
B. The Distributor is expected, if possible, in case of request by Meritor, to make quick deliveries of axles and / or spare parts from his local stock in order to satisfy specific and urgent Meritor or customer’s needs , including large customers when specifically requested in writing by Meritor. In case the Distributor will deliver goods on requests of Meritor, the Distributor will invoice Meritor at its current purchase price with a mark-up of 5% plus transport costs if applicable.
C. Subject to Meritor’s prior approval the Distributor is allowed to sell axles and / or parts to Large Customers (as shown in Exhibit V) within the Territory.
D. Spare parts may also be sold and delivered by Meritor either directly or through other channels.
E. The Distributor will engage the services of one or more competent sales engineers who shall be qualified both to handle special sales and technical problems in the Territory and to inform Meritor accurately as to the technical requirements of customers in connection with the sale of the Products. The sales engineers must understand final customer needs and provide proper technical support to these customers. The Distributor shall further ensure that effective and relevant training will be provided to the customers of the Products.
F. Meritor will invite, at least once a year or before every launch of a new product, the warranty engineer and the sales engineers, to update them about all the technical changes. Expenses related to such updates are borne by Meritor.
G. The Distributor is responsible, through his warranty engineer, for below services to all customers in the Territory :
- Warranty Claims Analysis
- Technical Field Investigation
- Customer Support
- Service network setup
H. The Distributor will only sell OE and/or OE quality products and will inform Meritor in advance of having any new such products. Distributor will inform Meritor of any new OE equivalent product he intends to add to its portfolio. Distributor shall sell only genuine Meritor replacement parts for the Products. The Distributor shall not sell any products competing with the Products.
I. Distributor will establish and maintain, at Distributor’s expense, an office location, telephone service, and other appropriate facilities, all of which shall be satisfactory to Meritor.
G Distributor shall furnish to Meritor a rolling forecast of unit volume sales for the next twelve month’s period to the best of Distributors’ abilities.
H. Distributor will maintain within the Territory a reasonable stock of repair
and replacement parts for the Products sold. Meritor will furnish adequate information for the servicing of Products and will use its best efforts to supply parts and fill orders therefore with reasonable speed.
I. Distributor must carry an adequate inventory in order to serve the market in the Territory. The parties will review from time to time, but at least twice a year adequate inventory levels and the associated commercial conditions.
J. Meritor will inform Distributor in writing on the anticipated delivery dates and possible delivery delays.
K. Distributor shall not sell any product to a third party as long as there is an amount overdue from that third party towards Meritor. Meritor shall inform the Distributor immediately about such situation, if it occurs and also when the restriction no longer applies.
N. Within 24 hours as of the discovery by Meritor of a quality issue, which might cause a production stop at the customer, Meritor will inform the Distributor in writing
Translation - Russian ЗАКЛЮЧАЕТСЯ ДОГОВОР О НИЖЕСЛЕДУЮЩЕМ
I. Назначение и территория
А. Согласно настоящему договору, Компания назначает Дистрибьютора эксклюзивным дистрибьютором на указанной Территории по отношению к Продукции.
Стороны соглашаются, что Компания обязуется осуществлять продажи напрямую наиболее крупным клиентом на данной Территории. Наиболее крупные клиенты указаны в Приложении V. Сделки с клиентами осуществляется либо непосредственно Компанией, либо Дистрибьютором за исключением периода передачи и периода, указанного в пункте С статьи V.
В. Если крупные клиенты представляют собой результат приобретения Дистрибьютором, надлежащим образом подтверждённого выдержками из документов, обменом корреспонденцией, отчётами с собраний и т.д., Компания обязуется выплатить за период 12 месяцев сумму, равную 2,25% чистой суммы, заплаченной клиентами за период 12 месяцев, согласно Периоду передачи, в качестве компенсации за усилия, приложенные Дистрибьютором с целью получить статус крупного клиента. Подобные выплаты должны осуществляться в течение 30 рабочих дней после проведения оплаты крупными клиентами Компании. Компенсация не предусмотрена в том случае, если существующий клиент-Дистрибьютор приобретается клиентом, относящимся к Компании.
II. Продукция и упаковка
А. Продукция, упоминаемая в настоящем Договоре, включает в себя всю существующую и будущую продукцию, которая производится и/или поставляется филиалом Арвин-Меритор Трэйлер в Европе, в виде определённых осей и подвесок, указанных в Приложении I далее (Продукция).
В. Компания оставляет за собой право расширять диапазон выпускаемой продукции, которая автоматически будет считаться неотъемлемой частью Продукции, указанной в Приложении I; Компания имеет эксклюзивное право исключать любой вид Продукции из перечня, указанного в настоящем Договоре с предоставлением Дистрибьютору как минимум 30-дневного уведомления о том, что распространение настоящей Продукции должно быть приостановлено на всём европейском рынке. Изымание товара из списка Продукции не отменяет существующие заказы Дистрибьютора, которые были ранее одобрены Компанией.
С. Упаковка должна осуществляться Компанией, согласно указанному месту доставки. В случае необходимости должна присутствовать особая упаковка, соответствующая указаниям Дистрибьютора, которая в свою очередь должна рассматриваться, как отдельная статья расходов, если того требует Дистрибьютор.
III. Условия продажи Дистрибьютору
Продажа Продукции Дистрибьютору, согласно настоящему Договору, должна осуществляться в соответствии с копией постоянных условий и обязательств продаж Компании, прикреплённой в Приложении III, которые имеют силу на момент подобных продаж (Условия продажи). В случае возникновения противоречия или несоответствия Условия продаж и положений настоящего Договора, Договор должен иметь первостепенную силу. Компания имеет право модернизировать и/или изменять Условия страхования по своему усмотрению. Страхование существующей продукции не должно испытать негативное влияние вследствие подобной модернизации или изменений.
IV. Рекламные материалы
Компания предоставит Дистрибьютору полную информацию касательно различных товаров, представленных в рамках Продукции, а также снабдит его необходимым количеством рекламного, описательного материала и материала по увеличению продаж, каталогов, буклетов, спецификаций и т.д., касающихся Продукции. Вся рекламная деятельность, осуществляемая Дистрибьютором, как за его собственный счёт, так и согласно определённым соглашениям с Компанией, а также все предоставления прав и инструкций филиалам или представителям Дистрибьютора, использование которых, предположительно, связано с продажей Продукции, должны быть представлены Дистрибьютором Компании на оценку, обсуждение и согласование. Дистрибьютор должен получить письменное соглашение от Компании перед началом осуществления любой рекламной деятельности, относящейся к продаже Продукции.
V. Обязательства Дистрибьютора
А. Дистрибьютор обязуется активно и энергично способствовать увеличению продаж Продукции на указанной Территории и прилагать всевозможные усилия с целью развития большого, широкого спроса и рынка сбыта Продукции на указанной Территории.
В. Предполагается, что Дистрибьютор, если это является возможным, в случае требования Компании, должен осуществлять быстрые поставки осей и/или запасных частей со своего местного склада с целью удовлетворения особых и срочных потребностей Компании или клиента, включая крупных клиентов, если на то поступает письменная просьба от Компании. В случае доставки Дистрибьютором товара по требованию Компании, Дистрибьютор должен отправить Компании счёт-фактуру с текущей закупочной ценой с учётом 5% затрат на транспортировку в случае необходимости.
С. В соответствии с предварительным согласованием Компании, Дистрибьютор имеет право продавать оси и/или части Крупным Клиентам (как показано в Приложении V) на указанной Территории.
D. Запасные части также могут быть проданы или доставлены Компанией как напрямую, так и через другие каналы.
Е. Дистрибьютор обязуется прибегать к услугам одного или более компетентных специалистов по сбыту, которые должны обладать квалификацией как для проведения особых продаж, так и решения технических проблем на указанной Территории, а также своевременно информировать Компанию касательно технических требований клиентов в связи с продажей Продукции. Специалисты по сбыту должны понимать конечные потребности клиента и обеспечивать надлежащую техническую поддержку этим клиентам. Дистрибьютор обязуется обеспечивать дальнейшую эффективную и своевременную поддержку клиентам касательно Продукции.
F. Компания должна приглашать как минимум раз в год перед каждым запуском нового продукта специалиста по страхованию и специалистов по сбыту, чтобы ввести их в курс всех технических изменений. Расходы, связанные с подобной модернизацией, относятся за счёт Компании.
G. Дистрибьютор через своего специалиста по страхованию несёт ответственность за следующие услуги, предоставляемые всем клиентам на указанной Территории:
- анализ страховых исков
- проведение расследования в сфере технических претензий
- клиентская поддержка
- учреждение сети центров сервисного обслуживания..
Н. Дистрибьютор обязуется продавать только качественную продукцию и информировать Компанию заранее о появлении каких-либо новых подобных продуктов. Дистрибьютор обязуется информировать о каких-либо новых эквивалентных продуктах, которые он намеривается добавить к своему ассортименту. Дистрибьютор обязуется продавать только оригинальные запасные части Компании для Продукции. Дистрибьютор обязуется не продавать какие-либо товары, конкурирующие с Продукцией.
I. Дистрибьютор обязуется учреждать и поддерживать за счёт Дистрибьютора состояние офиса, телефонной связи и других надлежащих услуг, все из которых должны удовлетворять потребностям Компании.
G. Дистрибьютор обязуется предоставить Компании приблизительный прогноз объёма продаж продукции на ближайшие 12 месяцев, исходя из возможностей Дистрибьютора.
Н. Дистрибьютор обязуется поддерживать на указанной Территории разумный запас запасных и взаимозаменяемых частей для проданной Продукции. Компания обязуется предоставить адекватную информацию касательно сервисного обслуживания Продукции и делать всё возможное, чтобы поставлять части и исполнять заказы с максимально возможной скоростью.
I. Дистрибьютор должен иметь надлежащее количество товара, чтобы обслуживать рынок на указанной Территории. Стороны обязуются оценивать время от времени, но не реже 2 раз в год, адекватность уровня инвентаризации и соответствующих торговых условий.
J. Компания обязуется информировать Дистрибьютора в письменном виде о предположительных датах поставок и возможных задержках доставки продукции.
К. Дистрибьютор обязуется не продавать какой-либо продукт третьей стороне за исключением случаев неуплаты третьей стороной какой-либо суммы по отношению к Компании. Компания обязуется информировать Дистрибьютора незамедлительно о возникновении подобной ситуации, если она происходит, а также в случае, если ограничения перестают действовать.
N. В течение 24 часов после обнаружения Компанией недостатка качества, который может привести к прекращению производства у клиента, Компания обязуется проинформировать Дистрибьютора об этом в письменной форме.

1. “Confidential Information” means any and all financial, commercial, business and technical information which is received by the Receiving Party from ArvinMeritor, regardless of the manner or medium of disclosure and which is marked as confidential or proprietary.
2. b. is independently developed by the Receiving Party using employees or representatives who have not had access to the Confidential Information; or
c. becomes known to the Receiving Party from a source other than ArvinMeritor without breach of this Statement by the Receiving Party.
4. The Receiving Party is only allowed to make copies of Confidential Information with ArvinMeritor’s written permission. Any copies of the Confidential Information made by the Receiving Party shall reproduce the confidentiality or proprietary markings and any other legends contained thereon.
5. The Receiving Party is aware and accepts that i) ArvinMeritor only warrants that the Confidential Information it provides to the Receiving Party is the same in form and content as that used for its own purposes and that to the best of its knowledge and belief it has the right and power to disclose such Confidential Information, and that ii) ArvinMeritor does not warrant that the Confidential Information it discloses hereunder will meet the requirements of the Receiving Party or that such Confidential Information when combined with other information or when used in a particular manner by recipient will be sufficient or suitable for the Receiving Party’s purposes, and that iii) ArvinMeritor assumes no responsibility or liability whatever under this Statement for any use of Confidential Information by the Receiving Party.
6. All notices hereunder shall be given by letter to the contact person and address first written above or at such other address as the Receiving Party may designate in writing to ArvinMeritor.

3. Выше упомянутые ограничения по использованию и разглашению не должны относиться к такой Конфиденциальной информации, которая, как Принимающая сторона может подтвердить письменным доказательством:
а. относится к общественной сфере или находится во владении Принимающей стороне без ограничений на момент получения квитанции от ArvinMeritor; или
b. независимым образом используется Принимающей стороной в лице сотрудников или представителей, которые не имеют доступа к Конфиденциальной информации; или
с. становится известной Принимающей стороне из источника, отличного от ArvinMeritor, без нарушения настоящего Соглашения Принимающей стороной.
4. Только Принимающая сторона имеет право делать копии Конфиденциальной информации с письменного разрешения ArvinMeritor. Любые копии Конфиденциальной информации, сделанные Принимающей стороной, должны иметь отметки о конфиденциальности или праве на владение, или любые иные маркировки, указанные далее.
5. Принимающая сторона осознает и принимает, что i) только ArvinMeritor гарантирует, что Конфиденциальная информация, которую она предоставляет Принимающей стороне, совпадает по форме и содержанию с той, которая используется для её собственных целей, и что, исходя из своих знаний и представлений, она имеет право и полномочия разглашать подобную Конфиденциальную информацию, и что ii) ArvinMeritor не гарантирует, что Конфиденциальная информация, которую она разглашает, согласно настоящему Соглашению, будет соответствовать требованиям Принимающей стороны, или что подобная Конфиденциальная информация, совместно с другой информацией, или при использовании определённым образом принимающей стороной, будет достаточной или подходящей для целей Принимающей стороны, и что iii) ArvinMeritor не берёт на себя никакой ответственности или финансовых обязательств, предусмотренных настоящим Соглашением по использованию Конфиденциальной информации Принимающей стороной.

Active traders of other financial instruments like, stock and futures face substantial reduction of their gross profits going to commissions, exchange fees, and data/chart feeds. Usually, in FOREX there are no commission fees. In FOREX what you see is what you get. In the Forex market, costs are further reduced by the efficiencies created by a purely electronic marketplace that allows clients to deal directly with the dealer, that can be a physical person or automated trading systems which significantly increase the speed of operations. Because the Forex market offers round-the-clock liquidity, traders receive tight; competitive spreads both for intra-day and night trading. Unlikely, stock and derivatives traders, who can be more vulnerable to liquidity risk and typically, receive wider trading spreads, especially during afterhours trading.
Here below, please note the elements composing the Forex trading.
The currencies pairs
As mentioned earlier, Forex is traded in currency pairs. The currency pair consists of two currencies that make up an Exchange Rate usually known as “quote”. When, one currency is bought by a trader, the other is automatically sold, and vice versa. The Exchange Rate is the value of one currency expressed in terms of another. For example, if EUR/USD is 1.5000, 1 Euro is worth US$1.5000.
The Base Currency is the first currency in the pair. The Quote Currency is the second currency in the pair. You will always see the USD quoted first with few exceptions such as Pounds Sterling, Euro, Australia Dollar and New Zealand Dollar.
The majority of all currencies are traded against the US Dollar. The four next most traded currencies are the Euro (EUR), Japanese Yen (JPY), Pound Sterling (GBP) and Swiss Franc (CHF). These four currencies traded against the US Dollar make up the majority of the market and are called major currencies.

The quotes
When you see any FOREX quote you will actually see two numbers. The first number is called the Bid and the second number is called the Ask. If we use the EUR/USD as an example you might see 1.4950/1.4952 - the first number 1.4950 is the bid price and is the price traders are prepared to sell Euros against the USD Dollar. The second number 1.4952 is the Ask price and is the price traders are prepared to buy the Euro against the US Dollar. You will also notice that there is a difference between the Bid and the Ask price and that is called the spread. For the four major currencies the spread normally varies from as low as half pip to a maximum of several pips depending on the market conditions. The pip will be explained later.
The pip and its value
In Forex trading, we monitor the changes of the rate between two currencies, in pips, which are the smallest change in the currency price, and that could be in the second, fourth, or, even fifth, decimal place of the price, depending on the currency pair. Thus, a pip is the last decimal place of a quotation. Half-pips are a more recent development offering to traders even tighter spreads and more competitive and transparent accuracy in pricing. These price changes, expressed in the second up to the fifth decimal point, really, represent just fractions of a cent. For example, when a currency pair like the GBP/USD, moves 100 pips, from 1.6500 to 1.6600, it just moves only $0.01 of the exchange rate. This is why currency transactions must be carried out in big amounts, allowing these minute price movements to be translated into decent profits when magnified through the use of leverage. When you deal with a large amount like $100.000, small changes in the price of the currency can result in significant profits or, possibly, losses. When trading foreign exchange, the pip and its value will measure our profit or loss.
As each currency has its own value it is necessary to calculate the value of a pip for that particular currency in a particular currency pair. We also need a currency to be used as “point of reference”, so we will accept that we convert everything to US Dollars.
In currencies where the US Dollar is quoted as a Base currency (first), the calculation would be as follows:
USD/JPY: Example, JPY rate of 90.01 (notice that 1 JPY standard contract amounts to 100JPY therefore all the JPY pairs only go to two decimal places, most of the other currencies have four decimal places), 1 pip would be 0.01, so, to calculate the pip value in dollars (0.01 divided by the exchange rate = pip value) so, 0.01/90.01=0.000111
USD/CHF: Example, CHF rate of 1.0230, 1 pip would be 0.0001 (0.0001 divided by exchange rate = pip value) so 0.0001/1.0230 = 0.0000977
USD/CAD: Example CAD rate of 1.0647, 1 pip would be 0.0001 (0.0001 divided by exchange rate = pip value) so 0.0001/1.0647 = 0.0000939
In the case where the US Dollar is a quote currency (second) and we want to get back to the US Dollar value we have to add one more step – i.e. multiply it by the exchange rate of the account currency:
EUR/USD: (0.0001 divided by exchange rate (= pip value) and multiplied by exchange rate of account currency, so (0.0001/1.4950)*1.4950 = EUR 0.0001
GBP/USD: (0.0001 divided by exchange rate (= pip value) and multiplied by exchange rate of account currency so (0.0001/1.6340)*1.6340= USD 0.0001
It is obvious that the value of one pip depends on two variables; the amount of currency and the currency pair/exchange rate.
As mentioned earlier, when trading Forex, the pip and its value will measure our profit or loss. The Forex is traditionally traded in lots also called contracts. The standard size for a lot/contract is $100,000. Nowadays Forex dealers offer to investors the possibility to trade decimals of one lot (0.1, 0.2, up to 0.9). As we mentioned previously, currencies’ price changes are measured in pips, which is the smallest increment of that currency. To take advantage of these tiny changes it is necessary to trade large amounts of a currency in order to obtain any substantial profit or loss.
In Forex, in order to trade amounts larger than the ones deposited in our account, we use leverage. We shall cover leverage later but for the time being let's assume that we will be trading $100,000 lot size.
We will now present some examples to see how the amount of a trade affects the pip value per contract.
In cases where the US Dollar is quoted first:
For USD/JPY at an exchange rate of 90.01 the value per pip is (0.01/90.01) X $100.000 = $11.11 per pip (rounded)
For USD/CHF at an exchange rate of 1.0230 the value per pip is (0.0001/1.0230) X $100.000 = $9.78 per pip (rounded)
In cases where the US Dollar is not quoted first you need to convert back to dollars using an additional calculation, i.e. multiplying by the exchange rate:
For EUR/USD at an exchange rate of 1.4950 the value per pip is (0.0001/1.4950)*EUR 100.000*1.4950 = USD 10.00 per pip
For GBP/USD at an exchange rate of 1.6340 the value per pip is (0.0001/1,6340)*GBP 100.000 * 1.6340 = $10 per pip.
We should remember that as the market moves so will the pip value depending on what currency you trade.
So now that investors know how to calculate the value of one pip per currency pair/contract size let’s examine at how you work out your P&L (profit or loss).

Source text - English On the Restructuring Date and with effect from the Restructuring Time:
(a) the Original Facility Agreement shall be amended and restated in its entirety in the form set out in Schedule 3 (Amended Faciiity Agreement);
(b) the Parent shall assume all rights and obligations of the New Supplemental Guarantor under the Amended Facility Agreement;
(c) each other Party shall assume all rights and obligations of that Party under the Amended Facility Agreement;
(d) each and every reference in a Finance Document to:
(I) the "Finance Documents", or a "Finance Document" shall be construed as including a reference to this Deed and the Amended Facility Agreement; and
(II) the Original Facility Agreement shall be construed as a reference to this Deed and the Amended Facility Agreement as a single document.
5 REPRESENTATIONS AND WARRANTIES
5.1 Each Obligor (as defined in the Amended Facility Agreement) which is a party to this Deed makes (on behalf of itself and the other Obligors (as defined in the
Amended Facility Agreement)) the representations and warranties set out in clause 13 (Representations) of the Amended Facility Agreement by reference to the facts and circumstances then existing:
(a) on the date of this Deed; and
(b) on the Restructuring Date,
but as if references in clause 13 (Representations) of the Amended Facility Agreement to "the Finance Documents" include this Deed and, on the Restructuring Date, the Amended Facility Agreement.
5.2 Each of the Obligors acknowledges that the Agent has entered into this Deed in reliance upon the representations and warranties contained in this Clause 5 (Representations and Warranties).
6 CONFIRMATIONS
6.1 Each Obligor agrees to the amendments of the Original Facility Agreement as contemplated by this Deed.
6.2 Without prejudice to the rights of the Agent which have arisen on or before the Restructuring Date each Obligor confirms that, on and after the Restructuring Date:
(a) the Original Facility Agreement shall, save as amended and restated by this Deed, and the other Finance Documents, remain in full force and effect;
(b) the Security Documents to which it is a party will continue to secure all liabilities which are expressed to be secured by them following the amendments to the Original Facility Agreement contemplated by this Deed and that the Security granted pursuant to the Security Documents remains valid and is continuing Security for all such liabilities; and
(c) its guarantee and indemnity under clause 12 (Guarantee and Indemnity) of the Original Facility Agreement (as applicable) shall extend to the obligations of the Obligors under the Finance Documents following the amendments to the Original Facility Agreement contemplated by this Deed.
6.3 Save as expressly provided in this Deed, nothing in this Deed shall constitute or be construed as a waiver or compromise of any term or condition of the Finance Documents or of the rights of the Agent or any Lender in relation to the Finance Documents.

но как если бы ссылки в пункте 13 («Заверения») Измененного кредитного договора на «Финансовые документы» включали настоящее Соглашение и, на Дату реструктуризации, Измененный кредитный договор.
5.2 Каждое Обязанное лицо признает, что Агент подписал настоящее Соглашение, полагаясь на заверения и гарантии, содержащиеся в настоящем пункте 5 («Заверения и гарантии»).
6 ПОДТВЕРЖДЕНИЯ
6.1 Каждое Обязанное лицо соглашается с поправками, вносимыми в Первоначальный кредитный договор, предусмотренными настоящим Соглашением.
6.2 Без ущерба для прав Агента, возникших на Дату реструктуризации или до нее, каждое Обязанное лицо подтверждает, что на Дату реструктуризации и после нее:
(a) Первоначальный кредитный договор, за исключением изменений и дополнений, предусмотренных настоящим Соглашением, и другие Финансовые документы остаются в полной мере действительными;
(b) Документы по обеспечению, стороной которых оно является, будут продолжать обеспечивать все обязательства, которые должны быть обеспечены ими после внесения изменений в Первоначальный кредитный договор, предусмотренных настоящим Соглашением, и что Обеспечение, предоставленное в соответствии с Документами по обеспечению, остается действительным и бессрочным Обеспечением по всем таким обязательствам; и
(c) предусмотренные для него гарантии и возмещение ущерба по пункту 12 («Гарантии и возмещение убытков») Первоначального кредитного договора (в зависимости от обстоятельств) распространяются на обязательства Обязанных лиц по Финансовым документам после внесения изменений в Первоначальный кредитный договор, предусмотренных настоящим Соглашением.
6.3 За исключением случаев, прямо предусмотренных в настоящем Соглашении, ничто в настоящем Соглашении не должно представлять собой или толковаться как отказ или компромиссная уступка в отношении любого условия Финансовых документов или прав Агента или любого Кредитора в отношении Финансовых документов.
