Source text - French Section 2.2 Résiliation
Le Partenaire s’engage à appliquer son système interne de suivi de satisfaction des clients, dénommé « Call Back » tel que décrit en annexe 4 auprès de l’ensemble des Clients Finaux.
Le Partenaire s’engage à communiquer chaque mois à la demande de XXXXX, l’ensemble des données mensuelles issues du Call Back, portant sur les Clients Finaux, dans un délai de cinq (5) jours ouvrés à compter de leur réception par le Partenaire.
Si, au cours de deux (2) mois sur une période de 12 mois consécutifs, le résultat mensuel du Call Back portant sur les Clients Finaux fait ressortir une moyenne inférieure ou égale à 2 (le « Fait Générateur »), les Parties se réuniront, au plus tard dans un délai de quinze (15) jours à compter de la demande de convocation formulée par XXXXX, pour réviser à la baisse l’Engagement de Chiffre d'Affaires Annuel pour l’année en cours et les années suivantes par un montant proposé par XXXXX, laquelle révision à la baisse ne pourra être inférieure à 10% de l’Engagement de Chiffre d'Affaires Annuel pour l’année où le Fait Générateur est intervenu ainsi que pour les années suivantes.
Dans l’hypothèse où :
(i) le Partenaire refuse, pour un motif non-légitime, la révision des Engagements de Chiffre d'Affaires Annuel conformément au paragraphe ci-dessus, ou
(ii) deux révisions de l’Engagement de Chiffre d'Affaires Annuel ont déjà eu lieu entre les Parties dans une année donnée en application du présent article 2.2, et la survenance d’un Fait Générateur est constatée par XXXXX pour la troisième fois durant la même année, ou
(iii) dans une année donnée, trois (3) Clients Finaux résilient tout ou partie de leur(s) contrat(s) pour un manquement par le Partenaire à ses obligations contractuelles, sans que le Partenaire conteste cette résiliation devant les juridictions compétentes,
XXXXX pourra résilier, de plein droit, le présent contrat sous réserve d’une notification préalable de quatre vingt dix (90) jours sauf dans l’hypothèse où les faits décrits ci-dessus devaient intervenir dans les trois (3) mois suivant la signature des présentes.
En cas de résiliation du présent contrat à son initiative dans les conditions du présent article 2.2, XXXXX sera dégagée de l’ensemble de ses obligations résultant du présent contrat, y compris celles, au titre de l’année en cours, et ce à compter de la date de résiliation étant entendu que l’Engagement de Chiffre d'Affaires Annuel pour l’année en cours sera calculé au prorata du temps passé jusqu’à la date de résiliation.
La faculté de résiliation prévue dans le présent article 2.2 pourra être mise en œuvre durant l’année 2006 étant toutefois entendu que dans l’hypothèse d’une notification de résiliation intervenant au cours de l’année 2006, ladite résiliation ne deviendra effective qu’à compter du 1er janvier 2007.
En tant que de besoin, les Parties confirment que la résiliation du présent contrat n’emporte pas résiliation de plein droit du Contrat Cadre de Sous-traitance ou des contrats spécifiques de sous-traitance.
Translation - English Section 2.2 Termination
Partner shall apply its in-house system to test customer satisfaction, entitled "call-back", as described in Annex 4, to all Final Customers.
Partner shall communicate each month at the request of XXXXX, all monthly data gathered through Call Back, concerning Final Customers, within five (5) working days following their receipt by Partner.
If during two (2) months over a continuing twelve (12) month period, the monthly results of Call Back in regards Final Customers show an average below or equal to 2 ("Generating Act"), the Parties shall meet, within fifteen (15) days following the request for a meeting made by XXXXX, at the latest, in order to revise downwards the Annual Gross Income Undertaking for the given year and the following years to an amount proposed by XXXXX, which revision downwards shall not be less than 10% of the Annual Gross Income Undertaking for the year during which the Generating Act occurred as well as for the following years.
In the event that:
(i) Partner refuses, for a non-legitimate reason, the revision of the Annual Gross Income Undertaking described in the paragraph above, or
(ii) Two revisions of the Annual Gross Income Undertaking have already occurred as between the Parties during a given year in accordance with this Section 2.2, and the occurrence of a Generating Act is noticed by XXXXX for a third time during that same year, or
(iii) During one given year, three (3) Final Customers terminate all or part of their contract(s) by reason of a breach by Partner of its contractual obligations, and Partner does not challenge such termination before the relevant jurisdictions.
XXXXX may terminate this contract as of right provided it gives ninety (90) days prior notice save in the event that the facts described above occur three (3) months following the signature hereof.
In the event XXXXX terminates this contract on its own initiative in accordance with Section 2.2, it shall be released from all of its obligations arising hereunder, including those arising for the relevant year, effective from the date of termination, it being understood that the Annual Gross Income Undertaking amount for the relevant year shall be in proportion to the part of the year elapsed until the date of termination.
The right of termination provided under Section 2.2 may be utilized during the year 2006, it being nonetheless agreed that in the event a termination notice is given during that year, termination will only become effective starting January 1st 2007.
For purposes of clarification, the Parties confirm that termination of this contract shall not result in the termination as of right of the Framework Subcontracting Agreement or the specific subcontracting contracts.
English to French: arbitration
Source text - English On 21st February, in the case West Tankers Inc v. RAS RiunioneAdriatica di Sicurta SpA & Ors ([2007] UKHL 4), the House of Lords decided (as it is obliged to do under Art.234 of the Treaty of Rome) to refer a key question to the European Court of Justice (ECJ) for decision. The ECJ's answer may have a substantial, and potentially serious effect, on arbitrations in EU arbitration centres such as London. The question, abbreviated, is: "may a court of a Member State grant an anti-suit injunction restraining a party from bringing proceedings in a court of another Member State where the parties have previously agreed to arbitrate their disputes".
Traditionally, in such circumstances, the court in the country where the arbitration was to take place (known as the arbitral seat) would issue an anti-suit injunction to restrain court proceedings elsewhere in order for the disputes to be resolved by arbitration. ECJ case law prohibits anti-suit injunctions in respect of litigation in other EU courts, but it has always been assumed that this did not apply to arbitration proceedings because EC Regulation 44/2001 (the Regulation) specifically excludes arbitration.
Although it can be argued that any court order in any civil or commercial proceedings conflicts with the Regulation, it is notable that the New York Convention 1958 (the Convention), to which all EU Member States are party, obliges (with limited exceptions) courts to stay legal proceedings initiated in defiance of an arbitration agreement.
While the House of Lords is obliged to refer to the ECJ, the question of whether a court can grant an anti-suit injunction in support of arbitration, their Lordships have made it robustly clear that the answer to the question must be "yes", thereby both continuing the long-standing status quo and remaining compliant with Convention obligations. The argument for a "no" answer was described by Lord Hoffman, quoting a distinguished German academic, as 'divorced from reality' since to extend the application of the Regulation to orders made in proceedings to which the Regulation did not apply went far beyond the case law and ignored the practical realities of international commerce.

RAS RiunioneAdriatica di Sicurta SpA & Ors ([2007] UKHL 4), la House of Lords a demandé à la Cour de justice des Communautés européennes (CJCE) par la voie du renvoi préjudiciel (ainsi que l'exige l'art. 234 du Traité de Rome) de se prononcer sur une question clé. La réponse de la CJCE est susceptible d'avoir des retombées considérables et potentiellement graves sur les procédures d'arbitrage se déroulant dans les centres d'arbitrage de l'Union européenne tels que Londres. La jurisprudence de la CJCE interdit de prononcer une injonction concernant des procédures judiciaires engagées devant des tribunaux d'autres Etats membres, mais il a toujours été entendu que cela ne visait pas les procédures arbitrales car le Règlement de l'UE 44/2001 (le Règlement) exclut de manière explicite l'arbitrage.
Bien que l'on puisse prétendre que toute ordonnance d'un tribunal, qu'il s'agisse d'une procédure civile ou commerciale, contredit le Règlement, il est notable que la Convention de New-York de 1958 (la Convention), à laquelle ont adhéré l'ensemble des Etats membres de l'UE, oblige (sous réserve de certaines exceptions limitées) les tribunaux à suspendre toute procédure judiciaire introduite au mépris d'une convention d'arbitrage applicable.
Bien que la House of Lords soit obligée de soumettre à la CJCE la question préjudicielle de savoir si un tribunal peut prononcer une injonction "anti-suit" en faveur d'un arbitrage, Messieurs les Juges ont exprimé clairement et avec force que la réponse à la question ne peut être que positive, maintenant ainsi le statut quo existant de longue date et assurant le respect continu des obligations découlant de la Convention. L'argument en faveur d'une réponse négative a été décrit par Lord Hoffmann, citant un éminent universitaire allemand, comme étant "à l'opposé de la réalité", car étendre le champ d'application du Règlement à des ordonnances judiciaires qui ne tombent pas sous le coup d'application du Règlement va bien au-delà de la jurisprudence et ignore les réalités pratiques du commerce international.
