Source text - Russian 7.1. Ни Билайн, ни его субподрядчики, участвующие в предоставлении Услуг, не предоставляют никаких других гарантий, выраженных или подразумеваемых, в том числе, гарантий по использованию Услуг в конкретных целях, за исключением гарантий, прямо указанных в Договоре.
7.2. Ни одна из Сторон ни при каких обстоятельствах не несет никакой ответственности перед другой Стороной за остановку производства, утраченный бизнес, потерю данных, упущенную выгоду или любые другие косвенные потери или их последствия, в том числе возникшие в результате перерывов в предоставлении Услуг, вне зависимости от того, могла или нет Сторона предвидеть возможность таких потерь в конкретной ситуации. Реальный ущерб, нанесенный Билайн, подлежит взысканию в полной сумме сверх сумм штрафных неустоек, предусмотренных Договором.
7.3. Гостиница гарантирует, что на момент вступления в силу Договора Гостиница не является оператором связи, т.е. не имеет лицензии на предоставление услуг связи. Гостиница обязуется незамедлительно письменно уведомить Билайн о получении Гостиницей такой лицензии. В этом случае Стороны согласуют и заключат Договор о межсетевом взаимодействии.
7.5. Ответственность Билайн за реальный доказанный суммарный ущерб ни при каких обстоятельствах не будет превышать сумму, эквивалентную 1 000.00 (одной тысяче) долларов США за один календарный год, рассчитанную по официальному курсу доллара США к рублю Центрального Банка РФ на дату признания Билайн или присуждения ущерба.
Статья 8. ОБСТОЯТЕЛЬСТВА НЕПРЕОДОЛИМОЙ СИЛЫ.
8.1. Стороны не несут ответственности за задержки в исполнении или неисполнение обязательств по Договору, если задержки или неисполнение произошли вследствие обстоятельств непреодолимой силы. В число таких обстоятельств входят: войны, военные действия, мятежи, саботаж, забастовки, пожары, взрывы, наводнения или иные стихийные бедствия, издание нормативных актов запретительного характера государственными органами Российской Федерации либо субъектов Российской Федерации, или органами местного самоуправления.
8.2. Немедленно после получения информации о наступлении любых обстоятельств, задерживающих исполнение или иным образом препятствующих исполнению Договора, Стороны письменно уведомляют об этом друг друга.
8.3. Стороны не несут ответственности за любой ущерб, включая убытки, а также расходы, связанные с претензиями или требованиями третьих лиц, которые могут возникнуть в результате обстоятельств непреодолимой силы.
8.4. Если обстоятельство непреодолимой силы вызывает существенное нарушение или неисполнение обязательств по Договору, длящееся более 180 (ста восьмидесяти) календарных дней, каждая Сторона имеет право прекратить действие Договора после подачи другой Стороне предварительного, за 30 (тридцать) календарных дней письменного уведомления о своем намерении прекратить действие Договора.
Translation - English 7.1. Neither Beeline nor its subcontractors participating in the provision of Services shall make any warranties, express or implied, including warranties relating to fitness of the Services for a particular purpose, other than the warranties expressly stated in the Contract.
7.2. Under no circumstances shall either Party bear any liability to the other Party for suspension of production, loss of business, loss of data, lost profit, or any other indirect losses or consequences thereof, including those resulting from interruptions in the provision of Services, regardless of whether or not such losses were within the contemplation of the Party in any such event. The actual damages sustained by Beeline shall be recoverable in full over and above the penalties established by this Contract.
7.3. The Hotel guarantees that as of the effective date of this Contract the Hotel is not a telecommunications operator, i.e. it has no licenses for provision of telecommunications services. The Hotel shall immediately inform Beeline in writing if the Hotel obtains such a license. In that case the Parties shall agree upon and enter into an Interconnection Agreement.
7.5. In no event shall Beeline’s aggregate liability for actual confirmed damages exceed an amount equivalent to 1,000.00 (one thousand) US Dollars for one calendar year as calculated at the official USD-Ruble exchange rate of the Central Bank of the Russian Federation effective on the date when damages are acknowledged by Beeline or are awarded.
Article 8. FORCE MAJEURE.
8.1. The Parties shall not be liable for any delays in performance or nonperformance of their obligations under this Contract if such delays or nonperformance were due to circumstances beyond their reasonable control (force majeure), such as, for example, war, hostilities, riot, sabotage, strike, fire, explosion, flood or other natural calamities, or prohibitive regulations issued by government entities of the Russian Federation, the constituent subjects of the Russian Federation or local government bodies.
8.2. Immediately upon receipt of information related to any circumstances that delay or otherwise adversely affect the performance of this Contract, the Parties shall notify each other thereof in writing.
8.3. The Parties shall not be liable for any damages, including losses, or for expenses related to claims or demands of third parties which may arise as a result of force majeure events.
8.4. Should force majeure events cause a material breach or nonperformance of obligations under this Contract that last longer than one hundred eighty (180) calendar days, either Party shall be entitled to terminate this Contract by serving a prior written notice of its intention to terminate the Contract on the other Party 30 (thirty) calendar days in advance of termination.

Форму и параметры союза стороны определят до конца года. Впрочем, уже известно, что на начальном этапе сотрудничества поиск будет проводиться в Карелии и Мурманской области. «В этих регионах у нас есть ресурсы - «Карельский окатыш» в Карелии и Оленегорский ГОК в Мурманской области», - сообщил пресс-секретарь компании «Северсталь-ресурс» Сергей Локтионов.
«По цинку и меди рыночные перспективы на ближайшие два года вполне благоприятны, - считает аналитик ИК «Брокеркредитсервис» Вячеслав Жабин. - Автопром, особенно китайский растет, соответственно растет и спрос на оцинкованные корпуса».
Профильный металл Anglo American, платина, благодаря автопрому тоже на взлете: в Европе вводятся стандарты Евро-3, 4, 5. В этих стандартах - жесткие требования к эмиссии, поэтому будет расти площадь используемых в автомобилях катализаторов и, соответственно, увеличится расход платины на их покрытие.
«Anglo American интересна наша ресурсная база, ее можно взять задешево, - продолжает аналитик. - Кроме того, у них колоссальный опыт в разведке и разработке месторождений, огромные финансовые ресурсы».
В прошлом году обороты гиганта составили $34,4 млрд, EBITDA - $8,9 млрд, чистая прибыль - $7,2 млрд. Показатели «Северстали» смотрятся куда скромнее: в 2005-м ее обороты составили 143,1 млрд руб. (примерно $5 млрд), чистая прибыль - 34,3 млрд руб. ($1,2 млрд).
Немаловажным фактором крена «Северстали» в сторону цветных металлов стала и подготовка к IPO в Лондоне, которое компания Мордашова начала сразу после маневра с Arcelor. Мандат на организацию IPO «Северстали», объем которого предварительно оценивается в сумму до $1,5 млрд, получили 3 инвестиционных банка - Citigroup, Deutsche Bank и UBS.
«Северсталь» хочет показать потенциальным инвесторам, что она занимается не только черным прокатом, но и активно диверсифицирует свой бизнес», - подытоживает Жабин.

Russia’s top steelmaker Severstal and Anglo American, one of the world’s largest mining companies, announced plans yesterday to establish an alliance for the joint exploration of nickel, copper and zinc deposits in Russia. Experts believe that Severstal has made the right choice in selecting its partner.
The form and terms of this alliance will be set out by the end of the year. Nevertheless, it has already been disclosed that exploration work at the initial stage will be conducted in Karelia and Murmansk Region. “We have resources in these regions: the Karelsky Okatysh pelletizing plant in Karelia and the Olenegorsk Mining and Processing Plant in Murmansk Region,” said Sergei Loktionov, press secretary of Severstal-Resource.
“The market is expected to be favorable for zinc and copper over the next two years,” said Vyacheslav Zhabin, an analyst with the Brokercreditservice Investment Company. “The automobile industry is growing, especially in China, so the demand for zinced car bodies is also rising.”
The rally in the auto industry has led to the increased output of Anglo American’s metal profile products and platinum: Europe has introduced the Euro 3, 4 and 5 standards, which provide for stringent emission levels. Thus, the active surface of catalyzers will grow, and correspondingly, more platinum will be needed for their production.
“Anglo American is interested in our resource base, and it can be acquired inexpensively,” the analyst continues. “Apart from that they have extensive experience in the exploration and mining of deposits, and huge financial resources.”
Last year the industry giant reported revenues of $34.4 billion, EBITDA of $ 8.9 billion and net profit of $7.2 billion. Severstal’s figures were more modest – in 2005 it had revenues of 143.1 billion rubles (about $5 billion) and net profit of 34.3 billion rubles ($1.2 billion).
One of the important factors that led Severstal to turn to non-ferrous products was its preparation for an IPO in London that was launched immediately following the company’s maneuvers with Arcelor. Severstal hired three investment banks, Citigroup, Deutsche Bank and UBS, to run the float, which according to preliminary estimates is valued at $1.5 billion.
“Severstal intends to show to its potential investors that it is not only involved in rolled-steel products, but is also actively diversifying its business,” Zhabin concluded.

Source text - English Sibneft – Modest Reserve Growth Figure
On Friday, Sibneft released its reserve figures for 2003 audited to SPE (Society of Petroleum Engineers) and SEC (US Securities and Exchange Commission) standards. Oil and gas reserves under SPE standards were up 1.29% to 4.779 billion barrels of oil equivalent (boe). Approximately 97% of Sibneft’s reserves are oil. Under more the conservative SEC standards, reserves came in at 2.453 bln boe. According to SPE measures, Sibneft replaced 121% of its oil production in 2003. Under SEC standards, we estimate the company replaced a higher 209% of its crude output. The higher SEC replacement ratio was largely due to Sibneft gaining extensions on several field licences, in particular for the Sugmut, Zapadno-Noyabrskoe, and Sredne-Iturskoe fields, all of which were to expire between 2013 and 2014 but now have lives through 2050. While a nice replacement number, especially considering that Sibneft grew production by 19% during the year, Sibneft’s replacement ratio of 121% in SPE-defined reserves lags the 338% of YUKOS and 225% of LUKOIL during 2003. Thanks to its very rapid production growth over the last few years, Sibneft has reduced its reserve to production ratio by SPE standards to 20.8 years by SPE standards, short of LUKOIL’s 27.8 years but similar to YUKOS’ 20.1 years.
Numbering Capacity Resolved
Prime Minister Mikhail Fradkov last night signed the sub-legislation of the Law on Telecommunications on the ‘rules of allocation and usage of numbering capacity’. Government approval paves the way for VimpelCom to receive nearly 9 million new numbers on an already allocated prefix ‘906’. We expect the company to get its hands on the new numbers no later than August 1, removing the risks connected to an inability to sign new subscribers. This is very positive news for VimpelCom, and marks the end of the drawn out saga of the past 3-4 months. Also positive is that there is now legislation in place clarifying the process of new numbering capacity allocation. All our forecasts remain unchanged
SUN Interbrew
We upgrade SUN Interbrew B-shares from Hold to Buy with a new target price of USD12.7 (from USD9.3). One of our reasons for the upgrade is that recent share price weakness (SUN Interbrew B-shares have lost 24% since May 24) was not the result of any fundamental corporate developments. We have also increased our 2004 Russian beer market growth forecast from 5% to 7% based on total beer output for January-May 2004 of 17% year-on-year (y-o-y), while beer sales grew by about 15%.
Following a meeting with the company’s management, we have upgraded a number of parameters in our SUN Interbrew model (see page 2 for details). Important contributing factors to our upgrades are lower distribution and marketing costs, which boosted our 2004 EBITDA projection by 15%. Our meeting with the management confirmed our expectations that SUN Interbrew will be able to increase its Russian beer sales by about 30% y-o-y and boost its market share to 17-18% in 2004. Based on a new financial forecast that envisages 37% growth in revenue, 25% growth in EBTIDA and 43% growth in earnings y-o-y in 2004, SUN Interbrew presently trades at a 37% discount on its 2004E EV/EBITDA to emerging market (EM) peers. We continue to view SUN Interbrew’s business development strategy in Russia and Ukraine as sensible and highly competitive; more importantly, the company has proven that it is able to fully implement its strategy.
Moody’s Upgrades Four Russian Government-Related Issuers, Including Gazprom and RZD
Yesterday, following an upgrade of the Russian sovereign rating to Baa2, Moody’s announced the same uplift for a number of companies, including Gazprom, Russian Railways (RZD), Transneft, and Rosneft also by one notch to the same level of Baa2. The outlook for all ratings is stable. Moody’s noted that the action solely followed its methodology for government-related issuers (GRIs) and reflected only higher assessment of the sovereign creditworthiness. Thus the agency did not make any reference to changes in business or financial profiles of affected companies. All of them are now rated by Moody’s on par with Fitch’s rating for RZD, currently stands at BBB and is higher than any other Russian corporate issuer.
Strategy on equity market
The RTS index moved higher yesterday, mostly on Moody’s upgrade news. However, the market found it difficult to keep investors’ attention as there appeared to be no real buying momentum behind the index move and no clear direction. Following a large, quick drop, earlier in the month it seems that the market was trying to recover, however investors could not agree on the direction of the market.

Вопрос с нехваткой номерной емкости решен
Вчера премьер-министр Михаил Фрадков подписал подзаконный акт к закону РФ «О связи», регламентирующий порядок распределения и использования номерной емкости. Решение правительства дает возможность компании «ВымпелКом» получить в распоряжение почти 9 млн. новых телефонных номеров с ранее выделенным кодом 906. Мы предполагаем, что компания получит в распоряжение новые номера не позднее 1 августа и тем самым обезопасит себя от рисков, обусловленных отсутствием номерной емкости для подключения новых абонентов. Это является весьма положительным событием для компании «ВымпелКом» и означает решение проблемы, стоявшей перед компанией на протяжении последних 3-4 месяцев. Также позитивным является факт принятия документа, который регламентирует порядок распределения новой номерной емкости. Все наши прогнозы остаются без изменения.
Компания «САН Интербрю»
Принято решение о повышении рекомендации по акциям класса Б компании «САН Интербрю» с «держать» до «покупать» и установлении нового ценового ориентира 12,7 долл. США (прежний ориентир составлял 9,3 долл. США). Одной из причин повышения рекомендации обусловлено тем, что недавнее падение котировок (акции класса Б потеряли 24% стоимости с 24 мая) не связано с какими-либо изменениями фундаментальных показателей компании. Также повышен прогноз темпов роста российского рынка пива на 2004 г. (с 5% до 7%). Оценка основывается на увеличении объемов совокупного выпуска пива за период с января по май 2004 г. на 17% (по сравнению с аналогичным периодом 2003 г.). Рост объемов реализации пива за тот же период составил приблизительно 15%.
После проведения встречи с руководством компании мы повысили ряд параметров в нашей финансовой модели компании «САН Интербрю» (см. более подробную информацию на стр.2). Важным фактором при повышения оценки явилось снижение расходов по дистрибьюции и маркетингу, что увеличило прогнозируемый размер EBITDA на 2004 г на 15%. В ходе встречи с руководством «САН Интербрю» мы получили подтверждение наших прогнозов о возможности увеличения объема продаж пива приблизительно на 30% по сравнению с аналогичным периодом предыдущего года и увеличения доли рынка в 2004 г. до 17-18% . В соответствии с новым финансовым прогнозом на 2004 г. предусматривается увеличение доходов на 37%, EBITDA на 25% и прибыли на 43% по сравнению с предыдущим годом. Акции компании «САН Интербрю» в настоящее время котируются с дисконтом 37%, если сравнивать прогнозируемый коэффициент EV/EBITDA на 2004 г. с показателями аналогичных компаний на развивающихся рынках. Мы полагаем, что «САН Интербрю» реализует разумную и конкурентоспособную стратегию развития на рынках России и Украины, а что более важно, компания доказала, что она способна полностью выполнить намеченные планы.
Международное агентство «Мудиз» повысило рейтинг четырех российских эмитентов с государственным участием, включая «Газпром» и «РЖД»
Вчера вслед за повышением суверенного рейтинга России до Baa2 Агентство «Мудиз» объявило об аналогичном шаге в отношении ряда компаний, включая «Газпром», ОАО «Российские железные дороги» («РЖД»), «Транснефть» и «Роснефть». Рейтинг повышен всем компаниям на один пункт до уровня Baa2. Прогноз всех рейтингов – «стабильный». По заявлению «Мудиз», данное решение в точности соответствует ее методологии оценки эмитентов с государственным участием (GRI) и было обусловлено повышением суверенного рейтинга государства. Таким образом, агентство не связывает это решение с какими-либо изменениями в деловом или финансовом состоянии указанных компаний.
