Source text - English REPRESENTATIONS AND WARRANTIES: Licensor warrants and represents to Producer that: (a) Licensor has the right to grant all rights granted herein and the authorization of no other party is necessary for this Agreement to be fully valid and effective; (b) Producer’s use of the Property as permitted herein will not infringe on the rights of any third party, constitute a breach of any contract or duty of confidence or constitute a contempt of court; (c) Licensor is at least eighteen (18) years of age and is under no physical, mental or legal disability that would prevent Licensor from freely and lawfully entering into this Agreement; and (d) Licensor shall not, without the prior written consent of Producer, give any interview or make, give or release any statement for publication by any means (including, without limitation, via social networking or other Internet websites) relating to the Production, Producer and/or this Agreement.
INDEMNIFICATION: Licensor will indemnify and hold Producer and its related and affiliated entities, agents, employees, directors, officers, shareholders, representatives, assigns and licensees, harmless from and against any and all claims, demands, actions, liabilities, damages, costs and expenses (including legal expenses) arising out of any breach or alleged breach of any term of this Agreement.
ACKNOWLEDGEMENTS: Licensor hereby acknowledges and agrees that: (a) this Agreement may be freely assigned by Producer; (b) Licensor shall not be entitled for any reason to terminate or rescind this Agreement. In the event of any breach or alleged breach of this Agreement by Producer, Licensor’s sole recourse shall be a claim for monetary damages and in no event shall Licensor be able to seek any injunctive or equitable relief to stop the production or distribution of the Production; (c) in signing this Agreement, Licensor is not relying on any representations or other statements made by anyone that are not contained in this Agreement, including any representations about the nature of the Production, the process of filming, or the Production participants; and (d) nothing herein requires Producer to use the Property in or in connection with the Production or otherwise.
Translation - Russian ЗАЯВЛЕНИЯ И ГАРАНТИИ: Лицензиар заявляет и гарантирует Продюсеру, что (а) Лицензиар имеет право передавать все права, предоставляемые в рамках данного Соглашения, и для законного подписания и обеспечения полной юридической силы данного Соглашения не требуется разрешение каких-либо третьих лиц; (б) использование Продюсером Имущества, предусмотренного данным Соглашением, не нарушает права каких-либо третьих лиц, условия контактов, обязательства о неразглашении или распоряжения суда; (в) Лицензиар является лицом в возрасте восемнадцати (18) лет или старше и обладает полной право- и дееспособностью, позволяющей ему законно подписать данное Соглашение по собственному усмотрению и (г) Лицензиар не будет давать какие-либо интервью или предоставлять какие-либо заявления касательно Продукта, Продюсера и/или данного Соглашения для публикации, в том числе в социальных сетях и на других веб-сайтах, без предварительного письменного согласия Продюсера.
ОСВОБОЖДЕНИЕ ОТ ОТВЕТСТВЕННОСТИ: Лицензиар освобождает от ответственности Продюсера, его зависимые компании, агентов, сотрудников, директоров, служащих, акционеров, представителей и лицензиатов в случае каких-либо исков, требований, действий, обязанностей, убытков или расходов, включая юридические издержки, возникших вследствие какого-либо фактического или предполагаемого нарушения каких-либо условий данного Соглашения.
ОФИЦИАЛЬНЫЕ ЗАВЕРЕНИЯ: настоящим Лицензиар подтверждает и соглашается с тем, что (а) Продюсер может передавать права и обязанности, предусмотренные данным Соглашением, по собственному усмотрению; (б) Лицензиар не имеет права прекратить или аннулировать данное Соглашение по какой-либо причине. В случае какого-либо фактического или предполагаемого нарушения Продюсером данного Соглашения единственным средством судебной защиты Лицензиара является требование материального возмещения, и Лицензиар ни в коем случае не может требовать судебное предписание или другое средство судебной защиты по праву справедливости в целях остановки производства или распространения Продукта; (в) подписывая данное Соглашение, Лицензиар не действует на основании заявлений, не указанных в данном Соглашении, включая какие-либо заявления о характере Продукта, участниках его производства или процессе съемок, и (г) условия данного Соглашения не требуют от Продюсера использование Имущества для производства Продукта, в связи с его производством или в каких-либо других случаях.

Source text - Russian Между тем параллельно в Европе разгорелся долговой кризис, который имел все шансы перерасти во всеобъемлющий. Оказалось, что Греция годами фальсифицировала статистику, международные агентства понизили ее рейтинг до «мусорного», ситуация переросла в уличные беспорядки на фоне социального взрыва. Согласно эффекту снежного кома это поставило под угрозу само существование зоны евро.
Что касается России, то в первую очередь проблемы с европейскими долгами обрушили фондовый рынок, привели к заметным колебаниям курса рубля и снизили цены на столь важную для отечественной экономики нефть. С другой стороны, на этом влияние долгового кризиса в целом и закончилось, не затронув реальный сектор.
Более того, российский Минфин воспользовался этой ситуацией, чтобы впервые за 12 лет выйти на рынок внешних заимствований. Об этом шаге в правительстве подумывали еще с разгара кризиса, рассчитывая таким образом справиться с дефицитом бюджета. Однако позднее, после улучшения экономической ситуации этот вопрос столь остро уже не стоял и размещение российских долговых бумаг носило, скорее, символический и имиджевый характер. В итоге на фоне уверенности в устойчивости экономики РФ министерство разместило на выгодных условиях суверенные евробонды на 5,5 млрд долларов вместо изначально планируемых 17,8 млрд. Эксперты посчитали, что этот шаг поспособствовал улучшению отношения зарубежных инвесторов и к корпоративным российским ценным бумагам. К слову, усилия по снижению дефицита федерального бюджета и политика по удержанию внешнего долга на низком уровне, проводимая главой Минфина Алексеем Кудриным, были оценены на международном уровне; вице-премьера признали лучшим министром финансов года.
Translation - English Meanwhile, Europe experienced a debt crisis that had every chance to become a universal one. It turned out that Greece had falsified its statistics for years. International rating agencies decreased its level up to a “waste” one. The situation in the country developed into street riots with a social explosion in the background. In compliance with the snowball effect it jeopardized existence of the eurozone itself.
What concerns Russia, the European debts brought down the stock market in the first place, caused noticeable rouble rate fluctuations and decreased prices for oil that was so much crucial for the national economics. On the other hand, that was the only impact of the debt crisis which came to an end without affecting the real economy.
Moreover, the Russian Ministry of Finance took advantage of the situation to enter the market of external borrowings for the first time in the last 12 years. The government thought of such a step yet at the height of the crisis, expecting to cope with the budget deficit in that way. Later on, though, when the economic situation improved, the issue lost its acuteness, and placement of Russian debentures acquired rather symbolic character. As a result, being sure about stability of its economics, the Ministry of Finance of the Russian Federation profitably issued sovereign eurobonds worth $5.5 bln instead of $17.8 bln that were planned initially. Experts thought that the initiative improved foreign investors’ attitude towards Russian corporate securities. By the way, international community appreciated the efforts aimed at decreasing the federal budget deficit and the policy of maintaining external debt on the low level carried out by the head of the Ministry of Finance Aleksei Kudrin. The Vice-premier was recognized the year’s best minister of finance.

The unissued shares in the initial or increased capital of the Company shall, subject to any special resolution of the Company, first be offered to the members in proportion as nearly as possible to the nominal value of the shares held by them. Any such offer shall be opened for acceptance for a period of not less than 6 weeks from the dispatch thereof. Chipmaker Freescale has designed a USB charger that knows when to stop working.
At the Consumer Electronics Show in Las Vegas this week, Freescale will announce availability of Watt Saver, a system that eliminates the "vampire" power draw of wall chargers for mobile phones and other small electronics.
The first generation of Freescale's zero-draw technology is used in AT&T phone chargers.
Even when wall chargers are no longer plugged into phones, the chargers still draw a small trickle of electricity, ranging from less than a watt for efficient chargers to over 5 watts. The Freescale system can detect when a phone's battery is full or when it's been unplugged and cut the power draw to zero.

3.1. Для досягнення цілей за даним Договором Сторони зобов’язуються:
- обмінюватися наявною у їхньому розпорядженні інформацією з аспектів взаємного інтересу;
- проводити спільні зустрічі, взаємні консультації з тематики спільної діяльності;
- сприяти отримання замовлень з приводу спільної діяльності;
- виконувати спільні замовлення та замовлення один одного з предмету спільної діяльності на загальній або приоритетній та пільгових умовах.
3.2. Одержувати відповідно до вимог чинного законодавства необхідні документи та дозволи для здійснення спільної діяльності по зазначених у даному Договорі напрамках.
3.3. Спільна діяльність Сторін буде здійснюватися у відповідності до положень даного Договору, у порядку та на умовах, визначених даним Договором та чинними нормативними документами, що регламентують порядок провадження спільної діяльності.
3.4. Протягом терміну дії даного Договору до його положень можуть вноситися зміни, доповнення та уточнення в порядку, що визначається даним Договором.
Translation - English 3. MUTUAL OBLIGATIONS OF PARTIES
3.1. To achieve purposes of the present Agreement, Parties undertake:
- exchange available information of their mutual interest;
- organize joint meetings and consultations on cooperation issues;
- facilitate orders associated with cooperation activities;
- execute joint orders and orders of each other, associated with cooperation activities, on general, priority, or preferential terms.
3.2. Parties shall receive, in compliance with applicable law, documents and permissions needed for cooperation in the spheres provided in the present Agreement.
3.3. Parties’ cooperation shall be performed according to the provisions of the present Agreement, as well as the order and the terms provided in the present Agreement and applicable regulations on cooperation procedures.
3.4. The provisions of the present Agreement may be amended, added or specified within the effective period of the present Agreement, according to the procedure provided herein.
