Source text - English На I Международном форуме Life sciences Invest было презентовано лекарство нового поколения, способное помочь глухим людям в социальной адаптации.
«Верь сердцу» - это лекарство с человеческим лицом, и оно способно изменить взгляд на жизнь глухого человека в современном обществе.
Цель проекта «Верь сердцу» - социальная адаптация глухих людей, развитие и интеграция их наравне со слышащими в активную жизнь города через совместные творческие проекты. За счет выбранных современных коммуникативных инструментов, посредством которых будет осуществляться адаптация, идет фокусировка на молодое поколение людей в возрасте от 14 до 35 лет.
Проект «Верь сердцу» стартовал этой осенью со съемок первого в России музыкального клипа для глухих людей. Режиссером этой работы стал Владимир Шевельков, член Союза кинематографистов Российской Федерации.
Музыкальный клип на рэп композицию «Верь сердцу» - результат работы молодой команды. Написал песню 16-летний школьник, композитор Иван Боголюбов (April Junior), а исполнили ее голосом 25-летний Борис Петров (Boris Petrov) и жестами - 16-летняя ученица школы-интерната №1 для глухих детей Алина Кривошеева*.

Премьерный показ клипа «Верь сердцу» состоялся на гала-концерте к 85-летию Всероссийского общества глухих и в БКЗ «Октябрьский» на V Международном фестивале творчества «Звезда надежды», где Алина Кривошеева получила награду из рук Губернатора Санкт-Петребурга Георгия Полтавченко.
Второй шаг навтречу двух миров был сделан на площадке информационного агенства РИА Новости, где состоялась пресс-конференция – «Мир глухих в Петербурге: проблемы адаптации». Впервые в мероприятии подобного рода наравне со слышащими коллегами смогли принять участие глухие журналисты из специализированных изданий. Всю пресс-конференцию переводил профессиональный сурдопрередодчик.
Третьим шагом к взаимопониманию двух миров стал флеш-моб «Сто поющих рук». Уникальная акция захватила внимание жителей Петербурга прямо в центре города.
На площадке крупного торгового центра сто поющих рук глухих детей, старшеклассников школы-интерната №1, исполнили жестами рэп композицию «Верь сердцу». Жестовое пение ребят поддержали профессиональные танцоры. Современный хип-хоп танец гармонично интегрировал в жестовое пение, задав единый ритм биения сердец людей из двух миров – звука и тишины.*

«Социальный проект «Верь сердцу», действительно, лекарство ХХI века! Совместные творческие и яркие мероприятия - эффективный способ адаптации глухого человека. Проект уже помог многим глухим ребятам преодолеть коммуникативный барьер. Им помогли понять, что они талантливы и востребованы, что они наравне со слышащими могут успешно реализовать себя в современном обществе.
В 2012 году в рамках проекта «Верь сердцу» планируется: запустить фотопроект «Сердцем к сердцу» при участии известных медийный людей, провести грандиозный международный флеш-моб, попадающий в книгу рекордов Гиннеса, снять продолжение музыкальной истории, зародившейся в первом клипе, и при достаточном финансировании реализовать идею съемок первого полнометражного музыкального фильма адаптированного для людей с проблемами слуха.
Любая инициатива поддержки проекта «Верь сердцу» будет встречена открыто.

Trust Your Heart is a cure, which literary has a human face. It strives to transform the perception of the contemporary society towards the Deaf people.
The objective of the Trust Your Heart Project is the social adaptation of Deaf people, their development and integration into the active life of the city along with their hearing peers through joint creative projects. The modern communication tools selected to assist the process of adaptation place focus on people of younger generation, ages 14 to 35.
The project Trust Your Heart has been launched this fall with Russia's first music clip dedicated to the Deaf people. It was directed by Vladimir Shevelkov, a member of the Union of Cinematographers of the Russian Federation.
A music video accompanying the rap song Trust Your Heart is a team work of a 16-year-old Junior High School student-composer Ivan Bogolyubov (April Junior), a 25-year-old singer Boris Petrov and a 16-year-old student of the Boarding School № 1 for the Deaf children, a Russian Sign Language interpreter, Alina Krivosheeva. *

Trust Your Heart video was premiered at the All-Russian Society for the Deaf 85th Anniversary Gala Concert and at the Star of Hope Fifth International Art Festival held at the “Oktyabrsky” Concert hall, where Alina Krivosheeva received an award from the Governor of Saint-Petersburg, Georgiy Poltavchenko.
The second step toward the unity of two worlds was made at The World of the Deaf in Saint- Petersburg: The Problem of Adaptation Press Conference on the site of the news agency RIA Novosti. It was the first event of its kind where reporters with hearing impairments from the trade press media participated on a par with their hearing peers. A professional Russian Sign language interpreter was interpreting the entire press conference.
A Hundred Singing Hands support rally was the third step in the integration of the two worlds. A unique event right in the heart of the city captured attention of the residents of Saint Petersburg.
The rap song Trust Your Heart was gestured by one hundred “singing hands” of the Deaf children, the students of the Boarding School № 1, on the premises of a major shopping center.
Professional dancers supported the song gestured by youth. Modern hip-hop dance was in perfect harmony with the gestured song, promoting deep concord between people of the two different worlds - the world of sound and the world of silence.*

The Trust Your Heart social project is indeed the remedy of the 21st century! Creative and vibrant joint events are an effective way to mitigate social adaptation of the Deaf people. The project has already helped many children with hearing loss to overcome communication barriers. Participation in the project boosted their self-confidence and made them feel talented and valued. It assured their successful integration into the modern society along with their hearing peers.
It is projected that in 2012 the Trust Your Heart Project will further unfold with the Heart to Heart Photo Project expected to attract some top people in the media industry. A massive international flash mob worthy of been included in the Guinness book is planned to take place. A sequel to the music story, originated in the first music clip is expected to be shot. Finally, if financing of the project is sufficient, the first full-length music movie adapted for people with hearing problems will be filmed.

Source text - Russian Расчет NOPLAT начинается с определения доналоговой прибыли от основной деятельности (EBIT – Earnings Before Interest & Tax), которую компания получила бы, не имей она заемных средств. Если бы компании не оплатили проценты по заемным средствам, прибыль до налогообложения была бы выше на величину этих самых процентов, которые в нашем примере включаются в себестоимость. Из-за этого возникает необходимость в налоговой корректировке (tax adjustment). На этом этапе более крупная компания по-прежнему кажется более финансово привлекательной.
Определение величины инвестированного капитала производится по анализу баланса. Она представляет собой средства акционеров плюс все процентные обязательства. Надо отметить, что кредиторская задолженность в инвестированный капитал не входит, поскольку проценты на нее не начисляются, а краткосрочные и долгосрочные займы – входят.
Расчет средневзвешенной стоимости капитала также осуществляется исходя из структуры пассивного баланса. В нашей модели задействованы три формы капитала, две из которых процентные, а также резервы и капитал. Процентные обязательства складываются из краткосрочных кредитов-займов и долгосрочных обязательств. Предприятию «А» долгосрочные обязательства обходятся в X%, а краткосрочные в Y%. Translation - English The calculation of Net Operating Profit Less Adjusted Tax (NOPLAT) begins with a computation of the Earnings Before Interest & Tax (EBIT) that a company would get, if it did not have interest-bearing liabilities. Profit Before Tax (PBT) could be this much higher, if the companies did not pay interest, which in our case is included in costs value. That explains why a tax adjustment is required. At this stage, a larger company would still have a better financial outlook.
Invested capital value is derived from the Balance Sheet data by summing up the values of the share capital and interest-bearing liabilities. It should be noted, that short- and long-term liabilities are included in the Invested capital, whereas accounts payable, which are interest-free, are not.
The evaluation of Weighted Average Capital Cost (WACC) is also based on a Balance Sheet liabilities analysis. Our model involves three groups of liabilities: first - is reserves and share capital, and second and third are two types of interest-bearing liabilities, comprising short- and long-term liabilities. Company A pays X percent for the utilization of long-term liabilities and Y percent for short-term borrowings. Because of the large size, Company B would pay less for long-term borrowings, but due to the business specifics, it only needs short-term advances.
The cost of Net Worth (CC/OF), i.e. the sum of reserves and share capital values, is subject to the current market situation and is assumed at Z percent for both companies. Why is the cost of share capital so important in our case? Any investor at any given time has several alternative ways of investing funds. They differ by the rate of return and the risk exposure level. Funds can be deposited into a bank savings account, lent to another enterprise or invested into real estate.

Сравнительный подход
Подход к оценке с точки зрения сравнения продаж основывается на прямом сравнении оцениваемого объекта с другими аналогичными объектами, которые были проданы или предложены на продажу. Рыночная стоимость объекта определяется ценой, которую заплатит типичный покупатель за аналогичный объект.
Сравнительный подход наиболее эффективен в условиях, когда имеется достаточное количество информации о недавних сделках купли-продажи или предложениях к продаже объектов, сопоставимых с оцениваемым. Если подобные объекты на рынке продаж представлены единичными сделками, подход не обеспечивает надежных результатов. Любое отличие условий продажи сравниваемого объекта от типичных рыночных условий на дату оценки должно учитываться при анализе. Поэтому при применении метода сравнения продаж необходимы достоверность и полнота информации.
Расчет стоимости Предприятия в рамках сравнительного подхода может быть выполнен методом отраслевых коэффициентов, методом рынка капитала, методом внебиржевых сделок.

В открытых источниках информации не представлено данных о величине мультипликаторов для компаний, основной деятельностью которых является оптовая торговля мясом. Исходя из этого, метод отраслевых мультипликаторов также не был применен.
В поисках компаний-аналогов для применения метода внебиржевых сделок Оценщиком было изучено значительное количество разнообразных источников, таких, как: сайты фондовой биржи РТС (www.rts.ru) и ММВБ (www.micex.ru), сайт информационного агентства AK&M (www.akm.ru), журнал «Государственное имущество (Реформа)», газеты «Ведомости», «Финансовая газета», «Коммерсант», журналы «Деньги», «Эксперт», «Итоги» и другие издания российской финансовой прессы. В результате не было обнаружено ни одной сделки с акциями/долями компаний, владеющих квотами на импорт мяса.
Таким образом, Оценщик отказался от проведения расчетов на основе сравнительного подхода.
Затратный подход
Специалистами Общества были предоставлены необходимые расшифровки активов и пассивов Общества на дату оценки, поэтому Оценщик счел целесообразным применение для целей настоящей оценки метода чистых активов (на основе затратного подхода). Следует отметить, что одним из основных активов общества является нематериальный актив – выделенные квоты на ввоз мяса. Стоимость данного нематериального актива рассчитана в рамках доходного подхода.
Доходный подход
Деятельность Общества целиком связана с выделяемыми ему квотами на импорт мяса и мясопродуктов. В ретроспективном периоде выручка общества формируется от реализации импортного мяса по договорам поставки и по агентским договорам.
Стоимость нематериального актива Общества (выделенных квот) рассчитана в рамках доходного подхода и учтена в рамках затратного подхода к оценке объекта оценки. Таким образом, прогноз денежного потока для Предприятия от реализации импортируемого квотного мяса будет основан на тех же исходных данных и информации, что и расчет стоимости нематериального актива в рамках доходного подхода, что не повышает доказательную базу и приводит к взаимозависимости результатов.
В связи с вышеизложенным расчет стоимости объекта оценки в рамках доходного подхода не производился.
Все вышеизложенные методы оценки рассмотрены в соответствующих главах отчета.
Определение скидок
Скидка за неконтроль
Объектом оценки выступает 100%-ая доля в уставном капитале ООО «XXX». Учитывая, что оцениваемая доля обеспечивает абсолютный контроль, скидки на неконтрольный характер применять не следует.
Скидка на неликвидность
Ликвидными считаются финансовые активы, которые могут быть конвертированы в денежные средства с минимальными транзакционными издержками, временными затратами, а также без потерь стоимости.
Как отмечалось выше, Ш. Пратт говорит о средней величине скидки за недостаточную ликвидность в размере 30%. Однако Валдайцевым С. В. отмечается, что учет фактора ликвидности «существенен лишь для инвестора, который не приобретает контроля над предприятием» . Также указывается, что «оценивая крупный пакет акций, обеспечивающий контроль над предприятием, фактором ликвидности можно вообще пренебречь, так как контролирующий компанию инвестор приобретает возможность по-иному, в случае необходимости извлечь свои средства» .
Оценщик разделяет указанную позицию, считая, что при покупке полного контроля над бизнесом стратегический инвестор не руководствуется логикой спекулятивных операций, для которых ликвидность является определяющим свойством актива.
Таким образом, Оценщик принял решение не применять в расчетах скидку на недостаточную ликвидность.

Analysis of sales is the core objective of this approach to business valuation. This approach is based on the direct comparison of the object being valued to other similar objects that have been sold or offered up for trade. The market value of an object is determined by the price that a typical consumer would be willing to pay for a similar object.
The Market Approach can be very effective in the presence of sufficient information on recent sales or sales offers of objects, comparable to the valuated one. If the datum of only single sales transaction is available, the method will not yield reliable results. Any deviation from the typical market sales conditions revealed in the sale of the studied object on the valuation date should be considered in the analysis. Therefore, when applying this method, accuracy and fullness of the information must be assured.
Calculation of the Company value within the Market Approach can be carried out by Comparative Industry Data Method, Capital Market Method, or Over-the-Counter (OTC) Method.
The cost of the Company cannot be assessed by the Capital market method because the Company being valuated is not a joint-stock company. It should be noted, that most companies that have acquired a quota on meat imports to Russia in 2011, are limited liability companies.
Multipliers applicable for valuation of companies involved in the wholesale trade of meat are not published in the public domain. Subsequently, the method of Industry Multipliers is not applicable.
Application of the OTC method requires utilization of peer companies’ data. The Appraiser researched a wide array of different sources, such as: RTS stock exchange (www.rts.ru), MICEX (www.micex.ru), news agency AK&M (www. akm.ru) sites; "Public property (Reform)" magazine, the newspapers: "Vedomosti", "Financial newspaper", "Kommersant", magazines "Money" and "Expert", "Results" and other publications of the Russian financial press for the relevant data, but no information on transactions of stocks or companies’ shares of the companies, holding quotas on import of meat, was obtained.
Thus, the Appraiser decided against calculations based on the Market Approach.
Cost approach
The Company’s specialists provided the necessary explanations of the Company's assets and liabilities available on the valuation date; therefore, the Appraiser considered it to be appropriate to utilize the Net Asset method (based on the Cost Approach) to perform present valuation. It should be noted, that one of the company’s major assets is an intangible asset - allocated quotas on imports of meat. The cost of this asset is calculated with the help of the Income Approach.
Income Approach
Business activity of the Company fully depends on the allocation of quotas on imports of meat and meat products. Historically the Company’s revenue has been generated from the sales of imported meat under delivery contracts or agency agreements.
The cost of the intangible asset of the Company (allocated quotas) is calculated under the Income Approach and accounted for in the Cost Approach. Hence, the forecast cash flow of the Company, generated by the sales of imported meat, will be based on the same data and information as the calculation of the cost of an intangible asset within the Income Approach, which does not increase the evidence base or leads to the interdependence of the results.
Computation of Discounts
Discount for uncontrolled interest
A 100% share of stake of OOO "XXX" is being valuated. Given that the estimated stake provides full control, non-controlling discounts were not introduced.
Discount for lack of liquidity
Financial assets are considered to be liquid if they can be converted into cash with minimal transaction costs, without loss of value and within a tight time frame.
As noted above, the average values of discount for lack of liquidity amounted to 30%, according to Dr.Shannon Pratt. However, S.V. Valdaytsev noted, that liquidity factor "is significant only for the investor who does not acquire control over the enterprise." He also states that "assessing a considerable share stake that provides control of the company, the liquidity factor can be neglected, as the controlling investor can acquire his funds in other ways, if needed." .
The Appraiser shares the same view and points out, that a strategic investor, purchasing full control of the business, will not follow the logic of speculation, for which liquidity is the defining property of the asset.
Thus, the Appraiser has justified absence of a discount for lack of liquidity in his calculations.

XXX’s real time service that evaluates payment transactions, identity information, and other account information and behavior provided as part of the Transaction that screens for specific actions that may violate financial compliance guidelines and regulations with regards to Money Laundering activities (“Merchant Risk: Anti Money Laundering (AML) Monitoring Service”).
XXX reserves the right to make changes in the Merchant Risk: Anti Money Laundering (AML) Monitoring Service from time to time.
D. Merchant Risk Service. XXX’s risk management service which allows payment processors to assess the risk of a merchant application based on the information presented at sign up. XXX can verify based on the Antifraud Reputation Pool (as hereinafter defined) that the information presented is consistent with public records, that there has not been a recorded fraudulent history, and other risk indicators. In addition, XXX provides real-time alerts when there is risk exhibited by a single or more merchants of a merchant portfolio by monitoring and applying data analysis to their transactions. (“Merchant Risk Service”).
XXX reserves the right to make changes in the Merchant Risk Service from time to time.
1.2 Additional Services. XXX offers certain third party complimentary services to the XXX Service as identified on the Order Form attached hereto as Exhibit A and incorporated herein. Certain of the Additional Services include additional terms and conditions of service (“Third Party Terms”) which are a supplement to Exhibit A and in the event of a conflict between the terms of this Agreement and the Third Party Terms, the Third Party Terms shall control. Those selected additional services, “Additional Services” together with the XXX Services are hereinafter referred to as the “Service”.
1.3 Client Support. XXX will provide Client access to XXX’s professionals for customer support to resolve maintenance and support issues relating to Client’s use of the Service. Telephone support to XXX’s help desk is available Monday through Friday from 9:00 am Pacific Time to 5:00 pm Pacific Time (“Business Hours”). One hour email response is available for critical issues during Business Hours and next business day email response is available for non-critical maintenance and support issues and critical issues raised outside of Business Hours by contacting XXX’s help desk at [email protected]. XXX shall use its reasonable commercial efforts to expeditiously resolve maintenance and support issues relating to Client’s use of the Service.
1.4 Updates and Additional Features. Included with the XXX Services are any corrections, modifications and enhancements to the Antifraud Reputation Service (“Updates”). XXX may incorporate the Updates to the XXX Services at any time and from time to time without prior notification of Client. Additional features to the XXX Services may be added by XXX from time to time (“Additional Features”). Client shall have the option of accepting such Additional Features if such Additional Features involve additional fees and/or entering into a new agreement.
1.5 Service Level Agreement. XXX’s service level agreement for the XXX Services is attached hereto as Exhibit B, and incorporated herein. Service level agreements for the Additional Services are attached to Exhibit A and incorporated herein “Additional Services SLAs”). Claims under the Additional Services SLAs shall relate solely to the applicable Additional Service.

D. Оценка риска торгового посредника. XXX предоставляет услугу по Оценке риска торгового посредника, позволяющую компаниям, обрабатывающим платеж, оценить риски, связанные с таким платежом, посредством анализа данных, предоставляемых в момент отправки платежа. XXX проводит проверку предоставленных данных на их соответствие публичным записям, на отсутствие зафиксированных эпизодов мошенничества и прочих признаков противозаконной операции, используя свой Банк данных (определение данного термина приведено далее). XXX также оповещает в режиме реального времени о фактах выявления признаков неблагонадежности одного или нескольких торговых посредников из портфеля торговых посредников, посредством мониторинга и анализа параметров проводимых ими платежных операций. (далее – «Оценка риска торгового посредника»).
XXX оставляет за собой право периодически пересматривать и вносить изменения в условия предоставления услуги по Оценке риска торгового посредника.
1.2 Дополнительные услуги. XXX предлагает дополнительные услуги, предоставляемые третьими лицами в соответствии с перечнем услуг, приведенным в Форме Заказа (Приложение А) к настоящему Соглашению, при этом для части Дополнительных услуг определены особые требования (далее - «Требования третьих лиц»), перечисленные в дополнительных соглашениях к Приложению А и превалирующие в случае противоречия между условиями настоящего Соглашения и Условиями третьих лиц. Дополнительные услуги (далее – «Дополнительные услуги») совместно с Услугами XXX (далее – «Услуги») далее по тексту именуются «Услуга».
1.3 Сопровождение Заказчика. Служба поддержки XXX оказывает услуги по сопровождению Заказчика в целях разрешения любых проблем, связанных с техническим обслуживанием и использованием Услуги. В службу поддержки XXX можно обращаться по телефону с понедельника по пятницу с 9:00 до 17:00 тихоокеанского времени (далее - «Часы работы»). При получении на адрес службы поддержки [email protected] сообщений с просьбой оказать экстренную помощь, помощь оказывается нашими специалистами в течение одного часа, если обращение было получено в Рабочие часы, и на следующий рабочий день в случаях обращения в нерабочее время или при обращениях, не требующих немедленного внимания. Специалисты службы поддержки XXX прилагают максимум усилий для разрешения технических проблем и вопросов, возникших при использовании Услуги, в разумные сроки.
1.4 Обновления и дополнительные компоненты Услуги. XXX оставляет за собой право на рационализацию, внесение изменений и совершенствование любых компонентов услуги по Проверке репутации. XXX может в любое время вносить в Соглашение периодически разрабатываемые обновления (далее – «Обновления»), в отношении предоставляемых Услуг, без предварительного уведомления Заказчика. XXX также имеет право периодически изменять состав предоставляемых Услуг (далее – «Дополнительные компоненты Услуги»). Заказчику предоставляется право согласовывать применение Дополнительных компонентов Услуги только в случаях, когда их введение влечет за собой увеличение оплаты и/или требует подписания нового соглашения.
1.5 Соглашение об уровне услуг. Соглашение об уровне услуг, оказываемых XXX, приведено в Приложении В к настоящему Соглашению и является его неотъемлемой частью. Соглашения об уровне услуг с указанием Дополнительных услуг, представлены в виде дополнительных соглашений к Приложению А, (далее – «Дополнительные услуги к Соглашению об уровне услуг») и являются неотъемлемой частью настоящего Соглашения.
Though I do not possess formal degree in linguistics, I have always had passion for translating. Besides, being bilingual, I have had many opportunities throughout my life to practice and improve my translating/interpreting skills. My BA in Finance, combined with extensive experience and toped with a Certified Translation Professional certificate, awarded to me by Global Translation Institute, allows me to practice as a freelance translator, focusing on translation of texts related to finance, economics, banking, as well as press releases, marketing and advertising, websites, scientific works (in history, philosophy, economics, etc.) and, finally, literary works. I should also mention, that my experience includes over 10 years of living, working and studying in the English speaking environment, in the USA. I also have hands-on experience in using search engines, industry-specific dictionaries, electronic translators, etc.
As for my personality, I am diligent and meticulous. I always meet deadlines. I am ready to accommodate you and meet your requirements and needs. I am honest and realistic as far as the extension of my knowledge goes and I would rather turn down a project I am not interested in or not capable of accomplishing over taking any kind of job and putting the client at risk of non-delivery of the end-result. I always keep clients posted on the project development and do not hesitate to solicit additional information necessary to clarify the context.
I've dedicated the last three years of my career solely to freelance translating business, working for private translation services and feel that I have acquired all the necessary skills to carry out projects on my own.
