AMENDMENT TO THE BASIC AGREEMENT FOR A LICENSE TO DISTRIBUTE , MARKET AND SELLXXX PRODUCTS IN JAPAN DATEDXXX.
On one hand;
XXX Organisation number: XXX, XXX, with visiting address at XXX(“XXX”, which expression shall include its representatives and assigns) and
XXX, a corporation organized under the laws of Japan, with its XXX (hereinafter referred to as “XXX”);
And
On the other hand
XXX, a corporation organized under the laws of Japan, with its principal office atXXX (hereinafter referred to as “XXX”.
XXX, XXX and XXX are hereinafter referred individually as a “Party” and collectively as “Parties”.).
Whereas XXX and XXX entered into The basic agreement for a license to distribute, market and sell XXX in Japan dated February, 2010 (hereinafter referred to as The Basic Agreement).
Whereas XXX and XXX after discussions with XXX have decided to extend the license in respect of certain products to include South Korea on the terms and conditions stipulated in this Amendment.
Now, therefore, the parties have agreed as follows.
1. XXX hereby grant XXX the right to enter into negotiations with the following entity .............................................................................. in South Korea (hereinafter referred to as The Company) enabling The Comany to market and sell certain of XXX’s products in South Korea.
2. The right to enter into negotiations in respect of The Company is conditioned on that the negotiations with the Company is conducted with XXX template for a Distribution agreement as basis for the negotiations and that any and all changes in respect of the template shall be approved by BioGaia AB beforehand. The template for a Distribution Agreement is attached hereto as Exhibit 1.
3. XXX warrants;
(i) that they will in its negotiations with The Company adhere to the stipulations in Section 2 above;
(ii) that they will keep XXX, as well asXXX, regularly informed about the process of the negotiations;
(iii) That will not enter into a binding distribution agreement with The Company without having received a written confirmation from XXX in respect of the wording of such an agreement.

4. In case a binding agreement will be signed between XXX and The Company hereunder, any breach by The Company of such an agreement shall entitle XXX the right to demand immediate termination of the Agreement.
5. Any purchase of XXX for the market in South Korea shall not be included in the calculations related to Minimum Purchase Amount as stated in the Basic Agreement In case Nippon Access is able to conclude an agreement with The Company, XXX and XXX shall agree upon new figures for Minimum Purchase Amount. In case such minimums for South Korea will not be fulfilled XXX and XXX shall be entitled to demand XXX to terminate the agreement with The Company in accordance with the stipulations in the agreement entered into with The Company.
6. Except otherwise expressly stated in this Amendment applicable sections in The Basic Agreement shall apply between the Parties.
7. This Amendment to The Basic Agreement shall be valid from the date signed by all Parties and shall be valid for a period of twelve (12) months thereafter at which time this Amendment automatically expirers except in case an agreement has been entered into with The Company during that period in which case this Amendment shall be valid as long as the agreement
