Source text - English RETENTION OF TITLE
According to article 1523 of the Civil Code, the sale in question is regulated by the “retention of title” in favour of the Seller, thus the title will pass to the buyer upon payment of the last instalment. In pursuance with article 1526 of the Civil Code, the sums paid to the Seller will be held by the Seller as indemnity for use as compensation for damages, with the exception of heavier damages.
Payment of bills of exchange or cash orders does not imply forfeit of retention of property, as such bills are intended as issued and accepted with recourse. Any grant of postponement or renewal of payment by issuing new titles or any other form of extended payment shall not imply, in any case, the novation of the relation, therefore the retention of title, as well as all the general conditions of sale agreed upon hereby, shall maintain their full effect. In the event of non-payment of a sum equal to one-eighth of the price agreed, inclusive of VAT this contract shall be deemed terminated and the Seller shall be entitled to request that the goods be returned, or the entire price be paid. Bankruptcy or any other concurrent proceedings started against the buyer shall result in the termination hereof.
PLACE OF JURISDICTION
The parties agree, in pursuance with article 28 of the Code of Civil Procedure, that any dispute arising between the parties from the conditions herein shall be the exclusive competence of the Court of Modena, Main Seat, with the expressed exclusion of any other Court, the Court of Modena detached division in Carpi included, notwithstanding article 83 ter disp. Att. C.p.c.
INFORMATION AND CONSENT
The Proposer gives permission to include, in compliance with Legislative Decree 196/2003, the data reported herein in the Seller’s Customer files which may be used for the following purposes, a) fulfilment of requirements concerning fiscal and civil law; b) mandatory communications and reasons provided by law; c) possible promotional initiatives of the Seller.
NEGOTIATION OF THE CONDITIONS HEREIN
The Proposer declares that the clauses set forth above have been discussed and negotiated with Seller’s Agent.

Qualsiasi concessione di proroga o il rinnovo di pagamento mediante emissione di nuovi titoli o qualsiasi altra forma di pagamento dilazionato, non comportano, in ogni caso, la novazione del rapporto, quindi, la riserva di proprietà, così come tutte le condizioni generali di vendita concordate con la presente, conservano la loro efficacia. In caso di mancato pagamento di una somma pari a un ottavo del prezzo pattuito, comprensivo di IVA, il presente contratto si considera risolto e il venditore ha il diritto di chiedere che le merci siano restituite, o che l'intero importo sia pagato. Il fallimento o qualsiasi altro procedimento parallelo avviato contro l'acquirente deve comportare la risoluzione del presente accordo.
FORO COMPETENTE
Le parti convengono, ai sensi dell'articolo 28 del codice di procedura civile, che qualsiasi controversia dovesse insorgere tra loro derivante dalle condizioni ivi riportate, sono di competenza esclusiva del Tribunale di Modena, sede principale, con esclusione espressa di qualsiasi altro Tribunale, compresa la sede distaccata di Carpi, in deroga all'articolo 83 ter disp. Att. C.p.c.
INFORMATIVA E CONSENSO
Il Proponente concede il permesso di includere i dati riportati nella presente, nel rispetto del Decreto Legislativo 196/2003, nei file della clientela del venditore che possono essere utilizzati per le seguenti finalità: a) rispetto dei requisiti in materia di diritto fiscale e civile; b) le comunicazioni obbligatorie e le ragioni previste dalla legge; c) eventuali iniziative promozionali del venditore.

The cathedral situated between Piazza Martiri della Libertà and Piazza Orsini, has undergone various phases of construction, and currently comprises two main structures: the older eastern part, known as the “Guidi nave”, built in 1158-74, commissioned by Bishop Guido II, has a nave and two aisles with alternating columns and pillars. On a higher level behind the transept is the western part, or “Arcioni nave”, which dates back to the extension requested by Bishop Niccolò degli Arcioni from 1332-35, and is subdivided into six spans with ogival arches. The centre of the three-part transept has an octagonal segmented dome, of mid-northern influence and uncertain date. Near the centre of the nave, there is a cross-section where the Baroque chapel of San Bernardo built from 1731-1776, during the Baroque restorations that completely reinterpreted the interior with original features, which were subsequently erased during the 1932-35 restorations. The exterior has a series of significant features such as the main portal dated 1332 by the Roman sculptor Deodato di Cosma, with a round archivolt enhanced by a golden mosaic decoration, a high cusp tympanum decorated with statues and a large rose window. The two columns, at each end, support two sculptures by Nicola da Guardiagrele. The double-lancet and oval windows lighten the square belfry, begun in the 12th century and finished in 1493 by Antonio da Lodi, who built the soaring octagonal structure covered by majolica and culminating in a pyramidal cusp.
The cathedral has many masterpieces, such as, Nicola da Guardiagrele’s silver paliotto, made between 1433 and 1448, and found today on the high altar, the beautiful marble aedicule by Antonio da Lodi, the precious Segrestia Nuova wooden altar (1594-1632), with 17th century paintings by the Pole, Sebastiano Majewski. The 14th century polyptych by Venetian Jacobello del Fiore decorates the Baroque altar in the San Bernardo chapel. In the apse we find a large round window with polychromatic glass, by Duilio Cambellotti.

La cattedrale situata tra Piazza Martiri della Libertà e Piazza Orsini, ha attraversato diverse fasi costruttive, e l’attuale impianto è costituito da due corpi principali: la parte orientale più antica, conosciuta come la “navata guidiana”, costruita negli anni 1158-1174, commissionata dal vescovo Guido II, ha una navata centrale e due laterali con colonne che si alternano a pilastri. A un livello superiore, dietro al transetto, si trova la parte occidentale, o “navata arcioniana” che risale all’ampliamento richiesto dal vescovo Niccolò degli Arcioni tra il 1332 e il 1335 ed è suddivisa in sei campate da archi ogivali. Al centro del transetto tripartito vi è una cupola a spicchi ottagonale, di influenza centro-settentrionale e di datazione incerta. Vicino al centro della navata, si sviluppa un corpo trasversale. Qui fu realizzata la cappella barocca di San Bernardo negli anni 1731-1776, insieme al rifacimento barocco che aveva reinterpretato integralmente lo spazio interno con originali soluzioni, cancellate poi con i ripristini degli anni 1932-35. L’esterno presenta una serie di caratteristiche significative come il portale maggiore del 1332 dello scultore romano Deodato di Cosma, con archivolto circolare abbellito da una decorazione musiva in oro, un alto timpano a cuspide ornato da statue e da un ampio rosone. Le due colonnine all’estremità sorreggono due sculture di Nicola da Guardiagrele. Le bifore e le finestre ad arco tondo, alleggeriscono il campanile quadrato, iniziato nel XII secolo e concluso nel 1493 da Antonio da Lodi, che eseguì lo slanciato corpo ottagonale coperto da maioliche, culminante nella cuspide piramidale.
La Cattedrale conserva al suo interno numerose opere d’arte, tra cui spicca il paliotto d’argento dorato di Nicola Da Guardiagrele, fatto tra il 1433 e il 1448, e oggi collocato sull’altare maggiore, la bella edicola marmorea di Antonio da Lodi, e il ricco altare ligneo della Sagrestia Nuova (1594-1632) che ospita tele seicentesche del polacco Sebastiano Majewski. Il trecentesco polittico del veneziano Jacobello del Fiore decora l’altare barocco nella cappella di San Bernardo. Nell’abside troviamo una grande finestra circolare con vetrata policroma di Duilio Cambellotti.
