Source text - English EMPLOYMENT CONTRACT
1 Job Title, Role and Responsibilities
1.1 The Employee is hired to work for the Employer as General Manager for Czech Republic and will be reporting to Cluster Manager (“the Manager”).
2 Place of work and work for other group companies
2.1 The Employee’s normal place of work will be Prague, Czech Republic. However, the
Employee may be required to travel on behalf of the Employer in the performance of
the Employee’s duties.
2.2 The Employer is part of a group of companies, located in different locations and
countries, and the Employee’s duties may include work for any such company, as the
Employer may require in compliance with the conditions of the Czech Labor Code.
3 Term and Termination of contract
3.1 The Employee shall start working for the Employer on 1st of January 2013.
3.2 The employment is probationary for the first 3 months. If in the Employer´s opinion
suitable progress has not been achieved during this probationary period, the Employer
has the right to terminate the contract with 3 weeks´ notice.
3.3 The Employee can terminate the contract with 6 month´s written notice.
3.4 Subject to Clause 3.2 the Employer can terminate the contract with 6 month´s written
Notice.
3.5 Any termination notices served under this Clause 3 shall be calculated from the end of
the month.
4 Working Hours
4.1 The working hours of the Employee will vary in order to properly perform the work
required, however standard working hours will be forty (40) hours per week.
5 Salary
5.1 The fixed yearly gross salary of the Employee is EUR ….. payable in 12 instalments
per year (the “Base Salary”).
5.1 No special remuneration is paid for overtime or work-related projects of any kind.
5.3 The Employer shall perform any mandatory payments in accordance with applicable
national and/or provincial/ state laws.
6 Other Benefits
6.1 The Employer will pay the Employer´s part of mandatory pension fee into an
applicable pension fund in accordance to Czech Republic law.
6.1 In addition to the Base Salary the Employer will pay for a mobile phone, and an ADSL
connection in the Employee’s private home.
6.2 Subject to the Travel Policy, the Employer shall reimburse the Employee for
reasonable travel expenses occurred in the interest of the Employer.
7 Vacation
7.1 The Employee is entitled each year to take 28 days of vacation the following year.
7.1 The Employee shall agree with the Manager as to the timing of vacation.
8 Confidentiality
8.1. In this Clause 8 “Confidential Information” shall mean any information concerning the Company or the Group – technical, commercial or of any other nature – regardless of whether or not the information is documented, with the exception of information which has become or becomes general knowledge other than through the Employee´s breach of this contract.
8.1 The Employee agrees, also after the termination of this contract, not to disclose to third parties Confidential Information concerning the Company and the Group.
8.2 If the Employee commits a breach of the above confidentiality undertaking, the Employee shall upon the Employer´s demand pay a penalty of an amount equal to six month´s Base Salary for each individual case. Notwithstanding this fixed penalty, if the Employer has suffered a loss greater than the penalty, the Employer has the right to claim the full amount of damages actually suffered.
9 Employer Property
9.1 On the termination of this contract, regardless of cause, the Employee shall deliver back to the Employer all documents, accounts, records, papers and all other property in his/her possession or control which relate in any way to the property, business or affairs of the Employer. This applies to all documents and computer data, originals and copies.
9.2 Upon the termination of this contract the Employee shall deliver back to the Employer all equipment and other properties (lap-top computer, mobile phone, access and credit cards, etc.) that belong to the Employer.
10 Miscellaneous
10.1. This contract shall be construed and performed in accordance with the laws of the Czech Republic. In the event of a dispute arising under or in connection with this contract, such dispute or difference shall be referred to and resolved exclusively according to the judgment of the courts of the Czech Republic.
10.2 This contract shall be signed in two original copies and the Company´s copy shall be kept in the employees file under the caretaking of the local HR function.
Translation - Czech PRACOVNÍ SMLOUVA
1 Druh práce a povinnosti:
1.1 Zaměstnanec bude pro zaměstnavatele vykonávat práci na pozici generální manažer pro Českou republiku a bude podřízen manažerovi klastru (dále jen „manažerovi“).
2 Místo výkonu práce a práce pro další společnosti skupiny:
2.1 Místem výkonu práce je Praha, Česká republika. Pro plnění zaměstnaneckých povinností může mít nicméně zaměstnanec povinnost jménem zaměstnavatele cestovat.
2.2 Zaměstnavatel je součástí skupiny společností, které se nacházejí na jiném místě a v jiné zemi, a na základě požadavku zaměstnavatele v souladu s českým zákoníkem práce mohou povinnosti zaměstnance zahrnovat práci pro jakoukoli z těchto společností.
3 Doba trvání pracovního poměru:
3.1 Zaměstnanec nastoupí do práce dne 1. ledna 2013.
3.2 Sjednává se zkušební doba po dobu prvních tří (3) měsíců. Pokud podle zaměstnavatele nedošlo během této doby k odpovídajícímu výkonu ze strany zaměstnance, má zaměstnavatel právo smlouvu ukončit v 3týdenní výpovědní době.
3.3 Výpovědní doba pro ukončení smlouvy ze strany zaměstnance činí šest (6) měsíců.
3.4 Výpovědní doba pro ukončení smlouvy ze strany zaměstnavatele, s výjimkou uvedenou v odstavci 3.2, činí šest (6) měsíců.
3.5 Za počátek výpovědní doby se v jakémkoli případě popsaném v odstavci 3. považuje konec měsíce, v němž byla výpověď doručena.
4 Pracovní doba
4.1 Pracovní doba zaměstnance bude proměnlivá, aby bylo zaručeno řádné plnění pracovních povinností. Standardní pracovní doba je nicméně čtyřicet (40) hodin týdně.
5 Plat
5.1 Zaměstnanec bude dostávat fixní hrubý plat ...EUR za rok, vyplácený ve dvanácti (12) splátkách za rok („základní plat“).
5.2 Za práci přesčas a práci na projektech spojených s náplní práce nenáleží zaměstnanci žádná mimořádná odměna.
5.3 Zaměstnavatel bude všechny povinné platby provádět v souladu s platnými zákony příslušného státu či územního celku.
6 Další benefity
6.1 Zaměstnavatel bude zaměstnanci hradit část povinného sociálního pojištění přispíváním do příslušného penzijního fondu v souladu se zákony České republiky.
6.2 Kromě základního platu bude zaměstnavatel zaměstnanci hradit používání mobilního telefonu a ADSL připojení v místě zaměstnancova soukromého bydliště.
6.3 V souladu s cestovní politikou zaměstnavatel zaměstnanci uhradí opodstatněné cestovní výdaje, k nimž došlo při výkonu práce pro zaměstnavatele.
7 Dovolená
7.1 Zaměstnanec má každý rok právo na 28 dní dovolené v následujícím roce.
7.2 Datum dovolené musí zaměstnanci schválit manažer.
8 Dohoda o mlčenlivosti
8.1 V odstavci 8 je „důvěrnou informací“ myšlena jakákoli informace týkající se společnosti nebo skupiny. Důvěrná informace může být technické, obchodní nebo jiné povahy, bez ohledu na to, zda je nebo není zdokumentována, s výjimkou informací, které jsou již všeobecně známé, a to nikoli z důvodu porušení smlouvy ze strany zaměstnance.
8.2 Zaměstnanec souhlasí s tím, že ani po ukončení této smlouvy nesmí sdělit třetím stranám důvěrné informace týkající se společnosti a skupiny.
8.3 Pokud zaměstnanec dohodu o mlčenlivosti poruší, bude muset zaměstnavateli zaplatit pokutu ve výši šestinásobku základního platu za každý jednotlivý případ. V případech, kdy škoda způsobená zaměstnavateli tuto částku převyšuje, má zaměstnavatel bez ohledu na výše stanovenou pokutu právo požadovat po zaměstnanci úplné nahrazení způsobené škody.
9 Majetek zaměstnavatele
9.1 Při ukončení této smlouvy, bez ohledu na příčiny, je zaměstnanec povinen navrátit zaměstnavateli veškeré písemnosti, koncepty, poznámky a podobné podklady, kterými disponuje či které vlastní, pokud mají jakoukoli souvislost s majetkem a obchodními či jinými činnostmi zaměstnavatele. Toto se vztahuje na všechny dokumenty a počítačová data, originály i kopie.
9.2 Po ukončení smlouvy je zaměstnanec povinen vrátit zaměstnavateli veškeré vybavení a další majetek (laptop, mobilní telefon, přístupové a kreditní karty apod.), který od zaměstnavatele obdržel.
10 Další ustanovení
10.1 Tato smlouva bude vykládána a plněna v souladu se zákony České republiky. V případě, že dojde ke sporům v rámci této smlouvy nebo ve spojitosti s ní, bude řešení tohoto sporu postoupeno výlučně soudům České republiky.
10.2 Tato smlouva je vyhotovena ve dvou výtiscích s platností originálu. Výtisk společnosti bude uchován ve složce zaměstnanců spravované příslušným HR oddělením.

2. pověřuje generálního ředitele a obchodního ředitele podpisem smluv na dodávku černého uhlí v předloženém znění.
2. Vlastní materiál
2.1 Návrh na nákup uhlí
Nákup uhlí v průběhu letních měsíců 2011 je navrhován z následujících důvodů:
- pokrytí spotřeby I.Q v následujícím roce a zároveň zlepšení vyjednávací pozice společnosti při nákupu uhlí pro rok 2012
- vývoj uhelného trhu v posledních měsících a jeho očekávaná změna
2.2 Pokrytí spotřeby I. Q následujícího roku
Společnost chce diversifikovat dodavatele uhlí od roku 2012 dále. Jednání o ročních dodávkách pro rok 2012 probíhá pouze v závěru kalendářního roku. Z důvodu nutnosti zajištění paliva pro topnou sezonu je společnost koncem roku pod tlakem a vyjednávací pozice je omezená, jelikož nejsou zajištěny dodávky začátkem příštího roku. Ke zlepšení vyjednávací pozice přispěje zvýšení množství skladových zásob ke konci roku, které zajistí spotřebu paliva v I.Q následujícího roku.
Na trhu s pevnými palivy je očekáván růst cen pro příští čtvrtletí a roky následující.
2.3 Ekonomické vyhodnocení
Při diskontování peněžních toků spojených s předzásobením černým uhlím diskontní sazbou 12 % p.a. vychází čistá současná hodnota kladná. Je ovšem potřeba zdůraznit, že při rozdílném vývoji kurzů CZK/EUR než jaký předpokládáme, nemusí být parametr kladné NPV splněn v případě, že měnový kurz CZK/ EUR při předzásobování v 3.Q 2011 bude vyšší než 30 CZK/EUR nebo nižší než 23 CZK/EUR v 1.Q 2012. Z pohledu diskontování peněžních toků je tedy předzásobení výhodné.
Předzásobení černým uhlím v roce 2011 nebude mít zásadní vliv na cash flow společnosti.

2. Material
2.1 Coal purchase proposal
The purchase of coal in the course of summer 2011 is proposed for the following reasons:
- To cover the consumption in Q1 of the following year and at the same time to improve the negotiating position of the company for coal purchasing in 2012.
- To respond to the latest trends and expected changes in the coal market
2.2 Consumption coverage for Q1 of the following year
The company intends to diversify its coal suppliers, starting from 2012. Negotiations about annual supplies for 2012 are held at the end of the calendar year only. Because the company needs to ensure sufficient fuel supply for the next heating season, at the end of the year the company gets under pressure and its negotiating position is limited, because supplies for the beginning of the following year are not arranged. The company’s negotiating position will be improved by a higher amount of stock at the end of the year, which will cover the consumption in Q1 of the following year.
The solid fuels market is expecting a rise in prices in the next quarter and the following years.
2.3 Economic assessment
After discounting cash flows resulting from stocking up on black coal with the discount rate of 12% p.a., the net present value will be positive. It is important to stress, however, that if the CZK/EUR exchange rate will develop in an unexpected manner, the positive NPV might not be reached. Specifically, if the CZK/EUR rate is higher than 30 CZK/EUR during stocking up in Q3 2011 or lower than 23 CZK/EUR in Q1 2012. From the point of view of discounted cash flows, stocking up will have a positive effect. Stocking up on coal in 2011 will not have a major effect on the cash flow of the company.
