SALE AGREEMENT :
The Sale Agreement is entered into as of this lst day of April , 2005 by and between
CLUB ELITE VACATION E STABLISHM ENT (hereinafter "CEV"), residing at Landstrasse 114, FL 9495 Triesen
AND
PALACE MANAGEMENT LIMITED (hereinafter "PALACE ", residing in London (U .K.) 32 Farringdon Street, here legally represented by Mr David MalcomKaye
WHEREAS:
l. CEV is active in the sale of vacation periods in several international tourist resorts ;
2 . PALACE can provide marketing services in the Territory (as hereinafter defined) ;
NOW THEREFORE, in consideration of the mutual promises , covenants, representations , warranties and indemnities herein contained and made an integral part hereof , the parties hereto agree as follows :
ARTICLE I l SERVJCES
1.1 Assistance in the sale in the Territory of vacation periods in international tourist res011s ;
1.2 Organization of meetings with potential clients;
l .3 Other promotional activities that CEV may request to perform .
ARTICLE II
DURATION
2. 1 Effective date and Renewal
Unless sooner terminated as hereinafter provided for, this agreement shall become effective on April lst 2005 and shall remain in effect until March 31st 2006 provided , however , that on the first and on each subsequent expiration date this agreement shall be deemed automatically renewed for an additional period of l (one) year, unless either party has notified the other of its intention not to renew this agreement with no less than 30 (thirty) days prior written notice to the other.
ARTICLE III TERRITORY
3 .2 TERRITORY
As used herein, "Territory'' shall mean the geographical area set forth in
Attachment 2 hereof , as from time to time amended by written agreement
between the parties.
ARTICLE IV PRODUCTS
4 .1 PRODUCTS
As used herein , "Products shall mean the products set forth in Attachment 4 hereof , as from time to time amended by written agreement between the parties .
ARTICLE V
OBBLIGATIONS OF PALACE
5.1 1 Best effort
PALACE shall diligently pursue on a best effort basis the sale of the
Products in the Territory pursuant to the terms of this agreement .
5.2 Operating procedures
PALACE shall always operate pursuant to the procedures and in accordance with the policies from time to time set by CEV , deploying the human , financial and logistic resources required to fulfill its obligations herein set forth. All representations made by PALACE to potential clients on Products shall be truthful , accurate complete and in compliance with CEV 's policies , procedures and promotional documents . PALACE shall send to CEV periodic information on its promotional activities , sales , competition and general market conditions , promptly informing CEV of any legal dispute that may arise in the Territory in respect to the sale of the Products .
5 .3 Purchase orders
PALACE shall promptly remit all orders for Products originating in the Territory to CEV in accordance with such procedures as CEV shall from time to time establish. CEV may , at its sole discretion and for whatever reason , reject any order submitted by PALACE from potential clients that CEV does not deem morally or ethically acceptable .
5.4 Prices
Price , ancillary costs , payment terms and general selling conditions shall be determined as per attachment .
ARTICLE VI ASSIGNMENT
6 .1 ASSIGNMENT
PALACE may not assign this agreement or any right or obligation arising
thereof without CEV 's prior written consent. "
ARTICLE VII TERMINATION
7.1 Motive
Each party may terminate this agreement before the first or each subsequent expiration dates only for motive and with a 10 (ten) day prior written notice to the other setting forth the other party 's default . As used herein, "motive” shall mean the violation of any substantial provision of this agreement.
ARTICLE VIII ARBITRATION
8.1 Binding arbitration
Any dispute between the parties hereof on the interpretation or application of this agreement shall be finally settled by the binding arbitration of a panel of three arbitrators composed by:
a) one arbitrator appointed by each one of the parties hereof; and
b) one arbitrator jointly appointed by the first two arbitrators within 10 (ten ) days from the date on which the latter of the two is appointed or , if they cannot agree on such appointment , by the pro tempore President of the Chamber of Commerce of Liechtenstein upon request filed by the most diligent among parties .

PREMESSE:
l . CEV lavora nel settore della vendita di periodi di vacanza in diversi luoghi di villeggiatura turistici internazionali ;
2. La PALACE può fornire servizi di marketing nel territorio (come di seguito definito) ;
CIO' PREMESSO, considerate le reciproche promesse , gli accordi , le dichiarazioni , le garanzie ed indennità qui contenuti e fatti parte integrante del presente contratto, le parti del contratto concordano quanto segue :
ARTICOLO I l SERVIZI
1 . 1 Assistenza alla vendita nel territorio di periodi di vacanza in località turistiche internazionali ;
1.2 organizzazione di incontri con potenziali clienti;
1.3 altre attività promozionali che potranno essere richieste da parte di CEV .
ARTICOLO II DURATA
2.1 Data di entrata in vigore e Rinnovo
Salvo interruzione anticipata come previsto nel presente contratto , questo Contratto entrerà in vigore il aprile 2005 e rimarrà in vigore fino 31 marzo 2006, salvo, comunque , che alla prima data di scadenza e a ciascuna data di scadenza successiva, questo contratto non venga ritenuto automaticamente rinnovato per un periodo supplementare di l (un) anno, a patto che una delle parti non abbia notificato all 'altra la propria intenzione di non rinnovare questo contratto con non meno di 30 (trenta) giorni di anticipo a mezzo di notifica scritta inviata ali 'altra parte.
Articolo III TERRITORIO
3 .2 Territorio
Usato in questo Contratto , il termine "Territorio " significa l 'area geografica di cui all'Allegato 2 del presente Contratto, come verrà di volta in volta emendato con accordo scritto tra le parti .

PRODOTTI
4 .1 Prodotti
Usato in questo contratto , il termine "Prodotti " significa i prodotti di cui all’ Allegato 4 del presente Contratto , come verrà di volta in volta emendato con accordo scritto tra le parti .
Articolo V
OBBLIGHI SOCIETA' PALACE
5.1 Massimo impegno
PALACE perseguirà diligentemente e con il massimo impegno la vendita dei Prodotti nel Territorio, secondo i termini del presente Contratto.
5.2 Procedure operative
PALACE agirà sempre seguendo le procedure e in conformità alle politiche di volta in volta stabilite con impiegando le risorse umane , finanziarie e logistiche necessarie al compimento dei propri obblighi di cui al presente Contratto. Tutte le dichiarazioni fatte da PALACE a potenziali clienti sui Prodotti saranno veritiere, accurate, complete ed in conformità alle politiche, procedure e documenti promozionali di CEV. PALACE invierà a CEV informazioni periodiche sulle proprie attività promozionali , vendite, condizioni di concorrenza e di mercato in generale, informando prontamente CEV di eventuali controversie legali che insorgessero nel Territorio in relazione alla vendita dei Prodotti .
5.3 Ordini di acquisto
PALACE invierà immediatamente a CEV tutti gli ordini di Prodotti che arriveranno dal Territorio e in conformità alle procedure che CEV vorrà di volta in volta stabilire. CEV potrà, a propria discrezione e per
qualsiasi motivo, rifiutare eventuali ordini presentati da PALACE, riguardanti potenziali clienti che CEV non ritenesse moralmente o eticamente accettabili.
5.4 Prezzi
Prezzo, costi accessori, termini di pagamento e condizioni generali di
vendita verranno concordati come da allegato.
Articolo VI
CESSIONE
6.1 Cessione
PALACE non può cedere il presente Contratto né eventuali diritti od obblighi da esso derivanti senza la preventiva approvazione scritta di CEV.
Articolo VII
CONCLUSIONE
7.1 Inadempienza
Ciascuna parte potrà concludere il presente Contratto prima della prima data di scadenza, o successive date di scadenza, solo con motivazione e con una notifica scritta inviata 10 (dieci) giorni prima all'altra parte, indicandovi l'inadempienza dell'altra parte. Usato nel presente Contratto, il termine "inadempienza" significa la violazione di qualsiasi clausola sostanziale del presente Contratto.
Articolo VIII ARBITRATO
8.1 Arbitrato vincolante
Eventuali controversie tra le parti del presente Contratto sull'interpretazione o applicazione del presente Contratto verranno appianate con arbitrato vincolante di un collegio di tre arbitri composto da:
a) un arbitro nominato da ciascuna parte del presente Contratto; e
b) un arbitro nominato congiuntamente dai primi due arbitri entro 10
(dieci) giorni dalla data in cui l'ultimo dei due arbitri viene nominato
