Source text - English (1) A violation of the obligations stated in points 1 and 2 of this agreement represents a violation of essential contractual obligations and authorizes the Ordering Party to a complete or partial extraordinary termination of this agreement as well as to the complete or partial extraordinary termination of the Framework agreement or other continuous obligations between the parties. Furthermore, in case of a violation the Ordering Party is permitted to withdraw from any orders placed and/or any purchase made, installment and/or multiple order purchases and/or other forms of purchase (jointly called “purchase”), and/or an existing price agreement or other agreements between the parties partially or in full, unless the contractual parties have made an agreement in the product specifications deviating from the Quality Standards, which both parties have to agree to by signing the product specifications. In this case a preceding warning is superfluous due to a violation of the essential contractual obligations.
(2) In case the Ordering Party is permitted, as per the afore-mentioned conditions, to the extraordinary termination, in full or partially, of the Framework agreement, its annexes as well as the price agreement or purchases made, the following is agreed:
• Any goods still in the stores of the Ordering Party and its service centers as well as goods returned by customers - in particular due to a public recall - will be received by the Ordering Party at the expense of the supplier and will be disposed of at the supplier’s expense or, at the Ordering Party’s discretion, returned to the supplier at its expense for the supplier to dispose of. Any remaining stock of packaging material and/or finished goods no longer have to be accepted by the Ordering Party. This applies even if the Ordering Party has issued the approval of the packaging printing and/or the production approval. Goods and packaging material left at the supplier are to be destroyed by the supplier at its own expense, provided nothing else has been agreed in writing with the Ordering Party.
• The Ordering Party is not obliged, although it is permitted, to accept or remunerate raw material stocks at the agreed price - and if no price has been agreed at the trade standard wholesaler's price - after a valid declaration of a full or partial withdrawal, at its own discretion. An obligation to pay for raw materials and/or packaging materials already contracted by the supplier also does not exist for the Ordering Party. This also applies even if the Ordering Party had approved contractual quantities, packaging quantities or production batches before issuing the extraordinary termination.
• An extraordinary termination of the Framework agreement and/or the complete or partial withdrawal from an order or purchase by the Ordering Party does not affect any compensation claims of the Ordering Party, in particular from covering purchases and/or the payment of the contractually-specified penalty.
Translation - Polish (1) Naruszenie obowiązków określonych w pkt. 1 i 2 niniejszej umowy stanowi naruszenie istotnych zobowiązań umownych i upoważnia Zamawiającego do całkowitego lub częściowego rozwiązania niniejszej umowy w trybie nadzwyczajnym, a także do całkowitego lub częściowego rozwiązania Umowy Ramowej lub innych stale obowiązujących zobowiązań pomiędzy stronami. Ponadto, w przypadku naruszenia, Zamawiający może odstąpić od wszelkich złożonych zamówień i/lub dokonanych zakupów, zakupów na raty i/lub zamówień wielokrotnego zakupu i/lub innych form zakupu (wspólnie zwanych "zakupem") i/lub istniejących umów cenowych lub innych porozumień pomiędzy stronami częściowo lub w całości, chyba że strony umowy zawarły porozumienie w specyfikacji produktu dotyczące odbiegania od Standardów Jakości, na które obie strony muszą wyrazić zgodę poprzez podpisanie specyfikacji produktu. (2) W przypadku, gdy Zamawiający będzie uprawniony, zgodnie z wyżej wymienionymi warunkami, do rozwiązania w trybie nadzwyczajnym w całości lub w części, Umowy Ramowej, jej załączników, a także porozumienia cenowego lub dokonanych zakupów, uzgadnia się co następuje:
• Wszelkie towary pozostające w sklepach Zamawiającego i jego centrach serwisowych, a także towary zwrócone przez klientów, w szczególności w wyniku wycofania z rynku podanego do wiadomości publicznej, będą przyjmowane przez Zamawiającego na koszt dostawcy i będą utylizowane na koszt dostawcy lub, zależnie od decyzji Zamawiającego, zwracane do dostawcy na jego koszt w celu utylizacji. Wszelkie pozostałe zapasy materiałów opakowaniowych i/lub gotowych towarów, znajdujące się w posiadaniu Dostawcy, nie będę przyjmowane przez Zamawiającego. Dotyczy to również sytuacji, gdy Zamawiający wydał zgodę na druk opakowań i/lub zatwierdził produkcję. Towary i materiały opakowaniowe pozostające u dostawcy winny zostać zniszczone przez dostawcę na jego koszt, pod warunkiem, iż nie dokonano innych ustaleń na piśmie z Zamawiającym.
• Zamawiający nie jest zobowiązany, chociaż ma takie prawo, do akceptowania lub zwrotu kosztów zapasów surowców po uzgodnionej cenie, według własnego uznania. W przypadku, gdy nie ustalono żadnej ceny, stosuje się standardową cenę hurtową, po wydaniu obowiązującego oświadczeniu o całkowitym lub częściowym wycofaniu. Zamawiający nie będzie również zobowiązany do zapłaty za surowce i/lub materiały opakowaniowe zamówione wcześniej przez dostawcę. Dotyczy to również sytuacji, gdy Zamawiający zatwierdził ilości umowne, ilości opakowań lub partii produkcyjnych przed wydaniem oświadczenia o rozwiązaniu umowy w trybie nadzwyczajnym.

Zespół odlewniczo-walcowniczy jest elementem przeznaczonym do wykonania, w sposób ciągły, następujących procesów technologicznych: odlanie wlewka, prostowanie wlewka, cięcie wlewka, frezowanie wlewka, regulacja temperatury wlewka, walcowanie wlewka, chłodzenie walcówki, nawijanie walcówki. W wyniku przeprowadzenia opisanych procesów uzyskuje się krąg walcówki o odpowiedniej średnicy i wymiarze i wadze. Wydajność produkcyjna zespołu ma wynosić 5000 kg/1h dla aluminium w gatunku EN AW 1370. Dostarczony zespół ma umożliwiać przeprowadzenie badań nad opracowanie technologii produkcji stopów aluminium serii 2xxx, 5xxx oraz 7xxx. Elementy zespołu walcowniczego został zaprojektowany jako wynik prac rozwojowych w I etapie projektu zgodnie z posiadanym oraz opracowanym unikalnym know-how. W wyniku wykonanych procesów uzyskuje się ciekły metal o określonej temperaturze i parametrach technologicznych. Wydajność produkcyjna stacji ma zagwarantować wydajność produkcyjną zespołu odlewniczo-walcowniczego wynoszącą 5000 kg/1h dla aluminium w gatunku EN AW 1370. W wyniku procesu topienia uzyskuje się ciekłe aluminium o określonej temperaturze. Elementy stacji zostały zaprojektowane jako wynik prac rozwojowych w I etapie projektu zgodnie z posiadanym oraz opracowanym unikalnym know-how. Dostawca stacji ma dostarczyć wszystkie jej elementy, uczestniczyć przy ich montażu i integracji oraz zaprezentować poprawność działania stacji dla typowych przypadków stopów aluminium (stopy aluminium nie objęte zakresem projektu). Piec do topienia, wchodzący w skład stacji musi spełniać wymagania w zakresie emisji zanieczyszczeń dostosowanych do pozwolenia uzyskanego przez Zamawiającego.

Casting and rolling unit is an element designed to perform, continuously, the following technological processes: ingot casting, ingot straightening, ingot cutting, ingot milling, ingot temperature control, ingot rolling, wire rod cooling, wire rod winding. As a result of the described processes, a circle of rods of appropriate diameter and dimension and weight is obtained. The production capacity of the unit shall be 5000 kg/1h for aluminum in the EN AW 1370 grade. The supplied unit is supposed to enable research into the development of the technology of 2xxx, 5xxx and 7xxx aluminum alloys production. The elements of the rolling mill were designed as a result of development work in the 1st stage of the project according to the possessed and developed unique know-how. The supplier of the unit is to provide all of its components, participate in assembly and integration, and demonstrate correct operation of the unit for typical aluminum alloys (aluminum alloys not included in the scope of the project). The supplier of the casting and rolling unit is responsible for the integration (including the provision of gravitational flow of metal) of the three main components of the demonstration line:
- melting and preparation station for the chemical composition of aluminum
- refining and filtering station (subject to Part 2 of the contract),
- casting and rolling unit (subject to Part 3 of the contract).
Part 2:
R&D apparatus: Refining and filtering station - 1 pc.
Refining and filtering station is an indispensable element for the following technological processes: gas refining, filtration and structural modification. As a result of the performed processes liquid metal is obtained at a certain temperature and technological parameters. The production capacity of the station is to guarantee the production capacity of the casting and rolling unit of 5000 kg/1h for EN AW 1370 grade aluminum. The elements of the station were designed as a result of development work in the 1st stage of the project according to the possessed and developed unique know-how. The supplier of the station is to provide all of its components, participate in assembly and integration, and demonstrate correct operation of the station for typical aluminum alloys (aluminum alloys not included in the scope of the project).
Part 3:
R&D apparatus: melting and preparation station for the chemical composition of aluminum – 1 pc.
The aluminum melting station is an indispensable element for the technological melting process of a metallurgical aluminum batch with a specific production capacity adjusted to the production capacity of a casting and rolling mill of 5000 kg/1h for aluminum in the grade EN AW 1370. The melting process results in liquid aluminum at a certain temperature. The elements of the station were designed as a result of development work in the 1st stage of the project according to the possessed and developed unique know-how. The supplier of the station is to provide all of its components, participate in assembly and integration, and demonstrate correct operation of the station for typical aluminum alloys (aluminum alloys not included in the scope of the project).
