Com a aquisição a Medial replica seu modelo de operação integrada na região
São Paulo, 17 de abril de 2008 – O grupo Medial anuncia a celebração do contrato de compra para aquisição de 100% do Grupo Saúde, composto pelas empresas Serviços de Medicina, COMPLEX – Exames Complementares e Diagnósticos e Hospital e Maternidade Ana Néri. A finalização do processo de aquisição depende ainda da aprovação das autoridades competentes e da realização de due diligence (processo de auditoria das informações e documentos) que deverá ser concluída até 30 de junho de 2008.
A compra do Grupo Saúde será realizada em duas etapas: aquisição imediata de 49% das quotas por R$ 17 milhões e aquisição das quotas remanescentes, em março de 2010, pelo valor equivalente a três vezes o lucro operacional* do Grupo Saúde do exercício de 2009.
O Grupo Saúde é uma operadora integrada de planos médico-hospitalares, com 92,4% da sua carteira composta por planos corporativos. A empresa atua no estado de Pernambuco, tendo como foco principal a região metropolitana de Recife. A carteira de planos médico-hospitalares possui 79 mil beneficiários, dos quais 52 mil são também beneficiários de planos odontológicos. Também fazem parte do Grupo Saúde o Hospital Ana Néri, com 85 leitos, 9 centros médicos, 2 unidades de atendimento e 1 centro de medicina diagnóstica.
A Medial Saúde já possui uma carteira de planos médico-hospitalares com 51 mil beneficiários na região do Recife, que se utilizam essencialmente de uma rede credenciada de atendimento.
A partir da conclusão da aquisição do Grupo Saúde, a Medial passará a oferecer aos seus clientes na região um portfolio mais amplo de produtos e passará a contar com uma rede própria com hospital e centros médicos, o que melhorará ainda mais a qualidade de atendimento aos seus beneficiários. Com a implementação da estratégia de operação integrada, a Medial assegura uma importante vantagem competitiva e permite a expansão da base de beneficiários, em uma região com elevado potencial de crescimento econômico.
Outras Aquisições
Desde seu IPO (sigla em inglês para oferta inicial de ações), em setembro de 2006, o grupo Medial utiliza, como estratégia para fortalecer suas operações, aquisições de outras empresas do setor de saúde, como: a rede de laboratórios Endomed, por R$ 5 milhões, o plano odontológico E-Nova, por R$ 2,1 milhões e a operadora de planos de saúde Amesp, por R$ 253 milhões.

São Paulo, April 17, 2008 – Medial Group announces the agreement to acquire 100% of Grupo Saúde, composed of the companies Serviços de Medicina, COMPLEX - Exames Complementares e Diagnósticos and Hospital e Maternidade Ana Néri. The completion of the purchase is still dependent on approval by the competent authorities and on the due diligence process that should be finalized by June 30, 2008.
The purchase of Grupo Saúde will be done in two phases: the immediate acquisition of 49% of shares for R$17 million and the purchase of the remaining shares, in March 2010, for the equivalent of three times Grupo Saúde's operating profit* for the 2009 fiscal year.
Grupo Saúde is an integrated health insurance provider, with corporate plans composing 92.4% of its portfolio. The company operates in the State of Pernambuco, with the metropolitan region of Recife as its primary focus. Its health plan portfolio is made up of 79,000 subscribers, of which 52,000 are also subscribers of dental plans. Also part of Grupo Saúde is Hospital Ana Néri, with 85 beds, nine medical centers, two medical care units and one center for diagnostic medicine.
Medial Saúde already has 51,000 health plan subscribers in the Recife region, who primarily make use of an accredited health care network.
Once the purchase is finalized, Medial will be able to offer a broader portfolio of products to its customers in the region and rely on its own network of medical centers and a hospital, which will improve the quality of service to their clients. With the implementation of its integrated operation strategy, Medial ensures an important competitive advantage and allows the expansion of its subscriber base in a region with high potential for economic growth.
Other Acquisitions
Since its IPO in September 2006, Medial Group has acquired other companies in the healthcare industry as part of its strategy to strengthen its operations. These include: Endomed laboratory network for R$5 million, the E-Nova dental plan for R$2.1 million and the health plan provider Amesp for R$253 million.
