Source text - Portuguese 4.1.1 Define-se como “receita líquida”, para fins de apuração da remuneração das editoras PARCEIRAS, o valor total efetivamente arrecadado com a comercialização dos CONTEÚDOS, tendo como referência o mês fiscal e considerado como base de cálculo o valor arrecadado pela comercialização de assinaturas, descontados:
a) os tributos incidentes sobre a operação:
b) as despesas financeiras com meios de pagamento;
c) a remuneração de operadoras de telefonia/sites parceiros e revendedores; e
d) os cancelamentos de venda.
Translation - English 4.1.1 Net earnings is defined by XXXXX, for payment to the Licensor, as total earnings from sales receipts effected by XXXXX by subscription sales during the month in question, subtracting the following expenses:
a) Taxes levied on subscription sales:

Source text - Portuguese CLÁUSULA TERCEIRA: ESCOLHA DO CONTEÚDO.
3.1 Caberá a XXXX a escolha dos CONTEÚDOS a serem gravados em áudio para exploração na plataforma, assim como o seu período de disponibilização ao consumidor.
3.2 A PARCEIRA autoriza desde já a XXXX a disponibilizar trechos ou parte(s) dos Conteúdos licenciados de no máximo 10% do tempo de duração total do conteúdo com finalidade de promovê-las junto ao público, como elemento de sua estratégia comercial, não sendo devidos royalties sobre essa modalidade de utilização.
Neste caso, o trecho do audiolivros/conteúdos audiovisuais poderá ser acessado por não-assinantes da plataforma XXXX, e não será considerado para fins de apuração de remuneração devida a título de royalties, conforme tratado neste contrato.
3.3 A XXXX, antes de disponibilizar o áudiolivro produzido em seus canais de distribuição, submeterá os testes de locução para aprovação da PARCEIRA para que esta cumpra suas eventuais obrigações firmadas com o respectivo autor ou detentor dos direitos autoraisno sentido de autorização do CONTEÚDO produzido, voz de narração, e finalização artística (som, vozes de personagens, entonação e correlatos, se houver).
3.3.1 A PARCEIRA deverá se pronunciar em relação às alterações necessárias por escrito em até 20 (vinte) dias úteis após o recebimento do teste. Caso isto não aconteça,entender-se-á como aprovado e a XXXX dará prosseguimento na produção do CONTEÚDO nos formatos apresentados no teste e publicará o material em seus canais de distribuição.
Translation - English 3.0 CONTENT SELECTION.
3.1 XXXX will choose which books or works to record into audiobook format for commercializing through its sales and distribution channels, as well as for how long it will remain available to its end user customers.
3.2 Licensor allows XXXX to make available to the customer a preview of the audiobook , not to exceed 10% of the total audiobook’s listening time, for the purposes of marketing and product promotion. Licensor understands that no royalties on the listening of the preview edition of the audiobook will be owed to the Licensor.
Preview editions of audiobooks recorded from Content licensed from Licensor may also be made available to non-subscribers of UBOOK. Similarly in this case no royalties will be owed to the Licensor.
3.3 XXXX will submit, in order for the Licensor to meet possible copyright or license obligations owed to the author of the work, and before the commercial release of the audiobook to XXXX’s customers, a copy of the audiobook to the Licensor. It may be necessary for the author of the book to agree to the audio recording’s quality, narrator’s voices, artistic finishings, etc…
3.3.1 The Licensor must inform XXXX in writing within 20 business days of the receipt of the audiobook of any modifications that may be necessary. If there are no objections made within this time frame, XXXX will consider the audiobook as having been approved and said audiobook will be released to its commercial and distribution channels.
