IZIN PRINSIP PENANAMAN MODAL DAN IZIN USAHA

Pendaftaran Penanaman Modal :
Permohonan yang disampaikan oleh penanam modal untuk mendapatkan persetujuan awal pemerintah atas rencana penanaman modalnya.
(Proses di Badan Koordinasi Penanaman Modal).

Izin Prinsip Penanaman Modal (IPPM) :
Permohonan yang disampaikan oleh perusahaan untuk mendapatkan izin dari Pemerintah dalam memulai kegiatan penanaman modal.

Izin Prinsip Perubahan Penanaman Modal :
Izin untuk melakukan perubahan atas ketentuan yang telah ditetapkan dalam Izin Prinsip Penanaman Modal.

Izin Usaha Penanaman Modal :
Izin yang wajib diimiliki perusahaan untuk melaksanakan kegiatan produksi/komersial baik produksi barang maupun jasa sebagai pelaksanaan atas Izin Prinsip Penanaman Modal, kecuali ditentukan lain oleh peraturan perundang-undangan sektoral.
Izin Prinsip Penanaman Modal Dan Izin Usaha Penanaman Modal Asing (PMA) bisa diaplikasikan melalui Badan Penanaman Modal dan Perizinan Kabupaten Gresik, diverifikasi dan ditandatangani oleh Badan Koordinasi Penanaman Modal.


PERSYARATAN

A. Izin Prinsip Penanaman Modal
1. Permohonan ditandatangani di atas materai cukup oleh direksi perusahaan dilengkapi Surat Kuasa bermaterai cukup untuk pengurusan permohonan yang tidak dilakukan secara langsung oleh direksi perusahaan.
2. Copy Pendaftaran bagi badan usaha yang telah melakukan pendaftaran.
3. Copy Akta Pendirian perusahaan dan perubahannya.
4. Copy Pengesahan Anggaran Dasar Perusahaan dari Menteri Hukum dan HAM (untuk PT).
5. Copy NPWP.
6. Keterangan rencana kegiatan, berupa :
a. Keterangan rencana kegiatan, berupa uraian proses produksi yang mencantumkan jenis bahan baku dan dilengkapi dengan diagram alir/flow chart.
b. Uraian kegiatan usaha sektor jasa.
7. Rekomendasi dari instansi pemerintah terkait, bila dipersyaratkan.



B. Izin Prinsip Perubahan Penanaman Modal
1. Permohonan ditandatangani di atas materai cukup oleh direksi perusahaan dilengkapi Surat Kuasa bermaterai cukup untuk pengurusan permohonan yang tidak dilakukan secara langsung oleh direksi perusahaan.
2. Copy Izin Prinsip Penanaman Modal
3. Copy Akta Pendirian dan Perubahannya, dilengkapi dengan pengesahan dari Departemen Hukum dan HAM.
4. Jika terdapat perubahan bidang usaha (jenis/kapasitas produksi), maka persyaratan nomor 1 sampai dengan nomor 3, dilengkapi dengan :
a. Keterangan rencana kegiatan, berupa uraian proses produksi yang mencantumkan jenis bahan baku dan dilengkapi dengan diagram alir/flow chart.
b. Rekomendasi dari instansi pemerintah terkait, bila dipersyaratkan.
5. Jika terdapat perubahan penyertaan dalam modal perseroan), maka persyaratan nomor 1 sampai dengan nomor 3, dilengkapi dengan :
a. Kesepakatan para pemegang saham tentang perubahan penyertaan dalam modal perseroan, dalam bentuk :
Copy Risalah Rapat Umum Pemegang Saham (RUPS) / Keputusan Sirkular yang ditandatangani oleh seluruh pemegang saham dan telah dicatat/didaftarkan (waarmerking) oleh Notaris serta memenuhi ketentuan pasal 21 dan Bab VI UU Nomor 40 Tahun 2007 tentang Perseroan Terbatas, atau Copy Pernyataan Keputusan Rapat/Berita Acara Rapat dalam bentuk Akta Notaris.
b. Bukti dari pemegang saham baru, dalam bentuk :
1) Copy Akta Pendirian dan perubahannya dengan pengesahan dari Departemen Hukum dan HAM, serta rekaman NPWP bagi badan hukum Indonesia;
2) Copy Kartu Tanda Penduduk (KTP) yang masih berlaku serta NPWP bagi perorangan warga negara Indonesia;
3) Copy Paspor yang masih berlaku bagi perorangan warga negara asing;

LICENSED INVESTMENT PRINCIPLES AND BUSINESS LICENSE

Investment registration:
Petition which is submitted by investors is to get the government's initial approval of the plan capital investment.
(The process is in the Investment Coordinating Board).

Licensed Investment Principles (IPPM):
Request which is submitted by companies is to get permission from the government to start the investment activities.

Permit Change of Investment Principles:
Permission to make amendments as set out in Principle Capital Investment Permit.

Investment Business License:
Permission which is must be owned by companies is to implement activities production / commercial production of both goods and services as the implementation of the Investment Principle Permit, unless otherwise determined by sectoral legislation.

Permission Principle Investment and Foreign Investment Business License (PMA) can be applied through the Investment and Licensing Board of Gresik Regency, verified and signed by the Investment Coordinating Board.

5. If there is a change in the equity capital of the company), then the terms of number 1 to number 3, is equipped with:
a. Shareholders agreement inclusion of changes in the company's capital, in the form of:
Copy of the Minutes of the General Meeting of Shareholders (RUPS) / Circular Decision signed by all shareholders and has recorded / registered (waarmerking) by Notary and meet the provisions of Article 21 and Chapter VI of Law No. 40 of 2007 on Limited Liability Company, or a copy of Statement of Meeting Resolution / Minutes of Meeting in the form of Deed.
b. Evidence of a new shareholder, in the form of:

GAMBARAN UMUM
Kabupaten Gresik merupakan salah satu lokasi industri penting di Jawa Timur. Selain memiliki keunggulan yang berasal dari daerahnya sendiri seperti sumber daya alam, masyarakatnya, prasarana, sarana dan sebagainya, Kabupaten Gresik, memiliki keunggulan dari aspek geografis yang strategis sehingga menjadi pilihan banyak investor domestik maupun mancanegara untuk berinvestasi di daerah ini.

GEOGRAFI & TOPOGRAFI
Gresik memiliki wilayah daratan seluas 1.191,25 km2 atau sekitar 4,6 kali luas kota Surabaya, dengan panjang pantai 140 kilometer. Sedangkan luas wilayah perairan adalah 5.773,80 km2 dengan potensi besar dalam subsektor perikanan laut.
Kabupaten Gresik yang terdiri dari 18 kecamatan, 330 desa dan 26 kelurahan ini berbatasan dengan laut jawa (sebelah utara), Selat Madura dan Kota Surabaya (sebelah timur), Kab. Sidoarjo dan Kab. Mojokerto (sebelah selatan), dan Kab. Lamongan (sebelah barat).
Sebagian wilayah Gresik merupakan dataran rendah dengan ketinggian antara 0 - 25 meter di atas permukaan laut (dpl).

IKLIM
Sebagaimana kondisi iklim di wilayah lain di Indonesia, Gresik beriklim tropis dengan dua musim, yaitu, musim kemarau Juni - Oktober dan musim hujan November - Mei dengan suhu rata-rata 27,80 Celcius (terendah23,30 C dan tertinggi 330 C). Secara umum Gresik mengalami curah hujan rata-rata 128,47mm. curah hujan terendah pada Bulan Juni sebesar 2,40 mm curah hujan tertinggi Bulan Maret sebesar 292,40 mm (Gresik Dalam Angka, 2012)

KEPENDUDUKAN
Jumlah penduduk 2011 : 1.270.351 Jiwa (GDA 2012) Mengalami kenaikan sebesar 32.676 sebesar 0,026 %. Kepadatan penduduk : 1.066 jiwa/Km2. .Pencari kerja 2.906 jiwa (1.759 laki-laki, 1.147 perempuan). Dengan jumlah lulusan sarjana 458 jiwa, tamat akademi 274 jiwa, tamat SLTA 1.092 jiwa, tamat sekolah kejuruan 1.007 jiwa dan tamat SD-SLTP sebesar 75 jiwa
PEREKONOMIAN
Dalam lima tahun terakhir, laju pertumbuhan ekonomi Kabupaten Gresik selalu berada di atas angka 6 % per tahun yaitu 6.70 % (2007), 6,34 % (2008) , 6,32 % (2009) dan 6,86 % (2010) serta 6,96 % (2011) dengan sektor industri pengolahan memberikan kontribusi teratas sebesar 50,07% pada PDRB 2011, disusul dengan sektor perdagangan hotel dan restoran 22,11%, serta pertanian 8,17% sebagai kontributor utama. Sedangkan laju inflasi tertinggi terjadi pada tahun 2008 sebesar 9,56 % dan laju inflasi terendah pada tahun 2009 sebesar 5,78 %. Ekspor Gresik naik cukup signifikan dalam tiga tahun berturut-turut yaitu US$ 2.540.005.000,-pada tahun 2011, menunjukkan tren kenaikan dari angka US$ 733.262.000,-(2010) dan US$ 348.005.000,-(2009)

PEMBANGUNAN KAWASAN GRESIK UTARA
Kecamatan Bungah, Sidayu, Ujung Pangkah dan Panceng memiliki Sumber Daya Alam yang potensial dan belum dimanfaatkan secara optimal berupa bahan tambang, migas, lahan tidur pantai dan laut. Kawasan dengan luas lahan ± 6.200 Ha, tersebut sangat prospektif apabila di kembangkan sebagai Kawasan Agropolitan, Minapolitan, Industri pengolahan, Wisata Pantai dan Pelabuhan.
Di Kecamatan Manyar akan di bangun pelabuhan international dan kawasan industri, pada lahan seluas ± 3.000 Ha.
Pengembangan Gresik Utara dilengkapi dengan pembangunan Bendung Gerak Sembayat (New Sembayat Barrage) dan Instalasi Pengolahan Air Bersih (Water Treatment Plant) dengan perkiraan kapasitas 1.000 liter/detik. Pembangunan dilaksanakan bekerjasama dengan Pemerintah Pusat dan Provinsi. Pembangunan bendung gerak sembayat akan memenuhi kebutuhan penduduk dan industri, penaggulangan banjir, intrusi air laut dan kekeringan karena kesulitan air irigasi pertanian/tambak.

PEMBANGUNAN KOTA BARU GRESIK SELATAN (± 10.000 Ha.)
1. LOKASI YANG STRATEGIS
a. Terintegrasi dengan kawasan Surabaya Barat yang telah tumbuh sebagai kawasan perumahan dan perdagangan jasa strategis .
b. Merupakan daerah industri dan telah berkembang ± 162 industri besar dan ± 327 industri sedang, sehingga menjadi potensi market/demand untuk permukiman & perdagangan jasa baru
2. AKSEBILITAS
a. Dapat diakses dari segala arah (Surabaya, Sidoarjo, Mojokerto & Lamongan) dan tersedia jalan eksisting (yang dapat direvitalisasi)
b. Rencana pembangunan jalan yang dapat mengakses wilayah Kecamatan Driyorejo dan Menganti, yaitu :
- Jalan Tol Surabaya - Mojokerto, terdapat interchange di Kabupaten Gresik (± 80% panjang jalan berada di Kabupaten Gresik)

3. STRUKTUR RUANG
a. Peruntukan lahan sesuai Perda RTRW Kabupaten Gresik tahun 2010 - 2030 adalah sebagai kawasan perumahan permukiman, perdagangan jasa dan industri serta pendidikan.
b. Telah berkembang sebagai area perumahan berskala kecil maupun besar ex . Kasiba/Lisiba dengan luas ± 4.000 ha

SEKTOR INDUSTRI PENGOLAHAN
Kabupaten Gresik merupakan salah satu lokasi industri penting di Jawa Timur. Beberapa keunggulan Kabupaten Gresik yang menjadikannya terpilih sebagai lokasi investasi bagi penanam modal asing dan dalam negeri antara lain :
• Kedekatan geografis dengan Surabaya dengan segala sarana dan prasarananya.
• Di Kabupaten Gresik terdapat pembangkit tenaga listrik dengan kapasitas 2.281 MW yang terkoneksi dengan Pembangkit Jawa Bali dan didistribusikan ke konsumen lokal melalui 6 (enam) unit gardu induk.

• Kabupaten Grresik memiliki 8 (delapan) pelabuhan khusus untuk aktivitas industri yang dapat di gunakan melakukan bongkar muat kayu gelondong, kayu lapis, batu bara, pupuk dan hasil industri lainnya. Terdapat pula beberapa pelabuhan khusus atau dermaga milik perusahaan yang dapat di manfaatkan oleh pihak ketiga yaitu :

4. Pelabuhan khusus PT. Smelting (kapasitas 35.000 DWT)

6. Pelabuhan khusus galangan kapal PT. Indonesia Marina Shipyard (kapasitas 50.000 DWT)

Di Kabupaten Gresik pada tahun 2011 terdapat 163 industri besar dan 324 industri menengah yang menghasilkan berbagai produk, di antaranya :
 Produk Petrokimia, baik yang merupakan produk antara (intermidiate product) untuk dimanfaatkan sebagai bahan baku produksi maupun produk akhir yang dapat dimanfaatkan secara langsung.
 Bahan kimia anorganik.
 Logam dan hasil olahannya, termasuk mesin dan peralatannya.
 Makanan dan minuman.
 Kayu lapis, produk kayu dan rotan, termasuk furniture.

Gresik Regency is one of the important industrial sites in East Java. Gresik Regency is not only has the advantages which is derived from its own regions such as natural resources, its people, infrastructure, facilities and so on, but also has the advantages of its strategic geographical aspects that become the choice of many domestic and foreign investors to invest in this area.

The Geography and Topography
Gresik Regency has a land of 1191.25 km2 area or approximately 4.6 times the size of Surabaya with a 140 kilometer long beach. While the waters area is 5773.80 km2 with great potential in marine fisheries subsector.
Gresik Regency is composed of 18 districts, 330 villages and 26 urban villages which is bordered by Java Sea (north), and the Madura Strait of Surabaya (east), Sidoarjo regency and Mojokerto regency (south), and Lamongan regency (west). Gresik Regency is partly lowland areas with an altitude of between 0-25 meters above sea level (asl).

The Climate
As the climatic conditions in other parts of Indonesia, Gresik Regency has tropical climate with two seasons, they are, the dry season from June to October and the rainy season from November to May with an average temperature of 27.80 Celsius (the lowest is 23.30 and the highest is 33.00 C). In General, Gresik Regency is experienced an average rainfall 128.47 mm. lowest rainfall in June is 2.40 mm in the highest rainfall in March is 292.40 mm (Gresik in Figures, 2012).

The Demography
Total population of Gresik Regency in year of 2011 is 1,270,351 inhabitants (GDA 2012). It experiences an increase of 32.676 or 0.026%. Population density is 1.066 inhabitants/ km2. Job seekers are 2,906 inhabitants (1,759 men, 1,147 women). With the number of scholar graduation is 458 inhabitants, the academy graduation is 274 inhabitants, graduation of senior high school is 1.092 inhabitants, vocational school graduation is 1,007 inhabitants and for primary school to junior high graduation are 75 inhabitants.

The Economy
In the last five years, the pace of economic growth of Gresik regency remained above 6% per year rate. They are 6.70% (2007), 6.34% (2008), 6.32% (2009) and 6.86% (2010) and 6.96% (2011) with the manufacturing sector contributes 50.07% on top of GDP in year of 2011, it is followed by trade, hotels and restaurants sector, it is 22.11% and 8.17% and agriculture as the main contributor. While the highest inflation rate in year of 2008 was 9.56% and the lowest inflation rate in year of 2009 was 5.78%. Gresik Regency exports rose significantly in three consecutive years, it is U.S. $ 2.540.005.000. in year of 2011, it shows an upward trend from U.S. $ 733,262,000, in (2010) and U.S. $ 348,005,000, in (2009)

DEVELOPMENT AREA IN NORTH OF GRESIK
The subdistrict of Bungah, Sidayu, Ujung Pangkah and Panceng have a potential natural resources which have not been used optimally in the form of mining, oil and natural gas, an idle land, sea and coastal. The area with a land area of 6,200 Ha ± is a highly prospective area if it is developed as agropolitan, minapolitan, manufacturing, tourism and harbour beach.

In the subdistrict of Manyar, it will be built an international port and industrial area, in the land area of ± 3,000 Ha.

The development of Gresik North comes to the construction of Bendung Gerak Sembayat (New Sembayat Barrage) and the Water Treatment Plant (Water Treatment Plant) with an estimated capacity of 1,000 liters / sec. The development is carried out in collaboration with the Central and Provincial Government. The construction of Bendung Gerak Sembayat will meet the needs of the population and industry, combating floods, droughts and sea water intrusion due to the difficulty of agricultural irrigation water or pond.

3. SPATIAL STRUCTURE
