1.1. Pracodawca zatrudnia Pracownika na stanowisku [ ] w pełnym wymiarze godzin (w wymiarze jednego etatu).

1. Najemca zobowiązuje się do płacenia Wynajmującemu czynszu miesięcznego w wysokości 704 PLN (słownie: siedemset cztery złote ) + VAT (podatek od towarów i usług według stawki przepisanej prawem). Zmiana czynszu wskutek zmiany stawki VAT następuje automatycznie w chwili wejścia w życie przepisów zmieniających stawkę tego podatku. Czynsz jest płatny z góry do 15-go dnia każdego miesiąca za dany miesiąc.
2. Ze skutkiem od pierwszego stycznia każdego roku kalendarzowego czynsz oraz opłata ryczałtowa o której mowa w ust. 4 ulega waloryzacji o wskaźnik wzrostu cen towarów i usług konsumpcyjnych według danych Głównego Urzędu Statystycznego w poprzednim roku kalendarzowym. Zwaloryzowaną wartość czynszu i opłaty ryczałtowej o której mowa w ust. 4 wskazuje Wynajmujący w oświadczeniu złożonym Najemcy po publikacji wyżej wymienionego wskaźnika. 1. The Tenant agrees to pay to the Landlord the monthly rent of PLN 704 (in words: PLN seven hundred and four] + VAT (tax on goods and services at the rate prescribed by law). Change in the amount of rent is automatically effected on the date on which legal provisions changing the rate of this tax enter into force. The rent is payable in advance until the 15th day of each month for a given month.
2. With effect from the 1st January of each calendar year, the rent and the flat-rate fee referred to in subparagraph 4 shall be subject to adjustment based upon the consumer price index for the preceding calendar year pursuant to the data of Główny Urząd Statystyczny [Central Statistical Office].The adjusted amount of the rent and the flat-rate fee referred to in subparagraph 4 shall be indicated by the Landlord in a declaration made to the Tenant after the announcement of the said index. If the declaration was made after the invoice specifying the amount of the rent and fees for a given month had already been issued, the Landlord shall issue to the Tenant an additional invoice for the amount of the difference between the adjusted rent and the prior the rent. The Landlord's failure to make the declaration indicating the adjusted amount of the rent and the flat-rate fee referred to in subparagraph 4 until the last day of February of a given calendar year equals to resignation from adjustment in that year.

a) udziały, o których mowa w pkt. 2 niniejszej Umowy, nie mają wad prawnych, w szczególności nie są obciążone żadnymi prawami osób trzecich, w szczególności prawem zastawu (w tym skarbowego Iub rejestrowego) ani użytkowania, jak również nie zostały zajęte w ramach postępowania egzekucyjnego,

b) subject to point 5 of this Agreement, no priority or pre-emption rights are vested in any third parties with respect to the shares referred to in point 1 of this Agreement, and that there exist no obstacles to alienating these shares, as well as that he does not know about any claims of the third parties the satisfaction of which would be partly or fully impossible as a result of the conclusion of this Agreement, in particular that the conclusion of this Agreement neither leads to the detriment of their creditors nor makes the satisfaction of the claims of a third party against them partly or fully impossible (i.e. in particular it does not give rise to any claims under Articles 59 or 527-534 of the Civil Code),
c) he has no liabilities to the Company on account of the considerations related to the shares he holds referred to in point 2 of this Agreement,
d) no application for the removal the Company from the register has been filed as a result of liquidation conducted, the bankruptcy of the Company has not been declared, and that to the best of his knowledge no petition for the bankruptcy of the Company has been filed, as well as that recovery proceedings have not been commenced in reference to the Company,

The ownership of the sold shares of the Company and the right to exercise the voting rights attaching to them shall pass to the Buyer upon the fulfilment of the condition precedent, that is at the time at which all the other shareholders of the Company submit effective offers for the sale of all the shares held by them and conclude not later than until 31st March 2015 sale agreements with the Buyer guaranteeing that the Buyer acquires all the shares in the Company.

ODBIÓR
Po każdej dostawie następuje fizyczna kontrola towaru, mająca na celu sprawdzenie dostarczonej ilości i integralności towaru.
Fizyczny odbiór zostanie potwierdzony podpisem wszystkich dostarczonych dokumentów przez KUPUJĄCEGO.
Każda ze stron przyjmuje na siebie koszt fizycznego odbioru.
ARTYKUŁ 11:
SIŁA WYŻSZA
Siła Wyższa zwalnia strony z obowiązku wykonania ich zobowiązań określonych w umowie, w czasie występowania skutków siły wyższej.
Strona zgłaszająca wystąpienie siły wyższej powiadomi drugą stronę o jej wystąpieniu bezzwłocznie i wyczerpująco, oraz podejmie wszelkie możliwe działania w celu zniwelowania skutków siły wyższej.
Okoliczności siły wyższej, które uniemożliwiają jednej ze stron wykonanie zobowiązań wynikających z niniejszej umowy, całkowicie lub częściowo, mogą zostać przedstawione drugiej stronie przez stronę, która zgłasza rzeczone okoliczności na piśmie nie później niż 3 dni od momentu, kiedy okoliczności siły wyższej wystąpiły, oraz w ciągu następnych 15 dni rzeczona strona przedstawi świadectwo, wydane przez upoważnione organy, stwierdzające fakt wystąpienia zdarzenia, ustalenia prawne oraz czas trwania zdarzenia.
ARTYKUŁ 13:
ROZWIĄZYWANIE SPORÓW
DOSTAWCA oraz KUPUJĄCY podejmą wszelkie działania w celu rozwiązania sporu, który może powstać w związku z niniejszą umową.
Niniejsza Umowa podlega Regulacji INCOTERMS 2000, wydanej przez Międzynarodową Izbę Handlu w Paryżu. W przypadku, gdy strony nie mogą dojść do porozumienia w powstałym sporze, zostanie on przekazany do rozstrzygnięcia organom prawa Republiki Mołdawii .
Spór zostanie rozstrzygnięty w oparciu o warunki umowy oraz zgodnie z przepisami prawa Republiki Mołdawii.

THE RECEIPT
Each delivery shall be followed by a physical inspection of goods which is intended to verify the quantity and completeness of the goods.
The BUYER shall confirm the physical receipt by signing all of the documents delivered.
Each party shall assume the cost of the physical receipt.
ARTICLE 11:
FORCE MAJEURE
Throughout the duration of the effects of force majeure, Force Majeure shall discharge the parties from the performance of their obligations specified in the agreement
The party which reports the occurrence of force majeure shall exhaustively inform the other party about its occurrence forthwith and take all possible measures in order to reduce its effects.
The party which reports the circumstances of force majeure preventing it in full or in part from the performance of its obligations under this agreement may present these circumstances to the other party in writing not later than within 3 days of their occurrence, and during the following 15 days shall present a certificate issued by authorised bodies which ascertains the occurrence of the event, legal arrangements*, and the duration of the event.

ARTICLE 13:
DISPUTE RESOLUTION
The SUPPLIER and the BUYER shall take all measures in order to settle a dispute which may arise in connection with this agreement.
This Agreement shall be subject to INCOTERMS 2000 Rules issued by the International Chamber of Commerce in Paris. If the parties cannot reach an agreement in a dispute, it shall be referred to the authorities of the law of the Republic of Moldova for resolution.
The dispute shall be resolved on the basis of the terms of the agreement and in accordance with the laws of the Republic of Moldova.

I am a Polish-English and English-Polish certified (sworn) translator with a legal background. I also run courses in English for Specific Purposes.
My qualifications include a sworn translator's certificate awarded by the Polish Minister of Justice, a Bachelor's Degree and Master's Degree in English (teaching and business specializations), a Master's Degree in law (a five-year program), Postgraduate Translation Studies, the Certificate of Proficiency in English (CPE), and the Test of Legal English Skills (TOLES) Advanced. I have defended a master's thesis on Polish-English legal translation and published three papers on legal issues.
As a translator, I have worked on a variety of content (official documents, websites, applications, articles, etc.), including general and specialized language. I am especially interested and experienced in the areas of law (e.g., contracts, judgments, wills, etc.), business, finance, tourism, IT and academic texts.
