Abstract: The dissertation argues that the Communist Party of China (CPC) was a force of modernity. It employed modern management techniques to carry out opera reform, brought in modern concepts, such as love-based marriage, anti-superstition and anti-patriarchy, when producing opera film and show a worship of technology in promoting the genre.
My study also demonstrates that Chinese Communists' production of opera film was not merely out of nationalistic concern; instead they skillfully merged revolutionary ideas with "traditional" Chinese culture in creating a powerful instrument to disseminate the revolutionary messages, such as resistance to oppressions, struggle for liberation, and relentless pursuit of freedom and justice. It was due to the attractions of both "Chineseness" and the liberating force of revolution that the genre gained a great success in the PRC as well as other Chinese communities. Though the Communist cultural product had to be repackaged carefully with languages and metaphors associated with "Chineseness," it is undeniable that the revolutionary messages themselves enchanted people in capitalist societies.
The Communists' efforts of cleaning "vulgarity" off the stage and gaining the common people dignity even influenced the productions of commercial film studios in capitalist-colonial Hong Kong through the latter's remaking of the popular PRC-made opera films. Hong Kong filmmakers had to compromise and blend commercial strategies with progressive ideologies. To maximize profits, commercial studios appropriated and adulterated the PRC products and at the same time preserved and renovated certain old gimmicks to cater to the taste of moviegoers in the Colony.

Abstract: The use of Twitter, Facebook, YouTube, and other social media in the Arab Spring, #Occupy Wall Street, and Mexico's #YoSoy132 student movement have all generated excitement about the new uses of digital technology in organized social movements. This dissertation concerns itself with media and social transformation, but recognizes that even as media content can have a deep impact on society and culture, it is ultimately human beings who create and use technology off screen for our own purposes. This dissertation focuses ethnographically on one social movement, the Frente de Pueblos en Defensa de la Tierra (The Peoples' Front in Defense of Land) of San Salvador Atenco on the outskirts of Mexico City, and their relationships with a range of national and international filmmakers. Through examining the daily practices of producing and distributing social documentary films, I show how people used media as an ethical and political practice to purposefully shape and transform face-to-face human relationships. I argue that filmmaking and distributing was one set of practices through which people attempted to cultivate a collectivist disposition called compañerismo, and through which they could build partial autonomies from the state and corporate capitalism. I argue that the historical shift from 'resistance' political practices to 'autonomy' practices represents a significant departure for contemporary transnational social movements, and signifies a trend away from a Marxist tradition of organizing and toward greater articulation with anarchist thinking and organizing. The cultivation of compañerismo is part of this shift and is indicative of a partial relocation of objectives away from institutional, legal, and policy changes and toward personal and collective transformations of self. I argue that the intersection between cultural production and self production is a crucial locus for examining how social movements help to bring about elusive social and cultural changes that exist outside the grasp of legal and institutional frameworks. These arguments build from and contribute to three large bodies of anthropological research: a political anthropology interested in social movements, a visual anthropology interested in media production, and a broad theoretical anthropological interest in transformations of self, society, and culture through practice.

وكان صناع السينما فى هونج كونج قد اضطروا إلى القبول بحل وسط من خلال مزج الاستراتيجيات التجارية بالأيدولوجيات التقدمية التحررية ,ومن أجل تعظيم الأرباح قد قامت الاستديوهات التجارية بالاستيلاء على الإنتاج السينمائى لجمهورية الصين الشعبية وتزييفه مع الاحتفاظ ببعض الحبكات السينمائية القديمة فى نفس الوقت وتجديدها لتلبية أذواق رواد السينما فى المستعمره آنذاك.

alleviate you of any of your obligations or liabilities under the Contract, nor shall this affect the rights or
authorities conferred on us as the Employer or the Engineer under this Contract.
As the Employer will proceed and employ another Contract~r to complete the said Works, you are
hereby instructed that in accordance with Sub Clause 63.1, the Employer or such other Contractor may
decide to use your site equipment, temporary works or materials as they may think proper to allow
them to complete the said Works. On this basis, no site equipment, temporary works or materials shall
be removed from site without the expressed written permission of the Engineer.
Arrangements will be made by the Engineer to receive copies of all drawings, orders, invoices, payment
applications, test results, schedules, programs, delivery dockets, specifications, value engineering
proposals, schedule of rates, bills of quantities, sub contracts, supplier orders and the like to ensure all
relevant information is provided to the Employer to allow them to proceed with the Works.
All Works completed to date by ..... Contracting LLC, inclusive of any orders placed for long lead items
materials will be assessed in accordance with Sub Clause 63.2 (Valuation at Date of Termination). To
allow an accurate assessment to be completed, .... Contracting LLC will be required to provide all
necessary information as requested by the Engineer. This valuation may include but not be limited to
the following:
., Conducting a joint site survey to identify and agree the standard of works performed on site at
the point of termination
,. A full photographic record along with marked up drawings to record the site conditions and
works performed shall be prepared and agreed in writing between the parties
a Any necessary or urgent remedial works will be agreed between the parties and dealt with in
accordance with Sub Clause 64.1
., Copies of any outstanding Non Conformance Reports will be discussed and the appropriate
action agreed with the Engineer
'" Information relating to any long lead items placed, current orders placed and any existing
agreements with suppliers and sub contractors shall be provided with all rights to be assigned to
the Employer in accordance with Sub Clause 63.4
Once the above handover of the Site and Works has been conducted, any payments deemed due to
Contracting LLC shall be dealt with under Sub Clause 63.3 (Payment after Termination).
Translation - Arabic استنادًا إلى الخطابات المذكورة أعلاه، فإنه يؤسفنا إخباركم بفسخنا لعقد شركة .. للمقاولات ش.ذ.م.م لمشروع .... وفقًا للفقرة 63.1 من الشروط العامة للعقد.
فحيث أنكم على دراية بالمخاوف الجادة التي تم إخطاركم كتابةً بها رسميًا خلال الشهور السابقة فيما يتعلق بعدم إحراز أية تقدم في الموقع كما أنه من الواضح عدم إجراء أية تحسينات حتى الآن دون اعتبار للخطابات والإخطارات العديدة المُرسلة بخصوص هذا الشأن.
وحسب الفقرة 63.1 من الشروط العامة للعقد، نرسل بموجبه إخطارًا بالفسخ لشركة ..... للمقاولات ش.ذ.م.م نتيجة للأسباب التالية:
الفقرة 63.1 (ب) – التقصير بدون عذر مقبول في؛
(2) استكمال الأعمال، أو أي قسم منها، خلال 28 يومًا بعد استلام إخطار استنادًا إلى الفقرة 46.1 (معدل التقدم)،

حسب ما تم إخطاركم به رسميًا في خطابنا المشار إليه بخطاب .... AFCT257 /L TTR/1408/13 بتاريخ 28 نوفمبر 2013، و؛
الفقرة 63.1 (د) – التقصير بدون عذر مقبول؛
بالرغم من الإنذارات الكتابية المسبقة من المهندس، وبالرغم من ذلك استمر الإهمال الصارخ للوفاء بالتزاماتكم بموجب العقد.
حسب الفقرة 63.1، تُسلَم بموجبه إخطار قبل أربعة عشر يومًا (14) بنية صاحب العمل استلام الموقع والأعمال وفسخ استخدام شركة... للمقاولات ش.ذ.م.م من تاريخ هذا الإخطار، لا يلزم أن يحد هذا الفسخ، حسب شروط العقد، من أيًا من التزاماتك أو مسئولياتك بموجب العقد، كما لا يلزم أن يؤثر على الحقوق أو السلطات المُسندة إلينا كصاحب العمل أو المهندس بموجب هذا العقد.
حيث أن صاحب العمل سيواصل ويوظف مقاول آخر لإكمال الأعمال المذكورة، فإنك تعلم بموجبه ووفقًا للفقرة 63.1 أنه يجوز لصاحب العمل أو لذلك المقاول الآخر أن يقرر استخدام معدات الموقع، أو الأعمال المؤقتة، أو المواد حيث ربما يجدوا من المناسب أن تسمح لهم بإكمال الأعمال المذكورة، وعلى هذا الأساس، لا ينبغي إزالة معدات الموقع، أو الأشغال المؤقتة، أو أية مواد من الموقع إلا بإذن كتابي صريح من المهندس .
سيعد المهندس ترتيبات استلام نسخ من كل الرسومات، والأوامر، والفواتير، واستمارات الدفع، ونتائج الاختبار، والجداول، والبرامج، والدعاوى المُستلمة، والمواصفات، والمقترحات الهندسية للقيمة، وجدول المعدلات، وفواتير الكميات، والمقاولات من الباطن، وأوامر المورد، وما شابه لضمان توفر كل المعلومات ذات الصلة لصاحب العمل مما يسمح لهم بمواصلة الأعمال.
ستُقيم كل الأعمال المُكتملة بواسطة شركة .... للمقاولات ش.ذ.م.م بما في ذلك كل الأوامر الصادرة للعناصر والمواد التي تستغرق فترة زمنية طويلة وفقًا للفقرة 63.2 (التقييم في تاريخ الفسخ)، فيُطلَب من شركة .... للمقاولات ش.ذ.م.م توفير كل المعلومات اللازمة كما يحددها المهندس للسماح بإتمام تقييم دقيق، ربما يشمل هذا التقييم على سبيل المثال لا الحصر ما يلي:
إجراء مسح مشترك للموقع لتحديد والموافقة على إذا ما كان معيار الأعمال ينطبق على الموقع عند الفسخ.
سيتم الاتفاق بين الأطراف والتعامل مع أي أعمال إصلاحات ضرورية أو طارئة وفقًا للفقرة 64.1
ستُناقش نسخ من أية تقارير معلقة بعدم المطابقة وسيُتفق على التصرف السليم مع المهندس
يلزم توفير المعلومات المتعلقة بأية بنود موضوعة تستلزم مدة زمنية طويلة، وأوامر حالية صادرة، وأي اتفاقات قائمة مع الموردين ومقاولي الباطن مع التنازل لصاحب العمل عن كافة الحقوق وفقًا للفقرة 63.4
ينبغي التعامل مع أي مدفوعات مُستحقة لشركة ..... ش.ذ.م.م بموجب الفقرة 63.3 (المدفوعات بعد الفسخ) بمجرد تسليم الموقع والأعمال المذكور أعلاه.

Dear Sir,
Our firm has been retained by ..... SE, Mannheim, Germany (being the legal successor of ......... AG Civil, hereinafter “...”).
This is with reference to your meeting with ... dated April 27, 2015 and also to the audited financial statements (“Financial Statement”) of the joint venture (“JV”), between our client and ...... Development and Construction L.L.C (“.....") submitted to you for the year ended December 31, 2013. The JV was established through a joint venture agreement dated September 16, 2006, as amended by Addendum I dated January 16, 2006 (“JV Agreement“). We understand that pursuant to the decision no. 255/2009 of Abu Dhabi Court of First Instance, issued on April 13, 2009, you (“Liquidator”) have been appointed as the Liquidator of the ..... and...... has been in liquidation since the date of the said decision.
The JV entered into a contract (“Main Construction Contract”) with the Public Works Authority (“Ashghal”) for the construction and completion of the 22nd February Street and Al Amir Street upgrading and interchanges project. Ashghal expelled the JV from the project site through its letter dated August 27, 2009 on grounds of an alleged continual breach of the Main Construction Contract.
It is relevant to mention here that ..... has throughout been a passive JV partner, and has come up with no contribution to the JV. BB has to date financed fully the operations of the JV while ...... has not contributed in any manner to the JV or supported the JV´s interests since the inception of the JV. Further, ...... was not able to fulfill its part of the obligations under the JV and has failed to make monetary contributions in accordance with its share of participation in the JV such as towards procuring the issuance of performance security and bonds in the form of bank guarantees pursuant to the requirements of the Main Construction Contract.
The JV has incurred losses from the outset, mainly due to ....’s inability to fulfill its obligations under the JV Agreement and faces further financial losses:
• A sub-contractor to the JV has filed a case against the JV (“Claims by Sub-Contractor”), claiming damages suffered because of expelling him from the project. The JV has made a provision of QR 242,687,979 (2012: QR 226,587,370) in its accounts against these claims based on an arbitration award by an international Arbitration Court in Switzerland. The Sub-Contractor has commenced several proceedings in Qatar with the goal of enforcing the award against the JV in Qatar. .. has engaged legal counsel to represent the JV, BB as well as ....´s interests in these proceedings. It should be noted that all legal bills, which have considerable amounts already now, have been paid entirely by ...
• Ashghal commenced legal proceedings against ... and ...... and .., in its response, filed its counter-claims against Ashghal amounting to QR 1,743,194,999. The legal proceedings are continuing to this date. Currently, the matter is before the Claims and Compensation Committee (“CCC”) (Finance Ministry of Qatar). Ashghal and the CCC require BB to produce a consent of .... in form of a power of attorney (“PoA”) which duly allows BB to collect any award by Ashghal on behalf of the JV. The CCC has indicated that it will not uphold its offer to settle the proceedings with an award favorable to JV for an unlimited period of time, and that - since there are a number of disputes pending in relation to the Main Construction Contract - there exists some uncertainty over the prospects of the JV recovering its claims from Ashghal, should the proceedings continue.
.... has defaulted on a number of its obligations under the JV Agreement by not contributing to the JV.
• Under Article 3.1, .... is obliged to participate in all rights and obligations within the JV, especially in profit and loss and in the payment of cash contributions or in the furnishing of other sureties in the proportion of 10%.
• Pursuant to Article 3.2, any liability of the JV towards third Parties shall be shared and allocated in proportion to the JV Partners’ respective participation.
• Accordingly, Article 3.3 of the JV Agreement obliges ...... to indemnify .. against all liabilities incurred by .. in excess of its own participation in the JV.
Based on the above, we hereby request in the name and on behalf of our client, subject to further claims:
• Payment from ..... in the amount of [INSERT] as proportionate indemnification of BB’s liability towards [*], and participation of JV’s losses, all up to the date of the Financial Statements [INSERT NUMBERS/ FACTS/DOCUMENTS]. BB has been solely financing the activities of the JV and are now entitled to be reimbursed with the same under the said indemnification.
• Inclusion of the above debts and our client as creditor in the official list of debts and creditors of .... to be established by the Liquidator in accordance with UAE Law. We hereby formally ask for notification, should any further documentation or acts be required heretofore.
• Grant of your consent to the settlement and award offered by Ashghal and the CCC: In the interest of ...., its creditors and the JV, We hereby request the execution of
o the PoA (attached herewith as annexure 1) which would allow BB to enter into a settlement with Ashghal and receive the award from CCC on behalf of the JV; and
o the winding-up agreement (“Winding-up Agreement”) (attached herewith as annexure 2) between BB and ..... to duly record the dissolution of the JV. to ensure that the JV ceases to accrue any further losses. As you can see therein, BB is willing to waive claims and bear all costs and losses incurred from signing thereof until wind-up of the JV.
By not acceding to BB’s above requests to grant such consent, .... represented by its Liquidator will violate its contractual and statutory duties under the JV Agreement. Not only is .... obliged to such act under the general principles of the applicable governing Swiss law, but the JV Agreement explicitly places such major decisions (e.g., major claims, arbitration, or litigation against Ashghal) at the discretion of BB, namely the JVB, which – in case an unanimous resolution cannot be reached – may take a majority vote. In other words, the JV partners explicitly agreed that BB’s decision shall prevail in case of conflict over such issue.
Finally, we take the liberty to remind the Liquidator of his statutory obligations under UAE law, namely
• to act in the best interest of the company in liquidation,
• not to cause any damage to the company, the shareholders, the partners or the creditors
• not to mismanage the company
• to maintain the assets and rights of the company and collect the debts of the company from third parties.
As you are aware, in case of violation of the above duties, UAE Commercial Companies Law (Federal Law No. 2 of 2015) provides for civil as well as criminal liability of the Liquidator.
Granting the above consent by signing the POA and the Winding-up Agreement represent – from a reasonable point of view - the only option to settle the JV’s disputes with Ashghal, avoid further liability to AHDC through the JV on account of Ashghal’s claims (that would subsist in the absence of a settlement), and to ensure some payment to BB, thereby reducing ..... share of losses considerably.
To be clear: In the absence of a settlement with Ashghal and formal termination of the JV, .... may incur further substantial liability towards Ashghal as well as towards BB. We urge you to fully appreciate the tremendous risks that .... and you as the Liquidator are faced with in allowing the situation to continue unresolved.

بالرجوع إلى اجتماعكم مع شركة ..... بتاريخ 27 أبريل 2015 بالرجوع وأيضًا إلى البيانات المالية المراجعة ("البيانات المالية") للمشروع المشترك (".....") بين عميلنا وشركة ...... للإنماء والتعمير ذ.م.م ("......") المقدمة لكم عن العام المُنتهي في 31 ديسمبر 2013، فأسس المشروع المشترك من خلال اتفاق المشروع المشترك بتاريخ 16 سبتمبر 2006، وصيغته المعدلة في ملحق 1 بتاريخ 16 يناير 2006، ("اتفاق المشروع المشترك")، فنحن نتفهم أنه استنادًا إلى قرار رقم 255/ 2009 لمحكمة أبو ظبي الابتدائية الصادر في 13 أبريل 2009، عين ("مأمور التصفية المعين") كمأمور تصفية معين لشركة آل حامد للبناء والتعمير (.....) الخاضعة للتصفية منذ تاريخ القرار المذكور.
وقع المشروع المشترك عقد ("عقد البناء الأساسي") مع سلطة الأشغال العامة )"الأشغال") لبناء وإكمال مشروع تقاطعات وتحديث شارع 22 فبراير وشارع الأمير، طردت الأشغال المشروع المشترك من موقع المشروع خلال خطابه بتاريخ 27 أغسطس 2009 لأسباب تتعلق بالخرق المزعوم المستمر لعقد البناء الأساسي.
يتصل ذلك بأن نذكر هنا أن شركة ....... للبناء والتعمير ..... أصبحت شريك مدين للمشروع المشترك JV ولم تأتِ بأي إسهام للمشروع المشترك، موّلت شركة ... حتى الآن عمليات المشروع المشترك JV بالكامل في حين لم تساهم شركة آل حامد للبناء والمقاولات ..... بأي شكل في المشروع المشترك أو دعمت مصالح المشروع المشترك JV منذ بدء المشروع، وإضافة إلى ذلك لم تكن شركة آل حامد للبناء والمقاولات .... قادرة على الوفاء بجزء الالتزامات الخاص بها بموجب المشروع المشترك JV إضافةً إلى عدم قدرتها على تقديم إسهامات نقدية وفقًا لنصيبها من المشاركة في المشروع المشترك JV مثل شراء إصدار سندات ضمان وكفالة الأداء في شكل ضمانات بنكية استنادًا إلى متطلبات عقد البناء الأساسي.
تكبد المشروع المشترك JV خسائر منذ البداية والتي كانت نتيجة أساسًا لعدم قدرة آل حامد للبناء والمقاولات ..... على الوفاء بالتزاماتها بموجب اتفاق المشروع المشترك JV
وتواجه خسائر مالية إضافية:
• أقام مقاول المشروع المشترك JV من الباطن دعوى ضد المشروع المشترك JV ("دعاوى المقاول من الباطن") مطالبًا بتعويض بسبب طرده من المشروع، فكان المشروع المشترك JV قد أخذ الحكم رقم
QR 242,687,979 (2012: QR 226,587,370) بعين الاعتبار ضد هذه الدعاوى القائمة على قرار تحكيم من محكمة التحكيم الدولية في سويسرا، بدأ مقاول الباطن إجراءات عديدة في قطر بهدف إنفاذ الحكم ضد المشروع المشترك JV في قطر، وكلت شركة ..... مستشار قانوني لتمثيل مصالح المشروع المشترك JV، وشركة ....، إضافة إلى شركة ...... للبناء والمقاولات ..... في هذه الإجراءات، فينبغي ملاحظة أنه قد تم بالفعل سداد كل الفواتير القانونية ذات المبالغ الكبيرة الآن، حيث سددتها شركة ..... بالكامل.
• بدأت الأشغال في الإجراءات القانونية ضد شركة ... وردًا على ذلك، رفعت شركة ...... والمقاولات .... وشركة .. دعواهم المضادة ضد الأشغال البالغة قيمتها 1.743.194.999، والإجراءات القانونية مستمرة لهذا التاريخ، والقضية حاليًا أمام لجنة الدعاوى والتعويضات ("CCC") (وزارة المالية القطرية).
تطالب الأشغال ولجنة الدعاوى والتعويضات (CCC) شركة..... بإبراز موافقة شركة..... للبناء والمقاولات..... في شكل توكيل يسمح لشركة ..... أن تصادر قانونًا أي قرار بواسطة الأشغال بالنيابة عن المشروع المشترك JV. أشارت لجنة الدعاوى والتعويضات (CCC) أنها لن تحفظ عرضها لتسوية الإجراءات بقرار مؤاتٍ للمشروع المشترك JV لفترة غير محددة من الوقت، وهذا منذ كان هناك عدد من النزاعات المعلقة المرتبطة بعقد البناء الأساسي- حيث يوجد بعض الغموض حول توقعات استرداد المشروع المشترك JV دعاواه من الأشغال إذا استمرت الإجراءات.
تعثرت شركة آل حامد للبناء والمقاولات ...... في عددًا من التزاماتها بموجب اتفاق المشروع المشترك JV وذلك بعدم مساهماتها في المشروع المشترك JV.
• بموجب المادة 1.3، تلتزم شركة...... للبناء والمقاولات .... بالمشاركة في كافة الحقوق والالتزامات ضمن المشروع المشترك JV، وخاصة في الربح والخسارة وفي سداد المساهمات النقدية أو في تمويل الكفالات الأخرى بنسبة 10%.
• استنادًا إلى المادة 3.2، يتعين أن تتقاسم وتخصص أي مسئولية للمشروع المشترك JV تجاه الغير بنسبة لمشاركة كل من شركاء المشروع المشترك JV.
• وبالتالي، تلزم مادة 3.3 من المشروع المشترك JV شركة ........ ......... أن تعوض شركة BB عن كل المسئوليات الناجمة عن شركة BB فيما يتجاوز حدود مشاركتها في المشروع المشترك JV.
واستنادًا لما تقدم، فنحن بموجبه نطلب باسم وبالنيابة عن عميلنا، بموجب دعاوى أخرى:
• دفعة من شركة آل حامد للبناء والمقاولات ...... بقيمة [ أدخل] كتعويض متناسب لمسئولية شركة BB تجاه [*]، ومشاركة خسائر المشروع المشترك JV، وكلها حتى تاريخ البيانات المالية [ أدخل أرقام/ حقائق/ وثائق]، حيث تموّل شركة BB بمفردها أنشطة المشروع المشترك JV ويحق لهم الآن الحصول على تعويض بالمثل بموجب التعويض المذكور.
• وبإدراج الديون أعلاه وعميلنا كدائن في قائمة ديون ودائني شركة ........ ...... الرسمية لتشكيلها بواسطة مأمور التصفية المعين وفقًا لقانون الإمارات العربية المتحدة، فنحن نطلب رسميًا بموجبه إشعار إذا ما طُلبت أي توثيق أو أعمال فيما سبق.
• منح موافقتك على التسوية والقرار المُقدم بواسطة أشغال ولجنة الدعاوى والتعويضات (CCC): لمصلحة شركة ..... للبناء والمقاولات .....، ولدائنيها، وللمشروع المشترك JV، فنحن نطلب بموجبه تنفيذ:
o التوكيل (المرفق مع هذا كملحق 1) الذي يسمح لشركة ..... بعقد تسوية مع الأشغال واستلام القرار من لجنة الدعاوى والتعويضات (CCC) بالنيابة عن المشروع المشترك JV؛ و
o اتفاق التسوية ("اتفاق التسوية") (المرفق مع هذا الخطاب كملحق 2) بين شركة ... وشركة ...... للبناء والمقاولات ...... لتسجيل تصفية المشروع المشترك JV لضمان توقف المشروع المشترك JV عن العودة بخسائر إضافية، حسب ما يمكنك الاطلاع عليه هنا ترغب شركة ..... في التنازل عن الدعاوى وتحمل كافة التكاليف والخسائر الناجمة عن توقيع منه حتى تصفية المشروع المشترك JV.
من خلال عدم الموافقة على طلبات شركة ..... المذكورة أعلاه لمنح هذه الموافقة، فتنتهك شركة ....... للبناء والمقاولات ..... ممثلة في مأمور التصفية المعين واجباتها التعاقدية والقانونية بموجب اتفاق المشروع المشترك JV، فشركة آل حامد للبناء والمقاولات .... ليست فقط ملزمة بمثل هذا القانون بموجب المباديء العامة للقانون السويسري المعمول به ولكن أيضًا يضع اتفاق المشروع المشترك JV صراحةً مثل هذه القرارات الرئيسية (مثل الدعاوى الكبرى، أو التحكيم، أو مقاضاة الأشغال) وفقًا لتقدير شركة ....، أي شركة JVB، والتي- في حال عدم القدرة على الوصول إلى قرار بالإجماع – يجوز الأخذ برأي الأغلبية، وبمعنى آخر، اتفق شركاء JV صراحة على أنه ينبغي تعميم قرار شركة BB في حال النزاع حول مثل هذه القضية.
وأخيرًا، لنا مطلق الحرية في تذكير مأمور التصفية المعين بالتزاماته القانونية بموجب قانون الإمارات العربية المتحدة، أي
• عمل أفضل ما في مصلحة الشركة أثناء التصفية،
• عدم التسبب في أي ضرر للشركة، أو للمساهمين، أو للشركاء، أو للدائنين،
• عدم إساءة إدارة الشركة،
• الحفاظ على أصول وحقوق الشركة وتحصيل ديون الشركة من الغير.
كما تعلم، في حال انتهاك الواجبات أعلاه، فينص قانون الشركات التجارية بالإمارات العربية المتحدة (القانون الاتحادي رقم 2 لعام 2015) على المسئولية المدنية فضلًا عن الجنائية لمأمور التصفية المعين.
منح الموافقة أعلاه بتوقيع التوكيل واتفاق التصفية يمثل – من وجهة نظر معقولة- الاختيار الوحيد لتسوية نزاعات المشروع المشترك JV مع الأشغال، ولتجنب مسئولية أخرى على شركة آل حامد للبناء والمقاولات ..... من خلال المشروع مالمشترك JV على حساب دعاوى الأشغال (التي تستمر في غياب التسوية)، ولضمان بعض المدفوعات لشركة ....، ومن ثم تقليل حصة شركة ...... للبناء والمقاولات .... من الخسائر بدرجة كبيرة.
لكي نكون واضحين: في حالة غياب تسوية مع الأشغال والفسخ الرسمي للمشروع المشترك JV، فربما تتحمل شركة .... للبناء والمقاولات ...... مسئولية مادية أخرى تجاه الأشغال فضلًا عن مسئوليتها تجاه شركة ....، فننبهك إلى أن تقدر تمامًا المخاطر الهائلة أن شركة ..... للبناء والمقاولات ...... وأنك بصفتك مأمور التصفية المعين تواجهوا السماح باستمرار الموقف دون حل.
