经卖方，买方和买方代理人友好协商，买方按下列条款规定意向购买，卖方意向出售下以下货物。
After friendly negotiation, This intentionality contract is made by and between the buyer /the buyer agent and the seller,
whereby the buyer agree to buy and the seller agree to sell the under- mentioned commodity according to the terms and conditions stipulated below:

2. 运输及付款条件（Delivery and Payment Terms）:
1)交货事项（Delivery terms）: 卖方负责安排运输，卖方在买方的要求下帮助装货。 Shipment to be arranged by the Seller. The Seller shall assist the Buyer to arrange shipment at Buyer’s request.
2) 付款方式(Terms of Payment): Letter of Credit（信用证），如果买方未及时付款给买方代理人，买方代理人对外付款行为自动取消。 100%T/T prepayment 100%T/T . But if the Buyer failed to make the payment to the Buyer’s agent in time, the Buyer’s agent payment obligations will be automatically released.
3)包装（Packing ）:适合长途运输的标准出口包装，标明生产日期和保质期等。如货物采用木包装，应按有关规定在处理过的木包装上注明除害处理的方法、地点和实施除害处理的单位或单位信息的代码。EXPORT STANDARD PACKING, marking the production date and shelf life. If the goods are packed with wood, the treated wooden package as per related stipulation shall be marked with the method of treatment, the place of treatment, the name and code of the institution which made the treatment.
4) 装船日期（Time of Shipment ）：付款后10天内装船。Shipment within 10 days after 100% T/T prepayment.
5)不允许分批装运，允许转船 Partial shipment is not allowed and transshipment is allowed.
6)溢短装条款：接受超过或者少于数量总值的百分之五之内。
More or less clause: More or less within 5% on quantity of total amount are acceptable.

3. 文件需求/Documents所有单据的收货人为买方的代理人。
（The Consignee in all document is the agent of the buyer.)
卖方需提供以下文件给买方代理人：The sellers shall present the following documents to the agent of the buyer:.
(1) 全套可议付的已装船清洁海运提单，空白抬头，空白背书，通知买方和买方代理人，标明运费预付。(一式三份正本，三份副本)
Full set of negotiable clean on board ocean B/L made out to order blank endorsed notify the buyer and the agent of the buyer marked freight
prepaid(3 original and 3copies).
(2) 由卖方出具商业发票，并标注合同号及运输标记（一式二份正本，两份副本）
Signed commercial invoice issued by the Seller indicating contract and shipping mark. (2 original and 2 copies)
(3) 由卖方提供装箱清单，并注明合同号和酒的毛重，净重，净净重及包装材料（一式一份正本，两份副本）
Packing list issued by the Seller indicating contract no., gross weight, net weight, net net weight of each type of wine and packing material. (1 original and 2 copies)
(4) 证书上的重量和数量由卖方出具，并注明全部商品的数量，毛重，净重和净净重。（一式两份正本，两份副本）
Certificates of weight/quantity issued by the Seller, indicating quantity, gross weight, net weight and net net weight of the total commodity. (2 originals and 2 copies)
(5) 由官方机构颁发的卫生证书（一式一份正本，一份副本）

(6) 由当地商会颁发的原产地证书（一式一份正本，一份副本）

4. 检验与索赔/Inspection and Claims:
货到目的港后60天内，如发现卖方所交货物的质量、数量、重量、规格、包装等与本合同规定不符，或者在本合同规定的保质期内因质量问题引起任何损失买方和其代理人均有权向卖方索赔。商品的质量、数量、重量、规格、包装等以中华人民共和国出入境检验检疫局（厦门）出具的检验证书为最终依据。卖方如对货物不符合本合同规定负有责任，则应同意按照买方或其代理人的选择将货物退货、或贬值、或调换并承担买方或其代理人因此产生的所有费用和遭受的一切损失。卖方收到索赔通知后，如在十天内未作出书面答复，应视为同意买方或其代理人提出的一切索赔。
Within 60 days after discharging of the goods at the destination port, should the quality, quantity, weight, specifications, or packing etc. of the commodity be found not in conformity with the stipulation of this contract, or should any damages occurred by reason of quality within the guarantee period, the buyer and it’s agent should have the right to lodge a claim against the seller.
Quality, quantity, weight, specifications and packing etc. certified by China Entry-Exit Inspection and Quarantine Bureau (Xiamen) as per its inspection certificate(s) are to be taken as final.
In case the seller are liable for the discrepancies, the seller shall agree to at the buyer’s and it’s agent’s discretion’s, reject or devalue the good, or replace the defective goods, and compensate the buyer or it’s agent for all expense incurred to and any losses sustained by the buyer and it’s agent . Any and all claims shall be regarded as accepted if the seller fails to reply in writing within 10 days after receipt of the buyer’s and /or it’s agent’s claim.
5. 品质保证/Guarantee of Quality:
卖方保证所售货物符合本合同规定的质量、规格和性能等各项要求。
The seller guarantees that the commodity thereof complies in all respects with the quality, specifications and performance 3
stipulated in this contract.
6. 不交货、迟交货及违约金/Non-Delivery, Late Delivery and penalty:
如不交货，则买方及其代理人有权解除合同，且卖方应赔偿买方及其代理人因此遭受的所有直接和间接损失。如迟延交货，买方或其代理人有权根据其选择解除合同，拒收货物或变更合同，并向卖方索赔。除不可抗力外，如迟延交货，卖方还应支付违约金，并且买方及其代理人仍有权向卖方索赔。每日违约金为货款的0.5%，违约金总额不超过货款总额的20%，违约金由付款行或买方的代理人在付款时直接扣除。
In case of non-delivery, the buyer and it’s agent shall have the right to cancel this contract and the seller shall compensate the buyer and it’s agent for any loss and damage thus incurred. In case of late delivery, the buyer or it’s agent shall have the right to cancel this contract, reject the goods or modify this contract at its discretion, and lodge a claim against the seller Except for force Majeure, if late delivery occurs, the seller must pay a penalty, and the buyer and it’s agent shall have the right to lodge a claim against the seller, The rate of penalty is charged at 0.5% per day. The total penalty amount will not exceed 20 % of the shipment value. The penalty shall be deducted by the paying bank or the agent of the buyer from the payment.
In case of late delivery or non-delivery due to force majeure, the time of shipment might be duly extend, or alternatively a part or whole of this contract might be cancelled, but the seller shall advise the buyer and it’s agent of the occurrence mentioned above and send to the buyer and it’s agent for its acceptance a certificate issued by the surveying institute where the accident occurs as evidence thereof within 14 days. In case the accident lasts for more than 4 weeks, the buyer and it’s agent shall have the right to cancel this contract.
8. 争议解决/Settlement of Disputes :
本合同适用中华人民共和国法律。凡有关本合同所发生的一切争议，应通过友好协商解决，如协商不成，则应中国国际贸易促进委员会仲裁委员会按照该会现行仲裁规则进行仲裁。仲裁裁决是终局的，对双方当事人均有约束力。仲裁费用由败诉方承担。
This contract shall be applicable to the law of the P. R. of China. Any disputes arising thereof shall be settled through friendly negotiation. In case no settlement can be reached, the case should then be submitted to CCPIT Arbitration Commission for arbitration in accordance with its existing rules of arbitration .The arbitral award is final and binding upon both parties. The arbitration fee shall be borne by the losing party.
9. 特别条款/Special Provision :
(1) 卖方在装货后，必须立即以传真或电子邮件把船名、开航日期、提单号及合同号、货名、数量、发票号、发票金额、毛重等通知买方及其代理人。
The seller shall , immediately upon the completion of the loading of the goods, advise the buyer and it’s agent by Fax or email name of vessel, date of sailing, B/L no. , contract no., commodity, quantity, invoice no, invoice value, gross weight, etc.
(2) 卖方应在装运后14天内传真合同第3条所列的全套交单文件至买方及其代理人。
One set of documents stipulated in clause 3 of this contract must be sent to the buyer and it’s agent by fax or scan within 14 days after shipment.
(3)卖方需提供申请至少10天的免箱期。 ]

10. 本合同以中英文书写，自三方签章后生效，正本一式三份，三方各执一份。

2. 운송과 지불 조건 :
1) 운송 조건:
물품의 선적은 판매자에 의하여 조정된다. 판매자는 바이어의 요청에 따라서 바이어의 선적을 도울 수 있다.
2) 지불 조건: 신용장, 100%T/T (전신송금) 선납.
하지만 바이어가 에이전트에게 기간 내에 지불을 하지 못하면, 에이전트의 지급의무가 자동적으로 마무리 된다.
3) 포장
수출 규격 포장. 제조일자와 유통기한 표시. 상품이 목재재질로 포장된 경우, 패키지의 처리 방법, 위치,패키지의 생산처 이름과 코드 등 목재재질 포장과 관련 조건이 명시되어야 한다.
4) 운송기간：
100%T/T 선납 후 10일 이내 운송
5)분할선적과 환전은 허용하지 않는다.
6)과부족인용조건: 총 수량과 금액에서 5%정도의 과하거나 부족함을 받아들일 수 있다.

3. 서류에 명시된 수탁인은 바이어의 에이전트로 한다.
판매자는 바이어의 에이전트에게 다음과 같은 서류를 제시해야 한다.
(2) 판매자가 발행한 계약과 화인이 표시된 산업송장 (원본2, 복사2)
(3)판매자가 발행한 계약번호, 총중량, 순중량, 각 상품에 대한 순중량이 표시된 포장명세서 (원본 1, 복사 2)
(4) 판매자가 발행한 수량, 총중량, 순중량, 전체상품에 대한 순중량이 표시된 중량증명서/수량증명서 (원본2, 복사2)
(5) 지역감독관청에서 발행한 위생증명서 (원본1, 복사1)
(6) 상공회의소에서 발행한 원산지 증명서 (원본1, 복사1)
(7) 보험증권/보험증명서 (원본2, 복사2)
4. 품질검사 및 클레임:
행선항에서 물건을 보내고 60일 이내에 계약에 명시된 조건과 수량, 자질,무게, 상세사항, 포장 등이 일치하지 않거나, 제품의 품질보증기간 내에 상품이 훼손 되면 바이어와 바이어의 에이전트는 판매자에게 배상을 청구할 수 있다.
자질, 수량, 무게, 상세사항, 포장 등이 중국출입경검험검역국에서 증명한 검사증명서를 최종 결정으로 한다.
만약 판매자의 조건에 차이가 있다면, 판매자는 바이어와 에이전트의 재량권에 동의해야 하며, 상품을 거절하거나 평가절하 하거나, 결함이 있는 상품을 대체하고 바이어/에이전트에게 손해에 대한 모든 비용을 보상한다. 만약 클레임에 대한 대응이 10일 이내에 이루어 지지 않을 경우, 클레임은 인정됨으로 한다.
5. 품질 보증:
판매자는 이 계약서에 명시된 상품의 품질과 상세사항 조건을 보증한다.
6. 불착, 지연배달과 벌금:
불착시, 바이어와 에이전트는 계약파계의 자격이 있고 판매자는 바이어와 에이전트에게 손실에 대한 보상을 해야 한다. 운송이 지연될 시, 바이어와 에이전트는 계약파계의 자격이 있고, 상품의 거절 또는 재량에 따라 계약내용을 수정할 수 있다. 불가항력을 제외하고 바이어는 판매자에 클레임을 행사할 수 있다. 운송이 지연될 경우, 판매자는 반드시 벌금을 지불해야 하며, 바이어와 에이전트는 판매자에게 클레임을 행사할 권한이 있다. 벌금의 비율은 하루에 0.5%로 한다.총 벌금은 운송물품 값의 20% 를 초과하지 않는다.벌금은 은행 또는 바이어 에이전트에 의하여 공제된다.
7. 불가항력:
불가항력에 의한 지연운송 또는 불착의 경우, 선적시기는 절차에 따라 연장할 수 있다. 혹은, 계약의 부분 또는 전체가 취소 될 수 있다. 판매자는, 위에 언급된 사고에 대해 구매자에게 통지를 하고 14일 이내에 그에 대한 증거로서 사고가 발생한 지역의 조사 기관에 의해 발행된 증명서를 구매자가 받아들이도록 발송하여야 한다. 사고가 4주 이상 지속될 경우, 구매자는 이 계약서를 취소할 수 있다.
8. 분쟁처리:
본 계약서는 중국법에 해당된다. 어떠한 분쟁이 발생하더라도 협상을 통해서 해결한다. 만약 협상을 통해서 해결점에 미치지 못할 경우, 이 건을 중재 위해서 베이징 상공 중재 위원회의 규칙에 따라 이 위원회에 회부한다. 이 위원회의 중재안이 최종 결정이며, 양측은 이를 따라야 한다. 이에 대한 수수료는 소송에서 진 사람이 부담한다.
9. 특칙:
판매자는 상품의 선적을 마친 직후 바이어와 바이어의 에이전트에게 선박의 이름, 운행날짜, B/L번호, 계약 번호, 물품, 수량, 송장번호, 송장가격, 총중량 등을 명시해서 팩스 혹은 이메일을 보낸다.
(2) 계약서의 조항3 에 제시된 조건은 운송 후 14일 이내에 바이어와 에이전트에게 팩스 혹은 스캔 후 전달 해야 한다.
(3)판매자는 행선항에 적어도 10일의 무료 정박료에 해당된다.
10. 본 계약서는 중국어/영어, 3장의 원본으로 작성되며, 3 단체 대표의 승인 후 유효하다. 1장의 원본은 목격인이 지참한다.
