The prices for the Products to be sold hereunder are set forth in Exhibit 2 hereof. For the mutual benefit of the Parties, all necessary information relating to the prices of the Products shall be shared between the Parties. It is agreed that the initial 20 instrument sets of the Products shall be made under consignment from Company to Distributor. Additionally, Distributor will be allowed to purchase required stocking inventory of the Products at a fifty percent (50%) discount for a period of ninety (90) days from date of this Agreement, provided that the Company may, at its own discretion, limit or reduce the quantity of the Products required by the Distributor in taking into account then available stocking inventory of the Products held by the Company, so long as Company maintains Products availability of at least US$500,000.00 with a lead time not to exceed four (4) weeks.

Article 12. FORECASTING AND DELIVERY
Simultaneously with the execution of this Agreement, The Distributor shall submit a monthly purchase order to the Company based on the sales forecast for the applicable year and detailing an identification of the Products, quantities and delivery dates. The Company shall manufacture the Products in accordance with such purchase order and timely ship the Products on a quarterly basis. Company shall make commercially reasonable efforts to stock appropriate par levels of inventory to support anticipated orders. Unless expressly agreed otherwise by the Parties, all Products shall be delivered on the basis of [FOB] [PORT OF SHIPMENT] (Incoterms 2000). Distributor shall pay all freight and transportation charges (including inland trucking and terminal handling charges), applicable taxes, customs duties, tariffs, value-added tax, consumption tax and all other taxes and charges connected with the export from the country of manufacturer and import into the Territory of Products.

본 계약에서 제품의 가격은 본 계약의 ‘별첨 2’에 기재한 사항으로 한다. 양측은 호혜를 위해 제품의 가격과 관련한 모든 필요한 정보를 서로 공유하여야 한다. 초도 20세트의 시술기구는 회사가 유통사에게 위탁으로 제공하는 것에 동의한다. 또한 유통사는 본 계약일로부터 (90)일의 기간 동안 필요한 재고를 오십퍼센트(50%) 할인된 가격으로 구매할 수 있으나, 회사는 이 때 회사가 보유하고 있는 재고 수준을 감안하여 재량으로 유통사가 요구하는 수량을 제한하거나 축소할 수 있다. 단, 회사는 적어도 미화 500,000.00 달러에 해당하는 수량의 제품을 제조하여 조달하는 데 (4)주를 넘기지 않도록 재고를 유지하여야 한다.

제12조, 예상물량 및 제품의 인도
본 계약의 시행과 동시에 유통사는 해당 연도의 예상 매출을 토대로 제품의 품목, 수량 및 인도 날짜에 대한 세부사항이 담긴 연간 월별 구매주문서를 회사에 제출하여야 한다. 회사는 본 구매 주문서에 따라 제품을 제조하고, 분기별로 적시에 발송해야 한다. 회사는 예상되는 주문을 지원하기 위해 적절한 수준의 재고를 확보하도록 상거래상 합당한 노력을 기울여야 한다. 양측이 명시적으로 달리 동의하지 않는 한, 모든 제품은 [FOB] [PORT OF SHIPMENT] (Incoterms 2000) 기준으로 인도된다. 유통사는 모든 화물료, 운송비(내륙 운송 및 터미널 취급 수수료 포함), 세금, 통관비용, 관세, 부가세, 소비세 및 기타 세금과 제품의 제조국으로부터의 수출 및 해당 지역으로의 수입과 관련한 제반 비용을 부담한다.
