Ao capital utilizado ao abrigo da presente linha de crédito será aplicável a taxa de juro nominal (TAN) de 17% (dezassete por cento), à qual corresponde a Taxa Anual de Encargos Efectiva Global (TAEG) de 22,27% (vinte e dois, vinte e sete por cento), calculada nos termos e para os efeitos do Decreto-Lei n.º 133/2009, de 2 de Junho.

A TAEG corresponde ao custo total do crédito para o consumidor expresso em percentagem anual do montante total do crédito, acrescido dos encargos previstos no presente Contrato. A TAEG será alterada sempre que se verifique uma alteração de algum dos encargos considerados para o seu cálculo."

Os juros serão calculados dia a dia sobre o capital em cada momento em dívida, utilizando uma base de cálculo de 360 dias/ano.

Em caso de mora no pagamento de qualquer obrigação pecuniária emergente da celebração ou execução do presente Contrato, os respectivos juros moratórios serão calculados à taxa que ao tempo vigorar para os juros remuneratórios contratuais, acrescida da sobretaxa máxima legalmente permitida, a título de cláusula penal que, actualmente, é de 4% que incidirá sobre o capital em dívida pelo tempo da mora. Em caso de mora no pagamento de juros, o Banco poderá proceder à sua capitalização, quando verificadas as condições legais para o efeito. A mora no cumprimento de alguma das obrigações emergentes do presente Contrato, pecuniárias ou outras, confere ao Banco a faculdade de suspender, com carácter imediato, a presente facilidade de crédito, não permitindo novos desembolsos. As presentes disposições mantém-se para o incumprimento.


O Banco poderá resolver o Contrato de Empréstimo sob a forma de Descoberto e considerar vencido o crédito emergente do presente Contrato com a consequente exigibilidade do pagamento da totalidade da dívida, incluindo juros de mora e respectiva sobretaxa moratória e demais encargos devidos.

O Cliente beneficia de um direito de livre revogação de 14 (catorze) dias de calendário, a contar da data da celebração do presente Contrato, durante o qual poderá revogar o presente Contrato, através de carta registada com aviso de recepção, a ser expedida naquele prazo, ou por qualquer outro meio escrito dirigido ao Banco, no mesmo prazo, sem necessidade de invocar o motivo e sem que haja lugar ao pagamento de qualquer indemnização e/ou penalização. Exercido o direito de livre revogação, o Cliente vincula-se a pagar ao Banco o capital, os juros vencidos calculados à taxa de juro nominal diária fixada, bem como os demais encargos que se mostrem devidos, no prazo de 30 (trinta) dias após a expedição da sua comunicação. A taxa de juro nominal diária será determinada por referência à taxa de juro nominal fixada nos termos do presente Contrato. Após o decurso do prazo estipulado anteriormente e caso o Cliente não proceda ao reembolso do capital e dos juros vencidos calculados à taxa de juro nominal diária fixada, bem como os demais encargos que se mostrem devidos, o Banco poderá, para efectivação do pagamento, debitar quaisquer contas de que o Cliente seja ou venha a ser titular ou co-titular no próprio Banco, bem como proceder à compensação dessas dívidas com quaisquer outros créditos sobre o Banco do Cliente independentemente dos pressupostos da compensação legal. Poderá ainda o Banco reter, até à efectivação do total reembolso, quaisquer valores que este tenha ou venha a ter a qualquer título depositados ou registados no Banco.

Translation - English
Within this line of credit, a 17% (seventeen percent) APR shall be applied to the outstanding amount, which corresponds to a EAR (Global) of 22.27% (twenty two point twenty seven percent), and calculated in compliance with Decree-Law 133/2009 of 2nd June.

The EAR (Global) corresponds to the total cost of the credit offered to the customer, expressed as a percentage and increased by the charges foreseen in this Contract. The EAR (Global) shall be modified at all times in which a change is effected to one of the charges included in its estimate.”

Interest shall be calculated daily on the outstanding debt, based on a 360 day year.

In case of delay concerning settlement of any pecuniary obligation which arises as a result of this Contract, the respective delay interest shall be calculated based on the rate in force for the contractual interest and increased by the highest legally allowed rate, as a late payment penalty. This is presently at 4% and shall be applied on the outstanding delayed amount. In case of delay in the settlement of the interest, the Bank may proceed with its capitalisation, if legally practical. The delay in the settlement of any of the contractual obligations stated herein, pecuniary or not, enables the Bank to suspend immediately these credit facilities, withholding further outlays. These provisions also apply in case of default.


The Bank may terminate the Loan Contract, deeming it as Unsecured, and consider as outstanding the credit subject to this Contract, demanding the full settlement of the debt, including delay interest, respective penalties and all other outstanding charges.

The Customer has free cancellation rights during 14 (fourteen) calendar days following the signing of this Contract, during which he/she/it may revoke this Contract by means of registered mail, with due receipt, and within said time frame, or by any other written mean and addressed to the Bank, also within said time frame, without the need to invoke a motive and with no indemnity and/or penalty settlement implications. Once the free cancellation rights are fulfilled, the Customer binds himself/herself/itself to pay the Bank the outstanding amount, the outstanding interest calculated as per the nominal daily rate, as well as all other outstanding charges, within 30 (thirty) days of his/her/its notice. The daily nominal interest rate shall comply and be in line with the contractual APR. Following the time frame mentioned above and in case the Customer defaults on the reimbursement of the outstanding amount and interest, calculated as per the nominal daily rate, as well as on all other outstanding charges, the Bank may, to guarantee effective settlement, debit any account in the Bank which the Customer holds solely or jointly. The Bank may also compensate these debts with any other credits due to him/her/it, irrespective of any legal compensation procedures. The Bank may also withhold, until full reimbursement is effected, any other monies that he/she/it has, or shall have, deposited or registered in/with the Bank.

Os custos de manutenção correspondem aos encargos com a manutenção e reparação anual dos equipamentos de cada um dos departamentos de Ambiente, Higiene e Segurança, Qualidade e Manutenção.
A Empresa considerou a estimativa do encargo para FY08 com base no orçamento de cada um dos departamentos acima descritos, atendendo ao volume de produção estimado e o consequente número de horas de funcionamento do equipamento.
De acordo com o explicitado ao lado, podemos verificar que em 2008 os custos do departamento de Manutenção assumem o maior peso no total da rubrica de Repairs and Maintenance.
A base de cálculo do custo estimado para 2008 foi o valor histórico incorrido em 2007, ponderado com o aumento de produção previsto para FY08 e com a previsão de trabalhos de manutenção definidos.
A rubrica de custos de manutenção, material directo e stock, inclui todos os custos com pedidos efectuados pela manutenção, prevenção, para a reparação de equipamentos ou ferramentas. Esta rubrica inclui ainda o stock de peças utilizado para a reparação e manutenção das máquinas e equipamentos. De acordo com o responsável pela preparação do orçamento foram programadas reparações diversas/pequenas e grandes reparações a um ano, e a serem acrescidas ao valor do activo imobilizado.
Pela comparação do montante orçamentado em FY08 face ao real nos primeiros 6 meses de 2008, constatamos que a rubrica de Custos Manutenção Material Directo e Stock, regista a esta data um montante de custos incorridos de €710k, perfazendo quase na totalidade o orçamento previsto ara o ano de 2008.
De acordo, com o responsável pela elaboração do orçamento, esta rubrica inclui custos com grandes reparações, investimentos apenas aprovados no final do 1º semestre do corrente ano, que deveriam, ter sido capitalizados, no montante aproximado de €350k. De acordo com o responsável pelo orçamento, esta situação já se encontra alterada para o 2º semestre do ano.
Os custos de manutenção com mão-de-obra dizem respeito a mão-de-obra subcontratada para fazer face às reparações.

Maintenance costs are the outlays involved with the annual maintenance and repair of equipment installed in each of the Departments of Environment, Hygiene and Safety, Quality Control and Maintenance.
The Company considered the forecast of disbursements for FY08 based on the budgets presented by each of the Departments mentioned above, taking into account the projected production volume and the resulting number of hours utilised by the equipment.
As shown on the table on the left we note that in 2008 the costs of the Maintenance Department are the heaviest contributors to the total of Repairs and Maintenance.
The basis for the calculation of the estimated cost for 2008 was the historical value incurred in 2007, weighted with the increase in production expected for FY08 and with the maintenance work previously defined.
The item Maintenance costs, Direct Material and Stock includes all costs related to requests for maintenance, prevention, and for the repair of equipment or tools. This includes the stock of parts used for the repair and maintenance of machinery and equipment. As mentioned by the party responsible for the budget, small and diverse repairs were programmed including year long repairs which will be added to the value of fixed assets.
When a comparison is made between the budgeted amounts for FY08 in relation to the actual of the first half year of 2008 we note that the item Maintenance costs, Direct Material and Stock registers to date an amount of incurred costs of € 710K, nearly reaching the total budgeted for 2008.
According to those responsible for the budget this item includes costs involved with big repairs, investments that were only approved at the end of the first half of the current year and which should have been capitalised, in the approximate sum of € 350K. As mentioned by them this situation has been altered for the second half of the year.
Maintenance costs with manpower relate to the subcontracted one which made the repairs.
