[...] Il presidente constata la validità della riunione e prima di passare allo svolgimento dell’ordine del giorno si accerta che i consiglieri e i sindaci abbiano ricevuto ed esaminato la documentazione oggetto di presentazione e/o di approvazione da parte del consiglio di oggi inviata in anticipo nei giorni scorsi, a cura del Company Secretary, e, ottenuto da tutti riscontro positivo, dà inizio alla riunione.

Il presidente Dumont ricorda che in data 23 marzo 2017 il consiglio d’amministrazione appena rinnovato dall’assemblea degli azionisti svoltasi in pari data aveva verificato e attestato la sussistenza in capo ai singoli amministratori dei requisiti richiesti dalla vigente normativa applicabile in materia.

[...] The Chairman acknowledged the validity of the meeting and, before starting with the agenda, asked if the members of the Boards and the Auditors had received and reviewed the documents – sent in advance by the Company Secretary – which were going to be presented and/or approved by the Board during the meeting. Having received positive feedback, the meeting started.

Chairman Dumont reminded the Board that on 23 March 2017 the
Board of Directors – newly-renewed at the Shareholders’ Meeting held on the same date – had verified and attested the existence of the requirements for individual directors demanded by the current legislation.
