THE PARTIES ACT IN THE FOLLLOWING CAPACITIES

III. Both parties mutually agree to enter into this agreement in accordance with the following
CLAUSES
ONE.- PURPOSE
Under this agreement XXXX commits to provide a web positioning service for THE COMPANY’s products on its site www.XXXXXXXX.com in exchange for a price per click.
For this purpose, XXXX will provide the company with the use of an IT supported tool that will allow THE COMPANY to set, inter alia, the design and duration of its campaigns.
The conditions for the web positioning services will be as follows:
- The web positioning tool works through an auction-pricing system, the budget and duration of which will be determined by THE COMPANY.
- THE COMPANY alone is responsible for the success or otherwise of its web positioning campaigns and therefore it releases XXXX from any liability for any matters associated with the budget for such cam-paigns and/or excessive duration of the campaigns.
SECOND.- TERM
The term of this contract is ONE YEAR from actual access to the web positioning platform and its tool which will be provided by XXXX.
After that period of time the contract will be extended by one more year. Either of the parties can termi-nate the contract subject to giving fifteen (15) days irrefutable written notice.
THIRD.- PRICE
The price of the cost per click (cXXXX), plus the correspondent VAT, may change during this contract as it is fixed through an auction-pricing system.
THE COMPANY expressly acknowledges this fact and accepts it insofar as prior to the design and the arrangement of its campaigns it will have all the necessary information – provided by the tool supplied by XXXX – about the price of each auction.
The invoice for this sale will be issued at the end of the month and all payments will be made within a maximum of 30 days by bank transfer to the following bank account held by XXXX: BIC: ES 03 3058 0202 0927 2001 3704 (Cajamar).
The parties might agree a different method of payment which will have to be specified in an ANNEX to this contract.
FOURTH.- OBLIGATIONS OF XXXX
As a result of this contract XXXX is obliged to:
f) Transfer suitable advertising spaces in the platform for the positioning of THE COMPANY’s products.
g) Give THE COMPANY access to the tool, it being understood that THE COMPANY must use the same properly, failing which the agreement will be terminated by XXXX.
h) Maintain the platform for its correct use.
FIFTH.- OBLIGATIONS OF THE COMPANY
As a result of this contract THE COMPANY assumes the following obligations detailed here below:
i) Pay the monthly invoice indicated in Clause Three of this contract.
j) Use the tool supplied by XXXX correctly.
k) Under all circumstances it will be responsible of the success or not of its own positioning campaigns, releasing XXXX of any responsibility for any question relating to the budget’s campaigns and/or ex-cessive duration of the campaigns.
l) Adopt, accordingly, any type of measures to fulfill legal requirements with regard to advertising.
m) Not distribute the advertisement alongside others that by their nature or content might harm XXXX brand image.
SIXTH.- WARRANTIES AND RESPONSABILITIES
XXXX is not responsible for ensuring the success or profitability that could be generated from the web positioning of THE COMPANYs products.
XXXX reserves the right to terminate the contract in the event of an incorrect use of the operating tool that will be provided to THE COMPANY.
SEVENTH.- BREACH OF AGREEMENT
As a penalty clause, in case of non-payment or late payment, THE COMPANY will pay XXXX an addi-tional 5% per day of the amount owed until payment is made.
This contractual fine (article 1152 of the Spanish Civil Code) covers all possible harm, loss or damage that XXXX might suffer under this clause.
EIGHT.- NOTICES
All notifications between the parties must be made in writing and delivered personally or in any other form certifying reception by the notified party at the respective addresses for service indicated at the be-ginning of this Contract.
Any change of address of any of the parties must be immediately notified to the other party and by means that guarantee receipt of the message.
NOVENA.- CONFIDENTIALITY
The Parties undertake to maintain full confidentiality with respect to the information and documents that both parties mutually exchange or to which they have access during the provision of the contracted ser-vices. Both Parties undertake not to reveal or use either directly or indirectly the information and knowledge acquired, arising from the contractual relation agreed between the Parties, when providing other services outside of this Contract. As a guarantee of the commitments assumed under this clause, the Parties undertake to adopt the necessary measures both with respect to its employees and any third parties that might be involved in this Contract.
TENTH.- COMMERCIAL NATURE
This contract is of an exclusively commercial nature and therefore under no circumstances may any em-ployment relation be implied between the parties.
ELEVENTH.- EXCLUSION OF LIABILITY
THE COMPANY alone is responsible for the development and execution of its professional activities and expressly releases XXXX from any civil, criminal, administrative or other liability.
TWELVETH.- NO ASSIGMENT
The parties cannot assign either this contract or the rights contained herein under any circumstances.
This contract supersedes any other prior contract or agreement signed between XXXX and THE COM-PANY on the same subject and can only be amended by a new agreement signed by both parties.
THIRTEENTH.- JURISDICTION
The parties to the contract, expressly waiving any jurisdiction that may correspond to them, submit to the jurisdiction of the Courts and Tribunals of Cartagena in resolving any dispute arising with respect to the interpretation or performance of this agreement.
In witness whereof and as proof of their acceptance and approval, the parties sign this document, in duplicate and with a single purpose, in the place and on the date shown above.

CLÁUSULAS
PRIMERA.- OBJETO
En virtud de este contrato, XXXX se compromete, a cambio de un precio por clic, a prestar a LA EM-PRESA el servicio de posicionamiento de sus productos de LA EMPRESA en la parrilla de productos de la página web de su titularidad www.XXXXXXXX.com
Para ello, XXXX pondrá a disposición de la empresa el uso de una herramienta informática que permiti-rá a LA EMPRESA el diseño y duración, entre otros, de sus campañas.
Las condiciones para el posicionamiento serán las siguientes:
- El sistema de posicionamiento de la herramienta es a través de un sistema de pujas, cuyo presupues-to y duración vendrá determinada por LA EMPRESA.
- LA EMPRESA es la única responsable por ello del éxito o no de sus propias campañas de posiciona-miento, eximiendo a estos efectos a XXXX de cualquier tipo de responsabilidad por cuestiones relacio-nadas con el presupuesto destinado a estas campañas y/o exceso en la duración de la campañas.
SEGUNDA.- DURACIÓN
La duración del presente acuerdo será de UN AÑO, a contar desde el efectivo acceso a la plataforma de posicionamiento y su herramienta que será facilitado por XXXX.
Transcurrido dicho período el contrato quedará prorrogado por otro año más. Para el caso de interesar la resolución del contrato, será suficiente la notificación fehaciente en dicho sentido, por cualquier a de las partes, remitido con un preaviso de quince (15) días.
TERCERA.- PRECIO
El precio de coste por click (cXXXX), más su IVA de aplicación, podrá variar durante la vigencia del pre-sente contrato, precisamente por llevarse a cabo mediante un sistema de pujas.
LA EMPRESA manifiesta conocer expresamente este extremo y aceptarlo, en tanto en cuanto, con ca-rácter previo al diseño y contratación de las campañas que pueda desarrollar dispondrá -facilitado por la herramienta proporcionada por XXXX- de toda la información necesaria sobre el precio de cada subas-ta.
La factura por esta venta se emitirá a final de mes y los pagos deberán ser efectivos a los 30 días como máximo, a través de transferencia a la cuenta de XXXX: IBAN: ES 03 3058 0202 0927 2001 3704 (Ca-jamar).
Las partes podrán convenir otro medio de pago, lo que deberá recogerse mediante ANEXO al presente contrato.
CUARTA.- OBLIGACIONES DE XXXX
Como consecuencia de la celebración del presente contrato, XXXX queda obligado a:
a) La cesión de los espacios de publicidad propicios en la plataforma para el posicionamiento de los productos de LA EMPRESA.
b) Dar acceso a la herramienta a LA EMPRESA, la cual se obliga a dar un buen uso a la misma, bajo advertencia de rescisión del contrato por parte de XXXX.
c) El mantenimiento de la plataforma para su correcto uso.
QUINTA.- OBLIGACIONES DE LA EMPRESA
Como consecuencia de la celebración del presente contrato, LA EMPRESA queda vinculada al cumpli-miento de las obligaciones que se detallan a continuación:
a) El pago de la factura mensual indicada en la Estipulación Tercera.
b) Dar buen uso a la herramienta facilitada por XXXX.
c) Será responsable en todo caso del éxito o no de sus propias campañas de posicionamiento, exi-miendo a estos efectos a XXXX de cualquier tipo de responsabilidad por cuestiones relacionadas con el presupuesto destinado a estas campañas y/o exceso en la duración de la campañas.
d) La adoXXXXión, en consecuencia, de todo tipo de medidas, para cumplir con los requerimientos legales en materia de publicidad.
e) Queda igualmente obligada a no difundir el mensaje publicitario junto con otros cuya naturaleza o contenido pudiera atentar contra la imagen de la marca XXXX.
SEXTA.- GARANTÍAS Y RESPONSABILIDADES
No es responsabilidad de XXXX garantizar el éxito ni la rentabilidad económica que se pudiera generar con el posicionamiento de los productos de LA EMPRESA.
XXXXXXXX se reserva el derecho de rescindir el contrato en el caso de un mal uso de la herramienta operativa que se facilitará a LA EMPRESA.
SÉPTIMA.- INCUMPLIMIENTO
En caso de impago y/o retraso en el pago de las facturas, LA EMPRESA deberá abonar a XXXX, de forma adicional, un 5% diario, del importe adeudado, hasta que se proceda a la regularización, en con-cepto cláusula penal. Se considera que esta multa contractual (art. 1152 CC) cubre todos los posibles daños y perjuicios que XXXX pudiera sufrir por este concepto.
OCTAVA.- NOTIFICACIONES
Toda notificación que se efectúe entre las partes se hará por escrito y será entregada personalmente o de cualquier otra forma que certifique la receXXXXión por la parte notificada en los respectivos domici-lios indicados en el encabezamiento de este Contrato.
Cualquier cambio de domicilio de una de las partes deberá ser notificado a la otra de forma inmediata y por un medio que garantice la receXXXXión del mensaje.
NOVENA.- CONFIDENCIALIDAD
Las Partes se obligan a guardar absoluta confidencialidad sobre la información y documentación que ambas Partes se faciliten mutuamente o tengan acceso durante la prestación de los servicios contrata-dos. Ambas Partes se obligan a no revelar, ni utilizar directa o indirectamente la información y conoci-mientos adquiridos, derivados de la relación contractual acordada entre las Partes en otros servicios que no sean el objeto del presente Contrato. Las Partes se comprometen a tomar las medidas necesa-rias, tanto respecto a sus empleados como a terceros que pudieran tener alguna relación con el pre-sente Contrato, para asegurar el cumplimiento de lo acordado en esta cláusula.
DÉCIMA.- CARACTER MERCANTIL
El presente contrato tiene carácter exclusivamente mercantil, por lo que, en ningún caso, podrá enten-derse ni darse relación laboral entre las partes.
DÉCIMO PRIMERA.- EXCLUSIÓN DE RESPONSABILIDAD
LA EMPRESA será la único responsable del desarrollo y ejercicio de sus actividades profesionales, exi-miendo expresamente de esta manera a XXXX en materia de responsabilidad civil, penal, administrati-va, o de cualquier otro tipo.
DECIMO SEGUNDA.- PROHIBICIÓN DE CESIÓN
Las partes no podrán ceder el presente contrato, ni los derechos en él contenidos, bajo ninguna cir-cunstancia y bajo ningún título.
DECIMO TERCERA.-
El presente contrato anula y reemplaza cualquier contrato o acuerdo anterior entre XXXX y LA EM-PRESA, con el mismo objeto y sólo podrá ser modificado por un nuevo acuerdo firmado por ambas par-tes.
DÉCIMO CUARTA.- FUERO APLICABLE
Para cualquier cuestión que pudiera surgir sobre la interpretación o cumplimiento del presente contrato, ambas partes con renuncia a su fuero particular, acuerdan someterse expresamente a la jurisdicción de los Juzgados y Tribunales de Murcia.
En prueba de conformidad, una vez leído el presente Contrato, ambas partes firman el presente docu-mento a la vez, por duplicado y aun sólo efecto, en el lugar y fecha indicados en el encabezamiento.

For the purpose of this agreement, the following words and abbreviations shall have the following meanings:
Agreement means the project partnership agreement

Programme Authorities means the managing authority, joint secretariat, certifying authority and/or audit authority
Programme Manual means the latest published version of the programme manual
Project Partners means the project partners named in the application form, including the lead partner
Project means PGIxxx- Our Way as described in the application form
Subsidy the maximum ERDF co-financing allocated to the project in accordance with the application form
Having regard to:
Article 13(2) of Regulation (EU) no 1299/2013 of the European Parliament and of the Council of 17 December 2013, on the European Territorial Cooperation goal,
The programme manual section “project partnership agreement”, whereupon partners in a project funded under Interreg Europe have to conclude an agreement concerning their mutual financial and legal responsibilities, including the functions and responsibilities of the lead partner,
