ДОГОВОР № CNS-EPM-190/15
на выполнение работ
г. Москва «__» __________ 2015 г.
_________________________, именуемое в дальнейшем «Заказчик», в лице ____________________________, действующего на основании __________________, с одной стороны, и Общество с ограниченной ответственностью «КОНСИСТ» (ООО «КОНСИСТ»), далее именуемое «Исполнитель», в лице Генерального директора Горянского Павла Сергеевича, действующего на основании Устава, с другой стороны, далее вместе именуемые «Стороны» и по отдельности «Сторона», заключили настоящий Договор (далее – «Договор») о нижеследующем:
ПРЕДМЕТ ДОГОВОРА
Предметом настоящего Договора является выполнение Работ по внедрению программного средства «Автоматизированная система формирования IFRS отчетности и бюджетирования на базе программного обеспечения Oracle Hyperion» (далее – Система).
Объем Работ, выполняемых по Договору, ограничен рамками проекта, указанными в Приложении № 1 к настоящему Договору «Техническое задание».
Стороны вправе согласовать необходимость выполнения дополнительных работ. Под дополнительными работами понимаются любые работы и/или услуги, выполнение которых не входит в обязанности Исполнителя по Договору (в том числе работы, необходимость проведения которых возникла в связи с реализацией требований Заказчика, не предусмотренных в Приложении № 1 к настоящему Договору «Техническое задание», а также в связи с неисполнением или ненадлежащим исполнением Заказчиком своих обязательств по Договору, например, в связи с предоставлением неполной или неточной информации). Стоимость, условия и порядок выполнения дополнительных работ согласовываются Сторонами дополнительно путем подписания дополнительных соглашений к Договору.
СТОИМОСТЬ И ПОРЯДОК РАСЧЕТОВ
Общая стоимость Работ по настоящему Договору составляет 6 309 002,14 рублей (Шесть миллионов триста девять тысяч два рубля 14 копеек), в том числе НДС (18 %) в размере 962 390,16 рублей (Девятьсот шестьдесят две тысячи триста девяносто рублей 16 копеек).
Стоимость каждого из этапов Работ, выполняемых Исполнителем в соответствии с Договором, определяется в соответствии с Приложением № 2 к настоящему Договору «Финансово-календарный план Работ».
Работы по Договору оплачиваются Заказчиком поэтапно в соответствии с Приложением № 2 к настоящему Договору «Финансово-календарный план Работ» на условиях 30% предоплаты за каждый этап и окончательного расчета за каждый этап после подписания Акта сдачи-приемки выполненных работ по соответствующему этапу.
Заказчик производит все платежи по настоящему Договору на основании счетов, выставленных Исполнителем. Счет на предоплату первого этапа выставляется в течение 5 (пяти) рабочих дней с даты подписания Договора. Счета, выставляемые по окончании каждого этапа работ, выставляются в течение 5 (пяти) рабочих дней после подписания Заказчиком соответствующих актов сдачи-приемки выполненных работ по соответствующему этапу. Заказчик производит окончательный расчет за работы, выполненные по соответствующему этапу, после получения от Исполнителя счета, счета-фактуры, оформленного в соответствии с НК РФ, при условии подписания Сторонами актов сдачи-приемки выполненных работ по оплачиваемому этапу. Счета на предоплату второго и последующих этапов работ выставляются в течение 5 (пяти) рабочих дней после подписания Заказчиком Акта сдачи-приемки выполненных работ за предыдущий этап. Заказчик оплачивает счета на предоплату в срок не позднее 5 (пяти) рабочих дней с даты получения счета. Заказчик оплачивает счета, выставленные Исполнителем по окончании этапа, в срок не позднее 20 (двадцати) рабочих дней с даты получения счета и счет-фактуры от Исполнителя.
Заказчик производит все платежи по настоящему Договору путем перечисления денежных средств на расчетный счет Исполнителя, указанный в разделе 15 настоящего Договора. Датой исполнения обязательства Заказчика по оплате стоимости работ Исполнителя по каждому этапу работ признается дата списания денежных средств с корреспондентского счета банка, обслуживающего расчетный счет Заказчика.
Проценты за пользование денежными средствами в рамках положений п. 1 ст. 317.1 ГК РФ, в случае своевременного исполнения обязательств, Сторонами не начисляются.
ОРГАНИЗАЦИЯ ВЫПОЛНЕНИЯ РАБОТ, ПОРЯДОК СДАЧИ-ПРИЕМКИ РАБОТ
При построении взаимоотношений Стороны исходят из того, что сроки и качество выполнения Работ Исполнителем непосредственно связаны с участием сотрудников Заказчика и зависят от исполнения Заказчиком, его сотрудниками, участвующими в выполнении Договора своих обязательств.
В случаях, когда в связи с выполнением Работ по Договору требуется согласие, утверждение, приемка, разрешение или аналогичное действие Заказчика или Исполнителя, это действие должно быть выполнено в надлежащий срок, и в таком действии не должно быть необоснованно отказано.
Для выполнения Работ Стороны создают Проектную группу, персональный состав и порядок формирования которой согласовывается Сторонами дополнительно. Стороны обязаны предоставить членам Проектной группы необходимые полномочия для выполнения Работ по Договору, представления затребованной информации и документации, осуществления приемки и решения иных вопросов, возникающих при выполнении Работ. Распределение ролей участников Проектной группы фиксируется в Уставе проекта, который утверждается Сторонами в соответствии с п.4.1 Договора.
Каждая из Сторон может направить другой Стороне требование о замене входящего в Проектную группу специалиста, обладающего ненадлежащей квалификацией. В случае обоснованности указанного требования другая Сторона должна произвести необходимую замену.
Для решения вопросов, требующих коллегиального обсуждения и принятия согласованных решений, Стороны организовывают Управляющий комитет.
Работы по Договору выполняются как на территории Исполнителя, так и на территории Заказчика в присутствии представителя Заказчика и на территории Исполнителя. При выполнении Работ по настоящему Договору на территории Заказчика последний обязан создать сотрудникам Исполнителя необходимые условия для выполнения работ (рабочие места, возможность выхода в Интернет, доступ к принтеру, доступ к серверам Заказчика и т.п.). При выполнении Работ Исполнитель по согласованию с Заказчиком может использовать развернутую копию Системы на своем оборудовании. Командировки сотрудников Исполнителя вне г. Москва не предусматриваются.
Работы выполняются поэтапно в соответствии с планом Работ, приведенным в Приложении № 2 к настоящему Договору «Финансово-календарный план Работ».
Отчетные материалы и результаты Работ представляются Исполнителем по мере их создания, до направления Заказчику Акта сдачи-приемки Работ по каждому этапу. Состав Отчетных материалов и результатов Работ по каждому этапу указан в Приложении № 2 к настоящему Договору. Заказчик в течение 5 (пяти) рабочих дней с даты получения обязан рассмотреть представленные материалы/результаты, принять и утвердить их (направив при этом письменное уведомление Исполнителю), либо составить совместно с Исполнителем Протокол, фиксирующий перечень замечаний и сроки их устранения. Такой Протокол должен быть подписан уполномоченными представителями Сторон. После устранения Исполнителем замечаний Отчетные материалы/результаты Работ направляются Заказчику на повторное согласование и утверждение. Повторное согласование/утверждение производится Заказчиком в соответствии с описанной в настоящем пункте процедурой. Если Заказчик в указанный в настоящем пункте срок не направил Исполнителю ни уведомления в утверждении Отчетных материалов/результатов Работ, ни отказ от их утверждения, Отчетные материалы/результаты Работ считаются принятыми Заказчиком без замечаний.
После утверждения Сторонами Отчетных материалов/результатов Работ, указанных в Приложении № 2 к настоящему Договору, все доработки и дополнения к ним рассматриваются как дополнительные работы, которые реализуются в соответствии с п.1.3. настоящего Договора.
Исполнитель обязан по окончании этапов работ, указанных в Приложении №2 к настоящему Договору, и при выполнении условий, указанных в п. 3.8 настоящего Договора, передавать Заказчику для подписания Акты сдачи-приемки выполненных работ в двух экземплярах и счет-фактуру, оформленный в соответствии с НК РФ. Заказчик в течение 5 (Пяти) рабочих дней с даты получения Акта сдачи-приемки выполненных работ направляет Исполнителю подписанный Акт либо мотивированный отказ в подписании Акта. Мотивированным отказом признается письменный документ, составленный Заказчиком и подписанный его уполномоченным лицом, в котором обосновывается несоответствие выполненных работ условиям настоящего Договора.
Если по истечении срока, указанного в п.3.10. настоящего Договора, Заказчик не подпишет Акт и не направит Исполнителю мотивированного отказа, работы будут считаться принятыми Заказчиком без претензий, а подписанный Исполнителем акт будет иметь силу двустороннего.
ОБЯЗАННОСТИ СТОРОН
Стороны обязаны утвердить Устав проекта в течение 5 (пяти) рабочих дней с даты начала Работ по Договору. Проект Устава разрабатывается Исполнителем и передается Заказчику на согласование не позднее, чем через 3 (три) дня после начала Работ по Договору. Устав проекта – документ, регламентирующий порядок взаимодействия Сторон в ходе выполнения Работ по Договору.
В течение 5 (пяти) рабочих дней после вступления в силу настоящего Договора, Заказчик и Исполнитель, каждый со своей стороны, назначают лиц, ответственных за координацию выполнения Работ, о чем Стороны сообщают друг другу в письменной форме.
Исполнитель обязан:
Выполнить Работы по Договору в установленные сроки и с надлежащим качеством.
Своевременно направлять в адрес Заказчика счета на оплату, счета-фактуры и Акты сдачи-приемки выполненных работ по настоящему Договору.
Своевременно информировать Заказчика об изменениях, которые могут значительно повлиять на объемы выполняемых Работ и требующих заключения Дополнительных соглашений.
Предоставлять Заказчику информацию о ходе выполнения Работ.
Уведомлять Заказчика о возникновении обстоятельств, препятствующих выполнению Работ.
При выполнении Работ на территории Заказчика соблюдать действующие на территории Заказчика требования пропускного режима, требования пожарной безопасности, правила по охране труда и правила безопасности при эксплуатации технических устройств.
Выполнять иные обязательства, предусмотренные настоящим Договором и законодательством РФ.
Заказчик обязан:
Оплатить (в соответствии с разделом 2) и принять (в соответствии с разделом 3) выполненные Исполнителем Работы по настоящему Договору.
Не позднее 15 марта 2016 г. приобрести права на использование лицензионного программного обеспечения Oracle Hyperion Planning System, необходимого для внедрения Системы.
В максимально короткие сроки, но не более 5 (пяти) рабочих дней с даты получения запроса, отвечать на письменные или направленные по электронной почте запросы Исполнителя либо его представителя и предоставлять Исполнителю информацию и документы, имеющиеся в распоряжении Заказчика и необходимые для выполнения Работ по настоящему Договору. По требованию Заказчика Исполнитель обязан мотивировать необходимость использования им информации и документов, запрашиваемых от Заказчика. При повторном направлении Исполнителем запроса с обоснованием требования Заказчик обязан соблюдать вышеназванные сроки предоставления информации и документов. При невозможности предоставить информацию или документы в вышеназванный срок, Заказчик обязан направить Исполнителю информационное письмо с указанием сроков предоставления информации и обоснование продления сроков, либо причин непредставления информации или документов. Вся информация передается лично представителями Сторон.
Соблюдать сроки согласования выходных документов в соответствии с п. 3.8. настоящего Договора.
Выполнять иные обязательства, предусмотренные настоящим Договором и законодательством РФ.
КОНФИДЕНЦИАЛЬНОСТЬ
В течение срока действия настоящего Договора, а также в течение 3 (трёх) лет по окончании его действия, каждая из Сторон должна защищать от несанкционированного разглашения любую конфиденциальную информацию, касающуюся другой Стороны, ставшую доступной ей в связи с исполнением настоящего Договора, а также любой иной информации и данных, получаемых друг от друга и/или от Заказчика в связи с исполнением настоящего Договора (в том числе персональных данных), за исключением информации и данных, являющихся общедоступными (далее – конфиденциальная информация).
Стороны обязуются принимать все разумные меры для защиты конфиденциальной информации друг друга от несанкционированного доступа третьих лиц, в том числе:
хранить конфиденциальную информацию исключительно в предназначенных для этого местах, исключающих доступ к ней третьих лиц;
ограничивать доступ к конфиденциальной информации, в том числе для сотрудников, не имеющих служебной необходимости в ознакомлении с данной информацией.
Стороны гарантируют полное соблюдение всех условий обработки, хранения и использования полученных персональных данных, согласно ФЗ «О персональных данных» № 152 ФЗ от 27.07.2006 года.
Стороны обязаны незамедлительно сообщить друг другу о допущенных ими либо ставшим им известным фактах разглашения или угрозы разглашения, незаконном получении или незаконном использовании конфиденциальной информации третьими лицами.
Стороны не вправе в одностороннем порядке прекращать охрану конфиденциальной информации, предусмотренной настоящим Договором, в том числе в случае своей реорганизации в соответствии с гражданским законодательством.
Под разглашением конфиденциальной информации в рамках настоящего Договора понимается действие или бездействие одной из Сторон договора, в результате которого конфиденциальная информация становится известной третьим лицам в отсутствие согласия на это владельца конфиденциальной информации. При этом форма разглашения конфиденциальной информации третьим лицам (устная, письменная, с использованием технических средств и др.) не имеет значения.
Не является нарушением конфиденциальности предоставление конфиденциальной информации по законному требованию правоохранительных и иных уполномоченных государственных органов и должностных лиц в случаях и в порядке, предусмотренных применимым законодательством.
В случае раскрытия конфиденциальной информации указанным органам и/или лицам Сторона, раскрывшая конфиденциальную информацию, письменно уведомляет владельца конфиденциальной информации о факте предоставления такой информации, ее содержании и органе, которому предоставлена конфиденциальная информация, не позднее двух рабочих дней с момента раскрытия конфиденциальной информации.
Стороны вправе передавать информацию о факте заключения настоящего Договора и о его условиях, за исключением финансовых, а также о сделках и соглашениях, согласно которым заключен настоящий Договор, партнерам, клиентам и иных лицам при условии подписания с указанными лицами соглашения о конфиденциальности (в качестве отдельного документа или в составе иного договора), гарантирующего предоставление соответствующими лицами защиты конфиденциальной информации на условиях не худших, чем содержаться в настоящем Договоре.
В случае неисполнения Сторонами обязательств, предусмотренных настоящим разделом, Сторона, допустившее такое нарушение, обязуется возместить причиненные этим реальный ущерб в течение 5 (пяти) рабочих дней после получения соответствующего письменного требования пострадавшей Стороны.
Сам факт заключения настоящего Договора не является конфиденциальным и может использоваться Сторонами в рекламно-маркетинговых целях.
Опубликование (включая пресс-релизы) информации, связанной с настоящим Договором или его исполнением, должно быть согласовано между Сторонами.
ИНТЕЛЛЕКТУАЛЬНАЯ СОБСТВЕННОСТЬ
Стороны пришли к соглашению, что исключительные имущественные права на объекты интеллектуальной собственности, если таковые объекты созданы или могут быть созданы в результате Работ/Услуг по настоящему Договору, принадлежат Заказчику (включая все разработанные Исполнителем по настоящему Договору методические материалы по работе с Системой). В связи с этим Стороны договорились не предъявлять друг другу каких-либо имущественных претензий, связанных с авторским вознаграждением и иными финансовыми условиями, связанными с созданием объектов интеллектуальной собственности, считая, что финансовые условия настоящего Договора достаточны для исключения возможности подобных споров. Право собственности и исключительное право на результаты Работ/Услуг принадлежит Заказчику с момента подписания соответствующего Акта сдачи-приемки выполненных работ/ оказанных услуг.
Рабочие документы Исполнителя, используемые в процессе выполнения Работ/оказания Услуг, принадлежат исключительно Исполнителю.
Исполнитель выполняет работы и оказывает услуги для широкого круга клиентов, и Заказчик понимает, что Исполнитель будет продолжать эту деятельность. Соответственно, ничто в настоящем Договоре не препятствует и не ограничивает Исполнителя в части предоставления консультационных услуг и (или) разработки программного обеспечения и/или материалов для собственного использования или для других клиентов, независимо от возможного сходства экранных форм, структуры, организации и последовательности подготовки таких материалов и материалов, которые могут быть предоставлены Заказчику.
ОТВЕТСТВЕННОСТЬ
За неисполнение или ненадлежащее исполнение обязательств по Договору Стороны несут ответственность в соответствии с условиями Договора и действующим законодательством РФ. Упущенная выгода не возмещается.
В случае неоплаты и/или несвоевременной оплаты Заказчиком Работ, Исполнитель вправе потребовать от Заказчика выплаты неустойки в размере 0,1 % от суммы просроченного платежа за каждый рабочий день просрочки, но всего не более 10% от суммы просроченного платежа.
В случае неисполнения или ненадлежащего исполнения договорных обязательств Исполнителем по вине Исполнителя, Заказчик вправе потребовать от Исполнителя выплаты неустойки в размере 0,1% от стоимости этапа работ за каждый день просрочки, но всего не более 10% от стоимости соответствующего этапа.
Исполнитель ни при каких обстоятельствах не несет ответственности за издержки, возникшие в результате предоставления Заказчиком Исполнителю недостоверной и искаженной информации, необходимость которой вытекает из сути выполняемых Работ.
Исполнитель не несет ответственности за несоблюдение сроков выполнения работ по настоящему Договору в том случае, если несоблюдение сроков произошло по вине Заказчика, в том числе:
задержка оплаты счетов, с правильно указанными суммами и реквизитами платежа, выставляемых Исполнителем в соответствии с п.2.4. настоящего Договора
задержка согласования Отчетных материалов и/или результатов Работ, подписания актов сдачи-приемки в результате нарушения Заказчиком сроков, установленных настоящим Договором;
задержка в предоставлении информации в соответствии с п. 4.4.3 настоящего Договора;
невыполнение или несвоевременное выполнение Заказчиком иных обязательств, предусмотренных Договором;
любые обстоятельства, объективно препятствующие исполнению Исполнителем своих обязательств по настоящему договору, если они находятся под контролем Заказчика либо имеют место в офисе Заказчика.
Неустойка начисляется и подлежит уплате только в случае выставления одной Стороной соответствующего требования об уплате виновной Стороне.
Стороны освобождаются от ответственности за полное или частичное неисполнение обязательств по Договору, если надлежащее исполнение оказалось невозможным вследствие обстоятельств непреодолимой силы (землетрясения, наводнения, военных действий, эпидемий, актов государственных органов и т.д.), возникших после заключения Договора и эти обстоятельства Стороны не могли ни предвидеть, ни предотвратить.
Оплата штрафов, пеней и иных санкций не освобождает ни одну из Сторон от выполнения обязательств по настоящему Договору.
РАССМОТРЕНИЕ СПОРОВ И ПРИМЕНИМОЕ ПРАВО
Любые разногласия, противоречия, жалобы по или в связи с настоящим Договором, включая все вопросы, касающиеся его существования, действительности, прекращения или нарушения положения настоящего Договора, возникающие у одной из Сторон по настоящему Договору по отношению к другой Стороне (здесь и далее «Спор») урегулируются Сторонами путем проведения переговоров. В ожидании окончательного урегулирования какого-либо Спора, каждая Сторона продолжает добросовестно выполнять настоящий Договор и все свои соответствующие обязательства по нему.
Для Сторон обязателен досудебный претензионный порядок разрешения споров. Сторона, получившая претензию, обязана рассмотреть ее и ответить по существу претензии не позднее 10 (десяти) рабочих дней с даты получения претензии. Если Стороны не смогли в добровольном порядке урегулировать возникший Спор, такой Спор передается на разрешение Арбитражного суда г. Москвы.
ПРЕКРАЩЕНИЕ ДЕЙСТВИЯ ДОГОВОРА И ПОРЯДОК РАСТОРЖЕНИЯ ДОГОВОРА.
Действие настоящего Договора может быть прекращено путем его досрочного расторжения в следующих случаях:
при невыполнении обязательств одной из Сторон по настоящему Договору в случаях и порядке, установленных законодательством Российской Федерации;
по обоюдному согласию Сторон;
в иных случаях, предусмотренных законодательство РФ.
После досрочного прекращения действия настоящего Договора Стороны производят взаиморасчеты по фактически выполненным работам.
ПРОЧИЕ УСЛОВИЯ
Не отраженные в настоящем Договоре вопросы регулируются законодательством РФ.
Все акты сдачи-приемки, счета, счета-фактуры, отчетные материалы, требования, уведомления, предложения, и прочие документы, влекущие юридически значимые последствия, передаются ответственному представителю Заказчика, направляются курьерской почтой или заказными почтовыми отправлениями с подтверждением получения. При этом, датой получения Заказчиком документов будет считаться дата передачи документов курьером ответственному представителю Заказчика, датой получения документов, направленных почтой, является дата, указанная в уведомлении о вручении.
Исполнитель имеет право привлекать третьих лиц для исполнения своих обязательств по настоящему Договору, при этом ответственность перед Заказчиком за надлежащее исполнение обязательств по Договору лежит на Исполнителе.
Исполнитель в течение 1 (одного) года с даты передачи Системы в промышленную эксплуатацию гарантирует устранение за свой счет ошибок, связанных с несоответствием разработанной Системы документу «Дизайн-проект Системы». При обнаружении таких ошибок Заказчик направляет Исполнителю письменное уведомление об обнаружении ошибки. Исполнитель обязан в течение 30 (Тридцати) рабочих дней с момента получения уведомления от Заказчика устранить выявленную ошибку. Действие данного пункта не распространяется на случаи, если ошибки, сбои в работе Системы, или иные недостатки в работе Системы возникли по причинам, не зависящим от Исполнителя, а именно:
нестандартное электрическое или электромагнитное напряжение; поломки или колебания параметров электрической сети, системы кондиционирования и контроля влажности; перегрев, пожар и задымление;
работа Системы осуществляется совместно с носителями информации, аппаратурой, программными или телекоммуникационными интерфейсами, не соответствующими техническим требованиям производителя программного обеспечения, установленным в документации производителя;
использование Системы способом, отличным от рабочих процедур, установленных в соответствующей документации Исполнителя и производителя программного обеспечения, установленного в документации производителя;
модификация, кастомизация, изменение или дополнение или попытка произвести модификацию, кастомизацию, изменение или дополнение Системы, если они предприняты Заказчиком или третьими лицами без согласования с Исполнителем;
воздействие программного обеспечения, разработанного Заказчиком или третьими лицами, если совместная работа такого программного обеспечения с Системой не согласована с Исполнителем;
ошибки программного обеспечения, относящиеся к области ответственности производителя.
Каждая из Сторон гарантирует, что имеет необходимые права для заключения настоящего Договора и выполнения своих обязательств по нему.
Все изменения и дополнения к настоящему Договору оформляются путём подписания Сторонами Дополнительных соглашений к Договору.
Настоящий Договор вступает в силу с момента его подписания Сторонами и действует до полного исполнения Сторонами своих обязательств.
Любые приложения, и дополнительные соглашения к настоящему Договору являются его неотъемлемой частью.
Настоящий Договор составлен в 2 (двух) экземплярах, имеющих одинаковую юридическую силу, по одному для каждой из Сторон.
К настоящему Договору прилагаются:
Приложение № 1 – «Техническое задание».
Приложение № 2 – «Финансово-календарный план работ».

ТЕХНИЧЕСКОЕ ЗАДАНИЕ
Цели и задачи Исполнителя при осуществлении работ
Целью работ является создание и внедрение Исполнителем Автоматизированной системы формирования IFRS отчетности и бюджетирования (далее – Система) на базе программного продукта Oracle Hyperion Planning System.
Для создания данной Системы Исполнитель обязан решить следующие задачи:
Создать подсистему формирования отчетности IFRS
Разработать Дизайн-проект подсистемы формирования отчетности IFRS;
Настроить автоматизированную подсистему формирования отчетности IFRS;
Разработать эксплуатационную документацию;
Провести тренинг пользователей подсистемы;

Требования к формату файла разрабатывается Исполнителем на этапа проектирования подсистем. Работы по подготовка и выгрузка данных из систем 1С и SHIPNET выполняются осуществляет Заказчиком.

Очередь 1. Этап 1. Разработка Дизайн-проекта Системы
В рамках работ по построению проектированию выполняются работы по проектированию подсистемы построения IFRS отчетности :
Проектирование осуществляется на базе предоставленных Заказчиком методики формирования IFRS отчетности. Проектирование осуществляется на основе анализа методики, предоставленной Заказчиком в соответствии с требованиями Исполнителя, описывающих алгоритмы формирования отчетности IFRS, а также таблицы мэппинга счетов IFRS-РСБУ.
Требования к форматам выгрузки данных из 1С и таблицам мэппинга счетов будут сформированы Исполнителем на этапе проектирования подсистемы формирования IFRS отчетности.
В рамках проекта Исполнитель сформирует структурированное описание форм, алгоритмов и процессов модели «как будет» в Системе с учетом особенностей Oracle Hyperion Planning (требования к уникальности кодировки и наименования элементов справочников, ограничения по количеству символов, особенности построения форм по технологии OLAP и т.д.).

в «Методике тестирования» определяются цели, объекты, этапы и порядок проведения тестирования Системы.
Сценарии тестирования являются приложением к «Методике тестирования» и задают последовательные шаги проведения испытаний для тестирования заложенной в Систему функциональности.

Очередь 1. Этап 3. Сопровождение пользователей во время опытной эксплуатации
На данном этапе в Систему загружаются реальные данные, и пользователи выполняют в ней задачи, для решения которых она создавалась, в соответствии с Программой опытной эксплуатации (разработанной Заказчиком). Эксплуатация Системы осуществляется работниками Заказчика.
На данном этапе Исполнитель оказывает услуги по сопровождению (консультированию) пользователей при работе в Системе, принявших участие в тренинге на этапе 2.
В процессе эксплуатации на данном этапе выявляются случаи потенциально неправильной работы Системы. Работники Заказчика фиксируют такие случаи в Журнале инцидентов, чтобы консультанты Исполнителя могли разобрать обнаруженный инцидент. Инцидент признается ошибкой, если работа Системы не соответствует требованиям документа «Дизайн-проект Системы». В случае признания инцидента ошибкой, консультанты Исполнителя ее исправляют. своими силами и за свой счет, в течение _5__ дней с момента уведомления Заказчиком Исполнителя о наличии такой ошибки. Работы по этапу считаются выполненными в полном объеме при условии истечения срока опытной эксплуатации и исправления выявленных и зафиксированных в Журнале инцидентов опытной эксплуатации.
Результаты Этапа:
Протокол, подписанный Сторонами, о завершении сопровождения по истечению срока сопровождения;
Протокол, подписанный Сторонами, об отсутствии ошибок в Журнале инцидентов опытной эксплуатации.

_________________________, hereinafter referred to as the "Customer", represented by ____________________________, acting on the basis of __________________, on the one part, and "CONSIST" Limited Liability Company ("CONSIST" LLC), hereinafter referred to as the "Contractor", represented by General Director Pavel Sergeevich Goryansky, acting on the basis of the Articles of Association, on the other part, hereinafter collectively referred to as the "Parties" and individually a "Party", have entered into this Agreement (hereinafter referred to as the "Agreement") as follows:
SUBJECT MATTER OF THE AGREEMENT
The subject matter of this Agreement is performance of Work on the implementation of software tool "Automated system of IFRS reporting formation and budgeting powered by Oracle Hyperion software" (hereinafter referred to as the System).
The scope of Work performed hereunder shall be limited by the project frames specified in Appendix No. 1 hereto "Statement of Work".
The Parties shall be entitled to agree on the necessity to perform additional work. Additional work shall mean any works and/or services performance whereof are not included in the Contractor’s obligations hereunder (including the works necessity for performance whereof arose in connection with the implementation of the Customer’s requirements, not specified in Appendix No.1 hereto “Statement of Work”, as well as due to the failure to fulfill or improper fulfillment by the Customer of its obligations under the Agreement, for example, in connection with the provision of incomplete or inaccurate information). The cost, conditions and procedure for performance of additional work shall be further agreed by the Parties by way of signing additional agreements hereto.
COST AND SETTLEMENT PROCEDURE
The total cost of Work under this Agreement amounts to 6 309 002.14 rubles (Six million three hundred and nine thousand and two rubles 14 kopecks), including VAT (18%) in the amount of 962 390.16 rubles (Nine hundred and sixty-two thousand three hundred and ninety rubles 16 kopecks).
The cost of each stage of Work performed by the Contractor under the Agreement shall be determined in accordance with Appendix No.2 hereto "Financial and Timing Work Schedule".
Work under the Agreement shall be paid by the Customer in stages in accordance with Appendix No.2 hereto "Financial and Timing Work Schedule" on the basis of 30% advance-payment for each stage and final payment for each stage after signature of the Work Acceptance and Delivery Certificate for the relevant stage.
The Customer shall make all payments hereunder on the basis of bills issued by the Contractor. The bill for advance payment of the first stage shall be issued within 5 (five) business days from the date of the Agreement signature. The bills issued following the end of each stage of works shall be issued within 5 (five) business days after the Customer signs the relevant Work Acceptance and Delivery Certificates for the relevant stage. The Customer shall make final payment for the works performed at the relevant stage after receipt of the Contractor's bill, invoice executed in accordance with the Tax Code of the Russian Federation, provided that the Parties sign the Work Acceptance and Delivery Certificates for the stage being paid for. The bills for advance payment of the second and subsequent stages of works shall be issued within 5 (five) business days after the Customer signs the Work Acceptance and Delivery Certificate for the previous stage. The Customer shall pay the bills for advance payment not later than 5 (five) business days from the date of receipt of such bill. The Customer shall pay the bills issued by the Contractor following the end of the stage, not later than 20 (twenty) business days from the date of receipt of the bill and invoice from the Contractor.
The Customer shall make all payments hereunder by way of transferring the funds to the Contractor’s settlement account specified in Section 15 hereof. The day the funds are debited from the correspondent account of the bank which services the Customer’s settlement account shall be the day the Customer fulfills the obligation to pay the cost of the Contractor’s work in respect of each stage of work.
Interest for the use of funds under the provisions of item 1, Art. 317.1 of the Civil Code of the Russian Federation, in the event of timely fulfillment of obligations, shall not be accrued by the Parties.
ORGANIZATION OF WORK PERFORMANCE, PROCEDURE FOR DELIVERY AND ACCEPTANCE OF WORK
When building the relationships the Parties proceed on the basis that the timing and quality of the Work performance by the Contractor are directly connected with the participation of the Customer’s employees and depend on the fulfillment of obligations by the Customer and its employees involved in the implementation of the Agreement.
In cases where due to the Work performance under the Agreement the consent, approval, acceptance, permit or similar action of the Customer or the Contractor is required, this action must be carried out in due time, and such action should not be unreasonably withheld.
For the purpose of the Work performance the Parties shall create a Project group, the personal composition and procedure for formation whereof should be further agreed by the Parties. The Parties shall provide the Project group members with the required powers for the Work performance under the Agreement, submission of requested information and documentation, acceptance and settlement of other issues arising in the process of the Work performance. Roles of the Project group members shall be recorded in the Project Charter, which should be approved by the Parties in accordance with clause 4.1 of the Agreement.
Each Party may send a request to the other Party for replacement of a specialist being the member of the Project group who does not have appropriate qualifications. If such request is justified the other Party shall carry out necessary replacement.
For settlement of issues requiring collective discussion and adoption of concerted decisions the Parties shall establish a Management Committee.
Work under the Agreement shall be performed either on the Contractor’s premises, or on the Customer’s premises in the presence of the Customer’s representative on the Contractor’s premises. When the Work hereunder is performed on the premises of the Customer, the latter shall put in place the arrangements necessary for the Contractor’s employees to perform the works (work places, access to the Internet, access to a printer, access to the Customer’s servers, etc.). When performing the Work the Contractor may, subject to agreement with the Customer, use a detailed copy of the System on its equipment. Business trips of the Contractor’s employees outside the city of Moscow shall not be provided.
Work shall be performed in stages in accordance with the Work schedule set out in Appendix No. 2 hereto "Financial and Timing Work Schedule".
Deliverables and Work products shall be submitted by the Contractor if and when created, before sending the Work Delivery and Acceptance Certificate for each stage to the Customer. The composition of Deliverables and Work products for each stage is specified in Appendix No. 2 hereto. The Customer shall, within 5 (five) business days from the date of receipt, consider the submitted deliverable/products, accept and approve them (while giving a written notice to the Contractor), or create a Protocol together with the Contractor recording the list of the comments and the timing for elimination thereof. This Protocol should be signed by authorized representatives of the Parties. After the Contractor eliminates the comments the Deliverables/Work products shall be sent to the Customer for additional reconciliation and approval. Additional reconciliation/approval shall be made by the Customer in accordance with the procedure described in this clause. If within the term specified in this clause the Customer failed to send a notice to the Contractor about approval of the Deliverables/Work products, or refusal of approval thereof, the Deliverables/Work products shall be deemed accepted by the Customer without comments.
After the Parties approve the Deliverables/Work products specified in Appendix No. 2 hereto, all improvements and supplements to them shall be considered as additional work to be implemented in accordance with clause 1.3. hereof.
The Contractor shall, upon completion of work stages specified in Appendix No.2 hereto, and subject to fulfillment of conditions specified in clause 3.8 hereof, transfer to the Customer the Work Delivery and Acceptance Certificates for signature by the latter in two copies, as well as the invoice drawn up in accordance with the Tax Code of the Russian Federation. The Customer shall, within 5 (Five) business days from the date of receipt of the Work Delivery and Acceptance Certificate, send a signed Certificate to the Contractor or a reasoned refusal to sign it. A written document drawn up by the Customer and signed by its authorized representative, which substantiates inconsistency of the work performed with the terms and conditions of this Agreement, shall constitute a reasoned refusal.
If upon expiration of the term specified in clause 3.10. hereof the Customer fails to sign the Certificate or send a reasoned refusal to the Contractor, the work shall be deemed accepted by the Customer without claims, and the Certificate signed by the Contractor shall be valid as bilateral.
OBLIGATIONS OF THE PARTIES
The Parties shall approve the Project Charter within 5 (five) business days from the date of the Work commencement under the Agreement. The Project Charter shall be developed by the Contractor and transferred to the Customer for harmonization not later than 3 (three) days after the Work commencement under the Agreement. The Project Charter is a document regulating the procedure for interaction between the Parties during the Work performance under the Agreement.
Within 5 (five) business days after entry of this Agreement into force, the Customer and the Contractor shall, each for its part, appoint persons responsible for coordination of the Work performance, whereof the Parties shall notify each other in writing.
The Contractor shall be obliged:
To perform Work under the Agreement of appropriate quality and within the terms established.
To send in due time the bills and invoices to the Customer, as well as the Work Delivery and Acceptance Certificates under this Agreement.
To inform the Customer in due time about the changes that may significantly affect the amount of Work currently performed and require conclusion of Additional agreements.
To provide the Customer with information about the progress of Work.
To notify the Customer of the occurrence of circumstances preventing the Work performance.
When the Work is performed on the premises of the Customer, to comply with the Customer's applicable requirements for access control, fire safety requirements, occupational safety rules and safety rules for the operation of technical devices.
To fulfill other obligations stipulated by this Agreement and the legislation of the Russian Federation.
The Customer shall be obliged:
To pay for (in accordance with section 2) and accept (in accordance with section 3) the Work performed by the Contractor under this Agreement.
By not later than March 15, 2016 to acquire the rights to use the licensed software Oracle Hyperion Planning System required for the System implementation.
As soon as possible, but not more than 5 (five) business days from the date of receipt of the request, to respond to a written requests of the Contractor or its representative or requests sent by e-mail, and provide the Contractor with information and documents available to the Customer and required for the Work performance hereunder. At the Customer’s request the Contractor shall justify its need to use the information and documents requested from the Customer. When the Contractor sends the same request again with justification of requirement, the Customer shall comply with the above terms for provision of information and documents. If the Customer is unable to provide information or documents within the abovementioned term, the latter shall send an information letter to the Contractor, specifying the terms for provision of information and justification of extension of the terms, or reasons for failure to provide information or documents. All information shall be transmitted in person by representatives of the Parties.
To comply with the terms for harmonization of output documents in accordance with clause 3.8. hereof.
To fulfill other obligations stipulated by this Agreement and the legislation of the Russian Federation.
CONFIDENTIALITY
During the validity term of this Agreement, as well as for 3 (three) years after termination thereof, each Party shall protect from unauthorized disclosure any confidential information relating to other Party, which became available to it in connection with the implementation of this Agreement, as well as any other information and data received from each other and/or from the Customer in connection with the implementation of this Agreement (including personal data), except for the publicly available information and data (hereinafter referred to as the confidential information).
The Parties shall take all reasonable measures to protect the confidential information of each other from unauthorized access of third parties, including:
to store the confidential information only in designated places, preventing access thereto by third parties;
to restrict access to the confidential information, including for employees who do not need to know this information.
The Parties shall ensure full compliance with all the conditions of handling, storage and use of obtained personal data, according to Federal Law "On Personal Data" No.152 ФЗ dated 27.07.2006.
The Parties shall immediately inform each other about the facts of disclosure or threat of disclosure, illegal obtaining or illegal use of the confidential information by third parties committed by them or which became known to them.
The Parties may not unilaterally terminate protection of the confidential information stipulated by this Agreement, including in case of their reorganization in accordance with the civil legislation.
Disclosure of the confidential information under this Agreement shall mean the act or omission of one of the Parties hereto to act, following which the confidential information became known to third parties without the consent of the owner of the confidential information thereto. In this case, the form of disclosure of the confidential information to third parties (oral, written, with the use of technical means, etc.) shall be of no importance.
Disclosure of the confidential information on the lawful demand of law enforcement and other authorized government authorities and officials in the cases and according to the procedure stipulated by the applicable legislation shall not constitute breach of confidentiality.
In case of disclosure of the confidential information to the said authorities and/or persons, the Party disclosing the confidential information shall notify the owner of the confidential information about the fact of submission of such information, its content, and the authority to which it was submitted, not later than two business days after disclosure of the confidential information.
The Parties shall be entitled to transmit the information about the fact of conclusion of this Agreement and the terms and conditions thereof, except for financial ones, as well as about the transactions and agreements, according to which this Agreement was concluded, to partners, clients and other persons subject to signature of confidentiality agreement (as a separate document or as part of other agreement) with the said persons, which guarantees protection of the confidential information by the relevant persons on the conditions not worse than those contained in this Agreement.
In case the Parties violate the obligations stipulated by this section, the Party committing such a violation shall reimburse the actual damage caused by such violation within 5 (five) business days after receipt of the relevant written request of the affected Party.
The very fact of conclusion of this Agreement shall not be confidential and may be used by the Parties in advertising and marketing purposes.
Publication (including press releases) of information associated with this Agreement or implementation thereof should be agreed between the Parties.
INTELLECTUAL PROPERTY
The Parties have agreed that the exclusive property rights to intellectual property items, if such items are created or may be created as a result of Works/Services under this Agreement shall be vested in the Customer (including all training materials with regard to the System operation developed by the Contractor under this Agreement). In this regard, the Parties have agreed not to submit to each other any property claims connected with royalty fees and other financial conditions associated with the creation of intellectual property items, considering that the financial terms and conditions of this Agreement are sufficient to exclude the possibility of such disputes. The right of ownership and exclusive right to the Work/Service products shall be vested in the Customer upon signature of the relevant Work/Services Delivery and Acceptance Certificate.
Working documents of the Contractor used during the Work performance/Services rendering shall be exclusively owned by the Contractor.
The Contractor shall perform the works and provide the services for a wide range of clients, and the Customer understands that the Contractor will continue this activity. Accordingly, nothing in this Agreement shall prevent or restrict the Contractor in providing consulting services and (or) development of software and/or materials for its own use or for other clients, irrespective of the possible similarity of screen forms, structure, organization and sequence of the preparation of such materials and materials that can be provided to the Customer.
LIABILITY
The Parties shall be held liable for failure to fulfill or improper fulfillment of obligations under the Agreement, in accordance with the terms and conditions of this Agreement and the applicable legislation of the Russian Federation. Loss of profit shall not be refundable.
If the Customer fails to pay or delays payment of the Work, the Contractor shall be entitled to demand from the Customer payment of a penalty of 0.1% of the amount of delayed payment for each business day of delay, but in total not more than 10% of the amount of delayed payment.
In case of failure to fulfill or improper fulfillment of contractual obligations by the Contractor through the latter’s fault, the Customer shall be entitled to demand from the Contractor payment of a penalty of 0.1% of the cost of work stage for each day of delay, but in total not more than 10% of the cost of the relevant stage.
The Contractor shall not, under any circumstances, be liable for the expenses incurred as a result of the Customer’s submission of false and distorted information to the Contractor, the need for which arises from the essence of the Work performed.
The Contractor shall not be liable for delays in the work performance under this Agreement in the event that such delays occurred through the fault of the Customer, including:
delay in payment of the bills with correct amounts and details of payment, issued by the Contractor in accordance with clause 2.4. hereof;
delay in reconciliation of the Deliverables and/or Work products, signature of delivery and acceptance certificates due to the Customer’s violation of the terms stipulated by this Agreement;
delay in provision of information in accordance with clause 4.4.3 hereof;
failure to fulfill or delayed fulfillment by the Customer of other obligations stipulated by the Agreement;
any circumstances objectively impeding the Contractor’s fulfillment of its obligations hereunder, if they are controlled by the Customer or occur in the office of the Customer.
The penalty shall be accrued and paid only if one Party submits a corresponding claim to the guilty Party for payment of such penalty.
The Parties shall not be held liable for complete or partial failure to fulfill their obligations under the Agreement, if proper fulfillment turned out to be impossible due to force majeure circumstances (earthquakes, floods, military actions, epidemic, acts of government authorities, etc.) arising after conclusion of the Agreement and which the Parties could neither foresee nor prevent.
Payment of fines, penalties and other sanctions shall not relieve either Party from fulfillment of its obligations under this Agreement.
SETTLEMENT OF DISPUTES AND APPLICABLE LAW
Any disputes, controversies, complaints with regard to or in connection with this Agreement, including all issues relating to existence, validity, termination or breach of the provisions of this Agreement arising with one of the Parties hereunder with respect to the other Party (hereinafter referred to as the "Dispute") shall be settled by the Parties by means of negotiations. In expectation of final settlement of any Dispute, each Party shall proceed with implementation of this Agreement and all its correspondent obligations arising out of it in good faith.
Pre-trial complaint procedure for settlement of disputes shall be obligatory for the Parties. The Party receiving a claim shall consider such claim and respond on the merits of the claim within not later than 10 (ten) business days from the date of receipt of the claim. If the Parties failed to settle the Dispute on a voluntary basis, such Dispute shall be referred to the Arbitration Court of the city of Moscow.
TERMINATION OF THE AGREEMENT AND PROCEDURE FOR TERMINATION OF THE AGREEMENT
This Agreement may be terminated by way of its early termination in the following cases:
failure of one of the Parties to fulfill the obligations hereunder in cases and pursuant to the procedure established by the legislation of the Russian Federation;
by mutual consent of the Parties;
in other cases stipulated by the legislation of the Russian Federation.
After early termination of this Agreement, the Parties shall make mutual settlements on the work actually performed.
MISCELLANEOUS
The issues not reflected in this Agreement shall be governed by the legislation of the Russian Federation.
All delivery and acceptance certificates, bills, invoices, deliverables, requirements, notifications, suggestions and other documents entailing legally significant consequences shall be transferred to designated representative of the Customer, sent by courier service or registered mail with acknowledgement of receipt. In this case, the date the documents are handed over by courier to the designated representative of the Customer shall be the date of receipt of such documents by the Customer, and the date specified in the acknowledgment of receipt shall be the date of receipt of the documents sent by mail.
The Contractor may engage third parties to fulfill its obligations under this Agreement, while bearing the liability to the Customer for the proper fulfillment of obligations under the Agreement.
The Contractor shall, within 1 (one) year from the date of the System handover to commercial operation, ensure the elimination of errors, at its own expense, associated with inconsistency of the developed System with the document "Design Project of the System". Upon detection of such errors the Contractor shall send the Customer a written notice of an error detection. The Contractor shall, within 30 (thirty) business days from the date of receipt of the notice from the Customer, eliminate the detected error. The effect of this clause shall not apply to cases when errors, failures in the System operation, or other defects in the System operation arose for reasons beyond the control of the Contractor, namely:
non-standard electric or electromagnetic voltage; breakdowns or fluctuations in electric network parameters, air conditioning and humidity control systems; overheating, fire and smoke formation;
operation of the System shall be carried out together with information carriers, equipment, software or telecommunications interfaces that do not meet the technical requirements of the software manufacturer established in the manufacturer's documentation;
use of the System in a manner different from the operating procedures set out in the relevant documentation of the Contractor and software manufacturer established in the manufacturer's documentation;
modification, customization, amendment or supplementing or attempt to carry out modification, customization, amendment or supplementing of the System, if such are made by the Customer or third parties without the consent of the Contractor;
the impact of the software developed by the Customer or third parties, if the joint operation of such software with the System is not agreed upon with the Contractor;
software errors related to the area of manufacturer’s responsibility.
Each Party guarantees that it is fully entitled to enter into this Agreement and fulfill its obligations thereunder.
All amendments and supplements to this Agreement shall be executed as Additional agreements to be signed by the Parties.
This Agreement shall enter into force upon signature thereof and be valid until the Parties fulfill their obligations in full.
Any appendices and additional agreements to this Agreement shall constitute an integral part thereof.
This Agreement is made in 2 (two) copies having equal legal force, one copy for each of the Parties.

Appendix No.1 - "Statement of Work".
Appendix No.2 - "Financial and Timing Work Schedule".

STATEMENT OF WORK
Objectives and tasks of the Contractor in the work performance
The work objective is creation and implementation by the Contractor of the Automated system of IFRS reporting formation and budgeting (hereinafter referred to as the System) powered by Oracle Hyperion Planning System software product.
In order to create this System the Contractor shall be obliged to complete the following tasks:
To create a subsystem of IFRS reporting formation;
To develop a Design Project of the subsystem of IFRS reporting formation;
To set up the automated subsystem of IFRS reporting formation;
To elaborate operational documentation;
To conduct training for the subsystem users;
To ensure users maintenance during the pilot operation of the subsystem of IFRS reporting formation and eliminate errors in the event of detection thereof (within the duration of maintenance phase stipulated by the Agreement).
To create a subsystem of budgeting
To develop an album of budget forms for the subsystem of budgeting;
To set up the form of data collection in the subsystem of budgeting;
To ensure users maintenance during the pilot operation of the subsystem of budgeting and eliminate errors in the event of detection thereof (within the duration of maintenance phase stipulated by the Agreement).
To create a subsystem of reporting on the projects
To carry out modification of Design Project of the subsystem of IFRS reporting formation, taking into account the functionality of the subsystem of reporting on the projects;
To set up the subsystem of reporting on the projects;
To conduct finalization of operational documentation, taking into account new functionality;
To ensure users maintenance during the pilot operation of the subsystem of reporting on the projects and eliminate errors in the event of detection thereof (within the duration of maintenance phase stipulated by the Agreement).
To create a subsystem of employees’ daily performance record
To develop a module powered by SharePoint 2013 for recording of daily performance of employees;
To develop mechanisms of directories upload into this module;
To develop mechanisms of actual data download to third party system or module.
Functional scope of work
Subsystem of IFRS reporting:
Collection of actual data. Collection of actual data in automatic mode, with the possibility of making manual adjustments:
In manual mode: Using the system interface in MS Excel - Hyperion SmartView for Office add-in;
In automatic mode: data upload from files/marts of standardized format;
Implementation of mapping of data in the mart into the reporting analytics;
Data upload into the system, with the possibility of falling through to the source mart;
Consolidation of actual data:
The algorithm of aggregation of actual data on the companies shall be configured in the system.
Reporting:
Basic reporting forms (P&L, BS, Cash Flow) with the possibility to choose currencies (RUB, USD) shall be configured in the system. Not more than 10 reporting forms.
Subsystem of budgeting:
Collection of planning data.
Users shall enter planning data into the unified data collection forms through web and MS excel interface of the system in manual mode.
Consolidation of planning data.
The algorithm of aggregation of planning data on the companies shall be configured in the system.
Subsystem of reporting on the projects (includes integration with SHIPNET):
The system of collecting actual labor costs on the projects will be implemented while powered by Microsoft SharePoint 2013 software. Automatic data upload from SHIPNET system to the target System shall be provided. Upload will be performed from the files or marts of a standardized format as required on a periodic basis (monthly).
Reporting:
The package of reports on the project activities (not more than 10 reporting forms) shall be configured in the system.

User shall create a separate record for each day and task.
The mechanisms of "closure" of records or approval thereof shall not be implemented.

The following roles are outlined:
User - can see and edit its time retirements.
Business administrator - can see and edit all time retirements, can correct any lists.
Integration
Upload of reference data (projects and tasks directories) shall be carried out by way of an intermediate XML file, the format whereof should be approved at design stage.
This file must contain the whole actual list of records. Import mechanism must support the incremental loading and updating of records already uploaded.
Data download to third-party system shall also be carried out through the intermediate XML. A full updated list of records or list of changed records shall be downloaded.
Technical framework of work
Work shall be performed on the basis of techniques provided by the Customer and formed on the basis of requirements for the data format submitted by the Contractor.
Integration framework of work
Within the framework of the project the integration with the following data sources will be implemented:
SHIPNET - the system of placing orders and project financial statements;
Microsoft SharePoint 2013 - daily performance record system;
1C Accounting - corporate accounting system;
Integration with external systems shall be carried out by means of an intermediate mart in the database to which files of unified format are uploaded. Requirements for the file format shall be developed by the Contractor at the stage of subsystems design. Work on the preparation and downloading of data from 1C and SHIPNET systems shall be performed by the Customer.
The composition and content of work
The System implementation project shall be carried out by the Contractor in four queues:

Queue 1. Stage 1. Development of Design Project of the System
As part of design activities the work on design of the subsystem of IFRS reporting formation shall be performed:
Design shall be carried out on the basis of technique of IFRS reporting formation provided by the Customer. Design shall be implemented based on the analysis of technique provided by the Customer in accordance with the Contractor’s requirements describing the algorithms of IFRS reporting formation, as well as the tables of mapping of IFRS-RAS accounts.
Requirements for the formats of data download from 1C and tables of accounts mapping will be established by the Contractor at the stage of design of the subsystem of IFRS reporting formation.
Within the framework of the project the Contractor shall develop a structured description of forms, algorithms and processes of "as will be" model in the System, taking into account special aspects of Oracle Hyperion Planning (requirements for unique coding and names of directories elements, limitations on the number of characters, characteristics of construction of forms as per OLAP technology, etc.).
Presentation of results of design in the document "Design Project", which will include the following sections:
Functional architecture of the System
Schemes of data movements
Directories
Input forms and report forms
Calculation algorithms
Integration mechanisms
Security and access rights
Software and hardware architecture
Hardware requirements
Development of testing techniques and scenarios:
in the "Testing technique" objectives, objects, stages and procedure for implementation of the System testing shall be defined.
Testing scenarios shall constitute an appendix to the "Testing technique" and define successive steps of implementation of procedures aimed at testing the functionality put in the System.
Harmonization of the document "Design Project of the System".
Results of the Stage:
The document "Design Project of the System" has been developed and harmonized.
Queue 1. Stage 2. Setting and testing of the System
Within this stage the Contractor shall perform the following work:
Installation of Oracle Hyperion Planning System software provided by the Customer on the latter’s servers and technical support of this software operation up to the System handover to pilot operation;
Setting of the System in accordance with the document "Design Project of the System";
Setting of the mart for the files upload from the accounting Systems (1C);
Setting of the tables of compliance (mapping) with the accounting System;
Conduct of training for the functional System administrator;
Testing of the System in accordance with the testing technique described in the document "Design Project of the System", and the test cases developed by the Customer.
Results of the Stage:
Testing protocol.
Queue 1. Stage 3. Users maintenance during pilot operation
At this stage the System shall be uploaded with actual data, and users shall complete the tasks in it, for completion whereof it was created, in accordance with the Program of pilot operation (developed by the Customer). The System operation shall be implemented by the Customer’s employees.
At this stage the Contractor shall provide services on maintenance (counseling) of users when working in the System, who participated in the training at stage 2.
During the operation at this stage the cases of potential malfunction of the System shall be identified. The Customer’s employees shall record such cases in the Incidents logbook so that the Contractor’s consultants could review the detected incident. The incident shall be recognized as an error if the System operation does not meet the requirements of the document "Design Project of the System". In the event such incident is recognized as an error, the Contractor’s consultants shall eliminate such error, using their own resources and at their own expense, within 5__ days from the Customer’s notification of the Contractor of the presence of such error. Work on the stage shall be deemed performed in full subject to expiration of the term of pilot operation and correction of pilot operation incidents identified and recorded in the Logbook.
Results of the Stage:
Protocol signed by the Parties on the completion of maintenance upon expiration of maintenance term;
Protocol signed by the Parties on the absence of errors in the Logbook of pilot operation incidents.
Queue 2. Stage 4. Setting and testing of the subsystem of budgeting
Within this stage the Contractor shall perform the following work:
Development of the document "Budget forms album";
Setting of the System in accordance with the document "Budget forms album";
Testing of the System in accordance with the testing technique and test cases developed by the Customer.
Results of the Stage:
Testing protocol.
Queue 3. Stage 5. Finalization of Design Project of the subsystem of IFRS reporting formation with regard to formation of project reporting
Within this stage the work on design of the subsystem of project reporting formation shall be performed:
Design shall be carried out on the basis of the project reporting templates provided by the Customer. As part of the work performed at this stage, the Contractor shall design the integration with data sources in MS SHAREPOINT and SHIPNET systems. For integration with SHIPNET system the requirements for downloading will be developed. Configuration of downloading from SHIPNET system shall be made by the Customer.

Within this stage the Contractor shall perform the following work:
Setting of the System in accordance with the document "Design Project of the System";
Setting of integration with a mart/file downloaded from MS SharePoint and SHIPNET system.
Testing of the System in accordance with the testing technique described in the document "Supplement to Design Project of the System" and the test cases developed by the Customer;
Before development the table of contents and thesis plan of the documents "System Operation Manual" and "System Administrator Manual" shall be agreed with the Customer.
Results of the Stage:
Testing protocol.
Queue 3. Stage 7. Users maintenance during pilot operation
At this stage the System shall be uploaded with actual data, and users shall complete the tasks in it, for completion whereof it was created, in accordance with the Program of pilot operation (developed by the Customer). The System operation shall be implemented by the Customer’s employees.

At this stage clarification of functional requirements for the module shall be carried out. Design of architecture, interface and business logic shall be implemented.
Result of the stage: the document "Design solutions", which describes in detail the module being developed.
Queue 4. Stage 9. Development
At this stage development of the module, setting of the platform, acceptance testing shall be carried out.
Result of the stage: the document "Testing Protocol", which shall be formed following the results of acceptance testing and confirm that the developed solution meets the requirements of "Design solutions".
Queue 4. Stage 10. Implementation
At this stage deployment (installation) of the module on the Customer's equipment, setting of the integration, primary data input and user training shall be carried out.
Training shall be conducted in the form of one seminar for users and one seminar for business administrators.
Result of the stage: the document "Protocol on the readiness for pilot operation", which confirms that the developed solution is ready for commencement of pilot production.
Queue 4. Stage 11. Pilot operation
At this stage the users maintenance in the conditions of actual work with actual data in the productive environment of the Customer shall be carried out. All the comments to the module (within the functionality described in the "Design solutions") shall be collected and eliminated.
Result of the stage: the protocol on the absence of comments to the system, which confirms that the system is ready for commencement of commercial operation.
Limitations of the Project frames
Limitations of Work on the creation of a technical nature:
When designing the System the Contractor shall use the best practices and techniques provided by the Customer. The Customer shall provide the Contractor with all the necessary information and materials in the format required by the Contractor, describing the technique of budgeting and reporting preparation. Requirements for the information provided:
Input documents shall be agreed by the Project Manager on the part of the Customer.
Directories, formats of input form and reports shall be submitted in the form of samples of existing formats in MS Excel.
In case of impossibility to implement the algorithm by means of MS Excel, it is possible to present it as a detailed text description.
Tables of compliance (mapping) with the directories of existing information systems for the purpose of integration shall not be developed by the Contractor in the course of the project, but shall be provided by the Customer.
All the algorithms and directories in the System shall be configured on a centralized basis (i.e. introduction of changes by the enterprise administrators of the System, and not users).
Limitations of organizational nature:
The project frames shall not include the configuration of data download and introduction of any changes to external systems (The project frames shall not include the development and configuration of algorithms, except for aggregation algorithms);
Fast decision-making by the Customer (most of the issues have to be handled within three business days, or in accordance with the further specified period) is expected.
In case of delayed performance by the Customer of its part of the work, the timing schedule of the project shall be shifted for the period of delay by way of conclusion of additional agreement and shall not entail penalties in relation to the Contractor.
Products of the Contractor’s work on design, configuration, testing and maintenance of the System shall be agreed with not more than 3 heads of functional services or key specialists of the Customer. Approval of the project documentation within the Customer, if needed, shall be carried out by the Customer on its own.
Changes during the project with regard to organizational structure, business processes and principles of operating profit accounting, entailing changes in the agreed design solutions, shall not be provided by the project plan and may be accepted for execution as additional work on the project within the framework of Additional agreements hereto. Each such change shall be carried out in accordance with the change management procedure, which should be defined in the Project Charter.
Implementation performed by the Contractor shall be carried out in accordance with the capabilities of a standard functionality of selected Oracle Hyperion Planning System platform, and shall be based on a standard functionality of software used. Implementation of requirements that cannot be performed within the functionality of the product offered (system of workflow, accounting of economic operations, full ERP functionality or workflow, etc.) shall not be carried out.
System administration and basis support shall be carried out on the Customer's equipment. Administration of server hardware shall be implemented by the Customer on its own. The Contractor is ready to provide assistance in this work as part of additional work on the project.
Within the framework of the project the Contractor shall perform the work on installation of Oracle Hyperion Planning software and its components. Installation and administration of the software, other than Oracle Hyperion software, shall be carried out by the Customer’s specialists.
Business trips of the Contractor’s specialists to subsidiaries and associated companies of the Group for the purpose of analysis of techniques, deployment, configuration and commissioning of the system shall not be provided. In case of occurrence thereof the Customer shall reimburse the overhead expenses.
Frames of the project shall not provide replication of solutions on the landscapes of the Customer’s business units, all users of the system shall work physically with a unified data storage.
Input and preparation of data (including testing and historical one), preparation of periodic financial statements shall be carried out by the Customer’s specialists. The work on the preparation and transfer of data into the System shall be carried out by the Customer on the basis of the Contractor’s recommendations.
Performance of the following work shall not be included in the Project frames:
Development of accounting policies, techniques and/or methodologies for the transformation and preparation of consolidated financial statements of the Group, chart of accounts and analytics, regulations on reporting and other documents, including those regulating technical aspects of accounting, data collection, transformation and consolidation. If necessary, the Contractor is ready to perform this work under a separate Methodological stage, the terms and cost whereof may be evaluated separately.
Preparation and download of data from the accounting and other systems (the Customer shall prepare and download data from the accounting systems to buffer files and\or data marts in the format specified by the Contractor, the Contractor shall configure the mechanisms for data upload from the buffer files and\or data marts of a certain format).
System administration after completion of the pilot operation. Upon completion of the Project the System administration shall be carried out by the Customer’s specialists. If necessary, the Contractor’s specialists may be engaged under a separate maintenance agreement.
Development of any specialized documentation which goes beyond the Project frames.
