Source text - English Under this Technical Assignment the Contractor shall provide advisory services for preparing of Go-live and Go-live support of the solution in the Customer’s ERP system (hereinafter referred to as the System) within the scope of the design solutions agreed (mentioned in Annex А4 to this Technical Assignment) and ERP Development Document (Annex А5 to this Technical Assignment) to automate the warehouse processes at the Customer’s brewery in Saint Petersburg.
The Parties agree that the time frame and quality of the Contractor’s Services under the Project are directly conditional on the reciprocal performance by the Customer of its obligations under the Agreement.
The Parties acknowledge that if during the term of the Project it becomes necessary to make any changes concerning the provisions set forth in this Technical Assignment (including but not limited to the Project scope, Project deliverables, assignment of responsibility under the Project), the Parties shall revise the conditions contained in this Technical Assignment and enter into the relevant addendum.
For the avoidance of any differences, the Project shall be deemed accepted and approved if the Services have been accepted and approved by the Customer in the volume of the results to be provided by the Contractor according to clause 2.3 of this Technical Assignment.
If the processes for which the Customer is responsible while implementing the Project are not complied with or affect the results of the Contractor’s services, the associated reasons may not serve as a ground for not accepting the Services provided by the Contractor for the Customer under the Project.
The Customer undertakes to provide other assistance to the Contractor in order for the Services to be provided more quickly and in a more workmanlike manner. Such assistance shall in no event be limited to the mandatory provisions of the Agreement and the Technical Assignment
The Customer shall in a timely manner provide the Contractor with document templates.
The value of the Project shown in clause 5.4 of this Agreement is exclusive of the Contractor’s costs associated with travel and accommodation of the Contractor’s specialists at the place other than the Service location hereunder, and shall be separately paid by the Customer.
Translation - Russian В соответствии с настоящим Техническим заданием, Подрядчик обязуется оказать консультационные услуги для подготовки и ввода в эксплуатацию решения в ERP системе Заказчика (Enterprise Resource Planning, планирование ресурсов предприятия, здесь и далее Система) в рамках согласованных проектных решений (Приложение А4) и Документа по разработке ERP (Приложение А5) для автоматизации складских процессов на пивоваренном заводе Заказчика в Санкт-Петербурге.
Стороны договорились, что сроки и качество оказываемых Подрядчиком услуг в рамках Проекта напрямую зависят от двустороннего выполнения Заказчиком и Подрядчиком обязательств по Договору.
Стороны подтверждают, что условия настоящего Технического задания подлежат пересмотру в случае возникновения необходимости внесения изменений в течение действия Проекта, касающихся положений, указанных в настоящем Техническом задании (включая, но не ограничиваясь рамками Проекта, результатами Проекта, распределением ответственности по Проекту), и должны быть оформлены соответствующим приложением.
Для предотвращения разногласий Проект считается принятым и одобренным, если Услуги были приняты и одобрены Заказчиком в объеме оказанных Подрядчиком услуг в соответствии с пунктом 2.3 настоящего Технического задания.
Если процессы, за которые Заказчик несет ответственность при реализации Проекта, не соответствуют или не влияют на оказанные Подрядчиком услуги; связанные с этим причины не могут служить основанием для отказа от принятия Услуг, оказанных Подрядчиком Заказчику в рамках Проекта.
Заказчик обязуется оказывать Подрядчику иную помощь в целях обеспечения более быстрого и более качественного оказания Услуг. Такая помощь ни при каких условиях не должна ограничиваться обязательными положениями Договора и Технического задания.
Стоимость Проекта, указанная в пункте 5.4 данного Договора, не включает в себя расходы Подрядчика, связанные с проездом и размещением специалистов Подрядчика в месте, отличном от места оказания Услуг по данному Договору, и подлежат отдельной оплате Заказчиком.
