Source text - English The English Channel is an arm of the Atlantic Ocean that separates southern England from northern France, and joins the North Sea to the Atlantic.
Before the end of the Devensian glaciation (the most recent ice age) around 10,000 years ago, the British Isles were part of continental Europe. During this period the North Sea and almost all of the British Isles were covered with ice. The sea level was about 120 m lower than it is today, and the channel was an expanse of low-lying tundra, through which passed a river which drained the Rhine and Thames towards the Atlantic to the west. As the ice sheet melted, a large freshwater lake formed in the southern part of what is now the North Sea. As the meltwater could still not escape to the north (as the northern North Sea was still frozen) the outflow channel from the lake entered the Atlantic Ocean in the region of Dover and Calais.
The Channel has traffic on both the UK-Europe and North Sea-Atlantic routes, and is the world's busiest seaway, with over 500 ships per day. Following an accident in January 1971 and a series of disastrous collisions with wreckage in February, the Dover Traffic Separation System (TSS) the world's first radar controlled TSS was set up by the International Maritime Organization. The scheme mandates that vessels travelling north must use the French side, travelling south the English side. There is a separation zone between the two lanes.
Marine GPS systems allow ships to be preprogrammed to follow navigational channels accurately and automatically, further avoiding risk of running aground, but following the fatal collision between Dutch Aquamarine and Ash in October 2001, Britain's Marine Accident Investigation Branch (MAIB) issued a safety bulletin saying it believed that in these most unusual circumstances GPS use had actually contributed to the collision. The ships were maintaining a very precise automated course, one directly behind the other, rather than making use of the full width of the traffic lanes as a human navigator would.
As a busy shipping lane, the Channel experiences environmental problems following accidents involving ships with toxic cargo and oil spills. Indeed over 40% of the UK incidents threatening pollution occur in or very near the Channel.

(A) In accordance with the framework agreement entered into on 19 July 2005 (the Framework Agreement), the Share Purchase Agreement (as defined in the Framework Agreement) entered into on 19 July 2005 and the shareholders agreement entered into on 20 July 2005 (the 2005 SHA) by Transportation Investments Holding Limited (TIHL), P&O Australia Limited (P&O) and the Company (except for the Share Purchase Agreement to which the Company is not a party), and two deeds of adherence to the 2005 SHA: (i) dated 22 September 2008 between TIHL, P&O, Party 1 and the Company and (ii) dated [●] December 2008 between DP World Holdings (Australia) Limited (having been renamed on 24 January 2007 from P&O), Party 1, Party 2 and the Company respectively the Shareholders took joint ownership of the Company in the 75 per cent.(Party 1) and 25 per cent. (Party 2) proportion.
(B) VSC is, and VICS was (until the liquidation proceedings referred to in Recital (E) below commenced), engaged in the container handling business. As of the date of this Agreement a participatory interest equal to 100% of the charter capital in each of VICS and VSC is owned by the Company.
(C) The Parties have agreed to operate the Company with the purpose of owning and managing the Company's equity interest in VICS and VSC, and to develop jointly the Business as set out in this Agreement.
(D) The Parties are entering into this Agreement to set out the terms governing their relationship as direct shareholders in the Company and indirect shareholders in VICS and VSC.
(E) The parties herby acknowledge that as of the date of this Agreement VICS is being in the process of its liquidation, which is confirmed by the Russian tax authority certificate on the entry into the Unified State Register of Legal Entities dated 19 November 2008.
IT IS AGREED as follows:
1. DEFINITIONS AND INTERPRETATION
Definitions
1.1 The following definitions apply in this Agreement:
Affiliate means, in relation to a person, any undertaking which, directly or indirectly, Controls the person or is Controlled by the person or is under common Control with the person, and any undertaking which is an Affiliate of another undertaking, is also an Affiliate of any further undertaking of which that other is an Affiliate, provided that, (i) neither the Company, VICS or VSC nor any other entity Controlled by the Company shall be deemed to be an Affiliate of any Shareholder or of any Affiliate of a Shareholder, and (ii) no Shareholder or any Affiliate thereof shall be deemed to be an Affiliate of any other Shareholder or any Affiliate thereof by virtue of its equity ownership in the Company or otherwise;

Approved Business Plan means the business plan for the next year plus the forecast for the next five (5) year period in relation to each of the Subsidiaries which includes comprehensive financial operating budgets, capital budgets and cash flow budgets for each year during that period as prepared by each of the Subsidiaries individually, approved and amended from time to time by unanimous decision of the Shareholders;
