신청 취지
1. 피신청인은 신청인의 동의 없이 별지 제1목록 기재 회사를 비롯한 제3자로 하여금 별지 제2목록 기재 컴퓨터 프로그램을 사용하게 하거나 이를 사용한 게임 서비스를 수요자 기타 거래관계자에게 제공하도록 해서는 아니된다.
2. 집행관은 위 명령의 취지를 적당한 방법으로 공시하여야 한다.
3. 피신청인이 이 사건 결정 정본을 송달받은 다음날부터 제1항 기재 의무를 위반하는 경우에는 피신청인은 신청인에게 1일당 금10 million won 을 지급하라.

화해 조항
1. 신청인은 피신청인과 중화인민공화국 Optic Communication Co. Ltd. (이하 '광통’이라 한다) 사이의 기존 계약 관계를, 피신청인은 신청인과 Shanghai Shanda lnternet Development Co., Ltd. (이하 '샨다'라 한다) 사이의 기존 계약 관계를 상호 인정하되, 광통과의 2003. 3. 20 라이센스 계약(Exclusive Software License Agreement) 및 샨다와의 2001. 6. 29 라이센스 계약(Software License Agreement), 2002. 7. 18 보충협의, 2003. 8. 19 수정계약(Amendment Agreement) 및 같은 일자 화해 계약(Settlement Agreement)상 상호 지적하는 조항에 관하여는 광통 및 샨다와의 협의를 통한 수정을 위하여 쌍방이 신의성실의 원칙에 입각하여 최대한 협조 및 노력을 하기로 한다.
2. 피신청인은 신청인에게 '미르의 전설2'(프로그램등록번호 2000-01-14-7140), '미르의 전설3'(프로그램등록번호 2002-01-14-6907)의 신청인 공유 지분의 양도를 구하지 않기로 한다.
3. 매출 배분은 기존의 비율에 따라, 국내에서의 매출 및 광통과의 계약에서 발생하는 배출은 신청인과 피신청인이 20 :80으로, 샨다와의 계약에서 발생하는 매출은 신청인과 피신청인이 30 : 70의 각 비율에 의하기로 한다.
4. 매출인식(수익 인식) 권한은 광통과의 계약에 기한 매출에 있어서는 피신청인에게, 국내 매출 및 샨다와의 계약에 기한 매출에 있어서는 신청인에게 각 귀속한다. 다만, 국내 매출에 대한 인식 주체는 2005.10.1로 신청인에서 피신청인으로 변경한다.
5. 가. 신청인은 이 사건 화해조서 정본의 송달일 다음날 피신청인에게 샨다로부터 기지급받은 로열티 중 피신청인에게 미지급한 미화 20,344,902.07달러를 지급한다 (다만, 위 금원을 샨다로부터 지급받은 날로부터 피신청인에게 지급한 날 또는 아래와 같이 공탁한 날까지 위 금원에 대해 발생한 연리 0.5% 비율의 금융기관 예치 이자와 원천세 환급금 미화 2,102,889.56달러를 합산하여 지급한다).
위 금원 중 신청인이 2004. 2. 13 이 법원 2004년 금제3198호로 공탁한 금82억원(미화 환산시 7,070,794.18달러)의 지급방법은, 신청인이 이 사건 화해조서 정본 송달일 다음날까지 위 공탁서의 반대급부 내용을 철회하고, 위 공탁서의 공탁원인 사실을 '서울중앙 지방법원 2003카합4192호 가처분 사건에서의 잠정합의 및 같은 법원 2003카합4191호 화해조서에 따라 공탁자는 샨다로부터 기지급받은 로열티 중 금 82억원(미화 환산시 7,070,794.18달러)을 민법 제487조에 의하여 피공탁자에게 변제 공탁한다’로 변경하고, 피신청인은 위 공탁금을 위 반대급부 내용의 철회 및 공탁 원인사실이 변경된 이후 출급하는 방식에 의하기로 한다.
만일 위와 같은 방식으로 공탁금 출급이 불가능할때는, 신청인이 자신의 공탁물 회수 청구권을 피신청인에게 양도 또는 수령 권한을 위임하는 방식에 의하기로 한다.
나. 피신청인은 이 사건 화해조서 정본의 송달 다음날 신청인에게 광통으로부터 기지급받은 로열티 중 신청인에게 미지급한 미화 712,216.06달러를 지급한다 (다만, 위 금원을 광통으로부터 지급받은 날로부터 신청인에게 지급한 날까지 위 금원에 대해 발생한 연리 0.5% 비율에 의한 금원과 원천세 환급금 미화 71,254.34달러를 합산하여 지급한다).
다. (1) 피신청인은 이 사건 화해조서 정본의 송달일 다음날 신청인에게 샨다 로열티 관련 감사 보수료의 일부인 미화 68,946.89달러를 지급한다.
(2) 위 (1)항 기재 감사 보수료 분담에 관한 합의 내용은 향후 당사자들 사이의 비용 분담 문제에 있어 선례로 삼지 않기로 한다.
(3) 당사자 사이에, 기존에 이미 발생한 사안에 관한 비용 분담 문제는 상호 합의하에 처리하고, 향후 발생할 사안에 관한 비용분담 문제는 비용부담에 관한 계약 체결 등의 사살관계 발생 이전에 상대방에게 사전 통지하고 협의하기로 한다. 위 사전통지 및 협의의무를 해태한 상태에서 발생한 비용에 대해서는 이를 해태한 당사자가 모든 책임을 부담한다.
6. 이 사건 화해 이후, 신청인과 피신청인은 싱가폴 ICC 중재와 관련하여 상대방에게 손해배상 기타 책임을 묻지 않기로 한다.
7. 가. 샨다 및 이탈리아 디지털 브로스 사와의 기존 계약에 대한 갱신 권한은 신청인에게, 광통 및 대만 소프트월드 사와의 기존 계약에 대한 갱신 권한은 피신청인에게 각 유보한다. 단, 당사자들은 위 각 계약 갱신시 사전 상호 협의하여야 한다.
나. '미르의 전설2’ (프로그램 등록번호 2001-01-14-7140), '미르의 전설3’(프로그램 등록번호 2002-01-14-6907)에 관하여 해외에서 새로운 거래 상대방과 계약체결시, 신청인이 발굴시에는 샨다와의 계약 예에 따라 신청인과 피신청인이 30:70, 피신청인이 발굴시에는 광통과의 계약 예에 따라 신청인과 피신청인이 20:80 각 비율로 매출을 배분하고, 매출인식(수익인식) 권한은 발굴한 업체에 귀속한다.
8. 가. 신청인은 이 법원 2003카합4192 계약 위반 행위 중지 등 가처분 신청, 2003카단8319 채권 가압류 신청, 2004차14254 지급 명령 신청을 각 취하한다.
나. 피신청인은 이 법원 2004카합220 컴퓨터프로그램 저작권 침해 금지가처분 신청, 2004가합4527 약정금 청구, 2004가합18519 손해배상 청구의 소를 취하한다.
다. 신청인은 이 사건 나머지 신청을 포기한다.
9. 소송비용 및 화해비용은 각자 부담한다.

Translation - English Indication of Application
Purpose of Application
1. Without the consent of the Petitioner, the Respondent shall not allow a third party, including the companies listed in Attachment 1, to use the computer programs listed in Attachment 2, or provide game services that use these programs to consumers or other transaction officers.
2. The executor shall disclose the purport of the above order in a proper way.
3. If the Respondent violates the obligation specified in Paragraph 1 from the day after receiving the delivery of the original copy of the decision in this case, the Respondent shall pay the Petitioner 10 million Korean won per day.
Reason for Application
Same as the ‘Reason for Application’ in the attached form.
Settlement Provisions
1. The Petitioner shall recognize the existing contractual relationship between the Respondent and Guangzhou Optic Communications Co. Ltd. ("Optic Communications") of the People's Republic of China, and the Respondent shall acknowledge the existing agreement between the Petitioner and Shanghai Shanda lnternet Development Co., Ltd. ("Shanda"), but regarding the Exclusive Software License Agreement dated 20 March 2003 with Optic Communications, the Software License Agreement dated 29 June 2001 with Shanda, the Supplementary Agreement dated 18 July 2002, the Amendment Agreement dated 19 August 2003, and the clauses of the Settlement Agreement mutually pointed out on the same date, both parties shall mutually cooperate and strive to make rectifications through consultations with Optic Communications and Shanda based on the good faith principle.
2. The Respondent shall not request the transfer of the Petitioner’s co-owned shares in Legend of Mir 2 (Program registration number 2000-01-14-7140) and Legend of Mir 3 (Program registration number 2002-01-14-6907).
3. The sales revenues shall be distributed between the Petitioner and the Respondent in accordance with the existing ratio, namely, at the ratio of 20 (Petitioner) : 80 (Respondent) for sales revenues generated in Korea and from the contract with Optic Communications, and 30 (Petitioner): 70 (Respondent) for sales revenues generated from the contract with Shanda.
4. The right of sales recognition (revenue recognition) shall be attributed to the Respondent in terms of sales generated due to the contract with Optic Communications, and to the Petitioner in terms of sales generated due to the contract with Shanda and domestic sales. However, the subject to recognize the domestic sales shall be changed from the Petitioner to the Respondent as of 1 October 2005.
5. (a) The following day after the delivery date of the original copy of the settlement report on this case, the Petitioner shall pay the Respondent the unpaid USD 20,344,902.07 from the royalties received from Shanda. (However, the total sum of the 0.5% annual rate of interest incurred on the above amount of deposit at financial institutions and the withholding tax refund of USD 2,102,889.56 shall be paid from the day the above money was received from Shanda till the day it was paid to the Respondent or till the day of deposit.)
The method of payment of 8.2 billion won ($7,070,794.18 in U.S. currency) of the above amount, which was deposited by the Petitioner on 13 Feb 2004 to this Court No. 3198 in 2004, was withdrawn by the Petitioner by the day after the delivery date of the original copy of the settlement report on this case, and the cause of depositing the above deposit is changed to “In accordance with the provisional agreement in the injunction case of Seoul Central District Court (2003Kahap4192) and the settlement report of the same court (2003Kahap4191), the depositor shall reimburse a deposit of 8.2 billion won (USD 7,070,794.18) of the royalties received from Shanda to the trustee pursuant to Article 487 of the Civil Act.” After the withdrawal of the above counter-payment and the cause of the deposit is changed, the Respondent shall pay the above deposit by the method of payment.
If the above method does not allow the payment of the deposit, the Petitioner shall transfer the right to claim the withdrawal of its deposit, or delegate the right to receive to the Respondent.
(b) The following day after the delivery date of the original copy of the settlement report on this case, the Respondent shall pay the Petitioner the unpaid USD 712,216.06 from the royalties received from Optic Communications. (However, the total sum of the 0.5% annual rate of interest incurred on the above amount of deposit at financial institutions and the withholding tax refund of USD 71,254.34 shall be paid from the day the above money was received from Optic Communications till the day it was paid to the Petitioner.)
(c) (1) The following day after the delivery date of the original copy of the settlement report on this case, the Respondent shall pay the Petitioner USD 68,946.89, which is part of the audit remuneration fee related to Shanda’s royalties.
(2) The agreement concerning the sharing of the audit remuneration fee referred to in the above subsection (1) shall not set a precedent for the sharing of expenses between the parties in the future.
(3) By mutual agreement, the parties shall deal with the cost-sharing issue regarding existing matters that have already happened and shall notify the other party in advance and discuss the cost-sharing issue for future matters before the ‘killing relationship’ occurs, such as the conclusion of a contract for the burden of expenses.
The party who dismisses the above prior notice and consultation obligations shall bear all responsibilities for the expenses incurred.
6. After the settlement of this case, the Petitioner and the Respondent shall not hold the other party liable for damages or other responsibilities in connection with the Singapore ICC arbitration.
7. (a) The right to renew the existing agreements with Shanghai Shanda and Digital Bros of Italy shall be reserved to the Petitioner, and the right to renew the existing agreements with Optic Communications and Soft-World of Taiwan shall be reserved to the Respondent. However, the parties shall mutually consult in advance before renewing any of the above agreements.
(b) When a contract is concluded with a new counterpart in an overseas market regarding the Legend of Mir 2 (Program registration number 2000-01-14-7140) and Legend of Mir 3 (Program registration number 2002-01-14-6907), the sales revenues shall be distributed at the ratio of 30(Petitioner) : 70(Respondent) if the Petitioner locates the counterpart, following the example of the contract with Shanghai Shanda, and at the ratio of 20(Petitioner) : 80(Respondent) if the Respondent locates the counterpart, following the example of the contract with Optic Communications. The right of sales recognition (revenue recognition) shall attribute to the party who locates the counterpart.
8. (a) The Petitioner shall withdraw the court application for injunction, including the suspension of the act of contract violation (2003Kahap4192), the application for bond seizure (2003Kadan8319) and the application for payment order (2004Cha14254).
(b) The Respondent shall withdraw its application for injunction to prohibit the copyright infringement on computer programs (2004Kahap220), the claim for contract amount (2004Gahap4527) and the claim for damages (2004Gahap18519).
(c) The Petitioner shall renounce the rest of the applications for this case.
9. The costs of litigation and settlement shall be borne separately by each party.
