GENERAL TERMS OF BUSINESS



1. TRADE TERMS
According to Price List and Terms of Sale specific of the products.

2. TERMS OF PAYMENT
With 30 days from invoice date with 2% discount.
With 45 days from the invoice date without discount.

Minimum value of sale for opening of a credit €100 (a hundred euros).

4. CREDIT SUSPENSION

6. FORUM
To nullify eventual lawsuits resultants of the application of the present General Conditions of Sale, the Forum of the Judicial district of Vila Franca de Xira will be elected, with explicit waiver over any other one.

PRIMERO: EMERALD y El CONTRATISTA acuerdan SUSPENDER totalmente la ejecución y los efectos derivados del CONTRATO N°. 6089 suscrito entre las Partes el 06 de noviembre de 2008. Dicha suspensión comenzará a contarse a partir del tres (3) de agosto de 2009, hasta una fecha estimada: 15 de diciembre de 2009.
SEGUNDO: EMERALD y El CONTRATISTA, acuerdan que mientras dure el periodo de suspensión, el tiempo del contrato no se contabilizará y por lo tanto, si se da la reiniciación del contrato, la duración del contrato se prorrogará por el mismo tiempo que dure la suspensión, más cualquier tiempo adicional que las Partes acuerden como nueva duración del contrato, por el tiempo requerido para las operaciones de perforación del pozo Gigante-3.
TERCERO: A la firma de está Acta de Suspensión, EMERALD reconocerá a favor de EL CONTRATISTA, la cantidad de CUATROCIENTOS CINCUENTA MIL DOLARES (US$ 450,000), suma de dinero, para cubrir los costos de desarme y reubicación del taladro en la plataforma del pozo Gigante-2.

ONE: EMERALD and THE CONTRACTOR agree to completely SUSPEND the execution and effects of CONTRACT N° 6089 signed between the Parties on 06 November 2008. Said suspension shall take effect starting 03 (three) August 2009, until the estimated date of 15 December, 2009.

TWO: EMERALD and THE CONTRACTOR, agree that the suspension period shall have no effect on the duration of the contract, and therefore, if said contract is resumed, the duration thereof shall be extended for the same amount of time as the suspension, as well as any other amount of time which the Parties agree upon as the new term of the contract as required for the drilling operations carried out on the well Gigante-3.

THREE: With the signing of this Suspension Act, EMERALD shall pay THE CONTRACTOR the amount of FOUR HUNDRED FIFTY THOUSAND DOLLARS (US$ 450,000), in order to cover the costs of dismantling and relocating the drill on the platform of the well Gigante-2.

CLÁUSULA TERCEIRA - OBRIGAÇÕES DAS CONTRATADAS
3.1 - Manter durante toda a execução do Contrato, em compatibilidade com as obrigações por ela assumidas, todas as condições de qualificação assumidas na proposta.
3.2 - Respeitar e cumprir as Normas Administrativas em vigor na PETROBRAS,
3.3 - Executar o afretamento ora contratado, nos prazos e condições aqui estabelecidos.
3.4 - Facilitar a ação da Fiscalização, fornecendo informações ou provendo acesso ã documentação e as operações em execução e atendendo prontamente às observações e exigências por ela apresentadas.
3.5 - Manter à frente do Afretamento representante específico para este contrato, credenciado por escrito, capaz de responsabilizar — se pela direção do Afretamento contratado e representá- la perante a PETROBRAS.
3.6 - Acompanhar as medições do afretamento procedidas peia PETROBRAS, assinando 05 Relatórios de Medição (RM) ou oferecendo, de imediato, as impugnações que julgar necessárias.
3.7 - Obedecer ás determinações legais ou emanadas das autoridades constituídas, sendo a única responsável peias providências necessárias e pelos efeitos decorrentes de eventuals inobservâncias delas.
3.8 - Elaborar e manter, na embarcação, registro de ocorrências (RO), relativo a execução do objeto do contrato, incluindo as descrições das operações realizadas e Irregularidades ocorridas.

CLAUSE THREE – OBLIGATIONS OF THE CONTRACTED PARTIES
3.1 – To maintain all of the qualifying conditions assumed in the proposal in compliance with the obligations assumed under the contract for the entire duration thereof.
3.2 – To respect and comply with the Administrative Norms currently in effect at PETROBRAS,
3.3 – To implement the Charter contracted herein, within the terms and conditions set forth by this instrument.
3.4 – To facilitate inspection activities, provide information or allow access to documentation or the operations being executed, and to promptly address any comments or observations presented following said inspections.
3.5 – To reserve a specific representative, established in writing, for the purposes of the Charter established herein who shall be capable of assuming liability, if hired by the group responsible for managing the Charter, and may serve as a representative for Petrobras.
3.6 – To monitor the Charter measurements carried out by PETROBRAS, while preparing 05 Measurement Reports (MR) or immediately posing any objections it deems necessary.
3.7 – To obey the legal requirements of the pertinent authorities, while being the sole party responsible for making the necessary arrangements and for any effects which may result from a failure to comply therewith.
3.8 – To prepare and maintain (on the vessel) a Log Book (LB) regarding the execution of the Agreement, including descriptions of any operations performed or any irregularities which have occurred.
