Між фірмою *** (дочірнє підприємство), Україна (надалі ПОСТАЧАЛЬНИК) в особі генерального директора, що діє на основі Статуту та *** (надалі ПОКУПЕЦЬ) в особі ***, що діє на основі Довіренності, з іншого боку, уклали цей ДОГОВІР про наступне:
1. Предмет Договору
1.1 Постачальник зобов’язується здійснювати експорт дефектних, пошкоджених або непрацездатних блоків, пристроїв та запасних частин (надалі ПРОДУКЦІЮ), а ПОКУПЕЦЬ сплачувати компенсацію.
2. Ціна та Умови Оплати
2.1 Платежі ПОКУПЦЯ сплачуватимуться ПОСТАЧАЛЬНИКУ на підставі виставлених ПОСТАЧАЛЬНИКОМ рахунків шляхом переказу на банківський рахунок ПОСТАЧАЛЬНИКА.
2.2 Ціни на ПРОДУКЦІЮ, що постачається, встановлюються в доларах США.
2.3 ЦІна включає вартість тари, упаковки, маркування, страхування та доставки.
3. Умови Поставки
3.1 Постачання ПРОДУКЦІЇ за цим ДОГОВОРОМ здійснюється партіями відповідно до рахунків.
3.2 Відправником ПРОДУКЦІЇ є ПОСТАЧАЛЬНИК.
4. Приймання Продукції
4.1 Приймання ПРОДУКЦІЇ проводиться по кількості – згідно з товаросупровідними документами – накладними, пакувальними листами.
5. Упаковка та Маркування
5.1 Упаковка повинна забезпечити повну схоронність ПРОДУКЦІЇ і охороняти її від пошкоджень під час перевезення, навантаження та складування. Маркування повинно містити в собі інформацію про відправника та отримувача ПРОДУКЦІЇ , реквізити замовлення ПРОДУКЦІЇ.
6. Гарантійні Зобов’язання та Рекламації
6.1 Рекламація щодо кількості ПРОДУКЦІЇ направляється постачальнику на протязі 15 днів з дати поставки.
7. Форс-Мажор
7.1 Жодна із сторін не буде нести відповідальність за повне або часткове невиконання будь-якого із своїх зобов’язань, якщо невиконання матиме місце внаслідок таких обставин, як повінь, пожежа, землетрус та інші стихійні лиха, а також війна чи військові дії, та введення торговельних обмежень на Еспорт/Імпорт між урядами країн ВИРОБНИКА, ПОСТАЧАЛЬНИКА та/або ПОКУПЦЯ, що виникли після укладення ДОГОВОРУ. Якщо будь-яка з таких обставин вплинула безпосередньо на виконання зобов’язань в термін, який встановлюється ДОГОВОРОМ, то цей термін відповідно вісувається на час такої обставини.
8. Арбітраж
8.1 Сторони здійснюють заходи для ров’язання всіх суперечок та розбіжностей, які можуть виникнути із ДОГОВОРУ або в зв’язку з ним, шляхом переговорів.
8.2 При неможливості урегулювання всіх суперечок та розбіжностей, котрі можуть вникнути із ДОГОВОРУ, або в зв’язку з ним, шляхом переговорів, будь-яка суперечка або розбіжність підлягають розв’язанню в Арбітражному суді при Міжнародній Торговельно-Промисловій Палаті у місті Женеві. Мова суду повинна бути англійська. Рішення Арбітражного суду є остаточним і підлягає обов’язковому виконанню обома Сторонами.
9. Загальні Положення
9.1 Додатки та Доповнення до ДОГОВОРУ дійсні і складають невід’ємну частину ДОГОВОРУ лише у тому разі, якщо вони виконані у письмовій формі і підписані обома Сторонами.
9.2 ДОГОВІР підписується у двох екземплярах, набуває сили з дати підписання і діє до ***. Тексти ДОГОВОРУ, що виконуються англійською й українською мовами, мають рівну силу.

Translation - English General Agreement for Delivery of Products
Between *** (subsidiary company), Ukraine (hereinafter referred to as SUPPLIER) represented by General Director acting in accordance with the Charter on the one side and *** (hereinafter referred to as BUYER), represented by ***, acting under Power of Attorney on the other side have concluded this Agreement as follows:
1. Subject of the Agreement
1.1 The SUPPLIER agrees to export damaged, defected and non-working blocks, devices and spare parts (hereinafter referred to as PRODUCTS) and BUYER agrees to pay compensation.
2. Price and Payment Conditions
2.1 BUYER’s payments will be payed to SUPPLIER according to invoices issued by SUPPLIER by the way of transferring on to SUPPLIER’s banking account.
2.2 Prices for the delivered PRODUCTS are set in US dollars.
2.3 Price includes cost of the tare, package, marking, insurance and delivery.
3. Terms of Delivery
3.1 PRODUCTS are delivered according to this Agreement by lots according to accounts.
3.2 The SENDER of the PRODUCTS is SUPPLIER of the PRODUCTS.
4. Product Acceptance
4.1 Product acceptance is carried out by quantity according to the shipment documents – invoices, packing lists.
5. Packing and Marking
5.1 The packing should ensure the safety of the PRODUCTS and protect them against any damage during the transportation, loading and storage. Marking should include sufficient information about the SENDER and the RECEIVER of the PRODUCTS, related PRODUCTS purchase order information.
6. Warranty Obligations and Claims
6.1 Claims for quantity of the PRODUCTS are to be addressed to SUPPLIER within 15 days from the delivery date.
7. Force Majeure
7.1 Neither Party will be responsible for a complete or partial non-fulfilment of any of its obligations if such non-fulfilment results from circumstances beyond its control, including flood, fire, earthquake and other natural phenomena, war and acts of war actions as well as PRODUCER’s, SUPPLIER’s and/or BUYER’s government restriction for Export/Import of PRODUCTS offering after its conclusion. If any of such circumstances directly affected the performance of obligations of the AGREEMENT, this time period is extended correspondingly for the period during which such circumstances lasts.
8. Arbitration
8.1 All disputes and differences which may arise out of or in connection with the AGREEMENT will be settled as possible by means of negotiation between the Parties.
8.2 In the case the Parties fail to come to an agreement in settling disputes and differences arising out of or in connection with the AGREEMENT, the dispute shall be submitted by the Arbitration of the International Chamber of Commerce in Geneva. The Arbitration proceedings shall be conducted in English. The award of the Arbitration is final and binding upon both Parties.
9. Final Provisions
9.1 Quotations, amendments or addenda to this AGREEMENT are valid and state the integral part of this AGREEMENT only when being made in written form and signed by duly authorized representatives of both Parties.
9.2 The AGREEMENT is signed in two copies and valid from the date of signing till ***
9.3 The AGREEMENT is written in English and Ukrainian, both equally valid.

There have been no irregularities involving management or employees who have a significant role in the accounting and internal control systems or that could have a material effect on the financial statements.
The financial statements are free of material misstatements, including omissions.
The Company has complied with all aspects of contractual agreements that could have a material effect on the financial statements in the event of noncompliance including Revenue Recognition. The Company has satisfactory title to all assets and there are no liens or encumbrances on the Company’s assets, except for those that are disclosed in Note MOVE to the financial statements.
We have recorded or disclosed, as appropriate, all liabilities, both actual and contingent.
There have been no events subsequent to period and which require adjustment of or disclosure in the financial statements or Notes thereto.
Translation - Russian Это сопроводительное письмо предоставляется в связи с подготовкой финансового отчета на окончание *** года и дает правдивый и честный отчет о финансовой позиции Компании *** а также о результатах операций Компании и ее финансовых потоках наличности в соответствии с Международными Стандартами Финансовой Отчетности.
Мы осознаем нашу ответственность относительно честного предоставления финансовых отчетов в соответствии с Международными Стандартами Финансовой Очетности.
Мы подтверждаем следующие показатели:
Касательно руководства и сотрудников Компании, которые имеют прямое отношение к расчетам и внутренней контрольной системе, или которые могли оказать существенное влияние на финансовые отчеты – не было никаких нарушений.

У Компании есть удовлетворительные права на все активы и нет прав на наложение ареста на эти активы также как и других каких-либо затруднительных обстоятельств касательно активов Компании, за исключением тех, которые раскрыты в Note MOVE, прилагаемому к финансовым отчетам.
Мы раскрыли все задолженности, и реальные и возможные.
Никакие предварительные события до окончания данного периода не требуют регулировки или раскрытия в финансовых отчетах или уведомлениях к ним же.
