Source text - English Clause 3
The said purchase price shall be paid in full as follows:
(i) By the acceptance and/or undertaking of the Buyers to pay Excellent Corporation of Vanuatu and/or to any Assignee all and any amounts due and payable under Agreement between Excellent Corporation and Buyers dated _______. The Buyers agree and undertake to register a First Priority mortgage over the vessel in favour of Messrs. Excellent Corporation and/or to any Assignee at their request and as soon as the vessel is registered under the new flag in order to secure the payment by the Buyers of the aforesaid amounts payable under the Agreement dated _________.
(ii) By providing the Sellers with Promissory Note(s) issued by the sellers with face value(s) for the sum of US$ 1,500,000.00 at the time of closing in exchange of providing the Buyers with the Bill of Sale and other documents as it is stipulated in Clause 8. The Promissory Note(s) shall be nominated in Russian Roubles using the exchange rate set by the Central Bank of Russia at the date of signing of this Memorandum of Agreement.
Clause 9
The Sellers warrant that the vessel at the time of delivery is free from all charters, encumbrances, mortgages and maritime liens or any other debt whatsoever with the exception of the First Priority Mortgage the Sellers and Excellent Corporation of Vanuatu (The Mortgagees) entered into on the 14th of July, 1991 and which has been registered with the Russian Registry.
The Buyers agree and undertake to accept the registration of a First Priority Mortgage on the vessel in favour of Excellent Corporation of Vanuatu and/or to any Assignee for the sum of US$ US$ 1,500,000.00 as soon as the vessel is registered under the new flag in exchange of Excellent Corporation’s acceptance to delete their aforesaid mortgage registered with the Russian Registry.
The Buyers undertake to enter into a Mortgage Agreement as well as into any other necessary deed and/or agreement with Excellent Corporation and/or to any Assignee on the same terms and conditions of the mortgage and deed registered with the Russian Registry.
The Sellers hereby undertake to indemnify the buyers against all consequences of claims made against the vessel which have been incurred prior to the time of delivery saved from the aforesaid First Priority Mortgage.
Translation - Russian Статья 3
Вышеуказанная покупная цена должна быть уплачена следующим образом:
(i) Путем согласия и/или обязательства Покупателя заплатить компании Excellent Corporation, Вануату и/или любому другому правопреемнику все суммы подлежащие уплате по Соглашению между Excellent Corporation и Покупателем от ____________. Покупатель согласен и обязуется зарегистрировать залог первой очереди на указанное судно в пользу компании Excellent Corporation и/или любого другого правопреемника по их требованию и после того как судно будет перерегистрировано под новый флаг, для целей обеспечения уплаты Покупателем вышеуказанной суммы, подлежащей уплате по Соглашению от ___________.
(ii) Путем предоставления Продавцу Простого векселя (векселей) номинальной стоимостью на сумму 1,500,000.00 долл. США в момент окончательного оформления сделки купли-продажи в обмен на предоставление Покупателю купчей и других документов как указано в Статье 8. Простой вексель (векселя) должны быть номинированы в российских рублях по курсу обмена установленному Центральным банком РФ на дату подписания данного Меморандума о договоре.
Статья 9
Продавец гарантирует, что судно на момент поставки свободно от обязательств по чартерам, обременений, залогов и морских залоговых прав, и любых других каких бы то ни было долгов, за исключением залога первой очереди, договор о котором Продавец и компания Excellent Corporation, Вануату (Залогодержатель) заключили 14 июля 1991 и который был зарегистрирован в Российском Регистре.
Покупатель согласен и обязуется признать регистрацию залога первой очереди на судно в пользу компании Excellent Corporation, Вануату и/или любого другого правопреемника на сумму …………… долл. США, после того как судно будет перерегистрировано под новый флаг, в обмен на согласие компании Excel снять свой вышеуказанный залог, зарегистрированный в Российском Регистре.
Покупатель обязуется заключить Соглашение о залоге равно как и любые другие необходимые соглашения с компанией Excellent Corporation и/или с любым другим правопреемником, на тех же самых условиях, на которых были заключены залог и соглашение, зарегистрированные в Российским Регистре.
Настоящим Продавец гарантирует, что Покупатель не несет никакой ответственности по каким-либо искам против судна, поданным до момента поставки судна, за исключением вышеуказанного залога первой очереди.
