Source text - English 6. The Client shall:
(a) make available and provide to XXX and its representatives and advisers copies of documents and information concerning the Transaction in possession of the Client which XXX may reasonably request. The Client shall further make reasonable efforts to have the Client’s personnel and advisers involved in the Transaction reasonably cooperate with XXX pursuant to this engagement. The Client shall continue to advise XXX regarding any material developments or matters relating to the Transaction relevant to the engagement hereunder of which the Client becomes aware which occur during the term of this Agreement;
(b) without prejudice to clause 7 below, reimburse XXX through expense claims to be submitted so they may be paid at the same time as the Retainer Fee or on the Closing of the Transaction, in respect of all its out-of-pocket expenses incurred in connection with the Transaction, including communication, travel and accommodation expenses, provided such expenses were incurred in accordance with XXX’s travel and other policies and were approved by Client before they were incurred to the extent any such individual expense exceeds US$1,000 or such expenses in aggregate exceed US10,000. In the event that the Transaction is withdrawn or postponed by the Client, the Client will pay XXX the Retainer Fee for the month in which it notified XXX of the postponement or withdrawal and reimburse XXX for all its out-of-pocket expenses incurred in the period prior to such withdrawal or postponement in accordance with this paragraph.
Any expense incurred by XXX in a currency other than US dollars, can be invoiced for reimbursement in such currency (provided it is Euros or Roubles) or in US Dollars;
(c) make payable all payments and reimbursements to XXX to an account to be specified in writing by XXX within 30 calendar days (unless shorter period is provided hereunder) upon receipt of an invoice from XXX. All amounts payable by the Client to XXX under this Agreement are exclusive of value added tax, withholding or any similar taxes and deductions;
(d) if applicable, within 10 calendar days from the Commencement Date, provide XXX with the letter, confirming the absence of any factual presence of the Client on the territory of the Russian Federation for the purposes of Russian tax legislation throughout the whole period when the services are to be provided to the Client under this Agreement in a form set out in Annex 2 hereto;
(e) ensure that all announcements and documents published or statements made by the Client or on its behalf in the course of, and relevant to, the Transaction which refers directly to XXX, shall only be made with the consent of XXX, unless the Communication is required by applicable law or listing rules.
Translation - Russian 6. Клиент обязуется:
(а) предоставить компании XXX и её представителям и консультантам копии всех имеющихся у него документов и информационных материалов в отношении Сделки, которые XXX вправе обоснованно запросить. Клиент обязуется также прилагать дополнительные разумные усилия для того, чтобы обеспечить сотрудничество с компанией XXX персонала и консультантов Клиента, участвующих в Сделке, в соответствии с настоящим Договором об оказании услуг. Клиент обязуется продолжать информировать XXX о каких-либо существенных событиях или вопросах в отношении Сделки, связанных с оказанием услуг по настоящему Договору, возникающих в течение срока действия настоящего Договора, о которых Клиенту стало известно;
(b) без ограничения действия пункта 7 ниже, возмещать компании XXX на основе заявок на возмещение расходов, подаваемых таким образом, чтобы они были возмещены одновременно с Ежемесячным вознаграждением и/или по Завершении Сделки, все её расходы, оплаченные собственными средствами, понесенные в связи со Сделкой, включая расходы на связь, командировочные расходы и расходы на проживание, при условии, что такие расходы осуществлены в соответствии с политикой компании XXX в отношении командировок и иными политиками компании XXX и были одобрены Клиентом до осуществления расходов, в случае если любой такой отдельный расход превышает 1 000 долларов США или такие расходы в совокупности превышают 10 000 долларов США. В случае если Клиент отменяет или переносит Сделку, Клиент обязан уплатить компании "XXX" Ежемесячное вознаграждение за месяц, в котором он уведомил компанию "XXX" о таком переносе или отмене и возместить компании «XXX» все её расходы, оплаченные собственными средствами, понесенные до такой отмены или переноса Сделки в соответствии с настоящим пунктом.
Любой расход, понесенный компанией «XXX» в валюте, не являющейся долларом США, может быть выставлен к возмещению в такой валюте (при условии, что такая валюта представлена евро или рублями) или в долларах США;
(c) обеспечивать уплату всех платежей и возмещений в пользу компании XXX на счет, в письменной форме указанный компанией XXX, в течение 30 календарных дней (за исключением случаев, когда более краткий срок предусмотрен настоящим Договором) после получения счета от компании XXX. Все суммы, подлежащие уплате Клиентом в пользу компании XXX по настоящему Договору, не включают в себя налог на добавленную стоимость, налоги, удерживаемые у источника и любые аналогичные налоги и вычеты;
(d) если применимо, в течение 10 календарных дней с Даты вступления в силу предоставить компании XXX письмо, подтверждающее отсутствие какого-либо фактического присутствия Клиента на территории Российской Федерации для целей российского налогового законодательства в течение всего периода, когда Клиенту будут оказываться услуги по настоящему Договору, в форме Приложения №2 к настоящему Договору;
(e) обеспечить, чтобы все сообщения и публикуемые документы или заявления, сделанные Клиентом или от его имени в процессе Сделки и в связи со Сделкой, в которых напрямую упоминается компания «XXX», были сделаны или опубликованы только с согласия компании «XXX», кроме случаев, когда Сообщение требуется в силу применимого законодательства или правил листинга.

Source text - English This Agreement shall be governed by and construed in accordance with the laws of England. Any dispute arising out of or in connection with this Agreement, including any question regarding the existence scope, validity or termination of this Agreement or this clause, which cannot be resolved within thirty (30) calendar days by negotiation between the parties hereto, shall be referred to and finally resolved by arbitration under the Rules of LCIA (the “LCIA Rules”) then in effect, which LCIA Rules are deemed to be incorporated by reference into this Clause. The number of arbitrators shall be 1, chosen in accordance with the LCIA Rules. The seat of arbitration shall be London. The arbitration proceedings shall be conducted in the English language and the award shall be in English. Pursuant to and in accordance with Article 28.4 of the LCIA Rules, the parties hereto agree that, as a general principle, the losing party of any arbitration shall pay all costs and expenses of the arbitration including all reasonable costs, fees and expenses of the other party and the other party's counsel. Any award of the arbitration tribunal shall be final and binding on the parties and each party hereby waives any right of appeal, including any rights to make an application or to appeal to the English courts under sections 45 and 69 of the English Arbitration Act 1996. The parties hereto agree that information concerning the arbitration, including, without limitation, information concerning any arbitration award, shall be treated as confidential and not disclosed to any third parties without the consent in writing of all of the parties except as required by law. The award shall be final and binding on the parties hereto and may be enforced or entered in any court having jurisdiction and application may be made to such court for an order of enforcement as the case may require.
Translation - Russian Настоящее Соглашение регулируется и подлежит толкованию в соответствии с нормами английского права. Любой спор, возникающий в результате настоящего Соглашения или в связи с ним, в том числе в отношении существования, предмета, действительности или прекращения настоящего Соглашения или настоящего пункта, который не может быть разрешен посредством переговоров между сторонами настоящего Соглашения в течение тридцати (30) календарных дней, должен передаваться на рассмотрение и окончательное разрешение посредством арбитражного разбирательства в соответствии с действующим Регламентом Лондонского Международного Третейского Суда (далее - «Регламент ЛМТС»), при этом Регламент ЛМТС считается включенным в настоящий пункт Соглашения путем отсылки. If during the Warranty Period it is found that the Equipment or the technical documentation is incomplete or has defects for which the Seller is responsible, then the Seller shall be obliged to eliminate such defects at the Seller's account and provide supervision work to the extent necessary. The Buyer and the Seller shall agree a time schedule for elimination of such defects.
6.3.2. In the event that the Seller fails to eliminate such defect within agreed time schedule, the Buyer may eliminate such defect at the Seller's account after due consultation with the Seller.

Если во время Гарантийного Срока обнаружится, что комплектность Оборудования или технической документации нарушена или в них имеются дефекты, за которые несет ответственность Продавец, Продавец обязан устранить указанные дефекты за свой счет и установить контроль по их устранению в той мере, в которой потребуется. Покупатель и Продавец обязуются согласовать график устранения указанных дефектов.
6.3.2. В случае неустранения Продавцом указанного дефекта в сроки, предусмотренные согласованным графиком, Покупатель вправе устранить такой дефект за счет Продавца после соответствующих консультаций с ним.
