2. Overview
Identifying and Managing Confidential Information
2.1 The principle of accountability and transparency as set out in the Commonwealth Procurement Guidelines (CPGs) suggests that contracting information should not be confidential unless there is a sound reason, informed by legal principle, for maintaining the confidentiality of the information.
2.2 Where the parties to a contract agree that information is confidential, the contract will include confidentiality clauses setting out how the parties will deal with that information. Agencies should not agree to confidentiality clauses in contracts unless the agency has made an assessment and determined, in accordance with this guidance, that the information to be covered by the clauses is confidential.
2.3 Agencies should carefully assess the need for confidentiality in procurement and in contracts. Agencies should balance the need to keep information transparent to meet reporting and disclosure requirements with the need to protect the confidentiality of information that might damage the Australian Government’s interests or the commercial interests of suppliers.
2.4 A range of information may be determined to be confidential during a procurement process including:
information belonging to either the private sector or the Australian Government; and
information contained in a contract, or information obtained or generated through the performance of the contract.
2.5 This guidance deals with the following aspects of managing confidential information where it arises in a procurement process:
correctly identifying confidential information;
planning procurement to ensure that confidential information held by the agency is protected and that any confidentiality requirements of potential suppliers are identified early in the process;
before the award of the contract – handling information received from potential suppliers;
using appropriate contractual clauses to protect confidential information and reporting the use of such clauses; and
dealing with confidential information after the award of the contract.
2.6 Determining whether information is appropriately protected as confidential is sometimes difficult so agencies should consider seeking expert legal advice. This guidance is not intended to constitute legal advice.
2.7 If during the course of a procurement, information is determined to be confidential the agency must ensure that:
the information is properly managed;
the resulting contract includes appropriate confidentiality provisions; and
confidentiality provisions are reported consistent with this guidance and Financial Management Guidance (FMG) No.15 Guidance on Procurement Publishing Obligations.
Disclosure
2.8 As a party to a contract, the Australian Government cannot provide an absolute guarantee of confidentiality. The Australian Government is subject to a number of obligations whereby it is required to disclose information, regardless of any contractual obligations to maintain confidentiality. Disclosure obligations include:
an agency may be required to disclose information to Parliament, its committees or the Auditor-General to comply with its accountability obligations;
under the Freedom of Information Act 1982 (FOI Act), a person can request access to information held by an agency – unless the information is subject to one of the exemptions set out in the FOI Act, the agency will be obliged to disclose it; and
the Australian Government will be required to disclose discoverable information which is relevant to a case before a court.

2. Kajian Umum

2.1. Prinsip akuntabilitas dan transparansi sebagaimana telah dicantumkan dalam Panduan Pengadaan Persemakmuran (P3/CPG) menyarankan bahwa informasi tentang perjanjian kontrak sebaiknya tidak bersifat rahasia kecuali apabila dilandasi oleh alasan yang kuat, yang berlandaskan prinsip hukum, untuk mempertahankan kerahasiaan suatu informasi.
2.2. Bilamana pihak-pihak dalam sebuah perjanjian sepakat bahwa suatu informasi bersifat rahasia, perjanjian tersebut akan mencantumkan klausul tentang kerahasiaan yang menyatakan secara terperinci cara pihak-pihak yang terlibat dalam kontrak untuk menangani informasi tersebut. Institusi pemerintah tidak boleh menyepakati klausul tentang kerahasiaan tersebut kecuali apabila institusi tersebut telah membuat penilaian dan menentukan, sejalan dengan panduan ini, bahwa informasi yang akan dicakup oleh klausul tersebut bersifat rahasia.
2.3. Institusi pemerintah harus menilai dengan saksama perlunya kerahasiaan informasi dalam proses pengadaan dan perjanjian kontrak. Institusi pemerintah harus menyelaraskan kebutuhan antara menjaga keterbukaan informasi guna memenuhi persyaratan pelaporan dan pengungkapan informasi dengan kebutuhan untuk melindungi kerahasiaan informasi yang bisa mengganggu kepentingan Pemerintah Australia ataupun kepentingan komersial pemasok.
2.4. Serangkaian informasi yang dapat ditetapkan bersifat rahasia selama masa pengadaan barang dan jasa meliputi:
informasi yang dimiliki oleh sektor swasta atau Pemerintah Australia; dan
informasi yang terkandung di dalam perjanjian kontrak, atau informasi yang didapat atau dihasilkan dari kinerja perjanjian kontrak.
2.5. Panduan ini berhubungan dengan aspek-aspek pengelolaan informasi yang bersifat rahasia yang timbul dari proses pengadaan barang dan jasa berikut ini:
mengenali dengan tepat informasi yang sifatnya rahasia;
merencanakan proses pengadaan untuk memastikan bahwa informasi rahasia yang dimiliki oleh institusi pemerintah terlindungi dan bahwa permintaan tentang kerahasiaan apa pun dari para pemasok potensial bisa diidentifikasi sejak awal proses pengadaan;
sebelum penetapan pemenang kontrak - menangani informasi yang diterima dari para pemasok potensial;
menggunakan klausul-klausul perjanjian kontrak yang tepat untuk melindungi kerahasiaan informasi dan melaporkan penggunaan klausul-klausul tersebut; dan
menangani informasi yang bersifat rahasia tersebut sesudah penentuan pemenang kontrak.
2.6. Menentukan apakah suatu informasi perlu dilindungi dengan kerahasiaan kadang kala sulit untuk dilakukan sehingga institusi pemerintah sebaiknya mempertimbangkan untuk mencari nasihat ahli hukum. Panduan ini tidak dimaksudkan sebagai pengganti nasihat hukum.
2.7. Apabila selama masa pengadaan, suatu informasi ditetapkan bersifat rahasia, institusi pemerintah harus memastikan bahwa:
informasi tersebut ditangani dengan sepatutnya;
perjanjian kontrak yang dihasilkan mencantumkan ketentuan-ketentuan tentang kerahasiaan yang sesuai; dan
ketentuan-ketentuan tentang kerahasiaan tersebut dilaporkan konsisten dengan panduan ini dan Panduan Pengelolaan Keuangan (PPK/FMG) No. 15 Panduan tentang Kewajiban Publikasi Pengadaan Barang dan Jasa.
Pemaparan Informasi
2.8. Sebagai salah satu pihak dalam perjanjian, Pemerintah Australia tidak dapat menyediakan jaminan tentang kerahasiaan secara mutlak. Pemerintah Australia tunduk pada sejumlah kewajiban yang menuntutnya untuk mengungkapkan informasi, tanpa memandang kewajiban yang tercantum dalam kontrak untuk mempertahankan kerahasiaan. Kewajiban pemaparan informasi tersebut meliputi:
suatu institusi pemerintah bisa diminta untuk mengungkapkan informasi kepada Parlemen, Komite Parlemen, atau Badan Auditor Pemerintah untuk tunduk terhadap kewajiban akuntabilitasnya;
sesuai dengan Undang-Undang tentang Kebebasan Informasi, seseorang bisa meminta akses kepada informasi yang dimiliki oleh suatu institusi pemerintah - kecuali apabila informasi tersebut termasuk dalam salah satu perkecualian yang ditetapkan dalam UU Kebebasan Informasi, maka institusi pemerintah tersebut berkewajiban untuk mengungkapkannya; dan
Pemerintah Australia akan diminta untuk memberikan informasi yang ditemukan yang berkenaan dengan kasus yang diajukan di pengadilan.

Bio
I am a female Indonesian and I have five years experience of working as a translator/interpreter.
I also have an experience of working as an in-house translator/interpreter
for a joint primary education project between Australian and Indonesian Government in East Nusa Tenggara, Indonesia
for two and a half years, where I worked as a part of the translator/interpreter team.
In this project, I have translated various documents including contracts, bid documents, annual reports, minutes, website
and media materials, evaluation reports, workshop materials, and teaching and learning modules which was developed
by the project to improve teaching and learning quality for primary schools in remote regions in Indonesia.
There, I have gained a very valuable experience on how to work together with people from different
cultural backgrounds, to help bridging communication between local people and its international staffs,
to be responsible with my work by working professionally to provide a quality translation which will be used not
only to support the work within the project but also outside the project, particularly in the media publication,
which requires a reader-friendly and accurate translation for student-teachers, education stakeholders, and primary school
teachers which in the long term, will affect the quality of teaching and learning in primary schools in this area.
After the project has ended, I applied for an Australian Government scholarship, and obtained my graduate diploma degree
in translation studies from the Australian National University, Canberra.
Currently, I am residing in Surabaya, Indonesia and working at home as a freelance translator.
