Note on Transparent Revenue Management Plan for Electricity Export Revenues for Tajikistan (Barki Tojik)
Background
CASA project would help Tajikistan to export summer surplus of electricity, with relatively low costs, to South Asia and generate a significant revenue stream, which can help finance several programs for the energy sector. The management of export revenues could help implement programs to deal with its winter energy crisis, improve the financial health of the Utility Barki Tojik, improve revenue of the Independent power producers and help in ensuring secure energy for industries and citizens of the country. It is important that the management of these export revenues is done in a transparent manner to build credibility of the sector. A key concern remains on the Utilization of the electricity export revenues from the Tajikistan-Afghanistan experience. Therefore, the design of the governance structure for the transparent management of revenues from electricity sales in Tajikistan is important.
Objectives:
The key objective of the Revenue Management Plan (RMP) is to ensure transparent and use of export revenues for building the credibility of the sector and instilling confidence in the Lenders that concessional funds provided by them are being utilized well.
Following the successful model of Kyrgyz Republic, the revenue from electricity exports shall be deposited in an Escrow account and shall be used for the specified purposes.
Electricity Export Revenue Sources:
The export revenue sources would include the following:
- Electricity export sales under the existing bilateral Tajikistan-Afghanistan power trade;
- Electricity export under CASA-1000 project, after the completion of Project in 2017;
- Transmission and O&M recovery charges for AC facilities specifically being built for CASA;
- Tajikistan share for the Community Benefit Program implementation during operation phase.
Identified Expenditure Areas:
The funds out of the “blocked” escrow account shall be used for the following purposes:
(i) Payment of any Independent Power Producer (IPP) revenue related to CASA sales (Sangtuda HPP I and II, etc)
(ii) Maintenance of assets specifically created/built for CASA
(iii) Implementation of the Community Benefit Program during Operation Phase;
(iv) Repayment of debt obligations related to CASA project
(v) Activities targeted on reduction of winter deficit and agreed with the World Bank and other IFI’s – CASA financiers;
(vi) Rehabilitation of existing generating capacities;
Any remaining funds may be used for other activities, as agreed with the World Bank and Islamic Development Bank.
Underlying principles /Monitoring of Escrow Account
The basic underlying principles of transparent management of export revenues are as follows:
(i) export revenues should flow to a special escrow account opened in a qualifying bank;
(ii) the use of funds accumulated on this account will be done only for the purposes stipulated in respective agreements between the implementing agency, the bank, MoF/Ministry of Energy acceptable to the World Bank;
(iii) the monthly statement showing the receipts and payments from the account should be published on the websites of the implementing agency (BT), Ministry of Energy, the bank;
(iv) there should be an annual audit of these statements by an independent private auditor acceptable to the World Bank.
(v) The audited statements for the annual transactions, with the opinion of the auditor should also be made public on the websites mentioned above.
These measures should significantly decrease the risk of inappropriate use of export revenues provided the Government of Tajikistan will support the arrangements and adhere at all times to the provisions in the respective legal agreements.
Escrow Account Bank Selection Criteria and rationale for opening Escrow Account at the National Bank of Tajikistan
The qualifying bank should fulfill certain eligibility criteria, such as the size of the bank, capital adequacy ratio, liquidity ratio, single borrower limit, share of non-performing loans (NPL), compliance with the National Bank prudential norms in the past three years, clean audit opinion by an international auditor for the past three years (the exact figures to be suggested by the private sector/IFC colleagues).
In Tajikistan, the banking sector remained weak, with a large overhang of NPLs, weak capital positions, and liquidity constraints. Tajikistan’s financial sector remains shallow by regional standards. The banking sector is composed of 16 banks with 316 branches, one non-bank credit institution, 126 micro-finance institutions and 36 microcredit deposit institutions as of June 30, 2013. The banking sector remains concentrated with the four largest banks (Agroinvestbank, Tojiksodirotbank, Orienbank, and Amonatbank) controlling about three fourths of total assets. Several obstacles limit the restoration of a stable and sound banking sector: (i) government interference in bank lending; (ii) poor risk management in banks; (iii) absence of stable funding sources; (iv) inadequate prudential standards and/or inadequate enforcement by National Bank of Tajikistan (NBT); (v) lax enforcement of prudential standards; (vi) low capacity in NBT to conduct stress tests to monitor vulnerabilities; and (vii) lack of key elements of financial sector infrastructure.
In particular, Government directed lending has resulted in the deterioration of the loan portfolios by adversely impacting the risk management systems of banks and their financial positions, undermining NBT’s independence as bank regulator and supervisor, and weakening the credit culture as strategic borrowers understand that they need not repay. One of the four largest banks was effectively driven into bankruptcy through this practice and eventually bailed out with government funds, but still continues the direct lending and faces liquidity issues again.
Consequently, it seems unlikely that any of the large commercial banks in Tajikistan will be able to fulfill the eligibility criteria. It is therefore suggested that an escrow account for the export revenues from CASA to be opened in the National Bank of Tajikistan, which is more independent from the Government than all other commercial banks; it is being audited by private sector international auditors, the audit opinion for 2012 was clean. NBT will have the capacity to manage the escrow account under CASA. Similar provisions of an escrow account with NBT were designed under the Pamir Energy project some years ago.
The Kyrgyz experience: On May 26, 2011 Ministry of Energy of the Kyrgyz Republic issued an order whereby country's main generation company JSC Electric Power Plants (EPP) has to set up a special Escrow Account for receiving all the revenues from export of power. This order has also adopted a Regulation on Setting up, operation and monitoring of this escrow account. The Regulation provides that the EPP carries out a competitive selection of the Bank (Escrow Account Bank), where the Escrow Account will be maintained. It has minimum criteria for Escrow Account Bank. It also provides that EPP informs the Escrow Account Bank of the "Blocked Accumulated Level" of funds which cannot be used for purposes other than specified below:
a. paying transit fees to Transmission company
b. for purchases of fuel supplied to Bishkek and Osh CHPs
If revenues are in excess of Blocked Accumulated Level, they are transferred to ordinary accounts of EPP.
Control over the Escrow Account is the responsibility of the Board of Directors of EPP. The Secretary of the Board carries out a compliance monitoring of all the procedures. The Escrow Account Bank provides monthly statements to Ministry of Energy and to EPP. Monthly statements should include total balance, amount of money received and spent for that month, names and details of senders and receivers of this money. Board of Directors has the right to order an audit of this account.
Publication of monthly statements of this account on the Ministry's web-site for past two years and going forward is a prior action requirement under the DPO 2.
For CASA-1000 purposes we might want to strengthen this mechanism, by getting the Regulation approved as part of the Loan Agreement, which will be ratified and have the power of law. Also, the uses of funds should be revised. We can also make it mandatory that this account should be audited on an annual basis.
In CASA-1000 EPP is going to be the main beneficiary as the seller of power and a party to PPAs. However, a transmission company (NESK), which will be the owner of the line and the main borrower, will also benefit from transmission fees.
Currently, there exists a separate Escrow Account for NESK's revenues from frequency regulation provided to the Central Asian Power System. The existing provisions of the Regulation governing this Account are much simpler, the only requirements are 1) a competitive selection of the Escrow Account Bank and 2) quarterly reporting to the Ministry of Energy and Regulatory department on how funds were used from this account, including the bank statements. This regulation definitely needs to be revisited in line with the criteria described above.
Publication of monthly statements from this account on the Ministry's web-site is also a condition under the DPO 2.

Проект CASA поможет Таджикистану экспортировать летние излишки электроэнергии по относительно низкой стоимости в Южную Азию и обеспечить тем самым регулярные поступления доходов, за счет которых можно будет финансировать несколько программ энергетического сектора. Управление экспортными доходами может способствовать реализации программ, направленных на преодоление зимнего кризиса электроэнергии, улучшение финансового состояния Компании «Барки Тоджик», повышение доходов независимых производителей электроэнергии и стабильное обеспечение энергией промышленного производства и граждан страны. Необходимо, чтобы управление этими экспортными доходами было прозрачным, что будет способствовать доверительному отношению к сектору. Основную обеспокоенность по-прежнему вызывает опыт использования доходов от экспорта электроэнергии из Таджикистана в Афганистан. Поэтому так важно спланировать структуру прозрачного управления доходами от продажи электричества в Таджикистане.
Цели:
Основная цель Плана управления доходами (ПУД) заключается в обеспечении прозрачного использования доходов для создания доверительного отношения к сектору и укрепления доверия Кредиторов относительно надлежащего использования предоставленного ими льготного финансирования.
Следуя успешному примеру Кыргызской Республики, доходы от экспорта электроэнергии будут вноситься на депозитный счет, и будут использоваться на конкретные цели.
Источники доходов от экспорта электроэнергии:
Источники доходов от экспорта электроэнергии включают следующие:
- Экспортная продажа электроэнергии в рамках существующей двусторонней торговли энергией между Таджикистаном и Афганистаном;
- Экспорт электроэнергии в рамках проекта CASA-1000, по завершению проекта в 2017г.;
- Платежи за передачу, эксплуатацию и обслуживание (Э&О) объектов Пер.Т, выстроенных в рамках CASA;
- Доля Таджикистана в осуществлении Программы общественных доходов на этапе реализации.
Сферы расходования средств:
Средства «заблокированного» депозитного счета будут использоваться на следующие цели:
(i) Выплата доходов независимым производителям электроэнергии (НПЭ), относящихся к продажам в рамках CASA (Сангтуда ГЭС I и II и т.д.);
(ii) Обслуживание объектов, специально созданных/построенных для CASA;
(iii) Реализация Программы общественных доходов на Этапе Реализации;
(iv) Выплата долговых обязательств по проекту CASA;
(v) Деятельность, направленная на снижение зимнего дефицита и согласованная с Всемирным Банком и другими МФИ – донорами CASA;
(vi) Реабилитация существующих энергетических мощностей.
Оставшиеся средства могут использоваться на другую деятельность по согласованию с Всемирным Банком и Исламским банком развития.
Главные основополагающие принципы прозрачного управления экспортными доходами состоят в следующем:
(i) экспортные доходы должны поступать на специальный депозитный счет, открытый в соответствующем банке;
(ii) средства, поступившие на этот счет, будут использованы только в целях, оговоренных в соответствующих соглашениях между организацией-исполнителем, банком, МФ/Министерством энергетики, одобренных Всемирным Банком;
(iii) организация-исполнитель (ОИ), Министерство энергетики (МЭ) и банк должны публиковать на своих электронных сайтах ежемесячные отчеты, показывающие поступление и выплату средств с этого счета;
(iv) годовой аудит этих отчетов будет проводиться независимой частной аудиторской компанией, одобренной Всемирным Банком;
(v) Аудиторские отчеты годовых транзакций, отражающие мнение аудитора, будут также публиковаться на упомянутых выше электронных сайтах.
Эти меры существенно снизят риск ненадлежащего использования экспортных доходов, при условии, что Правительство Таджикистана поддержит эти договоренности и будет постоянно придерживаться положений соответствующих правовых соглашений.
Критерии выбора депозитного счета и обоснование для открытия депозитного счета в Национальном банке Таджикистана
Соответствующий банк должен отвечать квалификационным критериям, таким как размер банка, коэффициент достаточности капитала, норма ликвидности, норматив на одного заемщика, доля недействующей ссуды (НС), соблюдение пруденциальных норм Национального банка в последние три года, «чистое» аудиторское заключение международного аудитора в последние три года (точные цифры будут предложены частным сектором/коллегами МФК).
В Таджикистане банковский сектор остается слабым и характеризуется значительной долей НС, слабыми позициями капитала и ограничением ликвидности. Финансовый сектор Таджикистана, по региональным стандартам, характеризуется, как слабый. По ситуации на июнь 2013 года, банковский сектор состоит из 16 банков, имеющих 316 филиалов, одной не банковской кредитной организации, 126 микрофинансовых институтов и 36 микро-кредитных депозитных институтов. Банковский сектор по-прежнему сконцентрирован в четырех крупнейших банках (Агроинвестбанк, Тоджиксодиротбанк, Ориенбанк и Амонатбанк), контролирующих примерно три четверти всех активов. Восстановлению устойчивого и надежного банковского сектора препятствуют несколько преград: (1) вмешательство правительства в банковское кредитование; (2) слабое управление риском в банках; (3) отсутствие стабильных финансовых источников; (4) ненадлежащие пруденциальные стандарты и/или ненадлежащие требования их соблюдения со стороны Национального банка Таджикистана (НБТ); (5) слабое соблюдение пруденциальных стандартов; (6) низкий потенциал НБТ в проведении стресс тестов для определения уязвимости; и (7) отсутствие ключевых элементов инфраструктуры финансового сектора.
В частности, прямое кредитование Правительства привело к ухудшению кредитных портфелей и оказало неблагоприятное воздействие на банковские системы управления риском и их финансовое положение, подрывая независимость НБТ как регулятора и контролера и ослабляя культуру кредитования, поскольку стратегические заемщики понимают, что им не нужно выплачивать заем. Один из четырех крупнейших банков едва не обанкротился, следуя этой практике, и в конечном итоге выпутался из этой ситуации с помощью государственных средств, но, тем не менее, продолжает прямое кредитование и опять стоит перед проблемой ликвидности.
Соответственно, маловероятно, что один из крупных коммерческих банков Таджикистана сможет удовлетворить квалификационным критериям. Поэтому предлагается открыть депозитный счет для поступления доходов от проекта CASA в Национальном банке Таджикистана, который более независим от Правительства, чем все остальные коммерческие банки. Аудит этого банка проводится международными частными аудиторскими компаниями, и аудит 2012 года был удовлетворительным. НБТ обладает потенциалом управления депозитным счетом в рамках CASA. Несколько лет назад проект «Памир Энерджи» также использовал схожие положения при открытии депозитного счета в НБТ.
Опыт Кыргызстана: 26 мая 2011 года Министр энергетики Кыргызской Республики издал указ, согласно которому главная энергетическая компания «АО Электростанции» (ЭС) должна была создать специальный депозитный счет, на который будут поступать все доходы от экспорта электроэнергии. Помимо этого, этим указом одобрялись Положения по учреждению, оперированию и ведению этого депозитного счета. Согласно Положениям, ЭС должна была провести конкурсный отбор Банка (Банка с депозитным счетом), в котором будет открыт депозитный счет. Положения содержали минимальные требования к депозитному счету. Согласно Положениям, ЭС должна уведомить Банк, в котором содержится депозитный счет, о «блокируемом уровне накоплений», средства которого можно использоваться только на обозначенные ниже цели:
a. выплату транзитных сборов передающей компании;
b. закупку топлива для ТЭЦ Бишкека и Оша.
Если доходы превышали блокируемый уровень накоплений, они переводились на обычные счета ЭС.
Контроль депозитного счета является обязанностью Совета Директоров ЭС. Секретарь Совета проводит мониторинг соответствия всех процедур. Банк депозитного счета предоставляет ежемесячные отчеты Министерству энергетики и ЭС. Ежемесячные отчеты должны включать общий баланс, сумму полученных и израсходованных за месяц денег, имена и детали отправителей и получателей средств. Совет Директоров имеет право аудита данного счета.
Публикация ежемесячных отчетов с этого счета на электронном сайте Министерства в течение последних двух лет, включая текущие, является приоритетным требованием DPO 2.
Для целей CASA-1000, можно будет усилить этот механизм и сделать так, чтобы эти Положения стали частью Кредитного Соглашения, которое будет ратифицировано и будет иметь законодательную силу. Также можно потребовать ежегодного аудита этого счета. В проекте CASA-1000, ЭС станет основным бенефициаром в качестве продавца электроэнергии стороны СПЭ [Соглашения о продаже электроэнергии]. Публикация ежемесячных отчетов с этого счета на сайте Министерства также является условием в рамках DPO 2.
