The first cultivation and hand harvesting of olive trees began in Crete, around 3500BC during the Minoan civilization. Crete's olive trees are amongst the oldest in the world. In Minoan times, olive oil was used as food and in cosmetics. Olive oil from ancient times was famous for its numerous healing properties. The antioxidant substances that it contains and chlorophyll make it one of the most active oils used for skin, nails and hair but also for the entire body. Η πρώτη καλλιέργεια και χειρωνακτική συγκομιδή των ελαιόδεντρων ξεκίνησε στην Κρήτη, γύρω στο 3500 π.Χ. κατά τη διάρκεια του Μινωικού πολιτισμού. Τα ελαιόδεντρα της Κρήτης ανήκουν στα πιο παλιά δέντρα του κόσμου. Στη Μινωική εποχή, το ελαιόλαδο χρησιμοποιούνταν σαν φαγητό αλλά και στα καλλυντικά. Από τα αρχαία χρόνια το ελαιόλαδο ήταν γνωστό για τις πολλαπλές θεραπευτικές του ιδιότητες. Οι αντιοξειδωτικές ουσίες και η χλωροφύλλη που περιέχει το κάνουν ένα από τα πιο δραστικά έλαια για την επιδερμίδα, τα νύχια και τα μαλλιά αλλά και για ολόκληρο το σώμα. ANNUAL ACCOUNTS – PROFITS & LOSSES
A R T I C L E 30
ANNUAL ACCOUNTS (ANNUAL FINANCIAL REPORTS) AND PUBLICATION
1. At the end of each financial year the Board of Directors shall close the accounts
(annual financial statements) and the annual report, pursuant to the provisions of articles 26 paragraph 2, 27, 36 paragraph 1, 36a, 42a, 42b, 42c, 42d, 42e, 43, 43a, 43b, 132 and 133 of the Companies Act. Annual financial statements must show with absolute clarity the true picture of the assets structure, the financial position and the results of the Company’s fiscal year.
2. For a resolution in respect of the annual financial statements as approved by the Board to be validly adopted, the annual financial statements should bear the signatures of:
(a) the Chairman of the Board or his/her substitute,
(b) the Managing Director or should there be no such Director, by a director appointed by the Board to that effect, and
(c) the Chief Accountant.
Should the above parties disagree on the legality of the method of preparation of the annual financial statements, they shall submit their objections in writing.
3. The annual management report of the Board addressing the ordinary General Meeting must state a clear and actual description of the developments of the Company’s business and financial position, as well as information for the predicted evolution of the Company and its activities in the field of research and development as set out in paragraph 3 section b of article 43a of the Companies Act, as amended. Moreover, this report must state all other important events that occurred in the period between the end of the fiscal year until the day the report was submitted.
4. The financial statements are submitted to the publication formalities of paragraph 1 and 5 of article 43b of the Companies Act, as far as their form and content is concerned, based on which the auditor or auditors of the Company have drawn-up their auditing report. If the auditors have any observations or refuse to express an opinion, this fact must be cited and justified in the published financial statements, except if this is stated in the relevant audit certificate.
5. Copies of the financial statements with the relevant reports by the Board and the auditors are submitted by the Company to the competent supervisory authority at least twenty (20) days prior to the General Meeting.
6. When an audit by Certified Auditors is provided for, the balance sheet, the “annual account results” and the “Statement of profit appropriation and distribution", along with the relevant audit certificate when an audit is provided for to be carried out by certified accountants, the statement of changes in equity and cash flow statement, when drafted, according to the case, pursuant to the provisions of paragraph 1 of article 42α of the Companies Act, are published as stipulated in paragraph 7, as follows.
7. The Board of Directors of the Company shall publish the documents described in the preceding paragraph 6 in their entirety at least twenty (20) full days prior to the convening of the general Meeting in the newspapers and the publications defined in paragraph 2 of article 26 of the Companies Act.
8. Within twenty (20) days from the approval of the financial statements by the General Meeting, along with the certified copy of its minutes submitted to the competent supervisory authority pursuant to the provisions of paragraph 2 of article 26a of the Companies Act, as in force, a the copy of the approved financial statements is also submitted.

DISTRIBUTION OF PROFITS
1. Net profits of the Company shall be deemed to be the profits resulting from the gross earnings after deduction of all expenses, losses, legal authorized depreciation and any other corporate obligation and without prejudice to the provisions of article 44a, of the Companies Act, the Company’s net profits shall be appropriated as follows:
(a) net profits shall be retained to apply towards an ordinary reserve, as stipulated by law i.e. for this purpose at least one twentieth (1/20) of the net profits is retained. On formation of this amount fund retention for these purposes shall no longer be mandatory and shall so remain, unless the level of reserve is reduced to less than one third (1/3) of the share capital.
(b) A further portion of the funds shall be retained for dividend payment as required pursuant to Article 3 of Emergency Law 148/1967.
(c) The remaining amount is allocated freely by the General Meeting.
2. The funds to be distributed to the shareholders shall be paid thereto within two (2) months as of the date the annual financial statements were approved by General Meeting resolution.
CHAPTER VIII
WINDING UP – LIQUIDATION

REASONS TO WIND-UP THE COMPANY
1. The Company shall be wound up:
(a) On termination of its duration as specified herein, unless the General Meeting has decided to extend its duration;
(b) With a resolution of the General meeting pursuant to the provisions of article 14 of the present Articles of Association;
(c) In the event that the Company has been declared bankrupt, and
(d) By court judgment as per Articles 48 and 48a of the Companies Act.
Except in the event of bankruptcy, winding up shall be followed by liquidation. In the event that the cause of dissolution is the expiration of the duration of the Company, the Board shall act as liquidator until a liquidator is appointed by the General Meeting. In such an event that the dissolution is a result of a resolution of the General Meeting, the liquidator is determined in the same resolution of the General Meeting which decides the liquidation. If the winding up of the Company is due to a court ruling, the liquidator is determined by the court, on the basis of the court judgement ordering the winding up of the Company.
2. Concentration of all shares by one person does not constitute a reason to dissolve the Company.
3. In the case that the total of own funds of the Company (as determined in the balance sheet sample pursuant to article 42c of the Companies Act), reaches less than half (1/2) of the share capital, the General Meeting shall call a general meeting within the time limit of six (6) months following the expiration of the fiscal year; this meeting shall decide upon the dissolution of the Company or to undertake other measures.

LIQUIDATION
1. Except in the event of bankruptcy, winding up shall be followed by liquidation. In the case of paragraph 1(a) of Article 31 hereof, the Board shall act as liquidator until liquidators are appointed by the General Meeting. In the case of subparagraph (b) of the same article, the General Meeting shall by the same decision appoint the liquidators. The liquidators shall be two, shareholders or not, and shall execute all the relevant duties of the Board pertaining to the procedure and the purpose of liquidation as they have been possibly limited by the General Meeting and shall comply with its decisions.
2. On assuming their duties, the liquidators appointed by the General Meeting shall take an inventory of corporate assets and publish a balance sheet in the press and the Companies Bulletin, with a copy to the appropriate supervisory authority.
3. The same applies to liquidators on the completion of the liquidation.
4. The General Meeting maintains all its rights during the liquidation process.
5. The liquidators shall settle the Company’s outstanding matters forthwith, convert assets to cash, pay debt and collect receivables. They may also take further action should this be deemed to serve the liquidation process and corporate interests.
Liquidators may sell corporate realty, the business in its entirety, as well as various fixed assets on an individual basis following the lapse of 4 months from winding up. Within the said four (4) month period from the Company’s dissolution every shareholder or creditor may file a petition to the Single-Member Court of First Instance of the place of the Company’s registered office, requesting the court which rules pursuant to articles 739 et seq of the Code of Civil Procedure, to determine the minimum selling price of the corporate realty, parts, sections or the business in its entirety. The relevant court judgment shall be binding to the liquidators and shall not be subject to any ordinary and extraordinary appeals.
6. The annual financial statements and the financial statements issued on completion of the liquidation shall be subject to the approval of the General Meeting. The results of the liquidation process shall be submitted to the GM annually, along with a report on any reasons preventing completion thereof.
On completion of the liquidation process, the liquidators shall prepare the final financial statements, to be published pursuant to paragraph 5 of Article 43b of the Companies Act, release to the shareholders contribution and amounts above par paid, and distribute the balance of the liquidation proceeds thereto pro rata to each shareholder’s participation in the paid up share capital.
7. Should the liquidation process last for over a 5-year period, the liquidator shall convene a General Meeting and submit to it for approval a plan for speeding up its completion. The plan shall include a report on the liquidation work performed so far, the reasons for the delay and proposed measures to speed up completion of the liquidation process. Proposed measures may include waiver of corporate rights, legal proceedings and petitions, should they be deemed inexpedient vis-à- vis expected benefits, or of uncertain outcome, or time consuming. The plan may also include settlement, renegotiation, terminating contracts or entering into new contracts. The General Meeting resolution on such plan is subject to the quorum and majority provisions of paragraphs 3 and 4 of Article 29 and paragraph 2 of Article 31 of the Companies Act.
Should the plan be approved, the liquidator shall complete administration of the liquidation process as provided for in the plan. Otherwise, the liquidator or shareholders representing 1/20 of the paid-up share capital may request the Single-Member Court of First Instance of the place of the Company’s registered office to approve the plan by filing with the said court a petition to that effect, to be heard by voluntary jurisdiction proceedings. The court may introduce adjustments to measures included in the plan, but not any new measures further to those included. The liquidator shall not be liable for the implementation of a plan approved as above.
8. On appointment of liquidators, the director’s powers and authorities shall cease ipso jure. The provisions applying to the Board shall also apply to liquidators on a pro rata basis. The liquidator’s proceedings and decisions shall be entered in the Board minutes book in summary form.

Authorization
The contracting parties by special irrevocable command hereby authorize P.K., son of g, attorney at law, owner of identity card with the number XXXXX issued by XXXXX Police Station registered in the Athens Bar Association under no. XXXXX, G.M., son of S., attorney at law, owner of the identity card with the number XXXXX issued by XXXXX Police Station registered in the Athens Bar Association under no. XXXXX and L.D. daughter of G., attorney at law, owner of identity card with the number XXXXX issued by Kifissia Police Station, registered in the Athens Bar Association under no. XXXXX to submit, whether acting jointly or individually, the following Articles of Association to the competent Prefecture Office for approval and to represent them before this authority, as well as to draft and sign as their representatives a notary document which supplements omissions or corrects oversights and at the same time freely supplement or amend the provisions of these Articles of Association according to their judgment, on the condition that the participation of each shareholder in the company’s capital shall remain the same. In addition, they are authorized to appoint their replacements with a notarized power of attorney.
Based on the estimation of the contracting parties, the expenses for the incorporation of the company shall amount to the sum of approximately (3,000) Euros.
The present was drawn-up based on a preliminary draft by the attorney of Athens P.K. registered in the Athens Bar Association, resident of 37, XXXXX Str., in Athens.
The lawyer fees resulting from the present, based on the afore said draft, were legally approved by the Athens Bar Association and are attached to the present and have been submitted to the Fund of the same Association, as evidenced by the two paged receipt with the number XXXXX attached hereto.
In confirmation of the above, this deed was drawn-up drafted for which levies and fees were I collected in total the sum of one thousand two hundred fifty Euros of which: a) my fees with provisions of copies net income of 932.96 Euros and b) in favour of the Lawyers’ Fund and the Hellenic Notary Association and other fees, 322.04 Euros; the present was read loud and clear for those present to hear, the parties certified all its content and signed, as I ,the notary as provided by law also signed the document as partner of the Notary Firm “XXXXX”.

ΕΤΗΣΙΕΣ ΟΙΚΟΝ.ΚΑΤΑΣΤΑΣΕΙΣ – ΚΕΡΔΗ ΚΑΙ ΖΗΜΙΕΣ
ΑΡΘΡΟ 30
ΕΤΗΣΙΟΙ ΛΟΓΑΡΙΑΣΜΟΙ ΚΑΙ ΔΗΜΟΣΙΕΥΣΕΙΣ ΤΟΥΣ
Στο τέλος κάθε εταιρικής χρήσης το Διοικητικό Συμβούλιο κλείνει τους λογαριασμούς (ετήσιες οικονομικές καταστάσεις) και την ετήσια έκθεση σύμφωνα με τις διατάξεις των άρθρων 26 παρ. 2,27,36 παρ.1, 36α, 42α, 42β, 42γ, 42δ, 42ε, 43, 43α, 43β, 132 και 133 του Νόμου περί Εταιρειών. Οι ετήσιες οικονομικές καταστάσεις δέον να εμφανίζουν με απόλυτη σαφήνεια την πραγματική εικόνα της δομής των περιουσιακών στοιχείων, την οικονομική θέση και τα αποτελέσματα του οικονομικού έτους της εταιρείας.
2. Για την απόφαση όσον αφορά στις ετήσιες οικονομικές καταστάσεις όπως έχουν εγκριθεί από το Συμβούλιο για να εκδιθούν εγκύρως, οι ετήσιες οικονομικές καταστάσεις πρέπει να φέρουν τις υπογραφές των:
α)του Προέδρου του Διοικητικού Συμβουλίου ή του αναπληρωτή του/της
β)του Διευθύνοντος Συμβούλου, ή στην περίπτωση μη ύπαρξης του, από ένα μέλος του Διοικητικού Συμβουλίου, που έχει οριστεί από αυτό και
γ)του Διευθυντή Λογιστηρίου.
Σε περίπτωση που τα μέλη διαφωνούν για τη νομιμότητα της μεθόδου προετοιμασίας των ετήσιων οικονομικών καταστάσεων, υποβάλλουν τις αντιρρήσεις τους εγγράφως.
3. Η ετήσια έκθεση διαχείρισης του Διοικητικού Συμβουλίου που σχετίζεται με την τακτική Γενική Συνέλευση, οφείλει να παραθέτει μία διαφανή και πραγματική εικόνα της προόδου της επιχειρηματικής και οικονομικής θέσης της εταιρείας, αλλά και την προβλεπόμενη εξέλιξη της εταιρείας και τις δραστηριότητες της στο χώρο της έρευνας και ανάπτυξης, όπως ορίζονται στην παράγραφο 3, εδάφιο β του άρθρου 43α του Νόμου περί Εταιρειών, όπως έχει τροποποιηθεί. Επιπροσθέτως, η εν λόγω αναφορά δέον να αναφέρει και κάθε άλλο σημαντικό γεγονός που συνέβη την περίοδο ανάμεσα στο τέλος του οικονομικού έτους μέχρι την ημέρα της υποβολής της έκθεσης.
4. Οι οικονομικές καταστάσεις υπόκεινται σε διατυπώσεις της δημοσιεύσεως της παραγράφου 1 και 5 του άρθρου 43β του Νόμου περί Εταιρειών, όσον αφορά στη μορφή και στο περιεχόμενο τους, με βάση το οποίο έχουν συντάξει στην έκθεση ελέγχου ο ελεγκτής ή οι ελεγκτές της εταιρείας. Σε περίπτωση που οι οικονομικοί ελεγκτές έχουν οποιεσδήποτε ή αρνηθούν να γνωμοδοτήσουν, το γεγονός αυτό θα πρέπει να επισημαίνεται και να αιτιολογείται στις δημοσιευμένες οικονομικές καταστάσεις, εκτός αν έχει ήδη επισημανθεί στο αντίστοιχο πιστοποιητικό ελέγχου.
5. Αντίγραφα των οικονομικών καταστάσεων με σχετικές εκθέσεις του Διοικητικού Συμβουλίου και των οικονομικών ελεγκτών υποβάλλονται από το την εταιρεία στην αρμόδια εποπτική αρχή τουλάχιστον είκοσι (20) ημέρες πριν τη Γενική Συνέλευση.

Όταν προβλέπεται ο έλεγχος από ορκωτούς ελεγκτές- λογιστές, ο ισολογισμός της εταιρείας, ο «λογαριασμός αποτελέσματος χρήσεως» και ο «πίνακας διαθέσεως αποτελεσμάτων», μαζί με το πιστοποιητικό σχετικού ελέγχου, η κατάσταση μεταβολών των ίδιων των κεφαλαίων και η κατάσταση ταμειακών ροών, όταν εκπονηθούν, σύμφωνα με τις διατάξεις της παραγράφου 1 του άρθρου 42α του Νόμου περί εταιρειών, δημοσιεύονται όπως καθορίζεται στην παράγραφο 7, ως εξής.
7. Το Διοικητικό Συμβούλιο της Εταιρείας οφείλει να δημοσιεύει τα έγγραφα της προηγούμενης παρ.6 στο σύνολο τους είκοσι (20) τουλάχιστον πλήρεις ημέρες πριν από τη συνεδρίαση της Γενικής Συνέλευσης στις εφημερίδες και δημοσιεύσεις που ορίζονται στην παράγραφο 2 του άρθρου 26 του Νόμου περί εταιρειών.
8. Εντός είκοσι (20) ημερών από την έγκριση των οικονομικών καταστάσεων από τη Γενική Συνέλευση μαζί με το επικυρωμένο αντίγραφο των πρακτικών της που προβλέπεται από την παράγραφο 2 του άρθρου 26α του Νόμου περί Εταιρειών, όπως ισχύει, υποβάλλεται στην αρμόδια εποπτεύουσα αρχή και αντίτυπο των εγκεκριμένων οικονομικών καταστάσεων.
ΑΡΘΡΟ 31
ΔΙΑΘΕΣΗ ΚΕΡΔΩΝ
1. Με την επιφύλαξη των διατάξεων του άρθρου 44α του Νόμου περί εταιρειών, η διάθεση των καθαρών κερδών της εταιρείας απορρέει από τις ακαθάριστες αποδοχές μετά τη μείωση όλων των εξόδων, ζημίων, νόμιμων αποσβέσεων και άλλων εταιρικών υποχρεώσεων, γίνεται με τον εξής τρόπο:
α) Προηγείται η διάθεση του ποσοστού για τη δημιουργία του τακτικού αποθεματικού, όπως ορίζει ο νόμος, δηλαδή για το σκοπό αυτό παρακρατείται τουλάχιστον το ένα εικοστό (1/20) των καθαρών κερδών. Σύμφωνα με το νόμο, μετά το σχηματισμό του ποσού αυτού, η αφαίρεση αυτή παύει να είναι υποχρεωτική όταν αυτό φτάσει σε ποσό ίσο τουλάχιστον με το ένα τρίτο (1/3) του εταιρικού κεφαλαίου.
β) Ακολουθεί η διάθεση του ποσού που απαιτείται για την καταβολή του πρώτου μερίσματος σύμφωνα με το άρθρο 3 του Νόμου περί έκτακτης ανάγκης 148/1967.
γ) Η Γενική Συνέλευση διαθέτει ελεύθερα το υπόλοιπο ποσό.
2. Τα προς διαθεση καθαρά κέρδη καταβάλλονται στους μετόχους εντός δύο (2) μηνών από την απόφαση της τακτικής Γενικής Συνέλευσης που ενέκρινε τις ετήσιες οικονομικές καταστάσεις.
ΚΕΦΑΛΑΙΟ Η
ΔΙΑΛΥΣΗ - ΕΚΚΑΘΑΡΙΣΗ
ΑΡΘΡΟ 32
ΛΟΓΟΙ ΛΥΣΗΣ ΤΗΣ ΕΤΑΙΡΕΙΑΣ
1) Η εταιρεία λύεται:
α) με την πάροδο του χρόνου της διάρκειας της όπως προβλέπεται στο παρόν, εκτός εάν η Γενική Συνέλευση αποφασίσει να παρατείνει τη διάρκεια της.
β) με απόφαση της Γενικής Συνέλευσης που λαμβάνεται κατά τις διατάξεις του άρθρου 14 του παρόντος καταστατικού.
γ) όταν κηρυχθεί η εταιρεία σε κατάσταση πτώχευσης
δ) με δικαστική απόφαση σύμφωνα με τα άρθρα 48 και 48α του Νόμου περί εταιρειών.
Με εξαίρεση την περίπτωση της πτώχευσης, η λύση της εταιρείας ακολουθείται από εκκαθάριση. Σε περίπτωση που ο λόγος διάλυσης είναι η λήξη της διάρκειας της εταιρείας, το Διοικητικό Συμβούλιο εκτελεί χρέη εκκαθαριστή, μέχρι να διοριστεί εκκαθαριστής από τη Γενική Συνέλευση. Σε τέτοια περίπτωση που η λύση της εταιρείας είναι αποτέλεσμα της Γενικής Συνέλευσης, ο εκκαθαριστής ορίζεται με την ίδια απόφαση που αποφασίζει την εκκαθάριση. Εάν η λύση της εταιρείας οφείλεται σε δικαστική απόφαση, ο εκκαθαριστής ορίζεται από το δικαστήριο με βάση τη δικαστική απόφαση που ορίζει τη λύση της εταιρείας.
2. Η συγκέντρωση όλων των μετοχών σε ένα πρόσωπο δεν αποτελεί λόγο για τη λύση της εταιρείας.
3. Σε περίπτωση που το σύνολο των ιδίων κεφαλαίων της εταιρείας (όπως ορίζεται στο υπόδειγμα του ισολογισμού που προβλέπεται από το άρθρο 42γ του Νόμου περί εταιρειών) γίνει κατώτερο από το μισό (1/2) του μετοχικού κεφαλαίου, η Γενική Συνέλευση συγκαλεί γενική συνέλευση μέσα σε προθεσμία έξι (6) μηνών από τη λήξη του οικονομικού έτους. Στη συνάντηση αποφασίζεται η λύση της εταιρείας ή η υιοθέτηση άλλου μέτρου.
ΑΡΘΡΟ 33
ΕΚΚΑΘΑΡΙΣΗ
1. Με εξαίρεση την περίπτωση της πτώχευσης, τη λύση της εταιρείας ακολουθεί η εκκαθάριση της. Στην περίπτωση της παραγράφου 1α του άρθρου 31 του παρόντος, το Διοικητικό Συμβούλιο εκτελεί χρέη εκκαθαριστή μέχρι να διοριστούν εκκαθαριστές από τη Γενική Συνέλευση. Στην περίπτωση του εδαφίου β του ίδιου άρθρου, η Γενική Συνέλευση με την ίδια απόφαση ορίζει και τους εκκαθαριστές. Οι εκκαθαριστές είναι δύο, μέτοχοι ή μη, και ασκούν όλες τις συναφείς με τη διαδικασία και το σκοπό της εκκαθάρισης αρμοδιότητες του Διοικητικού Συμβουλίου, όπως αυτές έχουν τυχόν περιοριστεί από τη Γενική Συνέλευση, με τις αποφάσεις της οποίας έχουν την υποχρέωση να συμμορφώνονται.
2. Με την ανάληψη των καθηκόντων τους, οι εκκαθαριστές που ορίζονται από τη Γενική Συνέλευση, οφείλουν να κάνουν απογραφή της εταιρικής περιουσίας και να δημοσιεύουν στον τύπο και στο τεύχος των Ανωνύμων Εταιρειών ισολογισμό, αντίγραφο του οποίου υποβάλλεται στην αρμόδια εποπτεύουσα αρχή.
3. Την ίδια υποχρέωση έχουν οι εκκαθαριστές και κατά την ολοκλήρωση της εκκαθάρισης.
4. . Η Γενική Συνέλευση διατηρεί όλα τα δικαιώματα της κατά τη διάρκεια της εκκαθάρισης.
5. Οι εκκαθαριστές πρέπει να περατώσουν τις εκκρεμείς υποθέσεις της εταιρείας, να μετατρέψουν την εταιρική περιουσία σε χρήμα, να εξοφλήσουν τα χρέη της και να εισπράξουν τις απαιτήσεις της. Μπορούν δε να ενεργήσουν και περαιτέρω, εφόσον εξυπηρετούν την εκκαθάριση και το συμφέρον της εταιρείας.
Οι εκκαθαριστές μπορούν επίσης να εκποιήσουν τα ακίνητα της εταιρείας, την εταιρική επιχείρηση στο σύνολο της ή μεμονωμένα στοιχεία της μετά την πάροδο τεσσάρων (4) μηνών από τη λύση της. Εντός της εν λόγω προθεσμίας των τεσσάρων (4) μηνών από τη λύση της εταιρείας κάθε μέτοχος ή δανειστής μπορεί να ζητήσει από το Μονομελές Πρωτοδικείο της έδρας της εταιρείας, το οποίο δικάζει κατά το δυνάμει άρθρο 739 ΕΠ του κώδικα πολιτικής δικονομίας, να καθορίσει την κατώτερη τιμή πώλησης των ακινήτων, κλάδων ή τμημάτων ή του συνόλου της εταιρείας. Η σχετική δικαστική απόφαση δεσμεύει τους εκκαθαριστές και δεν υπόκειται σε τακτικά ή έκτακτα ένδικα μέσα.
6. Οι ετήσιες οικονομικές καταστάσεις καθώς και οι οικονομικές καταστάσεις πέρατος της εκκαθάρισης υπόκειντο στην έγκριση της Γενικής Συνέλευσης. Κατ’ έτος τα αποτελέσματα της εκκαθάρισης υποβάλλονται στη Γενική Συνέλευση με έκθεση των αιτίων τα οποία παρεμπόδισαν το τέλος της εκκαθάρισης.
Μετά το πέρας της εκκαθάρισης, οι εκκαθαριστές καταρτίζουν τις τελικές οικονομικές καταστάσεις, τις οποίες δημοσιεύουν σύμφωνα με την παράγραφο 5 του άρθρου 43β του Νόμου περί εταιρειών, αποδίδουν τις εισφορές των μετόχων και διανέμουν το υπόλοιπο προϊόν της εκκαθάρισης της εταιρικής περιουσίας στους μετόχους, κατά το λόγο της συμμετοχής τους στο καταβεβλημένο μετοχικό κεφάλαιο.
7. Σε περίπτωση που η διαδικασία εκκαθάρισηςυπερβεί την πενταετία, ο εκκαθαριστής συγκαλεί τη Γενική Συνέλευση και υποβάλλει σχέδιο για έγκριση για περάτωση της ολοκλήρωσης της. Το σχέδιο εμπεριέχει μία έκθεση για το έργο της εκκαθάρισης που έχει γίνει μέχρι τότε, τους λόγους καθυστέρησης και προτεινόμενα μέτρα για την ταχεία περάτωση της ολοκλήρωσης της εκκαθάρισης. Τα προτεινόμενα μέτρα ενδέχεται να περιλαμβάνουν παραίτηση των εταιρικών δικαιωμάτων, ένδικα μέσα και δικαστικές αιτήσεις, εάν θεωρούνται ασύμφορες έναντι των αναμενομένων οφελών ή αβέβαιου αποτελέσματος ή χρονοβόρες. Το σχέδιο μπορεί επίσης να περιλαμβάνει διακανονισμό, επαναδιαπραγμάτευση, τερματισμό συμβολαίων ή σύναψη νέων. Η απόφαση της Γενικής Συνέλευσης για τέτοιο σχέδιο υπόκεινται στην απαρτία και πλειονότητα των διατάξεων των παραγράφων 3 και 4 του άρθρου 29 και της παραγράφου 2 του άρθρου 31 του Νόμου περί εταιρειών.
Σε περίπτωση έγκρισης του σχεδίου, ο εκκαθαριστής ολοκληρώνει τη διαχείριση της εκκαθαριστικής διαδικασίας, σύμφωνα με τα προβλεπόμενα στο σχέδιο. Σε αντίθετη περίπτωση, ο εκκαθαριστής ή οι μέτοχοι δύνανται να απαιτήσουν από το Μονομελές Πρωτοδικείο του τόπου της εταιρείας την έγκριση του σχεδίου με την κατάθεση στο εν λόγω δικαστήριο μίας αίτησης ακρόασης εκούσιας δικαιοδοσίας. Το δικαστήριο ενδέχεται να εισάγει ρυθμίσεις στα μέτρα που περιλαμβάνονται στο σχέδιο, αλλά όχι νέα μέτρα εκτός των ήδη υπαρχόντων. Ο εκκαθαριστής δεν είναι υπεύθυνος για την εφαρμογή του σχεδίου που έχει εγκριθεί ανωτέρω.
8. Ο διορισμός των εκκαθαριστών συνεπάγεται αυτοδικαίως την παύση της εξουσίας του Διοικητικού Συμβουλίου. Όσον αφορά στους εκκαθαριστές, εφαρμόζονται αναλόγως οι διατάξεις για το Διοικητικό Συμβούλιο. Οι συζητήσεις και αποφάσεις των εκκαθαριστών καταχωρούνται περιληπτικά στο βιβλίο πρακτικών του Διοικητικού Συμβουλίου.
ΑΡΘΡΟ 39
Εξουσιοδότηση
Οι συμβαλλόμενοι δίνουν ανέκκλητη ειδική εντολή και πληρεξουσιότητα στους ΠΚ, του Γ., δικηγόρο, κάτοχο ΑΔΤ με αριθμό..του ΤΑ, με αριθμό μητρώου ΔΣΑ ....
...................
Όπως ενεργώντας από κοινού ή μεμονωμένα, να υποβάλλουν το καταστατικό αυτό για έγκριση στην αρμόδια Νομαρχία και να εκπροσωπούν στην αρχή αυτή, καθώς και να καταρτίσουν και να υπογράψουν ως εκπρόσωποι τους συμβολαιογραφικό έγγραφο με το οποίο να αναπληρώνονται παραλείψεις ή να διορθώνονται παραδρομές, καθώς επίσης να συμπληρώνονται ή τροποποιούνται οι διατάξεις του καταστατικού ελεύθερα κατά την κρίση τους, υπό τον όρο ότι η συμμετοχή του κάθε μετόχου στο εταιρικό κεφάλαιο παραμένει ως έχει/δε θα μεταβάλλεται. Επιπλέον είναι εξουσιοδοτημένοι να ορίζουν αναπληρωτές με πληρεξούσιο.
Βάσει των εκτιμήσεων των συμβαλλόμενων μερών, τα έξοδα για τη σύσταση της εταιρείας ανέρχονται στο ποσό των περίπου (3.000) ευρώ.
Το παρόν συντάχθηκε βάσει σχεδίου της δικηγόρου Αθηνών, ΡΚ,ΧΧΧΧ, στην Αθήνα.
Τα δικαιώματα του δικηγόρου που προκύπτουν από το παρόν, βασιζόμενο στο ανωτέρω προσχέδιο έχει εγκριθεί νομίμως από...και είναι προσαρτημένο στο παρόν και έχει υποβληθεί στο ταμείο του ΔΣΑ, όπως προκύπτει από το διπλότυπο γραμμάτειο είσπραξης, που έχει συναφθεί στο παρόν.
Σε βεβαίωση των παραπάνω, η πράξη αυτή συντάχθηκε για τέλη και δικαιώματα για τα οποία εισπράχθηκαν συνολικά ..... εκ των οποίων α) τα έξοδα αντιγράφων και δικαιωμάτων καθαρής αξίας ...... και β) υπέρ του ταμείου νομικών και Ελληνικού Συλλόγου συμβολαιογραφικού και λοιπά τέλη....
Το παρόν αναγνώστηκε καθαρά και μεγαλόφωνα για τους εμφανισθέντες, οι οποίοι βεβαίωσαν και υπέγραψαν το περιεχόμενο, όπως κι εγώ, ο συμβολαιογράφος μέλος...υπέγραψα το αρχείο όπως ορίζει ο νόμος.
