Source text - English 1 Ground for delay in delivery
The delivery time agreed upon shall apply with the usual reservation with regards to force majeure duly proven to the Sellers. It shall be considered force majeure if delivery is prevented or delayed owing to circumstances which the Sellers could neither reasonably have foreseen nor prevented. Provided that meet with the requirements.of the preceding paragraph of this Article fhe following circumstances, given as examples only, affecting directly and/or materially the building of the Vessel are considered as force majeure; such unaccountable events affecting Poland as war, war like conditions, general mobilisation, import bans, civil commotions, strikes but not local strikes in XXX, natural catastrophes, epidemics, floods, exceptional bad weather conditions, fire and defects in major forgings/castings/manufacturing fault which in spite of Sellers’ inspection could not reasonably be discovered and delays in the delivery of the parts, material, auxiliary substances or the contribution of Sellers main subcontractors, but in that case only if resulting from circumstances which the subcontractor could neither reasonably have foreseen nor prevented.
2. Guarantee
The Sellers guarantee the Vessel and all parts and equipment of the Vessel, manufactured or furnished or supplied by the Sellers and/or their subcontractors and/or suppliers hereunder for the first 12 (twelve) month period from the date the Vessel has been delivered, against all defects which are due to defective materials, poor workmanship or faulty design and are not the result of bad maintenance or improper handling of the whole Vessel as well as of its particular parts
Translation - Polish 1. Uzasadnienie opóźnień w dostawie
Uzgodniony termin dostawy jest obowiązujący z zastrzeżeniem wystąpienia siły wyższej, z należycie dowiedzionej przez Sprzedającego. Siła wyższa występuje gdy przekazanie kontenerowca jest niemożliwe lub opóźnione z powodu wystąpienia okoliczności, których Sprzedający nie był w stanie przewidzieć oraz im zapobiec. Pod warunkiem, że spełniono opisane w paragrafach opisanych powyżej, następujące okoliczności, będące jedynie przykładami, które w sposób bezpośredni lub istotny dotyczą budowy kontenerowca, uznawane są za siłę wyższą: nieprzewidziane wydarzenia mające wpływ na Polskę, takie jak wojna, działania bojowe, powszechna mobilizacja, zakaz importu, zamieszki, strajki, poza strajkami lokalnymi w XXX, katastrofy naturalne, epidemie, powodzie, wyjątkowo złe warunki pogodowe, pożary, wady w głównych odkuwkach/ odlewach/ wady produkcyjne, które pomimo kontroli Sprzedającego nie zostały odpowiednio wykryte, a także opóźnienia w dostawie części, materiału, substancji pomocniczych oraz opóźnienia ze strony głównych podwykonawców Sprzedającego, niemniej jedynie w przypadku wystąpienia okoliczności, których podwykonawca nie mógł odpowiednio przewidzieć oraz im zapobiec.
2. Gwarancja
Gwarancja Sprzedawcy na kontenerowiec oraz wszystkie jego elementy i wyposażenie, wyprodukowany, wyposażony lub dostarczony na podstawie niniejszej Umowy przez Sprzedawcę lub jego podwykonawców lub dostawców obowiązuje przez okres pierwszych 12 (dwunastu) miesięcy od daty przekazania kontenerowca i obejmuje wszelkie wady spowodowane wadliwymi materiałami, niską jakością wykonania, czy wadliwym projektem, niemniej jednak nie obejmuje wad wynikających z niewłaściwej konserwacji lub obsługi całego kontenerowca, a także jego poszczególnych elementów.
