5. ГАРАНТИЙНЫЕ ОБЯЗАТЕЛЬСТВА ПОСТАВЩИКА
5.1.Продавец гарантирует соответствие Товара по качеству требованиям настоящего договора при соблюдении Покупателем условий хранения, использования и обслуживания Товара в течение гарантийного срока. Гарантийный срок: 24 месяца с даты поставки.
5.2.Гарантия качества Товара распространяется на все составляющее его части (комплектующие изделия).

3.2. The delivery of the consignment of Goods is effected according to the requisites stated in the specification, which form an integral part of this contract.
3.3. In case of violation of Goods delivery time specified in clause 3.1, the Parties either prolong the transfer time, or Vendor within 10 days refunds the deposited money to the Customer.
4. SPECIAL TERMS
4.1. Maintenance and post-warranty repair of the delivered Goods are carried out by Vendor under Supplementary Agreement.
4.2. Neither party shall be liable to the other for the non-fulfilment of its liabilities due to force-majeure circumstances.
5. VENDOR WARRANTY
5.1.Vendor warrants that Goods quality meets the requirements of this contract provided that Customer observes the conditions concerning Goods storage, usage, and servicing within the length of warranty. Warranty period: 24 months from the date of delivery.
5.2. Goods quality assurance applies to all of its components (complementary parts).
5.3. Vendor's responsibility under this warranty is limited by the repair or replacement (at the discretion of Vendor) of the Goods that are determined by Vendor as goods with defects in material or workmanship
5.4. Should Customer violate the terms and conditions of Goods storage, usage, and servicing Vendor shall not bear any responsibility for possible failure of both the component part and the Goods taken as a whole.
6. SETTLEMENT OF DISPUTES
6.1. All disputes arising between parties out of or in connection with this Contract shall be finally settled by means of negotiations.
6.2. In case of a failure to settle the dispute by means of negotiations, such disputes shall be subject to consideration by the Arbitration Court at the place of residence of the complainant party in accord with the current legislation of RF.
7. PROCEDURE FOR THE INTRODUCTION OF AMENDMENTS AND CONTRACT DURATION
7.1. Any amendments and alterations to this Contract shall be valid only if they are made in written form and duly signed by both parties.
7.2. Early termination of Contract may take place upon mutual agreement of the parties or on the grounds provided by the provisions of civil legislation currently in force in the territory of Russian Federation, with the subsequent compensatory damages.
7.3. This Contract shall enter into force upon signing by the authorized representatives of the parties, and shall remain in force till ____.

The following list identifies the main potential risks associated with investing in the Company generally and the part titled “Risk Factors” in the respective Offering Supplement for each Fund lists and identifies the main potential risks associated with investing in the respective Fund to which such Offering Supplement relates, and prospective Investors should consider them carefully prior to investing. Such lists are merely indicative of the risks involved and are not intended to be all-inclusive. Prospective Investors are advised to make their own independent evaluation of all investment factors and to consult their own financial advisors prior to investing in the Company or in any Fund.
A PIF is a non-retail scheme and, accordingly, the protection generally afforded as a result of the investment and borrowing restrictions and other conditions related to retail schemes imposed by the MFSA, do not apply thereto. As a result, the degree of risk to which PIFs and their investors may be exposed renders them unsuitable for members of the general public. Accordingly, investment in the Company and in any of its Funds is only available to Extraordinary Investors. In the event of the Company’s or any Fund’s failure, Investors are not protected by any statutory compensation arrangements.

Technological solutions will be essential drivers in the transition towards a green economy. Environmentally sound technologies include a variety of cleaner production process and pollution prevention technologies as well as end-of-pipe and monitoring technologies. Moreover, they cover total systems including know-how, procedures, goods and services and equipment as well as organizational and managerial procedures. Technology transfer therefore includes soft technologies, such as the knowledge, systems and management approaches that can be employed by developing societies in making the transition to the Green Economy. This highlights the need for engagement of business, training and educational institutions such as business schools.
Technology solutions do not only originate from abroad. Some green technologies already exist in developing countries at affordable prices. The use of such technologies is not yet widespread largely due to the lack of information, education, financing, and technical support. Many groups have been active in providing support, training and capacity-building for the diffusion of such technologies in developing countries. Their efforts should be scaled up with the support of both domestic and external resources and enhanced international cooperation, from both the private and public sectors. Part of the “vulnerability funds” proposed by the World Bank, for example, could be allocated for such purposes. Indigenous knowledge is also a source of simple but effective and low-cost green technologies. An example is the Turfan water system - Karez – a traditional low-cost technology for conserving water in arid and semi-arid areas. Such indigenous know-how should be identified and widely disseminated.

8.1.Товар должен быть поставлен ДИСТРИБЬЮТОРУ со всеми принадлежностями и документами, в соответствии с комплектностью, указанной в паспорте на Товар.
8.2.Качество поставляемого Товара, включая упаковку, должно быть надлежащим для использования Товара по назначению и соответствовать действующим на данный вид продукции требованиям (Директива 93/42 ЕЕС Приложение VI раздел 3):
8.2.1.Товар должен быть упакован в тару, отвечающую требованиям CE и обеспечивающую, при условии надлежащего обращения с товаром, его сохранность во время транспортировки с учетом перевалок, а также предохранение товара от атмосферного воздействия.
8.2.2.Если товар передается без необходимой тары либо в ненадлежащей таре, ДИСТРИБЬЮТОР вправе потребовать от ПОСТАВЩИКА заменить ненадлежащую тару.
8.2.3.При поставке допускаются помятость, загрязнение, потертость и иные дефекты групповой упаковки, не влияющие на сохранность и качество как индивидуальной упаковки, так и самого продукта.
8.3.ПОСТАВЩИК подтверждает, что имеет всю разрешительную документацию (лицензию, регистрационное удостоверение, сертификат соответствия и т.д.), необходимую для производства Товара.
8.4.ПОСТАВЩИК гарантирует, что при производстве Товара не были нарушены права каких-либо третьих лиц, и соблюдалось действующее законодательство Российской Федерации.
8.5.ПОСТАВЩИК гарантирует, что в течение 24 месяцев, начиная с даты его отгрузки, Товар не будет иметь никаких дефектов в том, что касается сырья и работы, и будет отвечать всем техническим характеристикам, которые изложены в паспорте на Товар, при условии, что с этим Товаром правильно обращались и никаким образом не изменяли и не ремонтировали, за исключением тех случаев, на которые дал свое согласие ПОСТАВЩИК.
8.6.ПОСТАВЩИК обязуется бесплатно отремонтировать или заменить, по своему выбору, Товар с недостатками в течение гарантийного периода. Расходы по доставке товара до места ремонта или замены и обратно возлагаются на ДИСТРИБЬЮТОРА.
8.7.Гарантийный срок продлевается на время нахождения Товара в ремонте.
8.8.ДИСТРИБЬЮТОР не уполномочен предоставлять гарантии или обязательства от имени ПОСТАВЩИКА, которые бы противоречили вышеупомянутым условиям.
8.9.ДИСТРИБЬЮТОР обязуется освободить и обезопасить ПОСТАВЩИКА от любых потерь, издержек или затрат, вытекающих из любого нарушения ДИСТРИБЬЮТОРОМ вышеупомянутых условий.
8.10.Гарантия не предусматривает помощь со стороны технических экспертов ПОСТАВЩИКА.
8.11.Комплектующие, готовые изделия и запасные части, поставляемые по гарантии, отсылаются ДИСТРИБЬЮТОРУ за счет ДИСТРИБЬЮТОРА.
8.12.При нарушении потребителем условий хранения, использования и обслуживания Товара, ПОСТАВЩИК не несет ответственности за все возможные выходы из строя, как отдельных комплектующих изделий, так и всего Товара в целом.

8.1. Goods shall be delivered to DISTRIBUTOR with all accessories and documents in compliance with the completeness as specified in Goods certificate.
8.2. Quality of supplied Goods, including package, shall be appropriate for Goods' intended use and meet current requirements applicable for said type of product (Directive 93/42/EEC, Annex VI, section 3):
8.2.1. Goods' packaging shall meet the CE requirements that ensure its safety during transportation including transhipment as well as goods protection against the weather impact subject to goods proper handling.
8.2.2. Should the goods be handled over without required packaging or in improper packaging DISTRIBUTOR reserves the right to demand replacement of the improper package from SUPPLIER.
8.2.3. Upon delivery there are allowed such packaging defects as rumpling, soiling, and attrition along with other defects of multiple package that do not have an impact on safety and quality of both the individual package and the product.
8.3. SUPPLIER does hereby confirm that it has all authorizations (license, registration certificate, conformity certificate etc.) required for Goods production.
8.4. SUPPLIER guarantees that in Goods production no rights of any third parties had been violated and that Russian Federation current legislation was duly observed.
8.5. SUPPLIER warrants for a period of 24 months from the date of shipment that the Goods shall be free from defects in materials and workmanship and shall conform to all performance specifications as set forth in Goods' certificate, providing that such Product has been used correctly and has not been modified or altered in any way, except in the cases agreed with SUPPLIER.
8.6. SUPPLIER undertakes to repair or replace at its option any defective Goods within the warranty period free of charge. Expenses related to the Goods transportation to and from the place of repair or replacement shall be charged upon DISTRIBUTOR.
8.7. The warrantee period shall be extended for the time of Goods being under repair.
8.8. DISTRIBUTOR shall not be entitled to provide such guarantees or obligations on behalf of SUPPLIER that would contradict the above terms and conditions.
8.9. DISTRIBUTOR undertakes to exempt and indemnify SUPPLIER from any possible losses, expenses, or costs resulting from any violation of the above terms and conditions by DISTRIBUTOR.
8.10. Warranty shall not provide for the assistance by SUPPLIER technical experts.
8.11. Constituent parts, end products, and spare parts supplied under warranty shall be shipped to DISTRIBUTOR at DISTRIBUTOR's expense.
8.12. Should the customer violate the conditions of Goods storage, use and service, then SUPPLIER shall not incur any liability for possible failure of both Goods separate components or Goods taken as a whole.

9.1. За неисполнение или ненадлежащее исполнение обязательств по настоящему договору стороны несут ответственность в соответствии с законодательством Российской Федерации.

Проценты начисляются за каждый день просрочки, начиная со следующего за установленным днем уплаты текущего платежа. Проценты уплачиваются до или одновременно с уплатой сумм просроченного платежа.
9.5. В случае разглашения третьим лицам ДИСТРИБЬЮТОРОМ или его сотрудниками, выполняющими работу или оказывающими услуги, как по трудовым договорам, так и по гражданско-правовым договорам, а также привлеченные к выполнению работ или оказанию услуг без заключения договора, конфиденциальной информации, ДИСТРИБЬЮТОР обязан возместить ПОСТАВЩИКУ нанесенные в связи с этим убытки, уплатив штраф. Сумма штрафа определяется в зависимости от размера понесенного ущерба ПОСТАВЩИКОМ.
9.6. В случае просрочки поставки товара по вине ПОСТАВЩИКА ПОСТАВЩИК уплачивает ДИСТРИБЬЮТОРУ проценты в размере 0,013 % (тринадцать тысячных процента) от стоимости несвоевременно поставленного или не поставленного в срок товара за каждый день просрочки.
9.7. Уплата штрафных санкций не освобождает Стороны от выполнения обязательств в полном объеме.

9.1. For failure to fulfil or improper fulfilment of their obligations under this agreement the Parties incur liability pursuant Russian Federation Law.
9.2. The Party inflicting damages to the other Party due to failure to fulfil or improper fulfilment of its obligations under the agreement shall reimburse another Party for the incurred losses in full, including lost profit.
9.3. Should any of the Parties violate its obligations under present Agreement, including obligations with regards to nondisclosure of confidential information, the Party that had violated Agreement terms shall compensate another Party incurred losses, and shall also bear other responsibilities subject to RF legislation.
9.4. In case of delay in payments as set by this Agreement, DISTRIBUTOR shall pay SUPPLIER interest amounting to _% of the delayed payment sum per each day of delay.
Interest shall be charged for each day of delay from the day following the set payment date for the running payment.
Interest shall be paid prior or concurrently with the settlement of delayed amounts.
9.5. Should DISTRIBUTOR or its employees performing work or rendering services under both employment contracts and civil law contracts, as well as those engaged to work or services execution without labour contract disclose confidential information to third persons, DISTRIBUTOR shall reimburse SUPPLIER for losses incurred thereof by paying a penalty. The amount of penalty shall be determined taken into account the amount of incurred damage
9.6. In case of Goods late delivery through SUPPLIER fault SUPPLIER shall pay to DISTRIBUTOR interest amounting to 0.013% (thirteen thousandth percent) of the cost of untimely delivered or delayed goods per each day of delay.
9.7. Payment of penalties shall not release Parties from fulfilment of their obligations in full.

Translation - English 2. GENERAL CONDITIONS OF THE AGREEMENT
2.1. The Hotel furnishes the following enumeration of the basic services:
(a) hotel accommodation from ___to ___2009;
(b) hotel room cleaning – 2 (two) times a day;
(c) change of bed-clothes, towels, and accessories for everyday use – 1 (one time only) per day;
(d) attendance to group sessions in the exercise room;
(e) attendance to workout room;
(f) attendance to Finnish bath and Roman sweat-room;
(g) attendance to swimming pool, including group sessions;
(h) breakfast;
(i) television set with remote control and an access to the primary channels of satellite television;
(j) left luggage room;
(k) parking availability;
(l) wake-up call;
(m) availability of chaise lounge in solarium;
(n) free access to Wi-Hi.
2.2. The Hotel may also provide complementary services, which are not included in the list specified in the par. 2.1 of the Agreement. At that the Client (Clients Group) of the Customer may make use of such extra services under condition of payment in full at his/her own expense for those services to the Hotel.
2.3. Children under 2 (two) years of age are accommodated at the Hotel free of charge.
2.4. If the children under 12 years of age are lodging at the Hotel without any individual accommodation they are free from any payment. In case children at the age from 2 to 12 years are properly accommodated, then the corresponding payment amounts to 50% of double room price.
2.5. Children under 16 years of age are accommodated at the Hotel only in the company of their parents or adults or accompanying persons.
2.6. The settlement of accounts upon departure from the Hotel is carried out according to the uniform billing hour at 12.00 noon local time.
2.7. Client/Clients which depart from the Hotel after 12.00 up to 24.00 pay off to the Hotel 50% of the cost for 24-hours living at the hotel room.
2.8. Reception of Client/Clients at the Hotel is registered at 14.00 local time.
2.9. Upon reception at the Hotel within the time period from 7.00 to 14.00 local time the Client/Clients pay additionally to the Hotel 50% of the cost for 24-hours living at the hotel room.
2.10. Hotel accommodations and provision of hotel services are given to the Client on condition that he/she submits his/her passport or another identification document (passport of the citizen of Ukraine, foreign passport of the citizen of Ukraine, diplomatic passport or service passport; seaman identifying card; residence permit issued to a person residing in Ukraine without Ukrainian citizenship; alien's national passport or the substituting document, also a visa granting the right to stay in the Ukraine (except as otherwise provided by the bilateral agreements currently in force); birth certificate for minors under 16 years of age; driving license; as for the military servicemen – identifying card or military card; a certificate issued at the Client's place of work, and other documents, specified by current legislation of Ukraine).

While conducting Cerebral Magnetic Resonance Imaging there are hyperintensive in Т2 weighted images and tirm foci with misty outlines of 2-4 mm which can be traced periventricularly in both cerebral hemispheres. In the anterior cranial fossa along the medium line a space-occupying lesion with sharp outlines of 20x19x9 mm can be traced, said lesion is adjacent to plate of ethmoid bone with its wide base. Upon intravenous induction of 10 ml of magnevist, nonhomogenous intensive accumulation of imaging contrast is observed; at that a cystoid zone of 6x4 mm not accumulating contrast can be observed in the center. The formations along medium line are not displaced.
Cerebrum ventricula system is moderately dilated, not displaced. The width of lateral cerebral ventricles anterior horns: right ventricle – 8 mm, left – 8 mm III ventricle – 7 mm. IV ventricle is of standard sizes, not displaced. In frontotemporal-parietal parts subarachnoid convex liquor containing spaces are dilated up to 4-5 mm. Vermis sulcuses and cerebellar hemispheres are moderately deepened. Sylvius fissures are moderately dilated. Hypophysis is of normal form and sizes. Cerebrum cisterns are not deformed or displaced. Postcranial fossa formations are within the norm. In ethmoidal labyrinth and main sinus cells irregular mucous thickening is observed.
Conclusion decision: MR signs of space-occupying process in anterior cranial fossa (olfactive meningioma). Signs of subcortical foci in both cerebral hemispheres.

ПРОТОКОЛ ИССЛЕДОВАНИЯ №
При МР-исследовании головного мозга перивентрикулярно в обоих полушариях головного мозга прослеживаются гиперинтенсивные в Т2 ВИ и tirm очаги с нечеткими контурами, размерами 2-4 мм. В передней черепной ямке по средней линии определяется объемное образование с четкими контурами, размерами 20х19х9мм, широким основанием прилежит к пластинке решетчатой кости. После внутривенного введения 10 мл магневиста отмечается неоднородное интенсивное накопление контраста образованием, в центре прослеживается кистовидная зона размерами 6х4 мм, не накапливающая контраст. Образования средней линии не смещены.
Желудочковая система мозга умеренно расширена, не смещена. Ширина передних рогов боковых желудочков: правый - 8 мм, левый - 8 мм. III желудочек 7 мм. IV желудочек обычных размеров, не смещен. В лобно-височно-теменных отделах расширены подпаутинные конвекситальные ликворосодержащие пространства до 4-5 мм. Умеренно углублены борозды червя и полушарий мозжечка. Сильвиевы щели умеренно расширены. Гипофиз обычной формы и размеров. Цистерны мозга не деформированы, не смещены. Образования задней черепной ямки без особенностей.
В клетках решетчатого лабиринта и основной пазухе отмечается неравномерно утолщение слизистой.
Заключение: МР-признаки объемного образования передней черепной ямки (менингиома ольфакторной ямки). Признаки субкортикальных очагов в обоих полушариях головного мозга.
