Source text - Hebrew בחודש מרץ 2012 חתמה החברה עם בנק זר על הסכם הלוואה למימון תשלומי המקדמות בגין רכישת שני 737-900 , אשר נרכשו בחודש פברואר 2011 מיצרנית המטוסים ER המטוסים הראשונים מדגם בואינג "בואינג", בסך כולל של עד 46 מיליון דולר. ההלוואה הינה במטבע דולר, ונושאת ריבית בשיעור של ליבור בתוספת מרווח. תשלומי ריבית ההלוואה הינם תשלומים חצי שנתיים. הקרן תשולם עם קבלת ההלוואה לז"א בגין מימון עסקת הרכישה. תקופת המימון הינה עד לתאריך הקבוע בהסכם החדש להגעת שני המטוסים לחברה (במהלך הרבעון האחרון לשנת 2013 ). כבטוחה לפירעון ההלוואה, תסב החברה לבנק הזר את זכויותיה בשני המטוסים על פי ההסכם החדש. הסכם ההלוואה כולל התחייבות של הצדדים למימון עסקת תינתן Exim לעסקת הרכישה, אשר ע"פ הערכת Exim הרכישה של שני המטוסים (בתנאי שתתקבל ערבות עד ליום 21 במרץ 2013 ), אלא אם החליטה החברה על מימון באמצעות גורם אחר, וזאת בהתאם לתנאים שנקבעו בין החברה לבנק הזר. במהלך התקופה המדווחת התקבל סכום של כ - 26.4 מיליון דולר.
Translation - English In March 2012, the company entered into a loan agreement with a foreign bank in order to finance the advances paid for the acquisition of 2 of the first 737-900 RE Boeing airplanes that were acquired in February 2011 from Boeing. According to the agreement, the company will receive a credit line of USD 46 million. The loan is USD-denominated and carries and interest rate LIBOR plus a margin. The interest is paid in semi-annual installments. The principal will be repaid upon the receipt of the long-term loan for the acquisition of the airplanes. The loan period will end in the fourth quarter of 2013. As collateral, the company will pledge its ownership rights in the 2 airplanes in favor of the bank.

Translation - English The net financing income of the group for the first 9 months of 2012 totaled ILS 1,129 thousand, in comparison to net financing expenses of ILS 331 thousand in the corresponding period last year. In the third quarter of 2012, the net financing expenses totaled ILS 491 thousand, in comparison to net financing income of ILS 2,252 thousand in the corresponding period last year. The unusual financing income in the third quarter last year was derived mainly from a decrease of 8.7% of the ILS/USD exchange rate and 2.0% of the ILS/EUR exchange rate (in light of the fact that the company had a surplus of assets over liabilities that are linked to USD and EUR).

Translation - English During the first 9 months of 2012, the company had net financing income of ILS 21.8 million. The financing income was derived mainly from interest and dividends that were received and from CLO payments. The financing income was also derived from the increase in value of marketable securities plus an income from USD exchange rate differences derived from financial assets.
In the third quarter of 2012, the group had net financing income of ILS 8.2 million.
3. General and Administrative Expenses
General and administrative expenses during the first 9 months of 2012, totaled ILS 6.1 million. The increase in these expenses was derived mainly from expenses from issuance of options to employees and officers of the company, totaling ILS 759 thousand, as well as from a one-time expenses of a subsidiary from a donation, totaling ILS 585 thousand.
