Source text - Korean 미합중국 콜로라도주 롱먼트시 밀러드라이브 2021에 주소를 두고 있는 SONORA MEDICAL SYSTEM (이하 “SONORA”라 한다)과 경상북도 경주시 건천읍 신평리 71-6에 주소를 두고 있는 주식회사 (주)프로소닉 (이하 “(주)프로소닉”이라 한다)은 양사간의 이익실현 및 상호 신뢰증진을 위하여 다음 각 조항과 같이 포괄적 거래약정을 체결, 신의성실로써 제반 권리와 의무를 준수하기로 한다.
제 1 조 (서 문)
1. 본 계약은 SONORA및 (주)프로소닉 상호 가능한 많은 부분에서의 이해와 협력을 통한 공동이익을 목표로 한다.
2. SONORA는 프로브 수리, 여러 브랜드의 초음파 장비의 Refurbish 및 OEM 프로브 대체 프로브 공급을 한 경험과 기술, 그리고 정보를 (주)프로소닉에 전수함으로써 (주)프로소닉이 동일한 사업을 한국 및 상호 합의된 아시아 지역에서 영위할 수 있게 함이 목적이다.
3. 상기 목적을 달성할 수 있도록 SONORA는 구체적인 사업개시 컨설팅을 제공하며 관련기자재를 판매하고, 또한 필요한 인력을 교육시킴으로써 그 목적달성을 가능케 한다.
4. (주)프로소닉은 SONORA가 영업하는 시장에 판매할 수 있는 프로브용 부품 및 완제품을 공급할 수 있는 경우 최상의 품질과 조건으로 공급할 수 있도록 노력한다.
5. SONORA가 진출하는 신규사업(MRI 및 내시경 수리 등등)에도 (주)프로소닉이 참여할 수 있다.
제 2 조 (계약기간)
1. 본 계약은 계약발효일로부터 유효하며 본 계약에 의한 계약의 해제/해지가 발생하지 않는 한 5년간 유효하다.
2. 본 계약은 계약기간 만료일로부터 3개월 이전까지 당사자 일방의 서면에 의한 계약기간 연장불가 의사표시가 없는 한 매2년을 단위로 동일조건으로 자동연장 된다.
제 3 조 (정 의)
1. 프로브 : 초음파 영상진단장치에 쓰이는 센서부분을 통칭하는 것으로 Transducer와도 같은 의미이며, 반제품과 완제품의 구분은 있으나 모두 이 프로브 범주에 넣기로 한다.
2. 프로브 수리 : 전항에 명시된 프로브중 사용상의 부주의나 내구적 결함에 의해 발생하는 불량을 해소하고 이를 재사용할 수 있도록 조치함을 일컫는다.
3. 시스템 Refurbish : 초음파 영상진단장치가 일정기간 사용후 이를 보수 및 청결히 하여 그 기능을 일정부분 향상시키며 수명을 연장하거나 외관상의 이미지를 향상시키는 일체의 행위를 일컫는다.
4. 제공기술 : (주)프로소닉이 프로브 수리 및 소노라가 수행하는 의료기기 Refurbish에 관련하여 (주)프로소닉이 원만히 본 사업을 영위하는 데 필요하여 제공될 일체의 기술을 일컬으며 이를 ANNEX I에 명시하고 추가한다.
5. 계약적용지역 : 양당사자간 본 계약에 의거 합의된 사업내용을 영위할 지리적 범위를 일컫으며, Annex II 에 그 지역을 명시하고 상호 일방의 제의와 쌍방의 합의하에 추가 또는 수정할 수 있다.
6. 로열티 : (주)프로소닉이 본 계약서상에 언급되어 이전받을 소노라의 기술에 대한 기술료로서 이는 상호 합의한 방법에 의거 지불되며, 본 로열티의 지급이 정상적으로 이루어지지 않을 때, SONORA는 그에 따른 적절한 조치를 취할 수 있다.
제 4 조 (적용지역 및 최우선 혜택의 부여)
1. SONORA는 (주)프로소닉에 대하여 (주)프로소닉의 대한민국 및 아시아 국가에 대한 기술제휴 및 마케팅등 제반 사업에 대하여 독점적 지위를 보장하며, 중국 및 일본 시장은 공동으로 조사 및 연구하여 사업진출 파트너로서 최우선 혜택을 부여하기로 한다. 단, 인도, 중동국가, 호주는 예외로 한다.
2. (주)프로소닉은 SONORA에 대하여 SONORA의 미합중국에 대한 대체용 프로브 및 그 부품의 판매에 대하여 최우선 혜택을 부여하기로 한다.
3. SONORA는 ㈜프로소닉에 대하여 초음파영상진단장치 및 프로브의 수리 및 Refurbish에 필요한 부품, 관련 자재 및 제품 공급에 대하여 최우선 혜택을 부여한다.
4. ㈜프로소닉은 본 사업의 조기정착 및 활성화를 위해 SONORA의 상호와 홈페이지 내용을 사용하는 데 필요하다고 인정될 경우 사용할 수 있다.
제 5 조 (권리 및 의무)
1. SONORA는 본 계약에 특별한 정함이 없는 한, 초음파영상진단장치 및 프로브 수리를 위한 부품 또는 완제품 프로브를 필요할 시, 동일 조건하에서는 프로소닉을 우선 공급권을 부여한다.
2. (주)프로소닉은 본 계약에 의거 본 계약 이행에 필요하다고 판단되는 Repair 및 Refurbish용 설비, 수리금형 및 기자재등을 확보하여야 한다. 단, (주)프로소닉이 자체 보유하고 있거나 자체 조달 가능한 것은 예외로 한다. 또한 (주)프로소닉이 이 사업을 추진하기 위하여, SONORA로부터 상기 기자재를 확보할 필요가 있을 때, SONORA는 최호혜적인 가격으로 이들을 공급하여야 한다.
3. SONORA는 (주)프로소닉으로 부터 받는 일체의 부품, 완제품 및 서비스에 대해 미국내에서 최호혜조건을 받기로 한다. 단, 메디슨과 SIEMENS등 (주)프로소닉이 직접 거래하는 시스템 제조업체의 경우에는 예외가 될 수 도 있다.
4. (주)프로소닉은 적절하고 필요한 프로브 수리 기술을 확보하기 위해 필요한 엔지니어와 테크니션을 상호 합의된 교육장소와 기간에 충분히 교육받을 수 있어야 하고, SONORA는 이를 위해 필요한 교육을 완벽히 이수 할 수 있도록 모든 노력을 아끼지 않는다.
5. (주)프로소닉은 SONORA가 하고 있는 프로브 수리나 시스템 Refurbish사업능력과 동일한 서비스가 가능하도록 수리시설 및 설비를 갖추어야 한다. 계약 체결후 (주)프로소닉내의 사업장 내에 16주 이내로 본 계약 목적 수행을 위해 설비를 충분히 가동될 수 있도록 최선의 노력을 한다.
6. 양 당사자는 상호 어느 일방이 수리하거나 Refurbish한 프로브와 장비를 원할 시 가장 좋은 가격으로 구매할 수 있도록 한다.
7. (주)프로소닉은 SONORA가 향후 개발하는 모든 프로브 수리 능력 및 초음파영상진단장치, 또는 그 밖의 의료 장비 및 기자재의 수리능력을 (주)프로소닉이 요청하고 연계 시킬 수 있다.
8. (주)프로소닉은 SONORA에 의해 제공된 일체의 수리기술과 관련하여 상호 합의된 로열티를 지급하며, SONORA는 이를 합의된 방법과 시기에 지급 받을 의무가 있다.
9. 양 당사자는 본 계약서상에 명시되지 않은 사항들에 대해서는 일반 국제 상거래 관행에 준해 해석한다.
제 6 조 (로열티 지급)
1. SONORA는 직접적인 교육과 ISO 인증된 공정, 절차, 작업표준등 관련된 모든 활동을 포함한 본 계약목적과 관련된 노하우를 상호 합의된 적용지역 내에서는 (주)프로소닉에만 독점적으로 제공하며, (주)프로소닉은 이를 판매, 포기, 대여등을 제 3자에게 할 수 없다. 이러한 본 계약목적과 관련된 노하우 이전은 로열티의 형태로 지급되며, 분기별 정산 지급된다. (주)프로소닉의 경영권 변동시, 미지급된 로열티는 새로운 프로브 수리사업을 영위하는 자가 지급해야 하고 만약 승계된 조직이 이 사업을 하지 않을 경우 모든 지적 소유권은 SONORA로 반납되어야 한다. 로열티는 총 금액 미화 50만불(US$500,000) 한도에서 아래 2항과 같이 지불하기로 합의한다.
2. 상기 6조 1항에 명시된 로열티 지급방법은 프로브 수리수량으로 환산지급되며, 매 프로브 수리건당 미화100불씩 지불함으로 결정한다.
3. 로열티 지급은 매분기말에 마감하여 다음분기 첫달 말일까지 전신환 송금(T/T)을 하되 국외 수수료는 수취인 부담으로 한다.
4. 로열티 지급의 예외 : (주)프로소닉 및 UTL이 현재 제조 공급하고 있는 프로브는 프로브 수리와 관련해서 로열티 지급의무가 없다.
제 7 조 ((주)프로소닉의 제품공급)
1. (주)프로소닉은 (주)프로소닉이 메디슨과 SIEMENS용으로 제조하는 ARRAY 및 프로브의 구매를 SONORA가 가능케 하는데 동의한다.
2. 전항에도 불구하고, 이미 선 체결된 계약서에 의거 메디슨과 SIEMENS의 동의없이 판매 불가능한 품목들은 예외로 한다.
3. (주)프로소닉에서 SONORA에 공급하는 ARRAY나 완제품 프로브의 보증기간은 출고일로부터 1.5년으로 한다.
제 8 조 (비밀유지)
1. 본 계약은 양사의 기술, 노하우, 독자적인 공정, 가격, 그리고 다른 관
련된 정보들에 관해서는 비밀유지 의무를 지며, 이러한 비밀 유지 의무는 계약의 종료후 5년까지 유지되며 다음에 명시된 합당한 증거를 갖출 수 있는 정보를 제외하고는 기술 및 정보공여자가 제공한 어떠한 기밀정보를 사전 서면동의 없이 제3자에게 누출시켜서는 안되고 항상 비밀유지를 해야 한다.
(1) 일반의 영역에서 기술공여자에 의해 공개된 때,
(2) 기술공여자의 공개한 시점이후로 기술도입자의 실수 없이 일반화 될 때,
(3) 기술공여자가 공개했을 때가 직간접적으로 공여자에 의해 입수되지 않고 기술도입자의 소유였을 때, 혹은
(4) 기술공여자가 공개한 이후, 어떠한 비밀규제 없이 제3자에 의해 합법적으로 기술도입자가 제공받았을 때,
2. 기술 및 정보도입자는 공여자로부터 제공받은 비밀정보를 그 종업원, 하위 기술이전자, 하청계약자, 에이젼트, 디스트리뷰터와 공유할 수 있다. 이는 제품의 제조, 사용, 공급 및 판매의 포괄적 필요에 의했을 경우이며, 이러한 공유이전에 비밀정보가 공유되는 각각의 객체들과 본 8조 1항에 언급된 동일한 의무에 의해 구속되는 서면상 합의 하에 이루어진다는 전제 하에 가능하다.
3. 8조 전항의 조항들과 같이 기술도입자에 의해 기술공여자에게 제공되는 여타 기밀정보도 이에 준해서 적용되어야 한다.
제 9 조 (감 사)
SONORA는 이 계약서상의 권한에 의해 필요할 경우 로열티지급에 관련하여 (주)프로소닉의 장부 및 기록을 검사하고 감사하고 접근할 권한을 갖는다.
제 10 조 (관련규정준수)
(주)프로소닉은 본 계약하에 의무로서 (주)프로소닉이 역할 수행을 위해 필요한 일체의 관련기관으로부터의 허가와 승인을 받아야 하고 관련규정에 부합해야 한다. (주)프로소닉의 관련규정 위반으로 발생한 SONORA의 손해에 대해서 혹은 정부기관에 의해 행해진 어떠한 조사나 조치의 결과로서 발생한 손해에 대해서는 (주)프로소닉의 배상책임이 있다. (주)프로소닉은 ARS프로브의 제조나 혹은 제품의 서비스와 관련하여 일체의 규정상에 요구되는 것들을 SONORA에 통지하여야 한다. SONORA는 이러한 일체의 규정상의 준수에 필요한 기술적, 시장규범적 정보를 제공하여야 한다. 서비스와 관련하여 규정기관과의 커뮤니케이션은 SONORA에 의해 발행전에 검토되고 승인되어야 한다. 이러한 관련규정 및 정부승인이 계약 당사자들간 사인이 된 후 180일내 승인이 되지 않으면, 본 계약은 당사자간 별도로 합의하지 않는 한 무효화 된다.
제 11 조 (권리침해)
1. 본 계약의 당사자들은 어떠한 특허권의 침해, 침해의 통지예정에 대해 서로 통지해야 하며 그러한 침해를 어떻게 처리할 것인지를 서로 상의해야 한다.
2. 기술 및 정보 공여자는 침해자에 대해 적당한 조치를 취할 권리가 있으며, 자신의 비용으로 그렇게 할 것이다. 하지만 기술공여자가 침해한 측에 조치를 취하지 않을 경우 기술도입자는 자신의 비용과 이름으로 이러한 조치를 취할 수 있다. 기술침해에 대한 소송을 제기하지 않는 당사자는 이를 처리하는 당사자의 요청에 따라 서류를 작성하고, 역할을 수행하는 의지를 가지고 적절히 필요한 다른 일들을 해야 할 것이다. 일을 처리하는 당사자는 이러한 실행의 결과에 의해 얻게 되는 모든 손해에 대해 전적인 권한을 가지게 된다.
제 12 조 (비사용)
기술 및 정보공여자의 사전 서면승인 없이 기술 도입자는 제품의 수리, 생산, 사용 및 판매의 목적 외로 기술정보를 사용할 수 없다.
제 13 조 (보 증)
1. SONORA는 프로브 수리 및 초음파영상진단장치등의 Refurbish 노하우를 바탕으로 한 기술이기에 본 기술정보가 (주)프로소닉에게도 동일한 결과를 얻을 수 있다는 데 충분한 보증을 한다. 본 보증은 기술정보가 (주)프로소닉 측의 합당한 기술자에 의해 소노라가 제공한 지시사항 및 권고사항에 엄격히 따르고 적절한 장치를 사용하여 사용되어진다는 조건 하에 가능하다.
2. 13조1항의 조항에도 불구하고, SONORA는 (주)프로소닉에 의해 서비스된 제품의 품질 및 특성에 대해 어떠한 책임을 질 수 없으며, (주)프로소닉 측에 의해 서비스, 공급, 판매되는 제품에 대해서는 전적으로 (주)프로소닉 측의 위험과 가치가 될 것이다. (주)프로소닉은 단독계약자로 역할을 수행하되 필요에 의해 사전합의된 경우 공동계약자의 역할로 프로젝트 수행도 가능하다.
제 14 조 (계약종료)
1. 어느 당사자가 본 계약상의 조항, 조건, 혹은 계약내용의 실질적인 위반을
했을경우, 그리고 상대방으로부터 계약위반에 대한 서면통지를 받고 60일 이내에 그러한 위반을 교정하지 않을 경우에는 계약위반 당사자에게 계약종료의 서면통지를 함으로써 계약을 종료시킬 수 있다.
2. 아래와 같은 경우에는 계약 당사자 어느 일방이 상대방에게 서면통지에
의해 계약의 종료가 가능하다.
(1) 계약당사자 일방이 지급불능, 채권자의 이익을 위한 양도, 청산이나 부도에 처했을 경우, 양수자나 피신탁인이 있어 재산 및 업무의 관리자로 지정되었을 때, 혹은
(2) 합병, 인수, 정리 그 밖의 결과로 인해 상대방 회사의 소유권에 상당한 변화가 있을 경우, 혹은 제 3자, 회사, 기관, 단체가 상대방 회사의 관리권한을 취했을 때.
제 15 조 (양 도)
본 계약의 상대방에게 사전 서면 승인을 득하지 않고 어느 일방이 제3자에게 본 계약이나 그에 따라 발생하는 권한 및 의무의 일부 또는 전부를 양도 또는 이전이 불가능하며, 본 조항의 위반을 초래하는 어떠한 시도된 양도 또는 이전은 무효화 된다.
제 16 조 (불가항력)
지급의무를 제외하고, 본 계약의 이행이나 수행의무에 있어 어떠한 이유, 즉, 화재, 불의의 사고, 원자재, 전력, 기타 공공 공급재의 수급불능, 전쟁, 침략, 민란 혹은 폭동, 그 밖의 어떤 행위나 조건에 의해 방해되고, 제한되고, 간섭 받을 시, 그것이 계약 어느 일방의 합당한 조정의 한계를 벗어날 시에는 그 당사자는 상대방에게 즉각적인 통지를 해야 하고 그러한 방해, 제한 또는 간섭으로 인한 역할 수행을 면제 받을 수 있다. 물론 이러한 상황에 닥친 당사자는 이러한 계약이행불능 사유의 즉각적인 제거를 위해 모든 노력을 다하고 그러한 원인들이 제거되었을 때 모든 노력으로 계약이행 재개를 해야 한다. 이러한 방해, 제한 및 간섭이 180일을 초과했을 때 권한의 수행을 정지한 당사자에게 서면통지 한 후 적어도 30일 후에 본 계약을 종료 시킬 권한이 있다.
제 17 조 (권리 불포기)- NON WAVOUR
계약당사자 일방이 본 계약조항을 이행하는데 실패하더라도 이것이 후에 양 당사자 일방에 의한 계약조항의 위반에 대해 상대방이 계약이행을 요구하는 권리에 대해 영향을 끼치지 아니하며 이러한 조항의 권리포기가 될 수 없다.
제 18 조 (계약내용의 수정)
만약 본 계약이 조인된 후 어느 때라도 본 계약의 어느 조항이 양 당사자 국가의 법률 및 규정에 상충되는 부분이 있을 시, 관련된 당사자는 이를 즉시 상대방에 통지하고 본 계약이 법률적 합당한 수행이 가능하도록 그러한 충돌되는 부분을 양자 서면 합의에 의해 수정하여야 한다.
제 19 조 (언 어)
본 계약은 영문으로 작성된다. 본 계약이 한국어나 기타 언어로의 번역되더라도 본 계약의 해석에 어떠한 영향을 끼칠 수 없다.
제 20 조 (통 지)
본 계약에 의한 통지는 본 계약에서 다른 정함이 없는 한 아래 기재된 주소 및 담당자를 수신으로 한 등기우편, 인편에 의한 전달, 모사전송(fax), e-mail을 원칙으로 한다.

제 21 조 (분쟁의 해결)
1. 본 계약서에 명기되지 아니한 사항 및 합의의 해석상 이견이 있을 경우 상호합의에 의해 판단한다.
2. 본 계약서와 관련하여 발생하는 상호이해 및 합의로 해결되지 않는 분쟁은 미합중국 델웨어 주법에 근거하여 해석되고 준용된다.
제 22 조 (완전합의)
본 계약의 일부인 첨부 및 첨부를 포함한 본 계약서는 당사자 쌍방 간의 완전한 합의에 의해 체결되었으며, 본 계약서 각 조항은 본 계약체결 이전 쌍방간에 체결되었던 모든 계약 및 합의에 우선한다. 또한 본 계약체결 이후에 발생하는 어떠한 계약조항의 수정이나 권리포기도 쌍방간에 서면으로 작성되어 서명날인 되지 않는 한 쌍방에게 구속력을 갖지 않는다.
제 23 조 (발효요건)
본 계약은 양 당사자 쌍방의 대표이사/사장의 서명날인일로부터 그 적용이 된다.
제 24 조 (부 칙)
1. 본 계약의 내용은 당사자 쌍방의 서면합의에 의해 변경할 수 있다.
본 계약을 증명하기 위하여 계약서 2부를 작성하여 쌍방이 기명날인 후 SONORA MEDICAL SYSTEMS과 (주)프로소닉이 각각 1부 씩 보관한다.
Translation - English Product Distribution, technology & service Agreement
THIS AGREEMENT is entered into as of the 1st of December, 2003, stating the conditions and duties that shall be strictly enforced and followed, by and among SONORA MEDICAL SYSTEM (here after referred to as ¡°SONORA¡±) located at 2021 Miller Drive, Longmont, Colorado, USA and PROSONIC Co., LTD (here after referred to as ¡°PROSONIC¡±) located at 71-6 Sinpeung-ri, Geunchen-up, Kyungju-si, Kyungbuk, Korea, for the purpose of profit and trust maximization for both parties.
WHEREAS, The purpose of this agreement is to provide utility maximizing conditions for SONORA and PROSONIC, through cooperation and understanding of both parties.
WHEREAS, SONORA shall provide all the information, technology and expertise necessary for the repair of probes, including various brands of probes, and refurbishment of ultrasonic equipments to PROSONIC for the objective of carrying on above stated business functions in Korea and other previously agreed upon Asian regions.
WHEREAS, In order to achieve the business function stated above, SONORA shall provide business consulting services, supply necessary parts as well as train and educate necessary work force to achieve that goal.
WHEREAS, PROSONIC shall assist SONORA in providing optimal quality and condition of probe parts and finished products for their consequent market in the case of such event.
WHEREAS, PROSONIC, if they choose to, can participate in SONORA¡¯s new business function (MRI and Endoscope repair, etc.).
NOW THEREFORE, in consideration of the mutual covenants and promises herein contained, it is agreed as follows:
1. Duration of the Agreement
1-1. This agreement shall be effective starting the agreement date and shall be valid for 5 years unless cancellation or annulment of contract occurs.
1-2. Upon the expiration date of the contract term, this agreement shall automatically extend its terms and conditions for another 2 years unless a written consent of extension disapproval has been submitted, by either parties, 3 months prior to the contract expiration date.
2. Definitions
2-1. ¡°Probe¡± shall mean, the sensor part of ultrasonic wave image diagnosis system having the same meaning as a Transducer, although there exists a difference between semi-manufactured goods and fully-manufactured goods, but we shall embrace both of these in this definition.
2-2. ¡°Prove Repair¡± shall mean, the correction and optimization of problems caused by internal defect of previously stated probes for re-utilization of that product for its regular functions.
2-3. ¡°System Refurbish¡± shall mean, the act of cleansing and tuning of ultrasonic wave image diagnosis system for the extension of its regular life span and to optimize its external appearance for re utilization.
2-4. ¡°Provision Technique¡± shall mean, the all adequate techniques and know-hows necessary for PROSONIC to provide probe repair operations and medical devices refurbish operations, currently performed by SONORA, and this shall be stated and added in ANNEX I.
2-5. ¡°Contract Application Region¡± shall mean the geographical region agreed upon the states two parties to perform previously stated business functions, and this region shall be stated in ANNEX II, and furthermore additional area or changes in the described region can be made upon agreement by both parties.
3. Loyalty
3-1. PROSONIC shall pay a technical fee to SONOMA for receiving the above stated techniques, in the manner agreed by both parties, and if for any reasons, PROSONIC fails to submit such payment, SONORA has the rights to exercise necessary actions to resolve such problem.
4. Area of Application and Grant of First Priority Benefit
4-1. Under this agreement, SONORA shall guarantee PROSONIC in its monopolistic advantage in its niche operations, of which is being transferred, in Korea and other stated Asian regions, and Shall cooperatively research Chinese and Japanese market and provide PROSONIC first priority in entering such market as business partner. But, India, Middle-East and Australia regions are exempted from such conditions.
4-2. PROSONIC shall acknowledge that concerning the manufacture of transfer probes and its parts by SONORA in the United States of America, SONORA shall receive top benefits.
4-3. SONORA shall acknowledge that PROSONIC shall receive top benefits in receiving all the necessary materials, systems and parts necessary to carry on the operation of repairing and refurbishing ultrasound probes.
4-4. In the event of market expansion and/or any other act of business expansion taken by PROSONIC in the previously stated market, if such event occurs, SONORA shall acknowledge that PROSONIC can use SONORA¡¯s trade name and it¡¯s home-page at anytime as they see fit.
5. Rights and Duties
5-1. Unless otherwise stated, SONORA shall give full rights and priority to PROSONIC in providing all the necessary parts needed to repair and refurbish ultrasound devices and probes, or finished probes, if the same offer concerning similar transaction was ever made.
5-2. PROSONIC shall, in order to operate all the business functions stated by this agreement, obtain all the equipment and materials needed to repair and refurbish ultrasonic devices and probes, but with an exception of those that PROSONIC already has and/or those that they manufacture. Furthermore, if an event occurs where PROSONIC needs equipments and parts from SONORA to carry on such business functions, SONORA shall provide PROSONIC with those items for the lowest possible price.
5-3. SONORA shall receive the lowest possible price from PROSONIC in receiving parts, finished products and services in the United States of America. But, there can exist exceptions if they are system manufacture companies such as MADISON and SIEMENS, of which, PROSONIC already does business with.
5-4. SONORA shall put forth their best effort to provide PROSONIC with all the necessary education and training for the engineers and technicians to learn all the techniques necessary at specified location and time.
5-5. In order to provide the same technical services in repair and refurbishment of probes as SONORA does, PROSONIC must possess similar facilities and technology as SONORA. Both parties shall provide the most maximizing effort for PROSONIC to organize and run all necessary equipment within 16 weeks of this agreement to perform the purpose of this agreement.
5-6. Both parties shall provide each other with the best price if an event arises where one of the parties decides to purchase previously repaired or refurbished probes or equipment from one another.
5-7. SONORA shall acknowledge the rights of PROSONIC to request and obtain all the technology and techniques developed, in the future, to repair and refurbish probes and other medical devices including ultrasound image diagnosis system.
5-8. PROSONIC shall provide all the stated loyalty payments associated with the acquisition of all the repair and refurbish techniques to SONORA, and SONORA has the right to receive such payment in the manner and time agreed upon by both parties.
5-9. For all the matters not discussed and stated in this agreement, both parties agree to follow the rules and regulations of the international trade laws.
6. Loyalty Payment
6-1. SONORA shall only provide PROSONIC with all the direct education of techniques and know-how associated with the purpose of this agreement for the specified market, and PROSONIC can not sell, forfeit, or lend to any other third party. All the services provided by SONORA for the agreed upon know-how shall be compensated in the forms of loyalty payments at the end of each fiscal quarter. If and only if an event occurs where the management and authority transfer, the preceding successor and its necessary department shall provide payments for all the unpaid loyalty payments and if that authority decides not to carry on such business functions, then all the necessary rights of ownership shall be returned to SONORA. All the loyalty payment will be made within the limit of $500,000, and the total amount of loyalty payment paid shall not exceed this amount, in the manner specified below.
6-2. As previously stated in 6.1, the amount of loyalty payments will be decided by in relations to the amount of repair services provided, paying $100 for each repair service provided.
6-3. The payment of loyalty payments shall be calculated at the end of each quarter and the payments shall be directly transferred (T/T) to the receiver¡¯s account, and any international fees associated with the payment transfer are the responsibility of the receiving end.
6-4. Exempt loyalty payment items: Any probes manufactured by PROSONIC and UTL are not subject to previously stated loyalty payments.
7. PROSONIC¡¯s Product Supply
7-1. PROSONIC agrees to give SONORA the rights to purchase ARRAY and other probes manufactured for MADISON and SIEMENS.
7-2. In despite of previously stated clause, all the products restricted from sale by previous binded agreements with SIEMENS and MADISON are exempt from this agreement.
7-3. All the products supplied to SONORA such as ARRAY and other probe products have a warranty span of 1.5years from the date of production.
8. Confidentiality
8-1. Each party agrees to maintain, and shall cause its respective officers, employees, agents, representatives and advisors to maintain, the confidentiality of all information and data received from the other party in the course of or in connection with the negotiation or performance of this Agreement. In addition, such information and data may only be used in connection with the negotiation and performance of this Agreement and any other related agreements and for no other purpose whatsoever. The preceding obligations of confidentiality and non-use shall not apply to the following information: (i) information that was in the public domain prior to disclosure to the receiving party; (ii) information that has entered the public domain, other than information which enters the public domain as a result of a breach of a party¡¯s obligations under this Article 8 (Confidentiality); (iii) information that was in the possession of the receiving party, without an obligation of confidentiality, prior to disclosure by the disclosing party; (iv) information that has been acquired from third parties which had not previously acquired it, directly or indirectly, from the disclosing party; and (v) information that a receiving party is required to disclose by Law or Order of a competent Authority. The term of the obligations described in this Article 8(Confidentiality) shall expire five (5) years after the termination of this Agreement
9. Audit
9-1. PROSONIC shall make its books and records, concerning the above specified loyalty payments, available for research and auditing when an event arises when that seems fit for both parties.
10. Miscellaneous Regulation Provision
10-1. PROSONIC shall receive all the adequate patents and other official and governmental documents necessary to carry on the operations discussed previously, and furthermore, PROSONIC shall be responsible for all the fees that might have been cited to SONORA for PROSONIC¡¯s violations.
10-2. Both SONORA and PROSONIC shall submit all the information requested from governmental enterprises to uphold the law to its full extent.
10-3. All the communications related to the regulations of the services in discussion in this agreement shall be realized and thoroughly discussed and any other possible problems need to be brought up prior to 180 days of the signing of this agreement, unless done so, this agreement shall be nullified.
11. Infringement of rights
11-1. Both parties of under this agreement shall disclose all possible infringement of rights and privacy, if such event arises, and the method in which to deal with such problems.
11-2. The parties shall use all reasonable efforts to take, or cause to be taken, all appropriate action, and do, or cause to be done, all things necessary, proper or advisable under applicable Law or otherwise to consummate the transactions contemplated by this Agreement.
11-3. Each party shall bear its own costs and expenses incurred in connection with this Agreement, including, without limitation, the fees and expenses of their respective accountants and legal counsel.
11-4. If any Proceeding relating to this Agreement or the enforcement of any provision of this Agreement is brought against any party to this Agreement, the prevailing party shall be entitled to recover reasonable attorneys¡¯ fees, costs and disbursements (in addition to any other relief to which the prevailing party may be entitled).
12. Privacy
12-1. All of the information including technical information, product, manufacture, use and distribution shall not be discussed with a third party.
13. Guarantee
13-1. SONORA shall guarantee PROSONIC with achieving similar results in the areas of ultrasound probe repair and refurbish after the transfer of all the adequate knowledge and know-hows. This guarantee shall only stand valid if and only if all the methods and procedures requested by SONORA has been satisfied including applications of all the equipments and personnel.
13-2. Despite Article 13-1, SONORA shall not be held responsible for the quality and traits of the products and services offered by PROSONIC, and PROSONIC shall, solely hold all responsibility concerning their own products and services.
14. Termination of Agreement
14-1. This Agreement shall continue in effect until terminated pursuant to the provisions of this Agreement or by mutual agreement of the parties hereto.
14-2. This Agreement may be terminated immediately:
(a) by either SONORA or PROSONIC, if any of the Related Agreements are not duly executed or if all required confirmations, acceptances and consents of third parties and Government Approval for the Related Agreements, if necessary, are not obtained (in form and substance acceptable to the parties hereto) within three (3) months of the execution of the Related Agreements;
(b) upon sending of a notice of termination, which such notice has been given has committed a material breach of any of the provisions of this Agreement, and has failed to cure such breach within thirty (30) Business Days after request by the non-breaching party to cure such breach;
(c) by either SONORA or PROSONIC, in the event that the other party suffers any of the following events (¡°Defaulting Party¡±) (i) change in Control (which shall not include Transfer of Shares to Affiliates) or (ii) Financial Distress; or
(d) by either SONORA or PROSONIC if any act of a Korean Authority shall, in the reasonable opinion of the terminating party (i) make the performance of the Agreement unreasonably difficult or impossible for such party, (ii) alter any material right or obligation of the parties, or (iii) interfere with the material benefits of the parties.
15. Dispute Resolution and Governing Law
15-1. Any controversy or claim arising out of or in relation to this Agreement, or breach hereof, shall be finally settled by arbitration in Singapore.
(a) The arbitration shall be conducted before three arbitrators in accordance with the Rules of Arbitration and Conciliation of the International Chamber of Commerce then in effect.
(b) Each party shall appoint one arbitrator within thirty (30) days after receipt of a demand for arbitration. Said arbitrators shall be freely selected, and the parties shall not be limited to any prescribed list. The two arbitrators thus appointed shall, within thirty (30) days after both shall have been appointed, appoint a third arbitrator, who shall not be a national of Korea or the U.S.A. and who shall preside over the arbitration proceedings.
(c) If any appointment required herein shall not be made within the prescribed time, then such appointment may be made by the President of the International Chamber of Commerce .
(d) The proceedings shall be conducted in English, and all arbitrators shall be conversant in and have a thorough command of the English language.
(e) The award of the arbitrators shall be final and conclusive. Both parties shall be bound by the award rendered by the arbitrators and judgment thereon may be entered in any court of competent jurisdiction.
(f) Notwithstanding any other provision of this Agreement, either party shall be entitled to seek preliminary injunctive relief from any court of competent jurisdiction pending the final decision or award of the arbitrators.
15-2. The validity, performance, construction and effect of this Agreement shall be governed by the substantive Laws of Korea.
16. Headings.
16-1. The bold-faced headings contained in this Agreement are for convenience of reference only, shall not be deemed to be a part of this Agreement and shall not be referred to in connection with the construction or interpretation of this Agreement.
17. Assignability
17.1 Except as otherwise provided herein, this Agreement and each and every covenant, term and condition hereof shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, devisee and successors, but neither this Agreement nor any rights hereunder shall be assignable, directly or indirectly, whether by sale of assets, merger or other operation of Law or otherwise, by any party hereto without the prior written consent of the other parties.
18. Waiver
18-1. No failure on the part of any Person to exercise any power, right, privilege or remedy under this Agreement, and no delay on the part of any Person in exercising any power, right, privilege or remedy under this Agreement, shall operate as a waiver of such power, right, privilege or remedy; and no single or partial exercise of any such power, right, privilege or remedy shall preclude any other or further exercise thereof or of any other power, right, privilege or remedy. No Person shall be deemed to have waived any claim arising out of this Agreement, or any power, right, privilege or remedy under this Agreement, unless the waiver of such claim, power, right, privilege or remedy is expressly set forth in a written instrument duly executed and delivered on behalf of such Person; and any such waiver shall not be applicable or have any effect except in the specific instance in which it is given.
19. Amendments
19-1. This Agreement may not be amended, modified, altered or supplemented other than by means of a written instrument duly executed and delivered on behalf of SONORA and PROSONIC.
20. Notice
20-1. Any notice or other communication required or permitted to be delivered to any party under this Agreement shall be in writing and shall be deemed properly delivered, given and received by courier or express delivery service, e-mail or by facsimile, to the address or facsimile telephone number set forth beneath the name of such party below (or to such other address or facsimile telephone number as such party shall have specified in a written notice given to the other parties hereto):

21. Remedies Cumulative.
21-1. The rights and remedies of the parties hereto shall be cumulative (and not alternative).
22. Severability
22-1. In the event that any provision of this Agreement, or the application of any such provision to any Person or set of circumstances, shall be determined to be invalid, unlawful, void or unenforceable to any extent, the remainder of this Agreement, and the application of such provision to Persons or circumstances other than those as to which it is determined to be invalid, unlawful, void or unenforceable, shall not be impaired or otherwise affected and shall continue to be valid and enforceable to the fullest extent permitted by Law.
23. Entire Agreement
23-1. This Agreement sets forth the entire understanding of the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings among or between any of the parties relating to the subject matter hereof.
24. Construction
24-1. For purposes of this Agreement, whenever the context requires: the singular number shall include the plural, and vice versa; the masculine gender shall include the feminine and neuter genders; the feminine gender shall include the masculine and neuter genders; and the neuter gender shall include the masculine and feminine genders.
24-2. The parties hereto agree that any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not be applied in the construction or interpretation of this Agreement.
24-3. The English language version of this Agreement shall be controlling (and any translation of this Agreement into any other language shall be for the convenience of parties only and shall not be taken into account in connection with the construction or interpretation of this Agreement).
24-4. Each Party shall possess a copy of this agreement for proof of such contract. There shall only be no more than two copies of this agreement.
