General purpose of the work to be done
The purpose of our work will be to issue a professional, independent opinion of the performance of the company’s agreed-upon procedures with regard to its financial statements. The work will be performed according to the International Standard on Related Services (ISRS) published by the International Federation of Accountants (IFAC).
We consider this to be the objective of the collaboration you are requesting from us.
Scope
This opinion will be issued every six months and will refer to the procedures agreed-on previously with the company. The report on agreed-upon procedures will consist of the balance sheet and profit and loss account, which shall be the documents subjected to our agreed-upon procedures report. Responsibility for preparing these financial statements lies with the company directors.
Our examination shall be conducted according to the standards set out in international standard ISRS 4400 on reports on agreed-upon procedures.
The financial statements we will include in our report must represent management’s knowledge and opinions with regard to the Company’s financial situation and its results during the period analysed. For this reason, we will ask management to confirm certain information, opinions and criteria used for preparing the abovementioned financial statement in writing, taking management's knowledge of the company and factors into account which, being able to affect this balance, are not as yet reflected therein.
The review of the financial statements cannot, obviously, guarantee the absolute accuracy of all the company’s accounts, but instead seeks their reasoning. This is why the auditors, in the exercise of their professional activities, use levels of materiality or tolerance according to the relative importance affecting the adjustments, reclassifications and other aspects which come to light in their work on the financial statements.
Our work does not include a review of the company’s internal control system, nor does it include a detailed review of all the transactions it carries out in the exercise, for the purpose of discovering facts of an irregular nature. Although facts of this nature, if any, can occasionally be discovered in the course of doing work of this kind, our inspection has not been designed for this purpose. Of course, you will immediately be informed of any such facts revealed during our activities.
In an inspection of agreed-upon procedures, it is the reader of the report who draws his own conclusions based on the findings of which you are being informed. Likewise, the recipient of the report is responsible for ensuring that the procedures are sufficient for the purposes sought. As a result, we accept no liability with regard to the sufficiency of the procedures applied.
Procedures
The procedures we shall apply are based on generally accepted international standards and shall include the following procedures:

In order to carry out these procedures we apply different tests that always comply with generally accepted auditing rules and which will include
Documentary proof justifying the transactions recorded in the accounts.
Physical observation, through sampling, of assets, stocks, etc.
Confirmation through correspondence with selected debtors and creditors, with banks and other financial institutions, lawyers, consultants, etc.
We will also apply other procedures necessary for the optimal performance of our work.
Report
As a result of our collaboration, you will receive the Report on Agreed-Upon Procedures of the company VDC TECHNOLOGIES, S.L. of 31 March 2008, and also the abovementioned report on 30 September 2008.
Fees
Our fees for services to perform the agreed-upon procedures are set according to the time spent performing the work and our professional auditing fees in force every year, according to professional category and generally applied. The time involved in performing this work will vary according to the size of the entity. To be able to adapt the fees to the complexity of the work, we use the company’s annual turnover figure. We therefore propose three bands.
a. Annual business turnover below 1 million euros.
Our fees for preparing the two six-monthly reports corresponding to the financial period will be €3,000, equivalent to 60 hours of work by our professional staff.
a. Annual business turnover below 5 million euros.
Our fees for preparing the two six-monthly reports corresponding to the financial period will be €4,000, equivalent to 80 hours of work by our professional staff.
c. Annual business turnover below 5 million euros.
Our fees for preparing the two six-monthly reports corresponding to the financial period will be €6,000, equivalent to 120 hours of work by our professional staff.
This estimate includes solely the work on the two six-monthly agreed-upon procedures reports. It does not include auditing the company’s annual accounts.
The fees are subject to the addition of any expenses incurred on your behalf plus the corresponding value added tax (IVA).
We have made an estimate, taking the following premises into account:
The company will provide us with the financial statements approved by the directors.
The company will collaborate fully with the preparation of certain works, such as analysing accounts, reconciliation of differences in balances, the search for payment stubs and registries, etc. This work, as well as any letters requesting confirmation we may select, will be made available to us within a mutually agreed-upon period.
If, while the work is being done, we observe changes in the circumstances on which this estimate is based, such as mergers, absorptions, changes in the company purpose, changes in business volume or equity value, changes to accounting criteria, errors in the information we have requested from you, changes to the accounting and other similar systems, we will notify you, explaining the reasons obliging us to change the estimated fees, based on the number of hours to be worked because of the changes detected.
The payment schedule proposed will be adapted to your needs. For the 2008 financial year we suggest four monthly payments of €750, from the month of September until December 2008.
Independence and Confidentiality
In accordance with the ethical professional auditing standards, our interventions will be totally independent and we will treat all the information obtained confidentially.

Objetivo básico del trabajo a realizar
El objetivo de nuestro trabajo será expresar un dictamen profesional e independiente sobre de la realización de los procedimientos acordados con la sociedad acerca de los estados financieros de la sociedad. El trabajo se realizará de acuerdo con los Internacional Standard on Related Services (ISRS) publicados por la Internacional Federation of Accountants (IFAC).
Consideramos que estos son los objetivos de la colaboración que nos solicitan.
Alcance
Este dictamen se emitirá semestralmente y se referirá a los procedimientos previamente acordados con la sociedad. El informe de procedimientos acordados comprenderá el balance de situación y la cuenta de perdidas y ganancias, que serán los documentos objeto de nuestro informe de procedimientos acordados. La preparación de estos estados financieros será responsabilidad de los administradores de la compañía.
Nuestro examen se efectuará de acuerdo con las normas recogidas en la norma internacional ISRS 4400 referida a los Informes sobre procedimientos acordados.
Los estados financieros que incluiremos en nuestro informe deben representar los conocimientos y opiniones de la gerencia respecto a la situación económica financiera de la Sociedad y de sus resultados en el periodo analizado. Por esta razón, solicitaremos que la gerencia nos confirme por escrito cierta información, opinión y criterios utilizados en la preparación de los citados estados financieros teniendo en cuenta el conocimiento que la gerencia posee de su empresa y factores que, pudiendo afectar a dicho balance, no estén todavía reflejados en las mismas.
La revisión de los estados financieros no puede garantizar, como es obvio, la absoluta exactitud de la totalidad de las cuentas de la compañía, sino que busca la razonabilidad de las mismas. Es por este motivo por el que los auditores, en el ejercicio de su actividad profesional, utilizan niveles de materialidad o tolerancia en función de la importancia relativa que representen los ajustes, reclasificaciones u otros aspectos puestos de manifiesto en su trabajo respecto los estados financieros.
Nuestro trabajo no incluirá una revisión del sistema de control interno contable vigente en la Sociedad, ni incluirá una revisión detallada de todas las transacciones realizadas por la misma en el ejercicio, tendente a descubrir hechos de naturaleza irregular. Aunque algunos de estos hechos, en caso de existir, podrían descubrirse ocasionalmente con un trabajo de esta naturaleza, nuestro examen no ha sido diseñado con este propósito. Desde luego, cualquier hecho de este tipo que se revelase durante nuestra actuación sería puesto en su conocimiento inmediatamente.
En un trabajo de procedimientos acordados es el lector del informe quien obtiene sus propias conclusiones a la luz de los hallazgos objetivos sobre los que se le informa. Asimismo, el destinatario del informe es responsable de la suficiencia de los procedimientos llevados a cabo para los propósitos perseguidos. En consecuencia, no asumimos responsabilidad alguna sobre la suficiencia de los procedimientos aplicados.
Procedimientos
Los procedimientos que aplicaremos se basan en la normativa internacional generalmente aceptada e incluirán los siguientes procedimientos:

Para realización de estos procedimientos realizaremos distintas pruebas que cumplirán en todo caso las normas de auditoria generalmente aceptadas e incluirán
Pruebas de documentación que justifiquen las transacciones registradas en las cuentas.
Observación física, mediante muestreo, de los elementos del inmovilizado, existencias, etc.
Confirmación por medio de correspondencia con deudores y acreedores seleccionados, con bancos y otras instituciones financieras, abogados, asesores, etc.
También aplicaremos aquellos otros procedimientos que el óptimo desarrollo de nuestra labor haga necesarios.
Informe
Como resultado de nuestra colaboración, ustedes recibirán el Informe Sobre Procedimientos acordados de la sociedad VDC TECHNOLOGIES, S.L. al 31 de Marzo del 2008 y también el citado informe a fecha 30 de Septiembre de 2008.
Honorarios
Nuestros honorarios por los servicios de realización de procedimientos acordados se fijan en función del tiempo empleado en la realización del trabajo y de las tarifas horarias de auditoría en vigor cada año, por categorías profesionales, aplicadas con carácter general. El tiempo empleado para la realización del citado trabajo variará en función del tamaño de la entidad. Para poder ajustar los honorarios a la complejidad del trabajo utilizaremos como cifra de referencia el volumen de la cifra de negocio anual por lo que proponemos tres tramos.
a. Cifra de negocio anual inferior a 1 millón de euros.
Nuestros honorarios por la realización de los dos informes semestrales correspondientes al ejercicio ascienden a 3.000 euros, equivalentes a 60 horas de trabajo de nuestro personal profesional.
b. Cifra de negocio anual inferior a 5 millones de euros.
Nuestros honorarios por la realización de los dos informes semestrales correspondientes al ejercicio ascienden a 4.000 euros, equivalentes a 80 horas de trabajo de nuestro personal profesional.
c. Cifra de negocio anual inferior a 5 millones de euros.
Nuestros honorarios por la realización de los dos informes semestrales correspondientes al ejercicio ascienden a 6.000 euros, equivalentes a 120 horas de trabajo de nuestro personal profesional.
Este presupuesto incluye exclusivamente el trabajo de los dos informes semestrales de procedimientos acordados. Queda excluida la realización de la auditoria de cuentas anuales de la sociedad.
A los honorarios se adicionarán los gastos que incurramos por su cuenta más el I.V.A. correspondiente.
Hemos efectuado esta estimación teniendo en cuenta las premisas siguientes:
La sociedad nos entregará los estados financieros aprobados por los administradores.
La sociedad nos prestará su máxima colaboración en la preparación de ciertos trabajos, tales como análisis de cuentas, conciliaciones de diferencias de saldos, búsqueda de comprobantes y registros, etc. Estos trabajos, así como las cartas de solicitud de confirmación que seleccionemos, serán puestos a nuestra disposición en el plazo que fijemos de común acuerdo.
Si durante la realización de nuestro trabajo observásemos cambios en las circunstancias en base a las cuales se ha realizado el presente acuerdo, tales como fusiones, absorciones, cambios del objeto social, modificación del volumen de negocio o de la cifra patrimonial, modificación en los criterios de contabilización, errores en aquellos detalles que les hubiéramos solicitado, modificación del sistema contable y otros similares, se lo notificaríamos explicándoles los motivos que nos obligan a variar los honorarios estimados, basándonos en el número de horas a realizar en virtud de los cambios operados.
La propuesta de calendario de pago se adaptará a sus necesidades, si bien para el ejercicio 2008 se proponen 4 cuotas mensuales de 750 euros, desde el mes de septiembre hasta diciembre del 2008.
Independencia y Confidencialidad
De acuerdo con las normas éticas de la profesión de auditoria, nuestras intervenciones serían de carácter totalmente independiente y trataríamos toda la información obtenida de manera confidencial.
