In the absence of further context, I assume (=guess) that this *may* be in connection with a shareholder agreement or the like. There is obviously a "Gesellschafter" who is beneficiary under a preemption right and a party that is obliged to sell its share [???] to this "Gesellschafter".

Accordingly, I would translate your sentence along the lines of: "The arbitrator's expert opinion shall thereupon be binding on both the party obliged and the partner/shareholder ['Gesellschafter'] benefitting under the right of preemption."

But some context (for example the type of document you are working on) would be a great help!

Sorry, but I think "vendor" is a bit too easy here ...

'Vorkauf' does not mean "pre-sale"; 'vorkaufsverpflichtet' and 'vorkaufsberechtigt' refer to the 'Vorkaufsrecht', i.e. the right of preemption or right of first refusal! This is a right granted to the beneficiary (in this case *probably* the other shareholders) to acquire something (in this case *probably* shares) before it is offered to anyone else.

Danke für das "agree", sivara. Ich sehe allerdings in dem Satz keine Bezugnahme, die ein "pre-sale" rechtfertigen würde. Ich gehe davon aus, dass die Klausel (=guess) eh nur 'vor' einem Verkauf greift. Nach einem Verkauf wird sie nicht mehr gebraucht ;-)

Also pre-emptee vs. pre-emptor should be considered.
