X has been performing management activities for Y by the first of May 2003.
The parties want to enter into a management agreement, based on the fact that X is going to perform activities for Y

: with 'jusqu'au'. And for the complementary question, X has probably performed managmenent activities, but not under any written agreement, to assist Y in its own activities (you do not say which company you are referring to, but both were active before))

"had been -ing XYZ by 1st May".

"By" est correct. On est dans le présent, jetant un coup d'oeil dans le passé, parlant d'une action entamée et qui a durée un certain temps, et qui être en cours encore. C'est une descritpion d'un état à un moment précis - 1er mai - avec un petit appui sur la durée dans le temps.
