L'obligation d'indemnisation doit demeurer non-exempte.

Tony M
: Sorry, but that's a contre-sens. "shall stand discharged" = "will be discharged" = 'no longer any need to compensate'; there is no 'demeurer' nor 'non exempte' in the source text.

l'obligation d'indemnisation en sera acquittée
But I actually think it would be better re-phrased entirely in FR, perhaps using a noun expression, something like '... vaudra acquittement de l'obligation...'

I think the context is sufficiently restricted that we can't be SURE of that, though I do entirely take your point.

Discussion
Even though you say that "The other clauses do not relate to this particular clause.", it would certainly help us to know a little more about what kind of partnership this is, and between what kind of parties?
In particular, it would also help to know what kind of 'compensation' this is — as Jacqueline has highlighted, the EN term is potentially ambiguous, and it would probably have quite an influence on the overall translation, depending on which of the 2 possible meanings it has here.
