2. Royalty
The Royalty shall be the sum of 1.25% of the audited Gross Sales (defined below) of the Outlets owned and/or operated by the Franchisees pursuant to the Franchise Agreements and 1.25% of the audited Gross Sales of the Directly-Managed Outlets owned and/or operated by the Area Master Franchisee.
