Thank you guys, I am reading all of these in detail. Learning. The words make more sense now. Rich, that make sense. It doesn't say who is agreeing, but the previous paragraphs make reference to shareholders, so... Also thank you Michael, I suppose I should specify that the junta is a shareholders meeting since it wouldn't be a meeting with anyone else....Appreciated, I wish I had peers to discuss this stuff with. Thanks

"junta general" means "shareholders meeting" since "junta general ordinaria" means "ordinary shareholders meeting" and "junta general extraordinaria" means "extraordinary shareholders meeting" and "junta universal" means "sharholders meting at which all sharesholders are present or represented and unanimously agree to hold the meeting"

The "juntas universales" are typical of closely-held corporations - similar to action by unanimous written consent in the US.

and when that’s the case, it might be advisable to not stray too far from the original. I’d say something like:
The appearing party, according to his/her capacity, affords (gives) this act the character of a General Meeting…

Like I said, it is the “act” not the person (appearing party) that is given the character of a General Meeting

So, "The appearing party acting herein in the capacity of the General Universal Board of the Company unanimously agrees..." That sounds great. Does you know how the "dando...caracter" part transforms into anything? I'm just wondering because I still don't understand although what Allegro wrote sounds correct. :)
