Source text - English 7. RECORDS. REPORTS AND PAYMENT
6.1 The Licensee shall keep separate and detailed records of all sales of the Products (which records shall be preserved for not less than 4 years from the termination or expiry of this Agreement), to enable the Licensor to establish the accuracy of the information contained in the reports supplied under Clause 7,3 below and the Licensor's authorised representatives shall be entitled to inspect, audit and copy such records.
6.2 Should such inspection reveal that the Licensee has incorrectiy reported the amounts payable to the Licensor, the Licensor shall immediately invoice the Licensee for the amount of any under-paymcnt, which invoice the Licensee shall settle within 30 days of receipt of invoice. In the event of an overpayment by the Licensee, the Licensee shal! immediately invoice the Licensor for the amount of the over-payment which invoice the Licensor shall settle within 30 days of receipt of such invoice.
6.3 On or before the 15th day of each Month or such other date as specified by the Licensor, (the "Payment Day"), the Licensee shall send to the Licensor a report giving details by market and by Brand and style of the quantity of the Products sold by the Licensee during the preceding Month, the price charged, the Net Sales Price, the royalty due and any other information the Licensor may reasonably require from time to time. Such monthly report shall be accompanied by a remittance of all royalties due to the Licensor for the preceding Month based on such report unless prior to the sending of such monthly report an agreement has been reached with the Licensor regarding an alternative method and, if appropriate time, of payment of royalties. Royalties due in respect of any period before signature of this Agreement shall be reported and paid on or before the Payment Day immediately following signature of this Agreement.

6.1 Licencjobiorca prowadzi odrębną i szczegółową ewidencję całej sprzedaży Produktów (która powinna być przechowywana przez okres minimum 4 lat od daty rozwiązania lub wygaśnięcia niniejszej Umowy), aby umożliwić Licencjodawcy zweryfikowanie informacji zawartych w sprawozdaniach złożonych na podstawie punktu 7.3 poniżej, a upoważnieni przedstawiciele Licencjodawcy uprawnieni są do kontroli, badania i kopiowania tej ewidencji.
6.2 Jeśli w wyniku tej kontroli okaże się, że Licencjobiorca wykazał kwoty płatne na rzecz Licencjodawcy w sposób nieprawidłowy, Licencjodawca niezwłocznie wystawi Licencjobiorcy fakturę na kwotę niedopłaty, którą to fakturę Licencjobiorca rozliczy w terminie 30 dni od jej otrzymania. W razie nadpłaty przez Licencjobiorcę Licencjobiorca niezwłocznie wystawi Licencjodawcy fakturę na kwotę tej nadpłaty, którą to fakturę Licencjodawca rozliczy w terminie 30 dni of jej otrzymania.
6.3 Do dnia 15 każdego Miesiąca lub w innym terminie określonym przez Licencjodawcę, („Dzień Zapłaty”) Licencjobiorca złoży Licencjodawcy sprawozdanie zawierające szczegółowe dane z uwzględnieniem kategorii rynków, Marek i ilości Produktów sprzedanych przez Licencjobiorcę w poprzednim Miesiącu, pobranych opłat, Ceny Sprzedaży Netto, należnych opłat licencyjnych, oraz wszelkie inne informacje, których Licencjodawca może zasadnie wymagać. Teren objęty opracowaniem obejmuje działkę nr ewidencyjny ...
obr. …., określony w Planie Zagospodarowania Przestrzennego jako teren aktywności gospodarczej.
W projekcie spełniono obowiazujące w PZP ustalenia dla terenów AG odnośnie ukształtowania zabudowy i zagospodarowania terenu:
- linia zabudowy w odległości 6 m zostanie zachowana.
- obszar zabudowywany zakładu wynosi (w tym drogi i place) 68154.20 m2
- powierzchnia biologicznie czynna wynosi 50 %
Projekt spełnia wymogi w zakresie dojazdów, miejsc parkingowych oraz infrastruktury technicznej określonych w Planie Zagospodarowania Przestrzennego.
W ramach projektu wykonawczego dokonano analizay układu komunikacyjnego zaprojektowanego w projekcie budowlanym z naniesieniem niezbędnych korekt. Układ kominikacyjny składający się z dwóch zjazdów łączących planowaną drogę gminną z infrastrukturą drogową wewnątrz zakładu, dróg wewnętrznych, w tym pożarowych, dróg przeznaczonych dla wózków akumulatorowych, parkingów, placów manewrowych, dojazdów do urządzeń i instalacji, zjazdów do doków oraz chodników - spełnia wymogi w zakresie dojazdów, miejsc parkingowych oraz infrastruktury technicznej określonych w Planie Zagospodarowania Przestrzennego.
2. ANALIZA RUCHU
Zgodnie z projektem budowlanym dostęp z drogi publicznej na teren inwestycji będzie się odbywał za pomocą dwóch niezależnych zjazdów. Pierwszy z nich (od strony zachodniej), o szerokości 6,0 m, będzie pełnić rolę zapasowej drogi pożarowej, używanej tylko w sytuacjach awaryjnych. Drugi, o szerokości 34,0 m, będzie stanowił główny wjazd na teren zakładu oraz zapewni dojazd do dwóch parkingów zlokalizowanych po jego obu stronach.
Wszystkie drogi zaprojektowano jako dwukierunkowe.
3. ROZWIĄZANIE SYTUACYJNE
Projektowany układ komunikacyjny (drogi, parkingi, place i chodniki) składa się z:
- drogi głównej przebiegającej wokół projektowanych budynków, po obwodzie terenu zakładu,
- placu manewrowego i załadunkowo-rozładunkowego od strony południowej projektowanego budynku Produkcyjnego
- dodatkowych dojadów do Budynku Socjalnego, Produkcyjnego i stacji średniego napięcia
- wjazdów do budynku Produkcyjnego dla wózków akumulatorowych
- dwóch parkingów głównych – po zachodniej stronie głównej drogi dojazdowej na 59 miejsc postojowych oraz po wschodniej stronie głównej drogi dojazdowej na 163 miejsca postojowe, w tym 10 dla osób niepełnosprawnych
- parkingu na 10 stanowisk (3,60 m x 5,00 m) usytuowanego od strony południowej Budynku Socjalnego
- systemu chodników
Droga główna od strony wschodniej i północnej będzie mieć szerokość 6,0 m, natomiast od strony zachodniej 9,0 m. Dodatkowe dojazdy do budynków będą mieć szerokość 6,0 m, chodniki usytuowane wzdłuż dróg – 2,0 m, a wolnobiegnące - 1,50 m, wjazdy dla wózków akumulatorowych – 2,50 m. W ramach placów wydzielono strefy postoju dla pojazdów ciężarowych – od zachodniej i południowej strony.
4. ROZWIĄZANIE WYSOKOŚCIOWE
Różnice rzędnych w obrębie całego trenu nie przekraczają 200 cm w związku z tym rzędne projektowanego zagospodarowania terenu przyjęto w dostosowaniu do istniejącego terenu działki budowlanej. W północno zachodnim narożniku działki zaprojektowano wyrównanie terenu nasypem wysokości do 100 cm.

The design complies with the Public Procurement Law provisions on the land for commercial and industrial use, relating to the topography of improvements and site development:
- building alignment at a distance of 6m will be retained.
- the area of the premises to be developed is (including roads and squares) 68154.20 m2
- green area is 50 %
The construction design meets the requirements for access roads, parking spaces and utilities specified in the Spatial Development Plan.
As part of the detailed engineering design, the analysis of the communication system was carried out, which was included in the construction design with necessary corrections. The communication system consisting of two exit roads connecting the planned local road to the road infrastructure within the premises, internal roads, including fire access roads designed for battery-electric trucks, parking lots, vehicle circulation areas, access roads to equipment and systems, exit ramps to loading docks and pavements - complies with the requirements for access roads, parking spaces and utilities set out in the Spatial Development Plan.
2. TRAFFIC ANALYSIS
According to the construction design, the public road access to the area of investment will be provided by means of two separate exit roads. The first exit road (from the west) with a width of 6.0 m will serve as a backup fire access road to be used only in emergency situations. The second exit road with a width of 34.0 m shall be used as the main entrance to the premises and shall provide access to two parking lots located on its both sides.
All roads are designed as two-way.
3. SITE LOCATION PLAN
The proposed communication arrangement (roads, parking lots, squares and pavements) consists of:
- the main road running around the proposed buildings around the perimeter of the premises,
- vehicle circulation area, as well as loading and unloading area on the south side of the proposed production building
- additional access roads to the Staff Welfare Building, Production Building and medium-voltage substations
- entrance to the Production Building for battery-electric trucks
- two main parking lots - on the western side of the main road for 59 parking spaces and on the eastern side of the main road for 163 parking spaces, including 10 spaces for people with limited mobility.
- the parking lot for 10 parking spaces (3.60 m x 5.00 m) located to the south of the Staff Welfare Building
- pavement system
To the east and north of the main road, the road width is 6.0 m, whereas to the west - 9.0 m wide. Additional vehicle access to the buildings shall be 6.0 m wide, the pavements alongside roads - 2.0 m, and standalone payments - 1.50 m, entrances for battery electric trucks - 2.50 m. Within the areas, parking bays were designated for heavy commercial vehicles - from the western and southern side.
4. VERTICAL CONTROL DATA
Differences in ground elevations across the premises do not exceed 200 cm, therefore the elevations of the proposed site development were determined based on the existing area of the building plot. In the north west corner of the plot, ground is to be levelled using a controlled fill of up to 100 cm.
