AGENCY BODIES
Article 5
Administrative Bodies of the Agency
1. The following shall be the bodies of the Agency:
a) General Committee
b) Board of Directors
c) President
d) Board of Auditors
e) Committee of Rappresentatives
Article 6
General Committee
1. The General Committee shall be comprised of elective members, one for thousand enrolled members of each Constituency, classified by professional categories of the Agency, rounding to one unit if below thousand. The term of office shall be of four years, and the members may be renewed for not more than two mandates.
2. In oreder to elect members referred to in the foregoing para. 1 of the present Article, the President shall proclaim a ballot at least three months before the General Committee term of the office, in accordance with vouting regulations that shall observe the following guidelines:
a) the electorate shall be divided in four Constituencies, corresponding to the professional categories of the Agency:
Constituency of Agronomists and Foresters
Constituency of Actuaries
Constituency of Chemists
Constituency of Geologists
To each Constituency shall correspond a number of elective members, one for thousand enrolled members for each Constituency.
b) an appropriate pooling place shall be disposed, at the headquarter of the Agency, separately for each Constituency;
c) ballot by mail is admitted; no ballot as proxy is allowed;
d) all members of each Constituency can be elected, with the exception referred to in Art. 1, paragraph 2 of D. Lgs. 10 February 1996, n. 103;
e) the freedom of candidacy shall be observed;
f) the ballot shall be expressed within each Constituency by name and by means of one single vote;
g) the ballot is valid if it represents at least one fourth of the electorate of each Constituency;
h) if it doesn’t reach the necessary minimal quorum as referred to in the foregoing paragraph g), the second ballot can be convened and the vote shall be valid with no regatd to the number of voters;
i) the President shall name the elected members of each Constituency, as set forth in paragraph a).
3. At the conclusion of the procedure described in the foregoing paragraph, the members elected for the Geneal Committee shall be installed by the President, on the condition that they correspond the requisites of reputation and professional competence under art. 13. They shall appoint, in the seat of the first meeting, a Coordinator and a Secretary. The General Committee shall elaborate the internal regulations within sixt months from taking office. The requisites mentioned above shall be attested by substitutive affidavit produced by interested party at the moment he/she decides to stand as a candidate, curriculum of professional activity enclosed.
4. The Constituent Assembly shall call the first ballot within sixt months from the end of the members enrollment.
5. The voting regulations as set forth in para. 2 shall establish the same rules also for the Board of Directors and Committee of Deputates elections.
6. Quitting, forfeit and substitution of the General Committee members shall be set in the voting Regulations. The members may be reappointed.
Article 7
General Committee activity and tasks
1. The Coordinator shall convene the assembly of the General Committee at least three times a year, and as its chairman he shall prepare the agenda. Additional subjects may be placed on the agenda under request of at least one-third of the members of the Committee.
2. The notice of the meeting, by recorded delivery letter or fax, confirmed by telegram, shall be given at least eight days before the meeting, indicating its place, date and hour as well as agenda. In case of urgency the term may be reduced to three days.
3. The meeting shall be valid if attended by at least two-third of the Committee members and with absolute majority of votes; in case of equal number of votes, the vote of Coordinator prevails.
4. Each member shall have one vote. The secret vote shall be requested if the deliberation involves an individual member.
5. The meeting minutes shall be signed by the Coordinator and by the Secretary.
6. General Committee shall:
a) nominate the Board of Auditors members;
b) set out directives, standards and general targets of the Agency social security and welfare scheme;
c) fix standards of investment and disinvestment to be approved by Board of Directors;
d) decide amendments of the present By-laws and of Regulations in order to enforce the Agency tasks as proposed by Board of Directors;
e) decide amendments of Voting Regulations, also if proposed by the Board of Directors;
f) decide application and amendments of the General Regulations proposed by the Board of Directors;
g) deliberate, by 30 of April the annual report referring to the past year as determined by the Board of Directors;
h) decide the Agency budget estimate, presented by the Board of Directors, by 31 of October of each year; and ratify the amendments at the next meeting and by 30 of November of the year presented in the balance sheet;
i) appoint the auditors, under art. 1 of D.Lgs. 27 January 1992, n. 88, and following amendments, responsabile for the independent auditing of accounts and annual reports;
j) decide, according to the motions under art. 9, para. 2, letter p), adoption of the budget at regular intervals of at least three years or each time it becomes necessary for the financial purposes of the Agency;
k) decide the emoluments, expenses and attendance allowance for President, Board of Directors and Board of Auditors and the expenses and attendance allowance for the Committee of Rappresentatives members.
7. Decisions referred to in letters d), e), j) and in second part of para. 6 shall be approved by Ministero del Lavoro e della Previdenza Sociale (Italian Ministry of Labour and Social Security) and by Ministero del Tesoro (Italian Ministry of the Tresure) under Art. 3, para. 2, of D. Lgs. Of 03 June 1994, n. 509. Decisions referred to in letters b), c), g), h) and j) of para. 6 shall be forwarded to the Ministero del Lavoro e della Previdenza Sociale (Italian Ministry of Labour and Social Security) and to Ministero del Tesoro (Italian Ministry of the Tresure) under Art. 3, para. 3, of D. Lgs. 30 June 1994, n. 509.
Article 8
Board of Directors
1. Unless otherwise provided in art. 6, para. 1, letter b), of D. Lgs. 10 February 1996, n. 103, the Board of Directors shall be composed by four members, named by the President of the Agency on the decision of General Committee, basing on the appointment by the National Committee of each category, based on the voting results of each category as referred to in Art. 6.
2. The Board of Directors shall remain in charge until the term of office of the General Committee and each Director may be appointed two terms in a row.
3. No offices shall be combined in one person, nor shall any Director simultaneousely hold more than one office, including National Committee of each professional category, General Committee, Auditor, Committee of Rappresentatives. A member elected for more than one office shall chose within fifteen days the office he/she is going to hold.
4. A member of Board of Directors shall not hold an office in any other Social Security Agency.
5. The members of the Board of Directors shall correspond the requisites of reputation and professional competence as referred to in Art. 13, and they shall be members under Art. 1, para. 1, of D. Lgs. 10 February 1996, n. 103.
6. The requisites of reputation and professional competence as referred to in para. 5 shall be attested by substitutive affidavit produced by interested party at the momento he/she decides to stand as a candidate, curriculum of professional activity enclosed.
7. Quitting, forfeit and substitution of the members of the Board of Directors are established in the voting Regulations and they can be reappointed.
Article 9
Board of Directors Powers
1. The Board of Directors shall be invested with full powers for ordinary administration of the Agency, according to the General Committee indications.
2. The Board of Directors shall:
a) elect President and Vice-President within the Board;
b) decide hiring conditions of the Director of the Agency;
c) submit to the attention of General Committee the By-laws and Regulations amendments referred to social security and welfare policy;
d) formulate and submit to the attention of the General Committee the amendments to Voting Regulations following the guidelines of the Committee;
e) prepare the annual report by 31 March of each year referring to the former one;
f) prepare the budget estimate of the Agency by 30 September of each year;
g) decide the organisation chart of the Agency following the guidelines set by the Director;
h) decide legal and financial treatment of the employees in accordance to CCNL (Italian National Collective Bargaining Labour Agreement);
i) decide emoluments, expenses and attendance allowance for the Coordinator, Secretary and the members of the General Committee;
l) set the manageent guidelines of the Agency accountance and administration, under Art. 18;
m) enforce rules of investement and disinvestement set by the General Committee, deciding one-year and long-term plans;
n) decide, under letters l) and m) and following indications of the General Committee, contracts for financial services in order to manage financial, accounting, adminstrative and insurance matters of the Agency, mantaining the legal ownership of securities, the division between bailee of the assets and the investment manager, and determining the reliability of entrusted entities;
o) decide the destination of donations and legacies in favour of the Agency;
p) formulate proposals for the financial asset of the Agency, according to the balance sheet and taking into account the proposals of each of Committees of Rappresentatives as set forth in Art. 10;
q) aim at improving organisation and management efficiency of the Agency, collaborating with other agencies and institutions operating in the same field, acquiring shareholdings, establish financial service firms, form associations with similar institutions.
r) decide the maters to submit to the attention of the President of the Agency, as required by dwo of the members of the Board of Directors or one-third of the members of the General Committee or the Board of Auditors;
s) perform all other tasks appointed by laws, decrees, regulations and present By-laws, as well as by the enforcing resolutions in order to fulfill the mission of the Agency;
t) propose to the General Committee, in order to enforce the Regulamentation and fulfill the task of social security and welfare, to adopt and amend Regulations and general instructions;
u) decide, after consulting the General Committee, tha expenses reimbursment scheme to be recognised to National Committees of the professional categories.
3. The resolutions referred to at letter l), para. 2 shall be forwarded to the Ministero del Lavoro e della Previdenza Sociale (Ministry of Labour and Social Security) and to the Ministery del Tesoro, del Bilancio e della Programmazione Economica (Italian Ministry of the Tresure), under art. 3, para. 3, of D. Lgs. 30 June 1994, n. 509.
Article 10
Committee of Rapresentatives
1. For each professional category, as set forth in art. 1 of the present By-laws, shall be constituted, according to art. 6, para. 2, letter b), of D. Lgs. 10 February 1996, n. 103, a Committee of Rapresentatives, composed of three members elected among the members enlisted on each elective Constituency referred to in art. 6.
2. Members of each Committee shall be elected separately during the same ballot convened for the election of the General Committee, following the rules set forth in the Regulations referred to in art. 22; requisites of reputation shall be required as set forth in art. 13, and the candidates shall be members as set forth in art. 1, para. 1, of D. Lgs. 10 February 1996, n. 103.
3. The requisite mentioned above shall be attested by substitutive affidavit produced by interested party at the moment he/she decides to stand as a candidate.
4. Quitting, forfeit and substitution of the members of the Committee shall be established in the voting Regulations and they can be reappointed.
5. Each Committee shall meet at least every sixt months and shall appoint its Coordinator and set the Internal Regulations.
6. The Committee, performing its tasks as set forth in art. 6, para. 2, letter b, of D. Lgs. 103/96, shall estimate informations related to the flow of contributions in collaboration with the offices of the Agency and with an actuary appointed by the Agency if required.
7. Each Committee shall propose to the Board of Directors an internal management regulation.
Article 11
Convocation of the Board of Directors
1. The Board of Directors shall meet at least every two months and in any case every time the President decides it is necessary. The President shall decide the agenda, that can be integrated under request of at least two members of the Board of Directors, or one-third of the members of the General Committee or of the Board of Auditors.
2. The notice of the meeting, by recorded delivery letter or fax confirmed by telegram, shall be given at least eight days before the meeting, indicating its place, date and hour as well as agenda. In case of urgency the term may be reduced to three days.
3. The meeting shall be valid if attended by at least two-third of the Board members.
4. Each member shall have one vote. The secret vote shall be requested if the deliberation involves an individual member. The meeting shall be valid with absolute majority; in case of equal number of votes, the vote of the President shall prevail.
5. The President shall be also Secretary of the Board of Directors;
6. The meeting minutes shall be signed by the President and by the Secretary and registered in the minutes register.
Article 12
President
1. The President shall be elected by the Board of Directors within its members, the term of the office shall be for four years and can be renewed two times. The President shall stay in charge till the election of the new President, causing his installation in office and convening new Board of Directors.
2. The President shall:
a) be the Legal Rerpresentative of the Agency;
b) convene, decide the agenda and preside the Board of Directors;
c) supervise, along with the Agency offices, the enforcement of the resolutions adopted by the Board of Directors;
d) to sign the obligations and duties of the Agency;
e) take, if required, measures of urgency, except ratification of this rule by the Board of Directors at the first meeting;
f) perform all other functions appointed by this By-laws, by law and by Regulations. In case of absence or impediment the Vice-president carries out all his functions.
Article 13
Requisites of reputation and professional competence
1. Requisites of reputation and professional competence shall be the necessary conditions to be appointed as member of one of the Bodies of the Agency.
2. To fulfill the requisites of reputation the candidate shall not:
a) be prosecuted with definitive conviction or substitute penalties included Italian Law n. 24 novembre 1981, n. 68; be prosecuted for real estate crimes, offence against Civil Service, betrayal of public trust, against Public Economy or be prosecuted for non culpable crimes charged by Italian Law with at least five-year sentence;
b) be subject of the precautionary measures under Italian Law 27 December 1956, n. 1423 or Law 31 May 1965, n. 575 and following amendments.
3. Withdrawal reasons, besides loss of the foregoing requisites, may be caused by the following:
a) lay-off of membership at the professional category Register caused by the definitive conviction in disciplinary or criminal proceedings, if within last five years;
b) be guilty of dereliction of duty against the Agency validated by definitive conviction.
4. The requisite of professional competence under art. 1, para. 4, letter b) of D. Lgs. 30 June 1994, n. 509 for the General Committee and Board of Directors members shall be fulfilled by dimonstrating qualifications and administrative experience on managerial positions, in council or board bodies with the term of office not inferior to three years, for national or local bodies of the concerned professional categories as well as for other important public or private agencies.
Article 14
Board of Auditors
1. The Board of Auditors shall be composed by three actual members and by three deputies, appointed as follows:
a) One actual member and one deputy appointed by Ministero del Lavoro e della Previdenza Sociale (Italian Ministry of Labour and Social Security) who shall preside the Board;
b) One actual member and one deputy appointed by Ministero del Tesoro (Italian Ministry of the Tresure);
c) One actual member and one deputy appointed among the compulsory members of the Agency, escluded the members of the General Committee, of Board of Directors and of Board of Rapresentatives.
2. The term of the office of the Board of Auditors shall be of three years and the members can be renewed two times.
3. The Board of Auditors shall be appointed by the deliberation of the General Committee. The Board shall present an annual rapport concerning the audit of management performed, to the attention of the Committee and to the Board of Directors of the Agency. The audit of the Agency management shall be performed by the Auditors in according to the current regulations as set forth in Codice Civile (Italian Civil Code) where applicable. The Board of Auditors shall consider the estimated budgets and the amendments, annual statements, and reports and shall formulate conclusions and comments.
4. The auditors can attend the meetings of the General Committee and of Board of Directors. The meetings and decisions are effectual also in case of their absence. The auditors shall also witness the ballotts counting by the President.
5. Auditors shall operate under art. 2403 and following of Codice Civile (Italian Civil Code) where applicable.
Article 15
National Committees of Professional Categories
1. The National Committees of concerned professional categories, that refer to local authorities under art. 8, para. 1 of D. Lgs. 10 February 1996, n. 103, shall:
a) Accomplish duties required by the Agency convening ballots for the Agency bodies;
b) Transfer to the Agency the list of the enroled to the Category Register, comlete of identifying dates regarding the professional category and within sixty days form the date of the Agency establishing;
c) Notify by February of each year the Register changes by 31th of December of the previous year.
d) Accomplish other duties required by the Agency.
PART III
FINANTIAL MANAGEMENT
Article 16
Income
1. The income of the Agency shall be composed of:
a) National insurance contributions paied by members;
b) National insurance contributions paied by customers;
c) Compulsory contributions for the maternity;
d) Volountary contributions, redemption fees, integration fees, fees for conjuinction of different social security positions;
e) Accrued interest deriving from the financial and social security management;
f) Penalities and interests deriving;
g) Legacies and donations of different kind;
h) Any other income.
2. The fiscal year shall begin on the 1sth of January and shall end on the 31sth of December. The first fiscal year ends on the 31th of December of the next year if started on the last quarter of the year.
Article 17
Capital Assets
1. The capital assets of the Agency shall by composed by quoted securities, real estate, shares. Capital assets devolved to the finantial and insurance institutions shall remain in Agency’s tenue.
Article 18
Administrative and accounting assets
1. The accounting and administrative assets of the Agency shall be set according to the national insurance contributions scheme referred to in art. 1 of Italian law of 8 August 1995, n. 335, putting attention to the cash-flow of the contributions and to the services rendered to each of the professional categories as set forth in art. 1, para. 1 of the present By-laws.
2. In the foregoing assets shall be booked the single status of all members, as set forth in art. 12, para. 3, 4, 5, 6 and 8 of the Regulations, and shall converge in the occupational pension found referred to in art. 19.
3. The ammount of the integtration fees outturn that bears the operating costs of the Agency shall be hold on the separated account.
4. The ammount of the share-the-work contributions that bears the management balance between professional categories referred to in art. 1, para. 1, shall be hold on the separated account.
5. The ammount of the maternity contributions that bears the relating allowance shall be hold on the separated account.
Article 19
Pensin found
1. In accordance with the contributions scheme, with effect from the beginning of the occupational pension of each member, the amount shall be registered on the reserve account so called occupational pension account. The auditing shall determine the found balance, and the necessary availability of capital may be transferred from the account under art. 18, para. 3. of this By-laws. If at the end of the financial year the total amount on the account results below five times the amount of benefits allocated during the financial year, the necessary amount shall be in like manner transferred as set forth in art. 18, para. 3.
2. In accordance with the conventional regime the reserve found management can be devolved to a leading financial or insurance agency, within the Agency requirements of liquidity following the guidelines of cautious management. The agreements shall consider the necessary reserve and the capital availability requirements.
Article 20
Financial statements and other administration documents
1. For each financial year the Board of Directors shall prepare by 31 March an annual report to be presented, along with the Board of Auditors comments, to the General Committee for approval by 30th of April.
2. The Board of Directors shall prepare an annual budget by 30th of September to be presented along with the Board of Auditors comments, to the General Committee for the approval by 31sth of October. The Board of Directors shall also prepare the recommended changes to be presented, along with the Board of Auditors comments, to the General Committee for approval at their next meeting, and at any rate not beyond November of the following year.
3. The Board of Directors shall prepare an annual investments scheme of the exceeding funds.
4. The Board of Directors shall prepare at least every three years an administrative budget to be presented along with the Board of Auditors comments, to the General Committee for the approval. The financial management of the Agency shall aim to keep a constant balance of the budget following the indications of the administrative budget.
The Agency annual report shall be transmitted by the General Committee to the independent audit committee of audit firm for the chartered accountancy and audit by subjects authorised under art. 1 of D.Lgs. 27 January 1992, n. 88 and following amendments.
PART IV
INFORMATION FOR MEMBERS
Article 21
Right to information
1. The Agency shall provide members and pensioners with all necessary informations in order to simplify the process of contributing or benefiting.
2. The Agency shall promulgate instructions about the guidelines of the Agency, and shall inform the members and pensioners on time about the amendments. The Agency shall also inform about the contracts entered into for the financial, insurance and administrative management of the capital assets.
3. The Agency shall assume and keep in consideration the suggestions and reports by the National Committees as set forth in art. 1, para. 1, by local agencies, by members and pensioners in order to improve the services offered.
4. The Agency shall guarantee the members and pensioners the exam and extraction of the documents, in respect of the privacy and personal information protection,
5. The privacy of the Agency members shall be set forth in the Regulations issued by General Committee under Italian law of 7 August 1990, n. 241, and following amendments, and under Italian law 675 of 31 December 1996.
PART V
TRANSITORY RULES
Article 22
Current Laws
1. Constituent Assembly, within forty days from the issuing of the decree set forth in art. 6, para. 5, of D.Lgs. 10 February 1996, n. 103, shall enforce the Voting Regulations and, in accordance to it, shall start the procedure aiming to the election of the members of the Agency bodies under art. 6 and 8 of this By-laws. The Voting Regulations, approved by the designed Ministry under art. 3, para. 2, letter a), of D.Lgs. 30 June 1994, n. 509, shall be approved by General Committee. In the execution of the procedures of establishment and taking office by the Agency bodies, the Assembly shall start the procedures for the registration of the Agency and shall provide for rising management of contributions.
The administrative operating of the Assembly shall be submitted to the General Committee.

Art. 5 Gli Organi
1. Sono Organi dell’Ente: a) il Consiglio di Indirizzo Generale; b) il Consiglio di Amministrazione; c) il Presidente; d) il Collegio dei Sindaci; e) il Comitato dei delegati.
Art. 6 Il Consiglio di Indirizzo Generale
1. I1 Consiglio di Indirizzo Generale è composto da un numero di membri elettivi corrispondente al rapporto di uno ogni mille iscritti all’Ente per ciascun Collegio Elettorale, suddivisi per ciascuna delle categorie professionali confluenti nell'Ente, con arrotondamento all’unità intera per ogni frazione inferiore a mille; esso dura in carica quattro anni, ed i componenti sono rieleggibili per non più di altri due mandati consecutivi. 2. Ai fini della identificazione dei membri di cui al precedente comma, il Presidente dell’Ente indice una sessione elettorale almeno tre mesi prima della scadenza del mandato del Consiglio di Indirizzo Generale, in conformità ad apposito regolamento elettorale che dovrà rispettare i seguenti criteri: a) il corpo elettorale sia suddiviso in quattro Collegi Elettorali, ciascuno corrispondente alle categorie professionali confluenti nell'Ente: Collegio elettorale dei dottori agronomi e dottori forestali Collegio elettorale degli attuari Collegio elettorale dei chimici Collegio elettorale dei geologi A ciascun Collegio Elettorale così identificato sia assegnato un numero di eleggibili corrispondente al rapporto di uno ogni mille o frazione di mille iscritti all'Ente; b) sia disposto presso la sede dell'Ente apposito seggio elettorale per l’espressione e la raccolta del voto, nonché per lo spoglio delle schede, da effettuare separatamente per ciascuno dei Collegi Elettorali; c) sia ammesso il voto per corrispondenza; mentre non sia ammesso il voto per delega; d) nell’ambito di ciascun Collegio Elettorale siano eleggibili tutti e soltanto gli iscritti all’Ente, con esclusione di quelli di cui all'art. 1, comma 2, del d. lgs. 10 febbraio 1996, n. 103; e) sia rispettato il principio della libertà di candidatura; f) il voto sia espresso da ciascun elettore nominativamente nell'ambito del Collegio Elettorale di appartenenza mediante l'espressione di una sola preferenza; g) sia considerata valida l’elezione quando abbia partecipato al voto almeno un quarto degli aventi diritto al voto per ciascun Collegio Elettorale; h) sia prevista una seconda tornata elettorale per ciascun Collegio, quando non sia soddisfatta la condizione di cui alla precedente lettera g), risultando in tal caso valida l’elezione qualunque sia il numero di votanti; i) per ciascun Collegio Elettorale siano proclamati eletti dal Presidente dell'Ente, nei limiti di cui alla precedente lettera a), coloro che abbiano conseguito il numero più elevato di voti ed accettino l’incarico. 3. All’esito della procedura di cui al comma precedente, i componenti eletti nel Consiglio di Indirizzo Generale vengono insediati, sempre che risultino in possesso dei requisiti di onorabilità e di professionalità di cui all’art. 13, dal Presidente dell’Ente e nella prima seduta provvedono ad eleggere nel loro ambito un Coordinatore ed un Segretario. Il Consiglio di Indirizzo Generale provvede ad elaborare un proprio regolamento di funzionamento entro sei mesi dall’insediamento. Il possesso dei requisiti sopra indicati deve essere comprovato da apposita dichiarazione sostitutiva dell’atto di notorietà rilasciata dall’interessato fin dal momento della presentazione della candidatura, recante altresì il curriculum delle attività svolte. 4. Il Comitato Fondatore indice la prima tornata elettorale entro sei mesi dal completamento delle iscrizioni. 5. Il regolamento elettorale di cui al comma 2 dispone, con il rispetto dei medesimi criteri, anche per le elezioni relative ai componenti del Consiglio di Amministrazione ed ai componenti dei Comitati dei Delegati. 6. I Componenti del Consiglio di Indirizzo Generale decaduti, dimissionari o deceduti, sono sostituiti secondo i criteri e le modalità previste dal regolamento elettorale.

Art. 7 Funzionamento e compiti del Consiglio di Indirizzo Generale
1. Il Consiglio di Indirizzo Generale si riunisce almeno tre volte all’anno su convocazione e sotto la presidenza del proprio Coordinatore, che ne fissa l’ordine del giorno, salva richiesta di integrazione dello stesso da parte di almeno un terzo dei componenti dell’organo. 2. La convocazione, mediante lettera raccomandata o a mezzo fax, confermato da telegramma, deve inviarsi almeno otto giorni prima di quello fissato per la riunione e contenere la indicazione del luogo, del giorno e dell’ora della riunione stessa e dell’ordine del giorno da trattare. In caso di urgenza, il termine può essere ridotto a tre giorni. 3. Il Consiglio di Indirizzo Generale delibera con la presenza di almeno i due terzi dei componenti ed a maggioranza assoluta dei presenti; in caso di parità prevale il voto del Coordinatore. 4. Ogni componente ha diritto ad un voto. Le deliberazioni sono prese a scrutinio segreto qualora riguardino persone. 5. I verbali del Consiglio di Indirizzo Generale vengono firmati dal Coordinatore e dal Segretario. 6. Spetta al Consiglio di Indirizzo Generale: a) nominare il componente del Collegio dei Sindaci; b) definire le direttive, i criteri e gli obiettivi generali delle forme di previdenza e di assistenza dell'Ente; c) definire i criteri generali di investimento e di disinvestimento per le successive determinazioni del Consiglio di Amministrazione; d) deliberare le modifiche dello Statuto e le modifiche del Regolamento per l’attuazione degli scopi dell'Ente su proposta del Consiglio di Amministrazione; e) deliberare le modificazioni del regolamento elettorale, anche su proposta del Consiglio di Amministrazione; f) deliberare altresì l’adozione e la modificazione di disposizioni regolamentari e di carattere generale su proposta del Consiglio di Amministrazione; g) deliberare, entro il 30 aprile di ogni anno, il rendiconto dell’Ente riferito all’esercizio dell’anno precedente, predisposto dal Consiglio di Amministrazione; h) deliberare il bilancio di previsione dell’Ente, proposto dal Consiglio di Amministrazione, non oltre il 31 ottobre di ciascun anno; nonché le successive note di variazione alla prima seduta utile e comunque non oltre il 30 novembre dell’anno di riferimento del bilancio; i) scegliere i soggetti, iscritti al registro di cui all’art. 1 del d. lgs. 27 gennaio 1992, n. 88, e successive modificazioni e integrazioni, cui affidare la revisione contabile indipendente e la certificazione dei rendiconti annuali; j) deliberare l’approvazione del bilancio tecnico-attuariale dell’Ente con periodicità almeno triennale e, comunque, ogni qualvolta si renda necessario in relazione all’andamento economico-finanziario dell’Ente; deliberare in ordine alle proposte di cui all’art. 9, comma 2, lettera p); k) determinare gli emolumenti, le indennità ed i gettoni di presenza per il Presidente, i componenti del Consiglio di Amministrazione ed i componenti del Collegio dei Sindaci, nonché i gettoni di presenza ed i rimborsi spese per i componenti dei Comitati dei Delegati. 7. Le deliberazioni di cui alle lettere d), e), j), seconda parte del comma 6 sono sottoposte all’approvazione del Ministero del Lavoro e della Previdenza Sociale, nonché del Ministero del Tesoro, del Bilancio e della Programmazione Economica ai sensi dell’art. 3, comma 2, del d. lgs. 30 giugno 1994, n. 509. Le deliberazioni di cui alle lettere b), c), g), h) e j) dello stesso comma 6 sono trasmesse al Ministero del Lavoro e della Previdenza Sociale nonché al Ministero del Tesoro, del Bilancio e della Programmazione Economica ai sensi e per gli effetti dell’art. 3, comma 3, del d. lgs. 30 giugno 1994, n. 509.

Art. 8 Il Consiglio di Amministrazione
1. Fatto salvo quanto disposto dall'art. 6, comma 1, lettera b), del d. lgs. 10 febbraio 1996, n. 103, il Consiglio di Amministrazione è composto di quattro membri, nominati dal Presidente dell’Ente su deliberazione del Consiglio di Indirizzo Generale, sulla base della designazione effettuata dal Consiglio Nazionale di ciascuna delle categorie interessate, seguendo la graduatoria dei risultati della elezione indetta separatamente per ciascuna categoria contemporaneamente alle elezioni di cui all'art. 6. 2. Il Consiglio di Amministrazione dura in carica fino alla scadenza del mandato del Consiglio di Indirizzo Generale e ciascun consigliere può essere rinominato per non più di altri due mandati consecutivi. 3. La carica di Consigliere di Amministrazione è incompatibile con quella di componente del Consiglio Nazionale di ciascuna delle categorie interessate nonché con quella di componente del Consiglio di Indirizzo Generale, di Sindaco e con quella di componente del Comitato dei Delegati. In caso di elezione del medesimo soggetto in più organismi l’interessato deve optare per una sola carica entro quindici giorni dall’elezione a pena di decadenza. 4. La carica di Consigliere di Amministrazione è altresì incompatibile per coloro che svolgano funzioni di amministratore presso altre Casse o Enti di previdenza. 5. I componenti del Consiglio di Amministrazione devono possedere il requisito della onorabilità e della professionalità di cui all’art. 13, e devono comunque appartenere all'area degli iscritti di cui all'art. 1, comma 1, del d. lgs. 10 febbraio 1996, n. 103. 6. Il possesso dei requisiti di cui al comma 5 deve essere comprovato da apposita autocertificazione dell’interessato fin dal momento della presentazione della candidatura, recante altresì il curriculum delle attività svolte. 7. I componenti del Consiglio di Amministrazione decaduti, dimissionari o deceduti, sono sostituiti secondo i criteri e le modalità previste dal regolamento elettorale.
Art. 9 Poteri del Consiglio di Amministrazione
1. I1 Consiglio di Amministrazione ha tutti i poteri per la gestione dell’Ente da esercitare in coerenza con le indicazioni del Consiglio di Indirizzo Generale. 2. In particolare spetta al Consiglio di Amministrazione dell’Ente: a) eleggere al suo interno il Presidente ed il Vice-Presidente dell’Ente; b) deliberare l’assunzione del Direttore dell’Ente e determinarne il trattamento normativo ed economico; c) proporre al Consiglio di Indirizzo Generale le modifiche dello Statuto e le modifiche del Regolamento per l’attuazione delle forme di previdenza e di assistenza dell'Ente; d) proporre al Consiglio di Indirizzo Generale le modifiche del regolamento elettorale tenendo conto delle indicazioni del Consiglio di Indirizzo Generale; e) predisporre entro il 31 marzo di ogni anno il rendiconto dell’Ente riferito all’esercizio dell’anno precedente; f) fpredisporre il bilancio di previsione dell’Ente non oltre il 30 settembre di ciascun anno, nonché le eventuali note di variazione; g) deliberare l’organigramma dell’Ente su proposta del Direttore; h) definire il trattamento giuridico ed economico del personale in conformità agli accordi collettivi; i) determinare gli emolumenti, le indennità ed i gettoni di presenza per il Coordinatore, il Segretario ed i componenti del Consiglio di Indirizzo Generale; l) deliberare i criteri direttivi generali per l’assetto amministrativo-contabile dell’Ente, di cui all'art. 18; m) applicare i criteri di investimento e disinvestimento definiti dal Consiglio di Indirizzo Generale, stabilendo i piani annuali e pluriennali; n) deliberare, nell’ambito dei criteri di cui alle lettere l) ed m) e dopo aver acquisito il parere del Consiglio di Indirizzo Generale, la stipulazione di convenzioni con enti esterni per la gestione finanziaria, assicurativa, contabile e amministrativa dell’Ente, sulla base dei principi della conservazione della titolarietà dei valori di investimento, della separatezza tra gestore e depositario, nonché della piena affidabilità degli interlocutori finanziari; o) deliberare sulla accettazione di eventuali donazioni e lasciti a favore dell’Ente; p) proporre, acquisite le risultanze del bilancio tecnico-attuariale e tenendo conto delle proposte formulate da ciascuno dei Comitati dei Delegati previsti dall'art. 10, i provvedimenti necessari ad assicurare l’equilibrio economico-finanziario dell’Ente;

q) deliberare, per migliorare l’efficienza organizzativa e gestionale dell’Ente, l’adozione di forme di collaborazione con altri Enti o strutture che operino per il perseguimento di scopi omogenei o funzionali a quelli propri dell’Ente; allo stesso scopo può assumere partecipazioni societarie, costituire società anche di servizi, concorrere alla formazione di consorzi con Enti similari; r) deliberare su tutti gli argomenti che siano sottoposti al suo esame dal Presidente, anche su richiesta di due Consiglieri di Amministrazione o di 1/3 dei membri del Consiglio di Indirizzo Generale o dal Collegio Dei sindaci; s) esercitare tutte le altre attribuzioni che siano ad esso demandate dalle leggi, decreti e regolamenti, nonché dal presente Statuto e dai regolamenti attuativi e su ogni altro oggetto comunque inerente il conseguimento degli obiettivi dell’Ente; t) provvedere all’applicazione del Regolamento per l’attuazione delle attività di previdenza ed assistenza ed a tal fine propone al Consiglio di Indirizzo Generale di adottare e modificare le disposizioni regolamentari e di carattere generale; u) fissare l’entità e le modalità dei rimborsi spese da riconoscere ai Consigli Nazionali delle categorie interessate per le funzioni agli stessi demandate dall’Ente, sentito il Consiglio di Indirizzo Generale. 3. Le deliberazioni di cui alla lettera l) dello stesso comma 2 sono trasmesse al Ministero del Lavoro e della Previdenza sociale ed al Ministero del Tesoro, del Bilancio e della Programmazione Economica, ai sensi e per gli effetti dell’art. 3, comma 3, del d. lgs. 30 giugno 1994, n. 509.
Art. 10 Comitati dei Delegati
1. Per ciascuna delle categorie professionali, quali individuate dall'art. 1 del presente Statuto, viene costituito ai sensi dell'art. 6, comma 2, lettera b), del d. lgs. 10 febbraio 1996, n. 103, un Comitato di Delegati, composto di tre membri eletti dagli iscritti appartenenti a ciascuno dei Collegi elettorali di cui all'art. 6. 2. I componenti di ciascun Comitato vengono eletti, con separata elezione, nella stessa tornata elettorale indetta per la elezione dei componenti del Consiglio di Indirizzo Generale, con le modalità previste dal Regolamento di cui all’art. 22; essi devono possedere il requisito della onorabilità di cui all’art. 13, e devono comunque appartenere all'area degli iscritti di cui all'art. 1, comma 1, del d. lgs. 10 febbraio 1996, n. 103. 3. Il possesso del requisito di cui al precedente comma deve essere comprovato da apposita autocertificazione dell’interessato fin dal momento della presentazione della candidatura. 4. I componenti di ciascuno dei Comitati, decaduti, dimissionari o deceduti, sono sostituiti secondo i criteri e le modalità previste dal regolamento elettorale. 5. Ciascun Comitato si riunisce almeno ogni sei mesi, nomina nel proprio seno un Coordinatore e definisce esso stesso le regole del suo funzionamento. 6. Il Comitato, per l’espletamento delle proprie funzioni quali previste dall’art. 6, comma 2, lettera b, del d. lgs. 103/96, valuta i dati relativi al flusso di contributi e di prestazioni della categoria di appartenenza, avvalendosi della collaborazione degli uffici dell'Ente ed eventualmente dell'attuario indicato dall'Ente stesso. 7. Ciascun Comitato propone al Consiglio di Amministrazione l'adozione delle misure idonee alla conservazione dell'equilibrio gestionale.
Art. 11 Convocazione del Consiglio di Amministrazione
1. Il Consiglio di Amministrazione si riunisce almeno ogni due mesi e comunque ogni volta che il Presidente ne ravvisi la necessità. La fissazione dell’ordine del giorno compete al Presidente, che è comunque tenuto ad inserire gli argomenti che vengano indicati da almeno due Consiglieri di Amministrazione o da 1/3 dei membri del Consiglio di Indirizzo Generale o dal Collegio dei Sindaci. 2. La convocazione, mediante lettera raccomandata o a mezzo fax, confermato da telegramma, deve inviarsi almeno otto giorni prima di quello fissato per la riunione e contenere la indicazione del luogo, del giorno e dell’ora della riunione stessa nonché dell’ordine del giorno da trattare. In caso di urgenza, il termine può essere ridotto a tre giorni. 3. Per la validità delle sedute del Consiglio è necessaria la presenza di un numero di Consiglieri pari ad almeno i due terzi. 4. Ogni Consigliere ha diritto ad un voto. Le deliberazioni sono prese a maggioranza dei voti espressi ed a scrutinio segreto qualora riguardino persone. In caso di parità prevale il voto del Presidente. 5. Il Direttore svolge le funzioni di segretario del Consiglio di Amministrazione. 6. I verbali del Consiglio di Amministrazione vengono firmati dal Presidente e dal Segretario e trascritti nell’apposito libro dei verbali.

Art. 12 Il Presidente
1. Il Presidente, eletto nel suo ambito dal Consiglio di Amministrazione nella seduta di insediamento, dura in carica quattro anni e può essere confermato per non più di altre due volte consecutive. Il Presidente rimane in carica fino all’elezione del nuovo Presidente, provvedendo altresì a convocare il nuovo Consiglio di Amministrazione, promuovendone l’insediamento. 2. Spetta al Presidente: a) la legale rappresentanza dell’Ente; b) convocare e presiedere il Consiglio di Amministrazione, definendo gli argomenti all’ordine del giorno; c) vigilare, in collaborazione con gli Uffici dell’Ente, sull’attuazione delle deliberazioni del Consiglio di Amministrazione; d) firmare gli atti ed i documenti che determinano impegni ed assunzione di obblighi per l’Ente; e) adottare, in caso di necessità, provvedimenti urgenti, salvo ratifica del Consiglio di Amministrazione nella prima seduta utile; f) assolvere a tutte le altre funzioni demandategli dallo Statuto, dalle leggi e dai regolamenti. In caso di assenza o impedimento, il Presidente è sostituito dal Vice-Presidente.
Art. 13 Requisiti di onorabilità e di professionalità
1. La nomina a componente degli Organi dell’Ente è subordinata al possesso del requisito di onorabilità. 2. Sono considerati requisiti di onorabilità: a) non aver riportato condanne definitive, ivi comprese le sanzioni sostitutive di cui alla legge 24 novembre 1981, n. 689, per delitti contro il patrimonio, contro la Pubblica Amministrazione, contro la pubblica fede, contro l’economia pubblica o per delitti non colposi per i quali la legge preveda la pena della reclusione non inferiore, nel massimo, a cinque anni; b) non essere stati sottoposti alle misure di prevenzione disposte ai sensi della legge 27 dicembre 1956, n. 1423 o della legge 31 maggio 1965, n. 575 e successive modificazioni ed integrazioni. 3. Sono cause di decadenza dalla carica di componente degli Organi dell’Ente, oltre all’intervenuta perdita di requisiti di cui al comma 2: a) aver subito negli ultimi cinque anni, quale conseguenza di un procedimento disciplinare o penale, la sospensione con sentenza definitiva dall’iscrizione all’Albo Professionale; b) essere stato dichiarato responsabile di inadempienze verso l’Ente con sentenza definitiva. 4. Il requisito della professionalità richiesto dall’art. 1, comma 4, lettera b) del d. lgs. 30 giugno 1994, n. 509, per i componenti del Consiglio di Indirizzo Generale e del Consiglio di Amministrazione, si intende soddisfatto nel caso di iscritti che abbiano conseguito capacità ed esperienza amministrativa per aver svolto funzioni dirigenziali, consiliari o amministrative in organi collegiali per uno o più periodi complessivamente non inferiori ad un triennio, presso gli organi nazionali o periferici delle categorie interessate o presso altre istituzioni pubbliche e private di significative dimensioni.
Art. 14 Collegio dei Sindaci
1. Il Collegio dei Sindaci è composto da tre membri effettivi e tre supplenti, dei quali: a) un membro effettivo ed uno supplente designati dal Ministero del Lavoro e della Previdenza Sociale che presiede il Collegio; b) un membro effettivo ed uno supplente designati dal Ministero del Tesoro; c) un membro effettivo ed uno supplente scelti tra gli iscritti obbligatori all’Ente, con esclusione dei componenti del Consiglio di Indirizzo Generale, del Consiglio di Amministrazione e dei Comitati dei delegati. 2. Il Collegio dei Sindaci rimane in carica tre anni ed i suoi componenti possono essere riconfermati per non più di altri due mandati consecutivi. 3. Il Collegio dei Sindaci è nominato con deliberazione del Consiglio di Indirizzo Generale. Il Collegio rassegna a detto Consiglio nonché al Consiglio di Amministrazione dell’Ente una relazione annuale sui risultati dei controlli eseguiti sull’andamento della gestione. I controlli sulla gestione dell’Ente sono esercitati dai Sindaci secondo le normative vigenti in materia e le norme del Codice Civile in quanto applicabili. In particolare il Collegio dei

Sindaci esamina i bilanci preventivi e le relative variazioni, i rendiconti annuali, sui quali formula le proprie osservazioni e conclusioni, nonché i bilanci tecnico-attuariali. 4. I Sindaci possono intervenire alle sedute del Consiglio di Indirizzo Generale e a quelle del Consiglio di Amministrazione; l’assenza dei Sindaci non pregiudica, comunque, la validità delle adunanze e delle relative deliberazioni. I Sindaci assistono altresì il Presidente dell'Ente nelle operazioni di scrutinio elettorale. 5. I Sindaci svolgono le rispettive funzioni ai sensi degli articoli 2403 e seguenti del Codice Civile in quanto applicabili.
Art. 15 Obblighi, funzioni ed attività dei Consigli Nazionali delle categorie interessate
1. Ai Consigli Nazionali delle categorie interessate, che si avvalgono ai sensi dell'art. 8, comma 1, del d. lgs. 10 febbraio 1996, n. 103, dei corrispondenti enti territoriali, vengono demandati i seguenti obblighi, funzioni ed attività: a) assolvono alle mansioni demandate dall’Ente per lo svolgimento delle assemblee per la elezione degli Organi dell’Ente; b) trasmettono l’elenco dei nominativi degli iscritti agli Albi, corredato dei dati anagrafici ed identificativi della condizione professionale entro sessanta giorni dalla istituzione dell’Ente; c) comunicano entro il mese di febbraio di ogni anno le variazioni intervenute nell'Albo al 31 dicembre dell’anno precedente; d) svolgono altre funzioni demandate dall’Ente, correlate a quelle di cui alle precedenti lettere.
TITOLO III LA GESTIONE FINANZIARIA
Art. 16 Entrate ed esercizio finanziario
1. Costituiscono entrate dell’Ente: a) i contributi a carico degli iscritti; b) i contributi a carico dell’utenza; c) i contributi obbligatori per la maternità; d) i contributi per eventuali forme di assistenza e previdenza integrative, i contributi di riscatto, di eventuale integrazione dei contributi minimi versati in misura ridotta e di prosecuzione volontaria, nonché i contributi di ricongiunzione di più posizioni previdenziali; e) gli interessi e le rendite del patrimonio anche derivanti dalle convenzioni di gestione finanziaria ed assicurativa; f) i proventi di eventuali sanzioni ed interessi; g) eventuali lasciti, donazioni, elargizioni o provvidenze da qualsiasi parte provengano; h) qualunque eventuale altra entrata. 2. L’esercizio finanziario dell’Ente ha inizio il 1 gennaio e termina il 31 dicembre di ogni anno. Il primo esercizio termina il 31 dicembre dell’anno successivo a quello di avvio dell’attività dell’Ente se verificatosi nell’ultimo quadrimestre, salvi gli adempimenti fiscali.
Art. 17 Il patrimonio
1. Il patrimonio dell’Ente è costituito da valori mobiliari, immobiliari e quote di partecipazioni in società. Gli elementi patrimoniali affidati in gestione ad istituzioni finanziarie ed assicurative restano nella titolarità dell’Ente.

Art. 18 L’assetto amministrativo-contabile
1. L’Ente organizza l’assetto amministrativo e contabile della gestione conformemente al sistema contributivo di cui all'art. 1 della legge 8 agosto 1995, n. 335, con evidenziazione dei flussi connessi ai contributi e alle prestazioni per ciascuna delle categorie professionali di cui all'art. 1, comma 1, del presente Statuto. 2. Nell’assetto di cui sopra sono registrate le posizioni individuali degli iscritti, definite ai sensi dell’art. 12, commi 3, 4, 5, 6 e 8 del Regolamento, destinate a confluire nel conto pensioni di cui all'art.19. 3. In conto separato viene evidenziato l’ammontare complessivo del gettito della contribuzione integrativa, sul quale gravano anche le spese di gestione dell’Ente. 4. In conto separato viene evidenziato l’ammontare complessivo del gettito del contributo di solidarietà, sul quale gravano gli eventuali riequilibri gestionali tra le categorie professionali di cui all’art.1, comma 1. 5. In conto separato viene evidenziato l’ammontare complessivo del gettito del contributo di maternità, sul quale gravano le corrispondenti indennità.
Art. 19 Conto pensioni
1. In conformità al sistema contributivo, alla data di decorrenza della pensione del singolo iscritto, il montante individuale viene iscritto in un conto di riserva denominato conto pensioni. In sede di verifica periodica tecnicoattuariale si accerta la condizione di equilibrio del fondo, e le eventuali esigenze di mantenimento dell'equilibrio vengono soddisfatte mediante trasferimento delle disponibilità dal conto di cui all'art. 18, comma 3. Comunque, qualora, a fine esercizio l’ammontare complessivo del conto dovesse risultare inferiore all’importo di cinque volte l’entità delle prestazioni erogate nel corso dell’esercizio stesso, viene parimenti trasferita la somma necessaria a ripristinare tale livello di consistenza dal conto di cui all’art. 18, comma 3. 2. La gestione della riserva di cui al comma 1 può essere affidata in regime convenzionale ad istituto assicurativo o finanziario di primaria importanza, con forme di investimento che tengano conto delle esigenze di liquidità dell’Ente e si ispirino a criteri di oculata gestione. La convenzione deve prevedere la conservazione della riserva di che trattasi in capo all’Ente, insieme con misure idonee a conseguire la necessaria disponibilità delle risorse.
Art. 20 Bilancio ed altri documenti di gestione.
1. Per ciascun esercizio finanziario il Consiglio di Amministrazione predispone entro il 31 marzo di ciascun anno il rendiconto dell’esercizio precedente e lo propone, corredato della relazione del Collegio dei Sindaci, per l’approvazione entro il 30 aprile da parte del Consiglio di Indirizzo Generale. 2. Il Consiglio di Amministrazione predispone entro il 30 settembre di ciascun anno il bilancio di previsione dell’esercizio successivo e lo propone, corredato della relazione del Collegio dei Sindaci, per l’approvazione entro il 31 Ottobre da parte del Consiglio di Indirizzo Generale. Il Consiglio di Amministrazione predispone altresì le relative variazioni e le propone, corredate della relazione del Collegio dei Sindaci, per l’approvazione da parte del Consiglio di Indirizzo Generale alla prima seduta utile e comunque non oltre il mese di novembre dell’anno successivo. 3. Il Consiglio di Amministrazione predispone, inoltre, con cadenza annuale, il piano di impiego dei fondi disponibili intendendo per tali le somme eccedenti la normale liquidità di gestione. 4. Il Consiglio di Amministrazione, infine, predispone almeno ogni tre anni il bilancio tecnico-attuariale dei trattamenti dell’Ente e lo propone, corredato della relazione del Collegio dei Sindaci, per l’approvazione da parte del Consiglio di Indirizzo Generale. La gestione economico-finanziaria dell’Ente deve costantemente mirare ad assicurare il principio dell’equilibrio del bilancio, coerentemente alle indicazioni risultanti dal bilancio tecnico-attuariale. Art. 21 Diritto di informazione
1. L’Ente fornisce agli iscritti ed ai pensionati tutte le informazioni utili per semplificare gli adempimenti, sia in fase di contribuzione, sia in fase di erogazione delle prestazioni. 2. In particolare l’Ente diffonde fra gli iscritti ed i pensionati la raccolta delle disposizioni che regolano la vita dell’Ente, e comunica tempestivamente tutte le variazioni ad esse apportate. Dà altresì informazioni sul contenuto delle convenzioni stipulate per la gestione finanziaria, assicurativa ed amministrativa del patrimonio dell’Ente. 3. L’Ente acquisisce e prende adeguatamente in considerazione le proposte e le segnalazioni effettuate dei Consigli Nazionali di cui all’art. 1, comma 1, dei corrispondenti Enti territoriali, degli iscritti e dei pensionati al fine di migliorare i servizi e le prestazioni dell’Ente. 4. Nel rispetto dei principi di riservatezza di terzi, l’Ente garantisce agli iscritti e pensionati la visione e l’estrazione di copia degli atti la cui conoscenza sia necessaria per curare o difendere i loro interessi giuridici. 5. La disciplina dell’accesso ai documenti e la tutela delle situazioni soggettive degli iscritti all’Ente e degli altri aventi titolo è regolata da Regolamento adottato dal Consiglio di Amministrazione sulla base dei principi della legge 7 agosto 1990, n. 241, ed eventuali modifiche ed integrazioni, nonchè della legge 675 del 31 dicembre 1996.

Art. 22 Norme di prima applicazione
1. Il Comitato Fondatore, entro quaranta giorni dalla emanazione del decreto di cui all’art. 6, comma 5, del d. lgs. 10 febbraio 1996, n. 103, adotta il regolamento elettorale e, in conformità a questo, dà celere attuazione alle procedure per l’elezione dei componenti degli Organi dell’Ente ai sensi degli articoli 6 e 8 del presente Statuto e nei termini ivi previsti. Il regolamento elettorale, approvato dai Ministeri vigilanti ai sensi dell’art. 3, comma 2, lettera a), del d. lgs. 30 giugno 1994, n. 509, è sottoposto a ratifica o modifica da parte del Consiglio di Indirizzo Generale. Nelle more dell’espletamento delle procedure per la costituzione e l’insediamento degli organi statutari, il predetto Comitato avvia le procedure per l’iscrizione all’Ente e provvede alla raccolta e gestione dei contributi. Le attività amministrative svolte dal Comitato sono presentate al Consiglio di Indirizzo Generale che ne prenderà atto in quanto legittime.

actors on the corporate law stage will likely be able to choose their preferred national corporate law, irrespective of where the corporation is headquartered or does most of its business, whereas it will become harder for Member States to pursue their particular policies in view of regulatory competition.77 For the future development of European corporate law, the inºuence of the European “federal” level may be crucial. In some ways, the European Union can be compared to U.S. federal authorities as an actor in corporate governance issues. In a recent article, Professor Mark Roe persuasively argues that in the United States, Congress, the federal courts, and the SEC have a powerful inºuence on the development of state corporate law. This inºuence precludes actors in individual states, including Delaware (the state where most public companies are incorporated), from pursuing their own policies without inhibition, for federal control may be exercised by means of actual legislation or other direct intervention, as well as by the mere threat of federalization.78 In view of the recent ECJ case law, Professor Roe points out that the development of European corporate law on the national level will thus depend on whether and in what direction the E.U. “federal” level pulls national laws.79 As to the present situation, it is safe to say that the inºuence of European institutions on corporate governance is weak compared to those in the U.S. context. ECJ cases on European corporate law have remained relatively rare, and the European Union still lacks a transnational capital markets enforcement authority such as the SEC, let alone a transnational stock exchange comparable to the New York Stock Exchange (“NYSE”), which can inºuence corporate governance in listed companies.80 There is a considerable amount of “derived” E.U. corporate law in the form of directives, but these are often seen as ineffectual.81 Some commentators have argued that European directives have avoided dealing with issues that are really important for corporate governance, such as the structure of corporate decisionmaking bodies82 or

ªduciary duties.83 Where the directives have dealt with vital issues, some Member States have been able to circumvent them by applying narrow constructions that have never been challenged before the ECJ, such as in the cases of the directives on mergers and spin-offs,84 or the Second Directive’s requirements for raising and maintaining capital.85 The accounting requirements of the Fourth and Seventh Directives include an exceedingly large number of elective provisions that allow Member States either to decide the issue on the basis of their own judgment or to pass the question on to individual companies.86
B. Judicial Activism and Future Legislation: The Path Toward Increased Supranational Inºuence? The Advocate General’s opinion discussed in this note might be seen as one step—complementary to the ECJ’s opening up of E.U. corporate law for regulatory competition—in tightening the boundaries set by E.U. law within which national actors may operate. However, it is unclear whether the speciªc regulatory path proposed by the Advocate General would prove optimal. The doctrinal argument for the newly created duty of Member States to deter accounting fraud adequately should preferably not rest on an analogy to the duty to deter nondisclosure of ªnancial statements, but on the principle of effet utile alone.87 This principle could also enhance the effectiveness of the European Corporate Law Directives in general. Whereas the ECJ has not often had the opportunity to restrict Member States’ scope of discretion in the interpretation of Community corporate law by extensively interpreting directives or restraining even the most blatant circumventions, effet utile could be taken as a basis to ensure that the policies embodied in the Corporate Law Directives are taken seriously by Member States’ legislators and courts. Conceivably, such an approach could result in a strengthening of Community-derived corporate law in the long run. The general principle of effet utile has great potential, as Member

States are required to follow ECJ opinions, and, over time, the requirements of E.U. law will be speciªed in more detail by the court in future cases. One example where the effectiveness of European harmonization is somewhat in doubt is insider trading. Although a directive requiring Member States to prohibit insider trading was issued in 1989,88 there has been comparatively little success in enforcement.89 However, current E.U. insider trading law requires sanctions imposed by Member States to be “effective, proportionate, and dissuasive.”90 A strong stance by the ECJ on the effectiveness of sanctions might, in the years to come, imply that Member States will be required to strengthen their enforcement systems or even impose more severe penalties. Such an activist judicial approach is not without problems, as it may generate further issues that courts will be called upon to resolve. The Berlusconi case’s examination of the meaning of “dissuasive penalties” is illustrative. As discussed above,91 it is likely that this term will mean something different— i.e., greater penalties—in cases of accounting fraud than in cases of mere failure to disclose. In any case, the strong stance taken by the Advocate General is in line with the policy pursued by the E.U. Commission to promote more Community involvement by means of legislation in both corporate governance and ªnancial reporting. With respect to accounting requirements, the strengthening of the European level of regulation seems to be coming, in part, from legislation. Perhaps most importantly, an E.U. regulation adopted in 2002 requires public companies to use International Financial Reporting Standards (“IFRS”) (formerly known as International Accounting Standards (“IAS”)) for their consolidated statements beginning in 2005.92 The large number of elective provisions in the Accounting Directives (most of which are related to substantive issues of accounting) effectively allowed Member States to maintain their accounting traditions, and failed to provide uniform, comparable ªnancial statements.93 Pressure from capital markets to introduce a 88. uniform set of accounting standards prompted the Commission to support the efforts of the International Accounting Standards Committee and then to implement IAS for the consolidated accounts of European publicly traded ªrms.94 Furthermore, the Commission has recently proposed a new auditor directive that is to include speciªc provisions on auditor independence, requirements for audit committees, and rules for the auditor appointment and dismissal processes.95 Following a report on corporate governance by the High Level Group of Company Law Experts,96 it also issued an action plan that, among other things, aims at strengthening shareholder rights and improving board composition, foremost with respect to independent directors and audit committees.97 However, with respect to accounting enforcement and especially account fraud, the increased credibility may be enhanced by judicial activity. The opinion discussed in this Note and the ECJ ruling that is expected to follow may become important steps along the way. This growth of E.U. accounting and corporate law can be seen as a reaction to developments in U.S. law. With the U.S. Congress “federalizing” issues of corporate governance through the Sarbanes-Oxley Act of 2002 and generally trying to strengthen the ªnancial reporting environment, for example by extending auditor independence requirements,98 it has become a priority for the Commission and European policymakers to follow suit. For example, there has been a clear inºuence of U.S. law on the Commission’s recommendation on auditor independence99 and on a recent German act implementing, among other things, amendments to auditor independence requirements.100 This is due in part to the many important European companies that are crosslisted on the NYSE.

In the United States, regulating the accounting practices of publicly traded ªrms has long been a prerogative of institutions at the federal level, most of all the SEC, which sets forth requirements for annual ªnancial disclosure in Regulation S-X.101 Enforcement of ªnancial accounting standards and prevention of fraud is thus also an issue of SEC activity. With Sarbanes-Oxley, the U.S. Congress tried to deter fraud by implementing harsher penalties.102 In contrast, in spite of E.U. directives on accounting, so far accounting fraud in Europe has been left completely to the national legislatures and enforcement bodies. The Advocate General’s opinion and the ECJ’s expected ruling represent initial moves toward a federal regime more like the one in the United States. If the ECJ is serious about the “dissuasive penalties” requirement, at least some aspects of enforcement must be taken out of the hands of national actors. If more serious penalties result in increased deterrence of accounting fraud, this shift is likely to be beneªcial. The highly politicized Berlusconi case shows how national actors can be subject to conºicts of interest resulting from peculiar political circumstances. On a more general level, national legislators may sometimes be targets for local pressure groups in corporate law.103 Even though the European supranational level is probably an equally good breeding ground for lobbyists, the ECJ’s independent position appears to provide an effective balancing force at least when lobbyists prevail upon the national level, as in this case. We therefore agree with the strong policy statement implied in the Advocate General’s opinion. In conjunction with the introduction of International Financial Reporting Standards for consolidated accounts of listed companies beginning in 2005, Europe seems to be on the right track toward a ªnancial accounting system that will be taken seriously by investors across national borders. —Martin Gelter * Mathias M. A.“Debolezza” del diritto societario comunitario?
A prescindere dalle diverse interpretazioni in questione, il caso “Berlusconi” può essere visto come un notevole passo avanti nello sviluppo del diritto societario comunitario, e in particolar modo in considerazione della recente giurisprudenza della Corte di giustizia europea. Prendendo in esame la situazione recente, il cambiamento più importante arriva da una serie di casi che hanno cominciato a definire l’UE come un mercato per il diritto societario multiforme ed affine alla moltitudine di leggi e normative presenti negli USA76. Verosimilmente, nel futuro le aziende potranno decidere quale diritto societario nazionale applicare alla loro attività, a prescindere dalla loro sede legale o dalla zona nella quale operano maggiormente. Allo stesso tempo, nella prospettiva della concorrenza tra ordinamenti77 diventerà sempre più arduo il compito degli Stati membri a continuare la loro gestione separata.
Per il futuro sviluppo del diritto societario comunitario, l’ascendente dell’UE al livello “federale” sarà determinante. Sotto certi aspetti, l’UE può essere paragonata alle autorità federali statunitensi come parte attiva nelle questioni riguardanti l’amministrazione d’impresa (corporate governance). Il Prof. Mark Roe, in un recente articolo, sostiene in maniera convincente che negli USA il Congresso, le corti federali, e la SEC (Commissione di controllo sui titoli e la borsa) hanno una forte influenza sullo sviluppo del diritto societario nazionale. Detta influenza fa sì che le società nei singoli stati, incluso Delaware (lo stato che registra il maggior numero di società per azioni), non possono condurre un’amministrazione libera in quanto il controllo federale può essere esercitato sia mediante la legislazione e simili interventi diretti, sia mediante la minaccia di federalizzazione.78 Il Prof. Roe, alla luce della recente giurisprudenza della Corte di Giustizia dell’UE, fa notare come lo sviluppo del diritto societario comunitario al livello nazionale dipenderà dalla direzione nella quale l’UE potenzialmente spingerà gli ordinamenti individuali.79
Allo stato attuale delle cose, si può tranquillamente affermare che l’influenza delle istituzioni comunitarie sull’amministrazione delle singole società è debole se paragonata agli USA. Le cause di diritto societario comunitario innanzi alla Corte di Giustizia sono ancora relativamente rare e nell’UE ancora manca un ente di controllo del mercato finanziario transnazionale come la SEC, per non parlare poi della borsa di valori di New York (NYSE) che è in grado di influenzare l’amministrazione delle società quotate in borsa.80 La considerevole quantità di normative comunitarie nell’ambito del diritto societario, emanate sotto la forma di direttive, sono spesso considerate inefficaci.81 Alcuni osservatori dimostrano come le direttive comunitarie omettano le questioni di effettiva importanza per l’amministrazione d’impresa, come ad esempio la struttura degli organi decisionali82 o i compiti fiduciari.83 Laddove le direttive affrontano invece le questioni di importanza cruciale, alcuni Stati membri sono in grado di raggirarle ricorrendo a delle interpretazioni molto ristrette che non sono ancora state approfondite dalla Corte di Giustizia, come nel caso delle direttive sulle fusioni e scissioni delle società per azioni84, o nel caso della Seconda Direttiva inerente la costituzione delle società per azioni nonché la salvaguardia e le modificazioni del capitale societario delle stesse.85 Gli obblighi riguardanti la contabilità della Quarta e Settima Direttiva offrono un vasto numero di clausole facoltative che permettono agli Stati membri o di decidere su date questioni direttamente oppure di lasciare decidere alle società.86
B. Attivismo giudiziario e la futura legislazione:
La strada verso maggiore influenza soprannazionale?
L’opinione dell'Avvocato Generale discussa nel presente paragrafo potrebbe essere considerata un passo avanti per delineare i limiti, posti dal diritto comunitario, entro i quali le società nazionali possono agire.

La ragione del nuovo obbligo imposto agli Stati membri di stabilire le adeguate sanzioni per i reati risultanti da falsità in scritture contabili non si dovrebbe basare sull’analogia con l’obbligo di stabilire le adeguate sanzioni per l’omissione della pubblicazione dei conti annuali, ma solamente sul principio di effet utile [francese in originale, ndt.]. 87 Il detto principio potrebbe altresì aumentare l’efficienza delle Direttive comunitarie in materia del diritto societario in generale. Dal momento che la Corte di giustizia non sempre ha avuto l’occasione di limitare la portata della discrezionalità degli Stati membri nell’interpretazione del diritto societario comunitario, l’effet utile potrebbe essere considerato il principio base volto ad assicurare che la disciplina giuridica delle direttive in materia del diritto societario comunitario sia presa seriamente dai legislatori e dalle corti degli Stati membri. Concepibilmente, tale approccio potrebbe avere come risultato a lungo termine il rafforzarsi del diritto societario comunitario. Il principio fondamentale dell’effet utile ha una grande portata, in quanto gli Stati membri sono tenuti ad attenersi alle considerazioni della Corte di giustizia e, col passare del tempo, il diritto comunitario sarà ulteriormente definito tramite la giurisprudenza.
Un esempio della dubbia efficacia dell’armonizzazione comunitaria può essere dato dall’insider trading [ndt: termine inglese con il quale si intende la negoziazione dei titoli di una determinata azienda da parte di soggetti interni e basata su informazioni non di pubblico dominio]. Nonostante la direttiva che obbliga gli Stati membri a vietare l’insider trading è stata emessa nel 1989,88 il successo nell’applicazione della stessa è stato relativamente scarso.89 Tuttavia, la vigente normativa comunitaria riguardante l’insider trading obbliga gli Stati membri a disporre delle sanzioni “efficaci, proporzionali e dissuasive”.90 La forte presa di posizione da parte della Corte di giustizia sulla efficacia delle sanzioni potrebbe denotare che in futuro gli Stati membri saranno obbligati a potenziare il loro sistema esecutivo o persino ad applicare delle sanzioni più severe.
Un approccio giuridico attivo di questo tipo potrebbe far sorgere delle ulteriori questioni che le corti saranno chiamate a risolvere. L’analisi dell’accezione delle “sanzioni efficaci” eseguita dal caso “Berlusconi” è in tal senso illustrativa. Come precedentemente argomentato,91 è verosimile che questa nozione avrà un significato diverso – sotto forma di sanzioni più severe – nei casi di falso nelle scritture contabili piuttosto che nei casi di omessa pubblicazione dei conti annuali.
Ad ogni modo, la forte presa di posizione da parte dell’Avvocato generale è in linea con il piano dell’UE di promuovere un maggiore impegno comunitario nelle questioni riguardanti sia l’amministrazione d’impresa che il bilancio. Per quanto riguarda gli obblighi contabili, il rafforzarsi della regolamentazione comunitaria sembra in parte scaturire dalla legislazione. Tra i più importanti, il regolamento del 2002 che ha reso obbligatoria l'adozione dei principi internazionali (IFRS - International Financial Reporting Standards, precedentemente noto come IAS International Accounting Standards) nei bilanci consolidati delle società quotate a partire dal bilancio dell'esercizio in corso al 2005.92 Un vasto numero di clausole facoltative nelle Direttive contabili ha permesso agli Stati membri di mantenere la loro contabilità tradizionale ed ha fornito dei bilanci eterogenei e non compatibili tra di loro.93 L’urgenza dei mercati finanziari di introdurre dei principi contabili internazionali ha incitato la Commissione a supportare l’opera del Comitato IAS e successivamente a ricorrere all’IAS per i conti consolidati delle società per azioni.94 Inoltre, la Commissione ha proposto recentemente una nuova direttiva sulla revisione legale dei conti, chiarendo gli obblighi dei revisori, precisando i requisiti in materia di indipendenza e di norme deontologiche.95 Di seguito alla relazione sull’amministrazione d’impresa di High Level Group of Company Law Experts,96 la Commissione ha emanato anche un piano d’azione che, tra l’altro, mira a rafforzare i diritti degli azionisti e a modificare la composizione del consiglio d’amministrazione, con particolare attenzione ai presidenti del comitato per il controllo interno.97 Tuttavia, per quanto riguarda il rafforzamento della revisione ed il falso nelle scritture contabili, la maggiore credibilità può essere ottenuta tramite l’attività legale. L’argomentazione esposta nella suddetta relazione e la giurisprudenza che seguirà da parte della Corte di giustizia potrebbero diventare dei passi importanti nella questione.
La crescita del diritto societario e contabile può essere vista come reazione allo sviluppo del diritto statunitense. Per la Commissione e i legislatori comunitari è di esempio da seguire il Congresso USA che, ad esempio, “federa” le questioni di amministrazione d’impresa tramite l’Sarbanes-Oxley Act del 2002, o, più in generale, cerca di rafforzare l’ambiente della revisione contabile. Quest’attenzione allo scenario statunitense si vede rispecchiata, ad esempio, nella raccomandazione UE riguardante l’indipendenza dei revisori99 e nella recente implementazione tedesca all’obbligo di indipendenza dei revisori.100 Questa contaminazione è causata in parte dalle diverse società europee quotate al NYSE.
Negli USA, la regolamentazione delle pratiche contabili nelle società per azioni è stata a lungo prerogativa delle istituzioni a livello federale, prima di tutte la SEC, che nella Regulation S-X determina l’obbligo di pubblicazione dei conti annuali.101 Il rafforzamento dei principi contabili e la prevenzione di falso in scritture contabili è perciò anche la materia di SEC. Con l’atto Sarbanes-Oxley, il Congresso degli Stati Uniti ha cercato di impedire il falso contabile tramite l’introduzione delle sanzioni più severe.102
Al contrario in UE, dove, nonostante le direttive comunitarie sulla contabilità, fino ad ora la questione di falso in scritture contabili è stata lasciata completamente alla legislatura nazionale ed agli organi esecutivi interni. L’opinione dell’Avvocato generale, e la seguente giurisprudenza della Corte di giustizia, rappresentano uno spostamento iniziale verso un regime federale simile a quello statunitense. Se la Corte intende considerare seriamente l’obbligo di far applicare “sanzioni dissuasive”, le istituzioni nazionali devono essere sollevate quantomeno da alcuni aspetti burocratici ad esse legati. Questo cambiamento sarà benefico nel caso in cui dalle sanzioni più severe si otterrà una maggiore prevenzione del falso contabile.
L’altamente politico caso “Berlusconi” dimostra come le istituzioni nazionali possono essere facilmente soggette al conflitto d’interessi risultante dalle peculiari circostanze politiche. Su un livello più generico, i legislatori nazionali possono talvolta diventare bersaglio per i gruppi di pressione locali.103 Nonostante la scena comunitaria soprannazionale è ugualmente un territorio fertile per i lobbysti, la posizione indipendente della Corte di giustizia potrebbe fornire una forza equilibrante, almeno nei casi come quello in questione, quando i lobbysti prevalgono al livello nazionale. Pertanto, siamo d’accordo con la forte presa di posizione presente nell’opinione dell’Avvocato generale. Unitamente all’introduzione di IFRS (principi contabili internazionali) nei bilanci consolidati delle società quotate a partire dal bilancio dell'esercizio in corso al 2005, l’UE sembra apparire sulla giusta strada per stabilire un sistema contabile rispettato dagli investitori.
