Term, expiration, and termination
This Agreement shall commence on the starting date of the free trial period upon the expiration of which it can be renewed by signing Schedule 1 for the term indicated therein. The Agreement will then be automatically renewed for successive periods of one (1) year unless terminated by either Party by giving to the other Party at least two (2) months' prior written notice.
Without prejudice to any rights, either Party shall be entitled to terminate this Agreement forthwith of the other Party:
a. becomes unable to pay its debts as they fall due;
b. applies for or becomes subject to an administration order with regard to any of its assets;
c. makes any voluntary arrangement with its creditors;
d. goes into liquidation or if an order is made or a resolution is passed for the winding-up of that other Party; or
e. ceases or threatens to cease to carry on business.
The Parties waive their rights to claim compensation by reason of the expiration or termination of this Agreement, except where such claims are based on a breach of this Agreement by the other Party. | Translation - Polish
Czas trwania, wygaśnięcie i rozwiązanie umowy
Niniejsza Umowa rozpoczyna się od pierwszego dnia nieodpłatnego okresu próbnego, a wraz z jego zakończeniem może zostać przedłużona po podpisaniu Załącznika nr 1 odnośnie do wymienionej w nim daty. Umowa ulega tym samym przedłużeniu na kolejno następujące po sobie okresy jednoroczne, chyba że którakolwiek ze Stron rozwiązała Umowę za wypowiedzeniem wynoszącym dwa miesiące.
Każda ze Stron uprawniona jest do rozwiązania niniejszej Umowy ze skutkiem natychmiastowym bez uszczerbku dla swoich pozostałych uprawnień, jeżeli druga Strona:
a. nie jest zdolna do spełnienia swojego zobowiązania, kiedy dług jest wymagalny;
b. wnioskowała o ustanowienie zarządu przymusowego lub jest nim objęta odnośnie do jakiegokolwiek składnika swoich aktywów;
c. zawarła dobrowolny układ ze swoimi wierzycielami;
d. przeszła w stan likwidacji bądź sąd wydał postanowienie lub podjęta została uchwała o jej rozwiązaniu; lub
e. zaprzestała lub prawdopodobnie zaprzestanie swojej działalności operacyjnej.
Strony niniejszej Umowy zrzekają się prawa do odszkodowania z tytułu jej wygaśnięcia lub rozwiązania za wyjątkiem roszczeń z tytułu niedochowania warunków Umowy przez drugą Stronę.
